Kilgallioch Community Benefit Company Ltd. New Director recruitment- further information About us Kilgallioch Community Benefit Company Ltd was established in 2017 as a vehicle to distribute community benefit funds from ScottishPower Renewables’ Kilgallioch Windfarm to voluntary groups in Wigtownshire, Dumfries & Galloway and South Carrick, South Ayrshire. We are funded by ScottishPower Renewables community benefit funds from its Kilgallioch Windfarm, located in Dumfries & Galloway and South Ayrshire. In 2017/18, we will receive £475,000. From 2019 onwards, the annual income will be c. £1.2 million. Four ‘primary’ communities, Old Luce, New Luce, Kirkcowan and Barrhill, play a key role in our governance. The Community Council representatives have been in consultation regarding the Kilgallioch community benefit fund since 2014, and latterly formed a steering group, which has worked to establish the company. Each primary community receives a direct payment of 15% of the fund each year. In addition, 40% of funds are distributed via an open grant-making programme- the Kilgallioch Community Fund. Decisions are made by our Board, which comprises up to twelve local volunteer Directors from the Primary Communities. Our current Directors are Neale McQuiston (Chair), Derek Sloan (Treasurer), Amanda Richardson, Fred Murray, Andy Sinclair, Ann Robertson, John Paterson and Martin Gumersell. Due to the geographic profile of the current Board, we are only accepting applications from people not resident in one of the primary communities. The company has a two-tier structure and the board is accountable to the company members. Up to ten members are nominated by each of the Community Councils of Old Luce, New Luce, Kirkcowan and Barrhill. In addition, the Board has power to appoint Directors. The Company’s Memorandum & Articles of Association can be downloaded from our website. The Company does not employ staff. Instead we contract Foundation Scotland, a national grant-making charity, to provide administration and governance support to the Board. About the opportunity We are now seeking four new Directors, to complete the establishment of the full Board. Applicants may be resident anywhere within Wigtownshire or South Carrick, apart from Old Luce, New Luce, Barrhill or Kirkcowan community council areas. Childcare and travel expenses for attending meetings can be paid. The time commitment is around 3 or 4 hours per quarter. Meetings are not yet scheduled, but it unlikely there will be more than four during the year. Meetings currently rotate between Glenluce, New Luce, Barrhill & Kirkcowan and take place from 7.00- 9.00 p.m. on Thursdays, but are flexible to suit the needs of the group. Company Directors have important legal responsibilities and full training will be given at an induction meeting. Directors must sign a declaration confirming that they: Have not been convicted of an offence involving deception or dishonesty (or any such conviction is legally regarded as spent) Have not been involved in tax fraud Are not an undischarged bankrupt Have not made compositions or arrangements with creditors from which they have not been discharged Have not been disqualified from serving as a Company Director Priority in selection will be given to applicants with experience of grant-making (either applying for or distributing grants), or of the community or voluntary sector. However no specialist knowledge or skills are required, just a willingness to serve the community.
