Amphitheatre kicked o its main-stage concert season March 1 with a sold-out show by Alabama, guests at the Florida venue couldn’t help but notice the changes. The 4,000-seat facility had been expanded by 700 seats, and a new food truck area provided fresh local options beyond the traditional concession stands. “We sell out a lot of our shows quickly, so we knew the demand was Athere and the ability to bring in bigger acts,” said Gabe Pellicer, assistant director of the venue and the adjacent Ponte Vedra Concert Hall, about the new seats. “We knew we had a lot of momentum, so we went for it.” The changes coincide with a rebranding for what’s now being called The Amp St. Augustine, including new graphics and brand colors and a fresh tagline — “Big Acts, Small Venue” — that echoes Pellicer’s words. The rebranding eorts are among a continuing eort to create a nationally known venue in a small market. “We felt like we ran into a fork in the road,” Pellicer said. “Do we create more revenue, more shows or a better experience? We’re a government-run venue that doesn’t have to chase prots, so we decided to make it the best we possibly could.” Owned and operated by the cultural events division of St. Johns County, The Amp hosts over 40 concerts and multiple community events annually, including the Saturday Farmers Market, held year-round, and the Sing Out Loud Festival, Florida’s largest free live entertainment festival and benet, held every weekend in September.

BACKGROUND Spectra Venue Management (Spectra) has operated the Abbotsford Centre - a multi-use community, entertainment, cultural and sports facility on behalf of the City of Abbotsford since 2008. In 2014, the City of Abbotsford and Spectra Venue Management agreed to a new five year management and operating agreement, which included the “New Game Vision” (New Game), with enhanced community access; streamlined operating agreements; and revenue positive special events and anchor tenants. DISCUSSION In the past four years since the New Game was launched, the venue has increased community access, and generated a significant economic vibrancy for the businesses and residents of Abbotsford and surrounding area through successful event and community bookings. Actualmente está en trámite el oficio de actualización del capital social, por parte de la Comisión Nacional Bancaria y de Valores, toda vez que el 25 de abril de 2006, la Asamblea General Ordinaria y Extraordinaria de Accionistas de la Sociedad, aprobó un aumento de capital social en su parte variable por un monto de Ps.5,986,215,694.49 (cinco mil novecientos ochenta y seis millones doscientos quince mil seiscientos noventa y cuatro pesos 49/100 M.N.) y un aumento en la parte fija por la cantidad de Ps.564,310,244.51 (quinientos sesenta y cuatro millones trescientos diez mil doscientos cuarenta y cuatro pesos 51/100 M.N.), sin emisión de acciones, mediante la capitalización de una prima en suscripción de acciones que al 31 de diciembre de 2005 se encontraba reflejada en los estados financieros de la Sociedad. La Asamblea General Ordinaria de Accionistas de la Sociedad, celebrada el 27 de mayo de 2005, aprobó el aumento de capital social en su par- te variable por un monto de Ps.50,000,000.00 (cincuenta millones de pesos 00/100 M.N.), mediante la emisión de 50,000,000 acciones ordinarias, nominativas, sin expresión de valor nominal, Serie B, Clase II a un precio de suscripción de Ps.1.00 (un peso 00/100 M.N.) más una prima de suscrip- ción de acción de Ps.21.00 (veintiun pesos 00/100 M.N.) por acción.
