The company operates 1,738 stores in the United States and western Canada and had annual sales of $40.2 billion in 2006. I have been invited here to share with you our experience with the increasing problem of organized retail crime (ORC). Retailers have always had to deal with shoplifting as part of doing business, but let me be clear, ORC is not shoplifting. It is theft committed by professionals, in large volume, for resale. It is being committed against retailers of every type at an increasing rate. Safeway estimates a loss of $100 million dollars annually due to ORC. According to the FBI, the national estimate is between $15-30 billion annually. Let me describe for you how sophisticated and organized these enterprises are.

Albertsons is backed by private equity firm Cerberus Capital Management, and is one of the two most active acquirers in the U.S. grocery industry along with The Kroger Co. Post-merger, Albertsons and Safeway created a single, merged management team to better compete against segment leader Kroger and discount rivals such as Walmart. Introduction and Background The Federal Trade Commission (“Commission”) has accepted for public comment, and subject to final approval, an Agreement Containing Consent Orders (“Consent Agreement”) from Koninklijke Ahold N.V. (“Ahold”), its subsidiary, Giant Food Stores, LLC (“Giant”), Safeway Inc. (“Safeway”), and its subsidiary (“Genuardi’s”) (collectively “Respondents”), that is designed to remedy the anticompetitive effects that otherwise would result from Ahold’s acquisition of certain Genuardi’s supermarkets owned by Safeway. The proposed Consent Agreement requires divestiture of the Genuardi’s supermarket in Newtown, Pennsylvania, and its related assets to a Commission-approved purchaser. The proposed Consent Agreement also requires Ahold and Safeway to divest all related assets and real property necessary to ensure the buyer of the divested supermarket will be able to quickly and fully replicate the competition that would have been eliminated by the acquisition. The proposed Consent Agreement has been placed on the public record for 30 days to solicit comments from interested persons. Comments received during this period will become part of the public record. After 30 days, the Commission again will review the proposed Consent Agreement and comments received, and decide whether it should withdraw the Consent Agreement, modify it, or make it final without modification. With some of the most recognised and trusted brands in Australian retailing, Woolworths currently makes a significant contribution to economic development and employment across the country. Woolworths has over 3,100 stores across Australia consisting of Woolworths and Safeway supermarkets, BIG W department stores, Dick Smith electronics outlets, Woolworths Petrol sites and Dan Murphy’s and BWS liquor outlets. These stores are supported by a network of Distribution Centres and support offices. Woolworths also recently acquired the Danks hardware wholesale business and will shortly be injecting new competition into the hardware market in Australia. This will be through the launch of a chain of large-format home improvement outlets in a joint venture with the Lowes Group of Companies. Woolworths plans to secure 150 sites for these stores in the next five years. Woolworths plays a particularly important role in the development of retail facilities across Australia – our stores are often the anchor stores in shopping centres developed by third parties. Woolworths is also a major developer of shopping centres and stores in our own right. This was particularly significant during the recent global financial crisis when it was increasingly difficult for shopping centre developers to obtain development finance.
