The annual general meeting started at 9.35am.

1. Welcome and apologies for absence 2. Chair's opening remarks The Chair welcomed everyone to the meeting and read out the apologies.

3. Minutes of the last Annual General Meeting held on 7 October 2015 Justine Bilton proposed and Mohammed Ayub seconded that the minutes of the annual general meeting held on 7 October 2015 should be accepted as a true and correct record. The acceptance was unanimous.

4. Presentation and acceptance of Annual Report and Accounts 2015/16 Mark Upex from Hansons presented the Annual Report and Accounts 2015/16. Mark summarised the statement of financial activities on page 10, and the balance sheet on page 11. Mark pointed out that there'd been a decrease in contract income (Incoming resources from charitable activities – page 14) due to two contracts ending. However, there had been an increase in grants received over the year. Mark noted that the balance sheet is going from strength to strength and Nova has performed well during the year. Nova keeps three months of reserves. Mark concluded that the accounts represent a true and fair record of the year.

Vivian Hughes proposed and Christine Bann seconded that the Annual Report and Accounts 2015/16 should be accepted. The acceptance was unanimous.

5. Reappointment of Hansons as Auditors The Chair recommended that Hansons be reappointed as auditors for 2016/17.

Liz Halliday proposed and Mohammed Ayub seconded the acceptance of the recommendation, which was carried unanimously.

6. Appointment of Directors Four existing Nova Directors, Penny Carter, Mike Holt, Tony Howell and Sarah Roxby, stood for re-election. Bridget Gill proposed and Mohammed Ayub seconded the re-election of Penny Carter, Mike Holt, Tony Howell and Sarah Roxby, who were re-elected unopposed.

Peter Skinner, NHS England, stood for election as a Nova Director. Justine Bilton proposed and Tony Howell seconded the election of Peter Skinner, who was elected unopposed.

The meeting finished at 9.50am.
