Issuer Rating As of the date of the Information Statement, the deposit liabilities of the Bank with a term to maturity of more than one year are rated “AA” by DBRS, “A+” by Standard & Poor’s and “A1” by Moody’s. The Deposit Notes have not been rated and there is no assurance that, if the Deposit Notes were rated by such rating agencies, they would have the same rating as the other conventional deposit liabilities of the Bank. The Reference Basket will consist of an initially equally-weighted notional portfolio of Securities consisting of common shares of the following 5 Canadian TSX-listed issuers listed below (collectively, the “Companies”): Royal Bank of Canadian Imperial Bank Toronto-Dominion Bank Bank of Nova Scotia National Bank of Canada Canada of Commerce Payment at Maturity Subject to the occurrence of certain special circumstances, for each Deposit Note held at Maturity, an investor will receive (i) the Deposit Amount, and (ii) a Variable Return, if any, based on the price performance of an initially equally-weighted notional portfolio of securities (the “Reference Basket”). More specifically, the Variable Return per Deposit Note, if any, is $100.00 multiplied by 140% of the average (if positive) of the percentage changes of the Closing Prices of the Securities from the Closing Date to and including the fifth (5th) business day prior to Maturity (the “Final Valuation Date”). If the percentage change in the Closing Price of one or more of the Securities is zero or negative, this will offset positive percentage changes in the Closing Prices of other Securities, potentially resulting in no Variable Return being payable on the Deposit Notes. The Variable Return, if any, will not reflect any dividends or distributions declared on the Securities. Beneficial holders of Deposit Notes (each a “Holder”) cannot elect to receive any payments prior to Maturity. No Variable Return or distributions will be paid during the term of the Deposit Notes. Our view: Q1/21 results were better than expected on both a headline Report priced as of 11:30am EST April 19, 2021. and underlying basis. We expect a positive reaction in the shares with management providing detailed in-quarter Q2 guidance during the 8am ET conference call. First impression • Q1/21 results ahead of our expectations. Consolidated revenues and EBITDA were $3,488MM (+2.1% YoY) and $1,391MM (+4.2% YoY), respectively, versus our estimates of $3,366MM and $1,329MM (consensus is $3,353MM and $1,330MM). The positive revenue variance was largely due to higher-than-expected wireless equipment revenues ($465MM versus $389MM) and Rogers Media ($440MM versus $416MM) with underlying wireless and cable results still exceeding our forecast. Consolidated EBITDA margins were 39.9% (+80bps YoY) versus our estimate of 39.5%.
