Introduction and Background The Federal Trade Commission (“Commission”) has accepted for public comment, and subject to final approval, an Agreement Containing Consent Orders (“Consent Agreement”) from Koninklijke Ahold N.V. (“Ahold”), its subsidiary, Giant Food Stores, LLC (“Giant”), Safeway Inc. (“Safeway”), and its subsidiary (“Genuardi’s”) (collectively “Respondents”), that is designed to remedy the anticompetitive effects that otherwise would result from Ahold’s acquisition of certain Genuardi’s supermarkets owned by Safeway. The proposed Consent Agreement requires divestiture of the Genuardi’s supermarket in Newtown, Pennsylvania, and its related assets to a Commission-approved purchaser. The proposed Consent Agreement also requires Ahold and Safeway to divest all related assets and real property necessary to ensure the buyer of the divested supermarket will be able to quickly and fully replicate the competition that would have been eliminated by the acquisition. The proposed Consent Agreement has been placed on the public record for 30 days to solicit comments from interested persons. Comments received during this period will become part of the public record. After 30 days, the Commission again will review the proposed Consent Agreement and comments received, and decide whether it should withdraw the Consent Agreement, modify it, or make it final without modification. Kaufman Foodstore sales growth slowed over 1997-2002, as competition for the consumers’ food dollar intensified from nontraditional retailers selling food, and from food serv- ice outlets. Retailing profits stayed relatively high, however. Food retailers sought operational cost savings both in procurement and selling, in part through the greater use of information technologies. Mergers and acquisitions, including investor takeovers, continued to play an important role, building on a consolidation wave that began after 1996. Meanwhile, investment and acquisitions in U.S. food retailing by overseas retailers increased. Employment growth slowed as retailers aimed to con- tain growth in payrolls and improve productivity. Labor productivity has increased since 1997 as a result, reversing a long-term decline.     2/10/2021 About Us | Jewel-Osco About Us It All Started in 1899 Jewel began as a band of door-to-door salesmen, selling tea and coffee from the back of horse-drawn wagons. Founded by Frank Ross and his brother-in- law Frank Skiff in 1899, the company launched with just $700, a rented horse, and a secondhand wagon. The partnership named their venture the Jewel Tea Company, the routemen called on their customers bi-weekly, coming directly to their homes. Over time, the company added hundreds of new routes across the nation, and the traveling Jewel salesman came to be a familiar, welcomed sight. 20th Century Expansions Throughout the 20th century, the company continued to expand. As Jewel acquired other supply chains and Chicago-area grocery stores, the company began operating under the name Jewel Food stores. In 1934, Jewel Food Stores merged with Jewel Tea Company. By the start of the 1940s, customers could also place their orders from a catalog, with merchandise delivered by mail. By the late 1950s, Jewel also secured food stores from the downstate Illinois and west central Indiana regions, continuing its expansion in the 1960s through the acquisition of Osco Drugs, leading to the debut of Jewel-Osco combination stores. Throughout the 1960s and 1970s, Jewel constructed many Jewel Foods/Osco Drugs stores as side-by-side operations. Between 1970 and 1990, Jewel moved or expanded most of its storefronts to freestanding buildings with ample parking. By 1983, the company moved to consolidate Jewel and Osco stores together as a singular business unit under one roof.

Introduction Plaintiff David Rubino, a Pennsylvania citizen, filed this premises liability civil action in the Court of Common Pleas of Philadelphia County, seeking to recover damages for injuries he allegedly suffered as a result of a “slip and fall” accident in a supermarket aisle. Plaintiff named as Defendants Genuardi’s Inc., Genuardi’s Family Markets, Safeway, Inc., and store manager Joanne Baverle (collectively, “Defendants”). After the state court denied and dismissed with prejudice the claims against Defendant Baverle, a Pennsylvania citizen, the remaining Defendants removed this action to federal court on the basis of diversity jurisdiction. Currently before the Court is Plaintiff’s Motion to Remand, on the ground that removal was untimely because Defendants could have removed earlier in the litigation pursuant to the doctrine of fraudulent joinder. (ECF No. 3). The Court holds that removal was not untimely. However, the Court will grant the motion to remand because removal subsequent to the state court dismissal of the non-diverse defendant is available only when the non-diverse defendant is dropped pursuant to voluntary action by the plaintiff; this is known as the voluntary-involuntary rule. II.
