  • ?Mckenna Long?????Dentons??????
?McKenna Long?????Dentons?????? Consolidation at the top of the global legal industry is showing no signs of stopping with the confirmation that Dentons, fresh off its last big international tie-up, wants to again walk down the aisle — this time with U.S.-bound McKenna Long & Aldridge LLP. Denton's potential addition of the Atlanta-based, 575-lawyer McKenna Long would add a significant new branch to Dentons' growing international structure, which now includes about 2,500 lawyers in 50 countries. If completed, the merger would bring Dentons to a top-three spot in the industry by size, with about 3,100 lawyers. In McKenna Long, Dentons would acquire a well-regarded but somewhat undifferentiated general services firm with solid roots in government contracts, established offices in a handful of major U.S. markets, a network of Washington contacts and no significant international profile. Among its more notable offerings is the firm's intellectual property and technology practice led by D.C.- and Seoul-based partner Song Jung, which has done considerable work for Korean tech giant LG Corp., among others. The addition of McKenna Long "adds to [Dentons'] capacities in D.C. and Los Angeles and San Francisco,” said firm management consultant Eric Seeger, a principal at legal consultant firm Altman Weil Inc. "They already had Chicago, and it gives them a large Atlanta office." For the McKenna Long partners now considering the deal, joining Dentons would immediately vault them from an increasingly squeezed U.S. middle tier into a global network with a slew of multinational clients, but one that is likely still experiencing growing pains from repeated cross-border mergers, experts say.

  • 3 Lifting the Veil
3 Lifting the veil SUMMARY Introduction Statutory examples Veil lifting by the courts Classical veil lifting, 1897–1966 The interventionist years, 1966–1989 Back to basics, 1989–present Tortious liability Parent company personal injury tortious liability Commercial tort The costs/bene? ts of limited liability Introduction 3.1 You may not unnaturally wonder at this point what the phrase ‘lifting the veil’ is about. It refers to the situations where the judiciary or the legislature have decided that the separation of the personality of the company and the members is not to be maintained. 7 e veil of incorporation is thus said to be lifted. 7 e judiciary in particular seem to love using unhelpful metaphors to describe this process. In the course of reading cases in this area you will fi nd the process variously described as ‘lifting’, ‘peeping’, ‘penetrating’, ‘piercing’ or ‘parting’ the veil of incorporation. In a nutshell, having spent the whole of the last chapter emphasising the separateness of corporate personality, we now turn to those situations where for various reasons that separateness is not maintained. As businesses became more adept at using the corporate form, group structures began to emerge. For example Z Ltd (the parent or holding company) owns all the issued share capital in three other companies—A Ltd, B Ltd and C Ltd.

  • Sunday Trading for the 21 Century
Sunday Trading for the 21st Century A New Study into Saving the Great British High Street by localising Sunday Trading Rules A British Infrastructure Group (BIG) Report by The Rt. Hon Grant Shapps MP Published: 21st February 2016 Page 1 of 23 Who is the British Infrastructure Group (BIG)? The British Infrastructure Group (BIG) is led by The Rt Hon Grant Shapps MP and brings together cross-party Members of Parliament dedicated to promoting better infrastructure across the entire United Kingdom. Each report it releases focusses on a different area of current or future infrastructure need. An individual MP’s support is distinct to the particular subject and report under research. BIG is about ensuring every opportunity for growth is seized with bold new ideas and recommendations, backed by authoritative research and evidence. At its core, the British Infrastructure Group firmly believes that Britain should lead the world in cutting edge policy developments and infrastructure investment in order to drive forward our economy for the benefit of both this and future generations. It is in this spirit that the British Infrastructure Group publishes its second report, ‘Sunday Trading: Saving the Great British High Street’. This research highlights the overwhelmingly positive benefits that relaxing Sunday trading laws will have for high streets across the UK. It argues that the current situation of limiting the hours that shops larger than 280 square metres can open for is archaic and preventing high street retailers from competing more fairly against online shops. It also limits consumer choice and reduces flexibility. With UK shoppers turning ever more to the internet to satisfy their flexible and convenient shopping needs it no longer makes sense for large shops to be restrained by limiting their opening hours.
