The formal transition will take place on July 5th, with Northlands winding down its operations once the transition is concluded. Last year, the City of Edmonton asked Northlands and Explore Edmonton to evaluate whether there was an opportunity for the two organizations to work together to reinvent and deliver K- Days and Farmfair in a financially sustainable way. For the last several months, Northlands and Explore Edmonton have been engaged in discussions – facilitated by the City of Edmonton – about what this new working relationship might look like. In early 2021, Explore Edmonton concluded a feasibility study that determined the organization was well-positioned to deliver both events given its new mandate as the Destination Management and Marketing Organization (DMMO) for Edmonton and its existing management responsibilities of the Edmonton Expo Centre. “The Explore Edmonton team was humbled by the confidence City Council and others showed in us when it was suggested we could take this on. We know that it has been a challenging time for our friends at Northlands and that this has not been easy. We intend to honour and respect their legacy of service to Edmonton by relaunching their events in exciting and dynamic new ways.” – Maggie Davison, Interim CEO, Explore Edmonton As the discussions evolved, it became clear that from a viability and financial sustainability perspective, the right approach was for Northlands to move the assets to Explore Edmonton and wind down its operations. -

TERMS AND CONDITIONS K-Days 2021 1. DEFINITIONS 1.1 In this Agreement: (a) “Application” means the K-Days Application to which these Terms and Conditions apply. (b) “Commission” means that commission that is stipulated in the Application. (c) “Deposit” means $1000.00 per booth, such amount to be non-refundable. (d) “Event” means the exhibition event held on the Northlands Grounds during the Operation Days, typically referred to as K-Days. (e) “Exhibit” means the exhibit(s) and concession(s) the Licensee is operating at the Event, as indicated on the Application. (f) “Handbook” means the exhibitor handbook that is available through the Application. (g) “Licensee” means the person or entity indicated as the Legal Name on the Application and referred to as “Applicants” in the Application and the “How to Apply” document. (h) “Minimum Commission” means the minimum commission as specified in the Application. (i) “Northlands” means Edmonton Northlands. (j) “Northlands’ Grounds” means all venue and land operated by Northlands including, but not limited to, that real property municipally described as 7300 – 116 Avenue N.W., Edmonton, Alberta and 7418 – 118 Avenue N.W., Edmonton, Alberta for the purpose of the K-Days event. (k) “Operation Days” shall mean those dates that fall within July 23, 2021 – Aug 1, 2021, inclusive. (l) “Rent” means that rent that is calculated in accordance with the Handbook. 1.2 Unless otherwise defined herein, all capitalized terms used in the Terms and Conditions have the meanings ascribed to them in the Application. 2. GRANT OF LICENSE 2.1 When a Licensee submits an Application online, the Licensee is deemed to have signed the Application. -

I NTRODUCTION Final Report: March 2018 3 3 I NTRODUCTION Saskatoon is a growing community and is currently the 17th largest metropolitan centre in Canada with a population of over 250,000. Between 2006 and 2014, Saskatoon experienced a prolonged economic boom, with rapid growth driven by residents returning from out - of - province for unprecedented job opportunities created by a booming resource economy. Saskatchewan is rich in natural resources with uranium, oil, potash and farming representing the foundation of the region’s economy. Although the economy has slowed since 2014, the City of Saskatoon (the “City”) is planning ahead to ensure the right decisions are made now to prepare for a future population of 500,000. (Jim) Woods, CA (from left) There was a time when winning here was a time when winning the Stanley Cup was just part of every Edmonton Oiler's job description. Even now, hockey fans tend to get a little misty-eyed should talk turn to the golden age when Wayne Gretzky captained a team that included the likes of Mark Messier, Glenn Anderson, Jari Kurri and Grant Fuhr. But the Great One hung up his skates at the end of last season, and the once-mighty Oilers were bounced out of the NHL playoffs in the first round, losing to Dallas in triple overtime. While the loss was a tough one, reportedly "breaking the heart" of Alberta Premier Ralph Klein, not every Edmonton fan felt like crying. In fact, for 37 die-hard loyalists, the season will probably go down as the most memorable in hockey history. Against the odds (and, as many of them would admit, against their own better judgment), the members of Edmonton Investors Group Ltd. (EIG) had bought an ailing team in May 1998 with one purpose in mind: to keep the Oilers in their home town. Regarded as local heroes by some and city-hall hustlers by others, the investors not only kept their team in town and saw it make the playoffs, they also managed to break even in their first full season of ownership - a very neat hat trick indeed. -

EDMONTON Skyreach Centre 2003 Pro Forma Review Edmonton Northlands Park Skyreach Centre Review of Financial and Operating Information February 26, 2003 Office of the City Auditor EDMONTON Skyreach Centre 2003 Pro Forma Review Edmonton Northlands Park Skyreach Centre Review of Financial and Operating Information Introduction The City Manager and the General Manager of Corporate Services requested that the Office of the City Auditor (OCA) assist with a due diligence review in preparation for negotiations leading toward the renewal of the City’s support agreement with Northlands. In accordance with the City’s agreement, Northlands submits audited Skyreach Centre Operating Statements annually to the City for their review. These statements are prepared consistently with the City’s agreement and Canadian Generally Accepted Accounting Principles. The OCA’s objective for this project was to conduct a review of financial and operating pro forma financial information pertaining to Skyreach Centre within the context of the current support agreement. Descriptions of the historical events leading to the current support agreement are attached as Appendix 1. Major assumptions used in this report are described in Appendix 2. Scope and Methodology The scope of this review is limited to a financial and operational review of Skyreach Centre within the context of the current support agreement. The OCA’s methodology included the following steps: S Reviewed historical information including Administrative and OCA reports S Reviewed key historical documents including agreements, financial statements, annual reports, bylaws, and capital plans S Interviewed key staff from both the City and Northlands S Reviewed pro forma income statements and supporting information Northlands’ management team was very cooperative in providing unrestricted access to their operating staff and financial backup information, and responded in a timely manner to all requests. -

In 2016 those events affected Edmonton? were numerous, significant, and often unthinkable. 2016 saw so many unexpected events… One example was the largest leak of confidential data ever; this was larger than the US diplomatic cables released by WikiLeaks in 2010, and larger than the secret intelligence documents given to journalists by Edward Snowden in 2013. Known as the Panama Papers, the documents show the myriad ways in which the rich can exploit secretive offshore tax regimes. Twelve national leaders are among 143 politicians, their families and close associates from around the world known to have been using offshore tax havens, with people from China and Russia topping the list. At last count, 625 Canadians were identified in these documents. In June, 2016 an event that shook the pundits occurred when the majority vote chose in favour of ‘Brexit’ through the United Kingdom European Union (EU) membership referendum. Trade protectionism and a promised southern wall outplayed a campaign filled with rhetoric that would have taken down previous candidates, and Donald Trump was elected the 45th President of the United States. Combined with the Brexit vote, these campaigns unearthed overwhelming segments of the populations who did not feel reflected in earlier governments. -

These first people hunted, fished and gathered raw resources to be processed into tools and other useful materials. By the time the first fur trade forts were established in the district in 1795, the Cree had named this area Otinow (a place where everyone came). However, First Nations may have used this area well before this European contact. About 12,000 years ago the study area was under a large lake, with a vast area surrounding it. -
