Subsequent Events 159 Directors 160 Officers 161 Investord an Shareholder Information 165 3 2018 ANNUAL REPORT Air Canada’s strong execution capabilities were on full display in 2018 given the many challenges faced during the year, including significantly higher fuel costs and economic and trade uncertainty. The results achieved, including a strengthened balance sheet and an expanded global franchise, demonstrated both resiliency and consistency. Air Canada shares outperformed industry peers as well as the TSX Composite Index, and they have now returned more than 4,000% since we first set about to transform ourselves a decade ago. We generated record operating revenue of $18.065 billion in 2018 and ended the year with record unrestricted liquidity of $5.725 billion. Following on a record year in 2017, we reported a comparably solid performance on other key metrics, such as EBITDAR of $2.851 billion (including record fourth quarter MESSAGE FROM EBITDAR of $543 million), operating income of $1.174 billion, THE PRESIDENT AND net cash from operating activities of $2.695 billion and CHIEF EXECUTIVE $791 million free cash flow. Success in any given year depends on many things going right. OFFICER In this regard, our 2018 record revenue reflected year-over- year increases in passenger revenue in all markets we serve. This underscores both the strength of our network and a highly efficient fleet deployment across that network. To put this in perspective, we have achieved nine consecutive years of revenue growth. Our 2018 passenger revenue was $16.2 billion, an 11.2% increase over 2017. This revenue growth was also accompanied by strict cost discipline within controllable cost categories. In 2018, Air Canada’s unit costs, or cost per available seat mile (CASM), increased 6.0% compared to 2017, mostly attributable to an increase in fuel costs of almost $1.2 billion.

There were no survivors among the 329 passengers and crew members. There was unanimous official opinion among authorities that an inflight breakup caused by an explosion in the forward cargo compartment occurred. Based on the direct, tangible and circumstantial evidence of four similar accidents as described in six aircraft accident reports and using the benefit of hindsight, the conclusion of this investigator and author of this report is that the probable cause of the accident to Air India Flight 182 was faulty wiring shorting on the door unlatch motor causing the forward cargo door to inadvertently rupture open in flight probably at one or both of the midspan latches leading to an explosion of explosive decompression in the forward cargo compartment and subsequent aircraft breakup. The airline reported third quarter 2020 negative EBITDA(1) or (earnings before interest, taxes, depreciation and amortization), excluding special items, of $554 million compared to third quarter 2019 EBITDA of $1.472 billion. Air Canada reported an operating loss of $785 million in the third quarter of 2020 compared to operating income of $956 million in the third quarter of 2019. Total revenue passengers carried declined 88 per cent in the quarter compared to last year’s third quarter. Unrestricted liquidity amounted to $8.189 billion at September 30, 2020. “Today’s results reflect COVID-19’s unprecedented impact on our industry globally and on Air Canada in what has historically been our most productive and profitable quarter. From the outset, we have made the health and safety of our customers and employees our chief concern. Our airline has been a leader in introducing progressive layers of protection, such as our comprehensive suite of biosafety measures, Air Canada CleanCare+, and we continue to explore new technologies and processes to further assure travellers and regulators. It is a sincere pleasure to be addressing this forum. While I know all of you are familiar with Air Canada and many of you are our regular customers, I’d like to provide you with some context on Air Canada, our future direction and where we see opportunities for the company and also for this city. It is a rare business because, how many companies could come in and say that most of the people here today are their customers at least once a year? This is a privilege and responsibility I take seriously. CONTEXT & MONTREAL OPERATIONS I find people are often surprised when I quote some statistics about our company, as they may not fully appreciate the breadth and scope of our operations both on a network-wide basis and here in Montreal. Air Canada is the 15th largest airline in the world based on traffic – and there are almost 1,000 airlines in the world. Significantly, we have grown to this size even though Canada is only about 36th in terms of population among the world’s countries. So as a nation we certainly punch above our weight. 2 Each day, we operate more than 1,300 flights, which equates to an Air Canada flight taking off somewhere almost every minute of every day. We have 26,000 employees stationed on five continents throughout the world and nearly $11 billion in annual revenue.

    Skipper, Leadership and Vessel Safety William Strassberg, MD January, 2021 Introduction by Ralph Naranjo: Advocates of the phrase, “leaders are born not made,” discount expertise and dwell on behavioral traits such as charisma, compassion, extroversion, boldness, etc. These personality attributes certainly play an important role in acquiring allegiance within a group. But when it comes to the complexity of command at sea and the risks linked to offshore racing and cruising, the inverse is true—leaders, or should I say, good leaders are made not born. The recipe for success includes sea time in challenging situations, an ability to weigh variables and a sense to steer toward effective outcomes. Sharing this wisdom requires communication skills and an ability to inspire others. Doctor William Strassberg’s paper “Skipper, Leadership and Vessel Safety” delves into Crew Resource Management (CRM) and defines how essential leadership skills can be developed— improving every skipper’s ability to handle challenges at sea. A Skipper’s Leadership Skills are Significant Skipper leadership and vessel safety are inevitably linked, as effective leadership enhances vessel safety. Safety practices aboard a small vessel at sea interface safety protocols and gear, captain and crew, and effective leadership integrates these components and translates vessel operating practices and rules and the safety culture they represent into practice: effective leadership empowers and enhances vessel practices. Ralph Naranjo has written in his book, The Art of Seamanship: “A proficient skipper must be as multifaceted as possible, not just in breadth of knowledge but also in the kind of wisdom that’s acted out on the pitching deck of a vessel at sea.” and continues with the following: “The final challenge for any skipper is the transition involved in becoming a leader” (Naranjo, 2015).
