Global Radio Holdings Limited (Global) has agreed to acquire Juice Holdco Limited (Juice) (the Merger). Global and Juice are together referred to as the Parties. 2. The Competition and Markets Authority (CMA) considers that the Parties will cease to be distinct as a result of the Merger, that the share of supply test is met and that accordingly arrangements are in progress or in contemplation which, if carried into effect, will result in the creation of a relevant merger situation. 3. The Parties overlap in the supply of commercial radio services, a two-sided market in which radio stations compete both for advertisers and consumers (in this case, radio listeners). In this case, the CMA has focussed on the effect of this Merger on the advertisers’ side of the market as the CMA considers that the interests of listeners are largely protected through Ofcom’s licencing requirements and the presence of the BBC. In terms of geographic scope, the CMA assessed the effect of the Merger in those areas where the Parties currently operate (ie the Total Survey Area (TSA))1 and where there is some overlap either at a regional or local level. -

APPENDIX A Terms of reference and conduct of the inquiry 1. On 11 October 2012, the OFT sent the following reference to the CC: 1. In exercise of its duty under section 22(1) of the Enterprise Act (‘the Act’) to make a reference to the Competition Commission (‘the CC’) in relation to a completed merger, the Office of Fair Trading (‘the OFT’) believes that it is or may be the case that: (a) a relevant merger situation has been created in that: (i) enterprises carried on by or under the control of Global Radio Holdings Limited have ceased to be distinct from enterprises previously carried on by or under the control of GMG Radio Holdings Limited; and (ii) as a result, the conditions specified in section 23(4) of the Act will prevail, or will prevail to a greater extent, with respect to the supply of commercial radio based on listening hours in the UK and the supply of radio advertising services in London, the West Midlands, the East Midlands, the North West, Yorkshire, the North East, Central Scotland, South Wales and North Wales; and (b) the creation of that situation has resulted or may be expected to result in a substantial lessening of competition within any market or markets in the UK for goods or services, including the supply of non-contracted radio advertising services in North Wales, the East Midlands, South Yorkshire and Cardiff. 2. Therefore, in exercise of its duty under section 22(1) of the Act, the OFT hereby refers to the CC, for investigation and report within a period ending on 27 March 2013, on the following questions in accordance with section 35(1) of the Act: (a) whether a relevant merger situation has been created; and (b) if so, whether the creation of that situation has resulted or may be expected to result in a substantial lessening of competition within any market or markets in the UK for goods and services. -

The Format describes the type of programme service which is required to be provided, and forms part of the station's licence. 1.3 Capital FM Birmingham's Format includes requirements to provide "a rhythmic-based music and information station primarily for listeners of African or Afro-Caribbean origin, but with cross-over appeal to young white fans of urban contemporary black music and at least 26 hours a week of identifiable specialist music programmes (to include reggae, RnB and hip hop rhythmic-based (e.g. dance, club etc.))". Global Radio Holdings Ltd's request is to replace these requirements with the following new requirements: "a rhythmic-based music-led service for 15-29 year-olds supplemented with news, information and entertainment. -

SLAUGHTER AND MAY Global Radio / Real and Smooth Limited REGIONAL ANALYSIS For each of the 7 SLC regions identified by the CC, Global has assessed the scale of the SLC and the customer benefits which will be lost through a divestment of any of the parties’ core stations (i.e. Smooth, Real, Capital and Heart). Global has quantified both the maximum likely scale of the SLC in each region and the customer benefit likely to be lost through divestment of core stations (to the extent this can be quantified). As a result of this analysis, Global has evidenced that any divestment of a core station would not be proportionate or reasonably justified in any of the 7 SLC areas. We comment on each of the 7 SLC areas in turn. Error! Unknown document property name. 2 1. EAST MIDLANDS Executive Summary 1.1 The scale of the SLC in the East Midlands is trivial. Based on the CC’s Provisional Findings, the revenues affected by the merger in the East Midlands are £[]. 1.2 While not accepting that any SLC found by the CC would lead to an increase in price, Global considers that any such increase would be small (not greater than 5%) given that the parties are not close competitors in the East Midlands and that Orion is a much closer competitor to both Capital and Smooth than they are to each other. A 5% price increase on the affected revenues in the East Midlands would imply the harm from the SLC is £[]. 1.3 Any harm from the SLC is substantially outweighed by the advertiser discounts that will be lost as a result of the divestment of Smooth East Midlands (£[]) which comprise: (i) Lost network discounts of £[]for contracted advertisers; and (ii) Lost single-region multi-brand discounts of £[] for non-contracted advertisers. -

On 10 February 2014, in accordance with section 18 of the Competition Act 2002 (“the Act”), the Competition Authority (“the Authority”) received a notification of a proposed acquisition whereby Communicorp Group Limited (“Communicorp”) would acquire sole control of the following: • Cardiff Broadcasting Company Limited, Galaxy Radio Scotland Limited, and Gwent Area Broadcasting Limited from Global Radio Limited (“GRL”); and, • Real Radio Yorkshire Limited, Real Radio North Limited, Real Radio XS Limited, Smooth Radio Midlands Limited, Smooth Radio North East Limited and Smooth Radio Limited from Real and Smooth Limited (“RS”) and Smooth Radio Investments Limited (“SR”). 2. The proposed transaction involves the acquisition by Communicorp of nine target companies but only eight radio stations as one company, Gwent Area Broadcasting Limited, is dormant. The eight radio stations (all located in the United Kingdom) are the subject of a divestiture by Global Radio Holdings Limited 1 pursuant to the findings in a report by the Competition Commission in the United Kingdom dated 21 May 2013 in relation to the acquisition by Global Radio Holdings Limited of RS (known at that time as GMG Radio Holdings Limited). -

PRESS RELEASE July 08, 2015 Arqiva Commercial Radio Awards 2015 - Winners Announced Strictly embargoed for broadcast or publication until 22.00hrs on Wednesday July 08, 2015 The winners of the 2015 Arqiva Commercial Radio Awards were announced this evening (July 8) at a star-studded ceremony at London’s Roundhouse in Camden. Top artists, Alesha Dixon, Nathan Sykes, formerly of The Wanted and Aston, formerly of JLS, performed live at the ceremony, hosted by Heart London Breakfast presenters, Jamie Theakston and Emma Bunton. The awards, now in their 20th year and organised by Radiocentre, are the biggest celebration of commercial radio, marking achievement from presenters and programming to advertising and marketing. LBC picked up three Gold gongs on the night – Nick Ferrari for Presenter of the Year (2 million+ TSA), Tom Swarbrick won Journalist of the Year in the Ali Booker memorial prize and LBC was also awarded Gold for Station of the Year (2 Million+ TSA). That awards tally was matched by Absolute Radio who scooped Gold in the Specialist Programme of the Year category with Rock n Roll Football; Single Programme or Broadcast of the Year with The Clarke Carlisle Story and Absolute’s Christian O’Connell also received The Arqiva Gold Award.
