Prior to 2018, widely-used tax plans of U.S.-based multinational groups were de- New York, United States signed to achieve three basic goals in connection with European operations: (i) the reduction of European taxes as European profits were generated, (ii) the integration of European tax plans with U.S. tax concepts to prevent Subpart F from applying to intercompany transactions in Europe, and (iii) the reduction of withholding taxes and U.S. tax under Subpart F as profits were distributed through a chain of European companies and then to the global parent in the U.S. Reduction of Taxes in Europe The first goal – the reduction of European taxation on operating profits – often en- tailed the deconstruction of a business into various affiliated companies, which can be illustrated as follows: • Group equity for European operations was placed in a holding company that served as an entrepôt to Europe. • Tangible operating assets related to manufacturing or sales were owned by a second company or companies where the facilities or markets were located. • Financing was provided by a third company where rulings or legislation were favorable. • Intangible property was owned by a fourth company qualifying as an innova- tion box company. The use of check-the-box entities within Europe eliminated Subpart F income from being recognized in the U.S. A functionally comparable arrangement could be ob- tained for intercompany loans where such loans were required for capital invest- ments. The qualified cost sharing arrangement eliminated the application of Code §367, which otherwise would mandate ongoing income inclusions for the U.S. par- ent as if it sold the intangible property pursuant to a deferred payment arrangement. Any intercompany dividends paid within the group headed by TOPCO were ignored for Subpart F purposes because of the check-the-box elections made by all of TOP- CO’s subsidiaries. At the same time, deferred taxes were not reported as current period expenses on financial statements prepared by the U.S. parent provided the underlying earnings were permanently invested abroad. Meanwhile, earnings were funneled up to the European group equity holder and recycled for further expansion within the European group. Intragroup payments typ- ically did not attract withholding tax under the Parent-Subsidiary Directive (“P.S.D.”) or the Interest and Royalty Directives of the European Commission (“E.C.”). For other U.S.-based groups – primarily, those companies that regularly received dividend payments from European operations – the use of a holding company could reduce foreign withholding taxes claimed as foreign tax credits by the U.S. parent in many instances. This was true especially where the U.S. did not have an income tax treaty in force with a particular country or the treaty provided for relatively high withholding tax rates on dividends. Nonetheless, sophisticated planning was often required to take full advantage of the foreign tax credit because of various limitations and roadblocks that existed under U.S. tax law. Foreign Tax Credit Planning in the U.S. Although the foreign tax credit has often been described as a “dollar-for-dollar re- duction of U.S. tax” when foreign taxes are paid or deemed to be paid by a U.S. parent company, the reality has been quite different. Only taxes that were imposed on items of “foreign-source taxable income” could be claimed as credits.1 This rule, known as “the foreign tax credit limitation,” was intended to prevent foreign income taxes from being claimed as a credit against U.S. tax on U.S.-taxable income. The U.S., as with most countries that eliminate double taxation through a credit system, maintains that it has primary tax jurisdiction over domestic taxable income. The foreign tax credit limitation was structured to prevent so-called “cross crediting,” under which high taxes on operating income could be used to offset U.S. tax on lightly-taxed investment income. For many years, the foreign tax credit limitation was applied separately with regard to eight different categories, or baskets, of in- come designed to prevent the absorption of excess foreign tax credits by low-tax foreign-source income. In substance, this eviscerated the benefit of the

    EU TAX ALERT 2020/09 The Apple case decision on State Aid: the General Court annuls the de- cision issued by the European Commission against Apple and Ireland On 15 July 2020, the General Court of the European Union (“GCEU”) issued its judgment in cases T-778/16, Ireland v. Commission, and T-892/16, Apple Sales International and Apple Operations Europe v Commission, thereby annulling the decision taken by the European Commission with regard to the Irish tax rulings that allegedly favoured Apple (the “Tax Rulings”). The Tax Rulings were issued on 29 January 1991 and 23 May 2007 in favour of two Irish companies of the Apple group (Apple Sales International and Apple Operations Europe, respectively “ASI” and “AOE”). In particular, the Tax Rulings endorsed the methods used by ASI and AOE to determine their taxable profits in Ireland, with respect to the trading activity carried out by their respective Irish branches. According to the Commission, by means of those rulings Ireland granted to Apple a selective tax treatment, which constituted an illegal state aid under EU law. In this respect, the Commission maintained that the Tax Rulings artificially lowered the tax paid by Apple in Ireland since 1991 and gave Apple a significant advantage as compared to other businesses that were subject to Irish domestic tax law. Pursuant to the Commission’s estimation, Ireland granted Ap- ple with a 13 billion euro unlawful tax advantage. As previously mentioned, the GCEU discharged those allegations. First, it found that the Commission incorrectly concluded that Ireland had granted to ASI and AOE an advantage as result of not having allocated to their Irish branches cer- tain Apple IPs and, consequently, all of ASI and AOE’s profits deriving from Ap- ple’s sales outside Americas.

    General Court of the European Union PRESS RELEASE No 90/20 Luxembourg, 15 July 2020 Judgment in Cases T-778/16, Ireland v Commission, and T-892/16, Apple Sales International and Apple Press and Information Operations Europe v Commission The General Court of the European Union annuls the decision taken by the Commission regarding the Irish tax rulings in favour of Apple The General Court annuls the contested decision because the Commission did not succeed in showing to the requisite legal standard that there was an advantage for the purposes of Article 107(1) TFEU1 In 2016 the Commission adopted a decision2 concerning two tax rulings issued by the Irish tax authorities (Irish Revenue) on 29 January 1991 and 23 May 2007 in favour of Apple Sales International (ASI) and Apple Operations Europe (AOE), which were companies incorporated in Ireland but not tax resident in Ireland. The contested tax rulings endorsed the methods used by ASI and AOE to determine their chargeable profits in Ireland, relating to the trading activity of their respective Irish branches. The 1991 tax ruling remained in force until 2007, when it was replaced by the 2007 tax ruling. The 2007 tax ruling then remained in force until Apple’s new business structure was implemented in Ireland in 2014. By its decision, the Commission considered that the tax rulings in question constituted State aid unlawfully put into effect by Ireland. The aid was declared incompatible with the internal market. The Commission demanded the recovery of the aid in question. According to the Commission’s calculations, Ireland had granted Apple 13 billion euro in unlawful tax advantages.3 Ireland (Case T-778/16) and ASI and AOE (Case T-892/16) claimed that the General Court should annul the Commission’s decision.

Consequently, they have the opportunity to develop several tax minimalization strategies such as transfer pricing, inversion, hybrid entities etc. All these have a negative impact on the world economy and state budgets. Despite detrimental effects, certain countries try to cooperate with multinationals by transforming themselves into tax havens. In this framework, they provide multinationals with various kinds of tax advantages such as deductions, low tax rates and preferential tax rulings (“sweetheart deals”). Although, the general attitude towards tax avoidance in the European Union is negative, particular member states’ tax systems display several characteristics of tax havens. In this regard, it should be noted that multinationals regularly use the loopholes and other advantages of the Dutch tax system to minimise their tax liability. The following study – after a brief view to the characteristics of tax havens– will illustrate these options by highlighting the fact that the country – despite the denial of the respective governments – still displays several characteristics of - tax havens.     SELECTIVITY CRITERION IN STATE AID CONTROL JAKUB KOCIUBIŃSKI INTRODUCTION The creation and development of the Internal Market has spurred competition and allows for businesses to expand in size to become European players, increasing further economic growth.1 Modern European economies rely heavily on markets and private undertakings to decide what goods to sell, what markets to expand into, what R&D to undertake and so on. The underlying principle is that free competition based on equal and non- discriminatory treatment of every undertaking will ensure optimal economic efficiency.2 However, an uneven playing field may result from aid that Member States grant to companies operating in their territories.
