Novar plc, the UK-based parent company of MK Electric, Ega, Trend, Gent, Brand-Rex, Friedland and many other famous brands has been the subject of a takeover bid from American giant Honeywell. The bid, worth some £800mn in cash, has been launched by Honeywell to secure the ‘Intelligent Building’ division of Novar, considered by Honeywell to be the most attractive component of Novar. Other divisions of Novar, cheque printing and aluminium extrusions in the US, are to be divested in due course, according to Honeywell’s press release. The Novar main board has agreed in principle to recommend this offer unconditionally to its shareholders. At this stage, however, approval is in the process of being sought from the European Union competition authorities and, as of the publication date of this Newsletter, final agreement is still pending although fully expected by the end of March 2005. At the time of going to press, it is envisaged that the Novar IBS companies would be integrated into the Honeywell Automation and Controls Division which has global sales of over $8bn per annum and employs some 40,000 people. If this is achieved, it is expected to be a positive development for the future growth of KEC’s low-voltage electrical installation equipment, systems solutions and lighting business portfolio.
