ADMINISTRATION - In Attendance; Kate Childs (Pirates RFC), Ken Trumper (Druids RFC) - Motion to adopt Agenda Motioned by Jasmine and seconded by Judy - Motion to Adopt previous month’s Meeting Minutes motioned by Judy and seconded by Jasmine PREVIOUS MEETING ACTION ITEMS - President The Future of Ellerslie Rugby Park At the January 29, 2020 AGM, a motion was unanimously passed to investigate of the future of the Ellerslie Rugby Park. The motion was as follows: "That the ERP Board of Directors provides a plan to change the Management Structure of ERP Inc. This plan must provide a minimum of 3 options, including the potential for selling the property that can be reviewed by the members within 90 days.” After an extensive review, the Board of Directors of Ellerslie Rugby Park Inc., reached a unanimous decision to recommend a complete sale of the Ellerslie Rugby Park. As a result, the ERP Board held a special meeting on July 22, 2020 with the owners of ERP (NWAA, Druids, Lep/Tigers, Pirates, Clansmen and the ERU) to vote on the recommendation by the ERP Board to sell ERP. There were two special resolutions being voted on and they were as follows: 1. That the Members authorize the Ellerslie Rugby Park Incorporated Board of Directors to retain a commercial realtor to list the Ellerslie Rugby Park ERU Meeting Summary Page 1 of 3 August 12, 2020
Incorporated lands for sale; and 2. That the Members authorize the Ellerslie Rugby Park Incorporated Board of Directors to accept an offer to buy the Ellerslie Rugby Park Incorporated lands, if received, for a price equal to or greater than $6,500,00.00. This meeting was postponed to give the Edmonton Rugby Union proper amount of time to consult with all the ERU member clubs and to hold a vote on the above two resolutions. The ERU requires written consent of 80 percent of its members entitled to vote on the issue. The ERU will as well be investigating the impact the sale of ERP would have to rugby in Northern Alberta.
ERU Consultation with Member Clubs and Vote on Resolutions: I will be sending out an email to all the ERU member clubs informing them of the potential sale of ERP with the applicable background information. I will work to have this email out by tomorrow. I will be holding a meeting with the presidents of the ERU member clubs in the next two weeks to discuss. I will be sending out a “Notice of General Meeting” along with a proxy vote form. This will most likely happen next week. We are required to give a minimum of 21 day notice of this meeting. We are targeting to have the meeting the week of Sept 29 – Oct 2 which is a week prior to the ERP meeting on Oct 7.
Investigation of the impact of the sale of ERP: We have created a working group that includes: o Devin Vandenberg – ERU President o Jasmine Jarvis – VP of Senior Rugby o Rick Oldring – VP of Junior Rugby o Graeme Dawes – ERP Chairmen We will also be collaborating with Graeme Moffat from Rugby Alberta on the matter. We will be reaching out to each of the clubs for their input as well, most likely as a survey. The first meeting of the working group will be held next week. A report will be created that will be shared with the ERP Board, the ERU board and all the ERU member clubs. We will target to have the report available by Sept 15, 2020 prior to the vote on the resolutions to give the everyone a chance to digest the information. - Treasurer - Refunds for Sportlomo are slowly getting sorted out Secretary - Nothing to report VP Administration - Absent- Nothing to report
