COMPANY PRESENTATION FORMAT

The following outline has been prepared to assist you in making a presentation for funding consideration to Mega Financial and its clients. Please do not exceed this guidance, and delete non-applicable items with a note to the effect that they are inapplicable due to (x, y, z). Wherever possible, insert market comparables, agreements, pricing guidelines, etc… We will follow your presentation with a discussion of approximately 30 minutes.

1. MARKET INFORMATION  Description of market need to be met  Description of customer to be served  Customer validation to-date for proposed product  Noteworthy trends in target market  Size and growth rate of target market  Major competitors in target market (indicate those which have received venture financing)

2. PRODUCT INFORMATION  Description of product  Intellectual property/patent portfolio  Cost/benefit analysis compared to competitors validation of the technology  Status of product development and projected timeline to market

3. MANAGEMENT  Relevant experience and detailed resumes of key participants in management.  Same for Board of Directors / Board of Advisors  Key vacancies and plans to fill them, including timing of additions

4. OPERATIONS  Key milestones achieved to date  Key milestones to be achieved  Monthly budget, income statement, balance sheet, and cash flow for two years; quarterly forecast of same for years 3 through 5  Key assumptions which drive the budget (include product cost, product pricing, distribution plan and sales cycle) / Show sales prospects and sales backlog  Use of strategic partners, if any
