MINUTES

I. CALL TO ORDER

A meeting of the Board of Directors for Westchase Community Association, Inc. was held May 12, 2016 at the WCA Management Office, 10049 Parley Drive, Tampa, Florida 33626. Joaquin Arrillaga, President, called the meeting to order at 7:05 PM.

IV. SECRETARY’S REPORT

 April 14, 2016 Board of Directors Meeting Minutes submitted.

Ruben Collazo motioned to approve the 04-14-16 board minutes. Rick Goldstein seconded the motion. A vote was taken and the motion carried 6-0

V. TREASURER’S REPORT  2015 Audit Review by Percy Legendre tabled to June meeting

VI. COMMITTEE REPORTS

A. Covenants Committee –Minutes Submitted  It was announced that Bill Flood, chairperson of the committee for several years, had submitted his resignation from this committee. Joaquin had stated he would like to invite Bill Flood to our June meeting to thank him and recognize him for his years of service to the committee and the WCA.

B. Government Affairs Committee - Report Submitted

 Transportation Update (TBX)

Joaquin Arrillaga motioned that the WCA approach the County in support of the TBX proposal on Express Lanes with the funding coming from Florida State.

C. Modifications Committee - Minutes Submitted

Ruben Collazo motioned to re-appoint Dan Haigy, JoAnn Gratt and Forrest Baumhover to the Modifications Committee for a two year term expiring June 2018. Rick Goldstein seconded the motion. A vote was taken and the motion carried 6-0

VII. COMMUNITY ASSOCIATION MANAGER’S REPORT- Report submitted – Debbie Sainz

VIII. NEW BUSINESS

 Presentation by WOW (Jon Stein/Tracy Urso)  Jon Stein & Tracy Urso informed members of a proposal on expansion plans of the WOW magazine, including an increase in the number of advertisers and advertising rates over time by 25% which would cover the costs of production and distribution to communities outside of the Westchase HOA; proposed 3 different editions of the WOW beginning 2017, with the names of each edition still pending further discussions with outside neighborhoods/communities.  The WCA Board requested a copy of the WOW’s “Revised Mission Statement” following the expansion.

 Fine Appeals (Owner Appeals to Board)  10235 Woodford Bridge Brian Ross motioned to waive 90% on each of the fines on O-1 & O-2, with the remaining 10% ($100 each) to be paid immediately and to suspend their use rights of the associations facilities until payment in full is made. Joe Odda seconded the amended motion. Vote was taken and the motion carried 6-0

 10220 Millport Brian Ross motioned to deny the appeal on O-4 and for the board to uphold the $1,000 fine. Rick Goldstein seconded the amended motion. Vote was taken and the motion carried 6-0

 9972 Stockbridge; 11801 Derbyshire; 11851 Derbyshire; 10749 Ayrshire; 12407 Glenfield Brian Ross motioned to waive 90% on each of the fines on O-3, 7, 8, 9, 10 & 12, with the remaining 10% ($100 each) to be paid immediately and to suspend their use rights of the associations facilities until payment in full is made. Rick Goldstein seconded the amended motion. Vote was taken and the motion carried 6-0

 10420 Springrose Brian Ross motioned to deny the appeal on O-11 and for the board to uphold the $1,000 fine. Joe Odda seconded the amended motion. Vote was taken and the motion carried 6-0

Brian Ross motioned to table the appeal on O-5 and O-6 to the June Board meeting Rick Goldstein seconded the amended motion. Vote was taken and the motion carried 6-0

 Review Tabled Fines & “Second Notice of Violations with Proposed Fines” Files

Brian Ross motioned to levy a $1,000 fine and suspend use rights upon P-1, 12, 14, 19, 21, 24, 17 and T-7. Keith Heinemann seconded the amended motion. Vote was taken and the motion carried 6-0

Brian Ross motioned to levy a $1,000 fine and suspend use rights upon P-5; however, if owner is in compliance with the CCR’s by 5/31/2016, then no fine shall be levied. Keith Heinemann seconded the amended motion. Vote was taken and the motion carried 6-0

Brian Ross motioned to NOT levy a fine upon P-2, 3, 4, 6-11, 13, 15, 16, 18, 20, 22, 23 and T-2 thru 4. Keith Heinemann seconded the amended motion. Vote was taken and the motion carried 6-0

Brian Ross motioned to table T-1 to the July Board meeting in order to allow owner sufficient time to communicate with The Vineyards Board on an acceptable resolution to their paint application and for owner to submit an acceptable approvable paint modification request to the WCA before the July Board meeting. Ruben Collazo seconded the amended motion. Vote was taken and the motion carried 6-0

IX. OLD BUSINESS  Re-Address Senior Tennis Group

Rick Goldstein motioned to allow the Westchase seniors tennis group to have a standing reservation for 2 tennis courts for the original 3 days requested at the March Board meeting (Tues, Thurs & Sat mornings 9AM-11AM). Brian Ross seconded the amended motion. Vote was taken and the motion carried 5-1 (Ruben)

X. OTHER BUSINESS

 “ Statement Read by Brian Ross”

“Through comments made at our December Board meeting and by text days earlier, I raised important issues regarding the WCA’s payment approval process. Since

Page 3 of 4 May 12, 2016 Board Minutes then, our Associations legal counsel and auditor/accountant have affirmed the underlying wisdom or accuracy of my comments. I thank the Board, and particularly our Board President, for ensuring the recommendations of those two professionals were implemented. It is important that we – as a Board and an Association – not only aspire to high standards, but also be willing to battle through adversity to attain those high standards. Additionally, through working and communication with our Board President, community members and Association advisors, I have become more informed of some personnel issues. At an appropriate time, I welcome the opportunity to discuss personnel issues with the Board with the confidence of an executive session as permitted by Florida Statutes, without the presence of our personnel.”
