PHOTOGRAPHY SESSION AGREEMENT The terms and policies outlined in this document apply to all sessions offered by Micahla Wilson Photography. 2. SERVICES: The Client agrees to hire the Photographer for the services, date, time, and fees specified. Online session proofing gallery will be available within approximately two weeks of each session date. Online proof gallery will be available for two months if the client wants to go back and select more images at a later date. If client does not make favorite selection within seven days after provided to them, the photographer is not responsible for getting images back before one month is up. 3. CANCELLATION POLICY: If, in the opinion of the photographer, inclement weather or other adverse conditions hinder the artistic standards of the studio/photographer, the photographer may elect to use an alternate location or to reschedule the portrait session. If the photography session is canceled by the client for any reason, the Photographer must be notified within 48 hours of the scheduled session by PHONE/TEXT. The Photographer will reschedule the canceled session at the next available date. The retainer paid from emailed invoice is not to be confused with a deposit. A retainer reserves the date of the session and will go to the overall session fee on the agreed-upon session date. If client cancels, they will have to pay a new retainer of $100 for a new date. 4. If the Studio/Photographer cannot perform this Contract due to fire or other casualty, strike, act of God, or other cause beyond the control of the parties, or due to Photographer’s illness or emergency, the Photographer shall not return any deposit/ retainer to the Client, but will be expected to reschedule. The photographer shall have no further liability with respect to the Contract. This limitation on liability shall also apply in the event that photographic materials are damaged in processing, lost through camera or media malfunction, lost in the mail, or otherwise lost or damaged without fault on the part of the Photographer. In the event the Studio/Photographer fails to perform for any other reason, the Studio/Photographer shall not be liable for any amount in excess of the retail value of the Client’s order. 5. COPYRIGHT: The Studio/Photographer reserves the right to use images created under this contract for advertising, display, publication or other purposes. The use of images are not limited and can be, but not limited to, the website of micahlawilson.net, third party vendors, social media/network sites. Acceptance of this contract that he or she has actual authority to agree to the use of the likeness of all persons included in the portrait in this manner and shall indemnify and defend the Studio/Photographer in the event of litigation arising out of such use. Negatives, digital files and previews remain the exclusive property of this Studio/Photographer. The Client is obtaining prints for personal use only, and shall not sell said prints or authorize any reproductions thereof by parties other than the Photographer. In particular, Client may not share unwatermarked images from your session or event with other vendors; vendors desiring images should consult the photographer for copies of images made at your event. The client may not in any form re-edit images or crop them. If the client does, a $50 fee will be charged to next booking. The Photographer shall own the copyright in all images created and shall have the exclusive right to make reproductions, except where permission is granted to Client to make reprints from the CD of images provided. Client has permission from Photographer(s) to reproduce these images in what sizes they desire with what lab they choose. The Photographer can make reproductions for but not only the following: the Client or for the Photographer’s portfolio, samples, self-promotions, entry in photographic contests or art exhibitions, editorial use, or for display within or on the outside of the Photographer’s studio. No written permission besides this contract will be needed for reproduction. 6. PRICE: The charges in this Contract are based on the Session Rates found on micahlawilson.net. The prices in effect at the time of the session reservation will apply for all sessions included in this Contract, for a period of 30 days past the session date. Any and all future orders shall be charged at the prices in effect at the time when the order is placed. 7. INHERENT QUALITIES: Client is aware that color dyes in photography may fade or discolor over time due to the inherent qualities of dyes, and Client releases Photographer from any liability for any claims whatsoever based upon fading or discoloration due to such inherent qualities. Photographer will not be liable for any dissatisfaction from any print labs or stores, including but not limited to the following: Walmart and CVS. 8. WAIVER OF LIABILITY: Client expressly releases the photographer, her employees and agents from all claims, damages, and liabilities that may result from accidents or incidents that occur during the portrait session. Recommendations regarding location, wardrobe, etc., are merely recommendations; Photographer is not responsible for the dissatisfaction of the use of the recommended option. Photographer is not responsible for any dissatisfaction of the client. Money will not be refunded to the client if the duties listed are performed: 1. Images shot on the day of the session. 2. Proofing gallery provided within two weeks of shoot date. 3. Images edited. 4. Notification of images ready for pick-up of the client. This waiver of Client Initial______Photographer Initial______

liability includes waiver of any claim that may be a result of negligence. 9. MISCELLANY: This Agreement incorporates the entire understanding of the parties. Any modifications of this Agreement must be in writing and signed by both parties. Any waiver of a breach or default hereunder shall not be deemed a waiver of a subsequent breach or default of either the same provision or any other provision of this Agreement. This Agreement shall be governed by the laws of the Louisiana. 10. This Contract incorporates the entire understanding of the parties. Any modifications of this Contract must be in writing and signed by both parties. The person signing this contract agrees to act as a representative of all people photographed, and represents their agreement to these terms and conditions.

The parties have read both the front and back of this Agreement, agree to all its terms, and acknowledge receipt of a complete copy of the Agreement signed by both parties. Each person signing as Client below shall be fully responsible for ensuring that full payment is made pursuant to the terms of this Agreement.
