MATERIAL TRANSFER AGREEMENT (“Agreement”)
BETWEEN: IDENTITY OF LABORATORY SUPPLYING DNA, as represented by your institution ("short name for your institution")
AND: LIFE TECHNOLOGIES CORPORATION (LTC), as represented by Dr. Elena Bolchakova having an office at 5791 Van Allen Way, Carlsbad, California 92008, USA (“Recipient”)
(Collectively referred to as the “Parties”)
INTRODUCTION
WHEREAS:
. short name for your institution has accumulated fungal strains which are part of Name of your Institute’s collection located at Your address;
. Life Technologies Corporation (LTC) has agreed to conduct DNA sequencing free of charge in support of The Consortium for the Barcode of Life’s (CBOL) effort to identify fungal genes that will be used to develop an international DNA barcode for Fungi;
. Short name for your institution’s fungal collection has been identified as particularly useful for determining the DNA barcode for Fungi and Your institution’s mycologists support CBOL’s efforts; and
. LTC has requested an initial set of Number DNA extracts from fungal strains (“Material“, Schedule A), which are part of short name for your institution’s fungal collection, to generate DNA sequence data that will be made publicly available in order for CBOL partners to determine a DNA barcode for Fungi.
THIS MATERIAL IS RELEASED TO LIFE TECHNOLOGIES CORPORATION UNDER THE FOLLOWING CONDITIONS:
1. The consideration for the release of the Material by short name for your institution is the Recipient’s sole research use thereof and the public disclosure of the results of the same upon completion of the research.
2. The Material shall only be used for research related to DNA sequencing of select regions of fungal extracts in order to provide publicly available data that will be used for determining a DNA barcode for Fungi.
3. Additional and new extracts may be provided by short name for your institution to the Recipient over the term of the Agreement. These extracts will be considered part of
Material Transfer Agreement/Biotechnology (MTA-out) Page 1 of 4 Your institution and Life Technologies Corporation the Material and shall be subject to the same terms and conditions. Notification shall be provided to each Party upon shipping of additional extracts.
4. The Material and any and all derivatives shall not be given, shown, shared, released, sold or licensed to any third party without short name for your institution’s consent.
5. The Recipient shall not name, or apply for any patent or other form of protection or registration for the Material.
6. The Material shall not be commercialized without executing a written agreement with short name for your institution.
7. The Material is provided without warrant, express or implied, of fitness for any particular purpose. Short name for your institution will have no liability in connection with the Material. Short name for your institution makes no representation that the use of the Material is not infringing or will not infringe any patents or proprietary rights of third parties.
8. Except when caused by short name for your institution’s negligent or willful malfeasance, the Recipient shall indemnify and save harmless short name for your institution, its employees and agents, from and against any claims or liabilities which might arise from or in connection with this Agreement or as a result of the use, dissemination or storage of the Material by the Recipient.
9. Upon agreement termination or completion, and upon written request from short name for your institution, the Material including all its copies, samples and replications will be destroyed. The Recipient shall provide short name for your institution with certification of such destruction.
10. All of the Recipient’s employees, agents and affiliates who take part in the activities with the Material shall be made to abide by the terms hereof.

12. This Agreement shall be interpreted in accordance with the laws in force in the State or Province, Country of your institution.
13. This Agreement shall be in effect for a period of three (3) years from the date of last signing.
IN WITNESS WHEREOF this Material Transfer Agreement has been executed, in duplicate, by duly authorized representatives of the Parties and is effective as of the date of last signing.
