APPLICATION FOR PARTIAL TRANSFER OF DOCUMENTARY CREDIT (THIS FORM IS TO BE USED WHERE A DOCUMENTARY CREDIT IS PARTIALLY TRANSFERRED AND WHERE A SUBSITUTION OF INVOICES [AND DRAFTS] MAY BE INVOLVED)

For value received, we hereby irrevocably transfer all of our rights to the following Beneficiary : (“the Second Beneficiary “) under and on the same terms and conditions of the Credit, except:- (i) Amount (in words and figures) (ii) Quantity of goods (if applicable) (iii) Unit price (if applicable) (iv) Date of expiry (This date should be at least 5 business days before the expiration of the Credit) (v) Latest date of shipment (vi) Insurance percentage (if applicable) (vii) Period of presentation

Either paragraph A or B must be selected by marking “X” A: We request you to substitute our invoices (and drafts) for the Second Beneficiary and we agree to deliver to you on or before the date on which the Second Beneficiary’s documents are delivered to you, but in no event later than the expiration of the Credit (as may be amended), our invoices (and drafts) in consistence with the terms of the Credit (as may be amended). You are requested to deliver to us the Second Beneficiary’s invoices (and drafts). Should we for any reason fail to deliver to you our invoices (and drafts), you are hereby authorized, without notice to, or demand on us, to forward to, or to dispose of as otherwise instructed by, the party on whose request you issued or advised the Credit the Second Beneficiary’s invoices and the other documents accompanying the drafts and in such case you shall have no further responsibility to us or liability to make payment to us of any sum.

B: We will not substitute our invoices (and drafts) for those of the Second Beneficiary and you are to forward to, or to dispose of as otherwise instructed by, the party on whose request you issued or advised the Credit the documents accompanying the Second Beneficiary’s documents. We retain / do not retain the right to refuse to allow you to advise amendment(s) to the Second Beneficiary.

The original Credit (including amendment[s] to a date, if any) is returned herewith. You shall be entitled to transfer the Credit on such additional terms as you consider appropriate and which you may separately advise. We authorize and request you to notify the Second Beneficiary of this transfer of the Credit and of the terms and conditions therein by forwarding to the Second Beneficiary the Credit appropriately endorsed with notice of this transfer. This transfer shall not become effective until you notify the Second Beneficiary thereof. No portion of the Credit or any amendments may be retransferred.

We hereby agree to be bound by your General Commercial Agreement. The application for transfer of the Documentary Credit shall be governed by the provisions of the Uniform Customs and Practice for Documentary Credits, to which the Documentary Credit is subject. The transfer of this Credit and the transferred Credit shall be governed by the provisions of the Uniform Customs and Practice for Documentary Credits, to which the Documentary Credit is subject.
