Request for Quotation

REGARDING: Delivery of specialized KUBRIX software with CAD software Rhino3D (it is supplied in a set) - generator of 3D grids (networks) consisting of volume elements (bodies), plug-in (extension) of the Itasca 3DEC software product.

І. TECHNICAL AND COMMERCIAL REQUIREMENTS TO THE DELIVERY : 1. Description of the product: According to Technical Assignment (App.1 – 1 pages)

II. TECHNICAL PART OF THE QUOTATION

The technical part of the quotation shall mandatory contain information about the following:

1. Quality and origin of the product – verified with the respective issued certificate for quality and/or declaration of conformity. 2. Quantity of the delivery: according to the attached specification without prices . 3. Ex Works: DAP/DDP warehouse of the buyer, town of Panagyurishte, site Assarel. 4. Payment terms: maximally deferred term of payment after the system delivery and implementation. A bank guarantee is required from the supplier, should any advance payment be made. 5. Warranties – In months, 6. Delivery term: Maximally short 7. Reference list of clients: The participants shall provide a list of their clients during the last 3 years with addresses and telephones. 8. References: The participants shall provide references from at least 3 clients to maximum 10 clients (with contact persons and contact details – telephone, fax or e-mail) to whom they have made similar deliveries during the last 3 years. 9. Corporate documents 9.1. Registration of BULSTAT (Unified Identification Code) 9.2. Certificate of good corporate standing. Financial report audited by a certified accountant for the previous year. 9.3. Declaration signed by the sole trader, respectively the members of the executive body of the participant, that the latter:  Is not deprived from the right to perform commercial activities,  In not a subject of liquidation procedure.  Has not been declared in bankruptcy and is not undergoing proceedings to be declared in bankruptcy.  Has no taxation breaches  Has not been sentenced for bankrupcy  Has no outstanding taxes and fees to the state  Will comply with the general corporate requirements of Assarel-Medet JSC with regards to keeping confidentiality of the information to which they will have access. 10. The participants shall submit a document for authorization, representation or distribution. 1 11. Quotation validity: It has to be at least 3 months upon its submission. ІІІ . COMMERCIAL PART OF THE QUOTATION

The participants shall offer prices according to the Technical Assignment.

ІV. CRITERIA FOR CONTRACTOR SELECTION 1. The principle for a contractor selection is the most cost-effective quotation for the Client with the lowest price for a warranty unit when complying with the technical requirements under the Technical Assignment. V QUOTATIONS SUBMISSION : The quotation addressed to Head of the Monitoring Department shall be submitted only in a sealed envelope not later than 4.00 pm on September 30, 2011 personally at the Filing Office in Assarel-Medet JSC or by post with the following notes affixed on the envelope: “ Delivery of specialized KUBRIX software with CAD software Rhino3D (it is supplied in a set) - generator of 3D grids (networks) consisting of volume elements (bodies), plugin (extension) of the Itasca 3DEC software product..” and “To be opened only in the presence of the appointed for the purpose committee!”. The sender shall be clearly stated on the envelope. Apart from providing the quotations on a paper copy, they shall also be submitted on a optical media (compact disc). The quotation shall be submitted in a large envelope which contains two smaller envelopes with the following contents: Sealed envelope No. 1 with notice: DOCUMENTS (technical part) including all needed documents which refer to the quoted technical characteristics, technical requirements and specifications, suggested term for implementation, warranty of the delivered commodity/service, references, financial statement and costs and incomes report for the last financial year and other specific requirements in compliance with the present Technical Assignment (Section II). Sealed envelope No.2 with notice COMMERCIAL CONDITIONS shall contain the supplier’s proposal for price and way of payment of commodities/services (Section III).

VI. THE QUOTATIONS SHALL BE RANKED IN ONE ROUND .

1. The established order in the company for storing the quotations, transparency and adherence to principles for the time they are reviewed excludes any possibility of influencing the selection of a contraction or upon the ingoing quality control through bribing. Moreover, if such attempts are found out, the responsible officials shall be disciplinary dismissed and the contracts with the respective partners shall be terminated.
