CONCURRENT RESOLUTIONS OF THE BOARDS OF EDUCATION OF THE DEKALB COUNTY SCHOOL DISTRICT, CITY OF DECATUR AND ATLANTA INDEPENDENT SCHOOL SYSTEM (THE “BOARDS OF EDUCATION”) CALLING FOR A REFERENDUM TO DETERMINE WHETHER TO CONTINUE TO IMPOSE A SPECIAL ONE PERCENT SALES AND USE TAX WITHIN DEKALB COUNTY FOR EDUCATIONAL PURPOSES; TO DETERMINE WHETHER TO AUTHORIZE THE ISSUANCE OF CERTAIN GENERAL OBLIGATION DEBT OF THE DEKALB COUNTY SCHOOL DISTRICT SECURED BY THE DEKALB COUNTY SCHOOL DISTRICT’S PORTION OF THE PROCEEDS OF SUCH TAX; TO DETERMINE WHETHER TO AUTHORIZE THE ISSUANCE OF CERTAIN GENERAL OBLIGATION DEBT OF THE CITY OF DECATUR SECURED BY THE CITY OF DECATUR PORTION OF THE PROCEEDS OF SUCH TAX; AND FOR OTHER PURPOSES:

WHEREAS, Article VIII, Section VI, Paragraph IV of the Constitution of the State of authorizes the boards of education of county school districts and independent school districts within counties to impose, levy and collect a special one percent sales and use tax (the “SPLOST”) for certain educational purposes, subject to approval in a local referendum; and

WHEREAS, the Board of Education of DeKalb County, Georgia, on behalf of the DeKalb County School District (the “DeKalb County Board of Education”), the Board of Education of the Atlanta Independent School System (the “Atlanta Board of Education”) and the Board of Education of the City of Decatur (the “Decatur Board of Education”) have determined that the most feasible means of funding certain expenditures for educational purposes within their respective school districts or portion thereof lying in DeKalb County, is by continuing the imposition, levy and collection of the SPLOST within DeKalb County as authorized by law; and

WHEREAS, the DeKalb County Board of Education intends to finance a portion of the cost of the DeKalb County School District Projects (hereinafter defined) through the issuance of not to exceed $150,000,000200,000,000 in general obligation debt of the school district (the “DeKalb Bonds”), and the DeKalb County Board of Education intends to pay the principal of and interest on the DeKalb Bonds with its portion of the proceeds of the SPLOST; and

WHEREAS, the Decatur Board of Education desires to finance all or a portion of the City of Decatur School Projects (hereinafter defined) through the issuance by and through the City of Decatur (the “City of Decatur”) of not to exceed $10,000,000 in general obligation debt of the City of Decatur (the “Decatur Bonds”) and the City of Decatur school system (“”) intends to pay the principal of and interest on the Decatur Bonds with its portion of the proceeds of the SPLOST; and

WHEREAS, the Decatur Board of Education hereby requests that a copy of this Resolution be provided topursuant to a resolution adopted by the City Commission of the City of Decatur (the “City Commission”) for their consideration, the City Commission has determined to support the reimposition of the SPLOST and to approve the inclusion of the issuance of the

12378145.412378145.6 Decatur Bonds in the SPLOST referendum, which issuance is subject to the approval and authorization of the City Commission; and

WHEREAS, the net proceeds of the SPLOST shall be distributed among the DeKalb County School District, the City Schools of Decatur and the Atlanta Independent School System on the basis of the latest FTE count prior to the referendum on imposing the tax, as provided in Article VIII, Section VI, Paragraph IV (g) of the Constitution of the State of Georgia; and

WHEREAS, the DeKalb County Board of Education has determined that during each year in which any payment of principal of or interest on the DeKalb Bonds will come due, the DeKalb County School District will receive from the SPLOST proceeds authorized by this Resolution, net proceeds sufficient to fully satisfy the DeKalb County School District’s obligation with respect to payment of such principal and interest on a current basis; and

WHEREAS, the Decatur Board of Education has determined that during each year in which any payment of principal of or interest on the Decatur Bonds will come due, the City Schools of Decatur will receive from the SPLOST proceeds authorized by this Resolution, net proceeds sufficient to fully satisfy the City of Decatur’s obligation with respect to payment of such principal and interest on a current basis;

NOW, THEREFORE, IT IS CONCURRENTLY RESOLVED by the DeKalb County Board of Education, the Decatur Board of Education and the Atlanta Board of Education as follows:

Section 1. Authorization of SPLOST. Subject to approval by a majority of the qualified voters residing within the limits of DeKalb County, Georgia voting on the referendum provided for herein, a one percent sales and use tax for educational purposes shall continue to be imposed, levied and collected in DeKalb County, Georgia, such tax to be imposed on all sales and uses in DeKalb County, Georgia for a period of twenty quarters, commencing July 1, 2012, said election to be held on November 8, 2011. Such tax shall raise not more than the maximum amount of net proceeds of $645,000,000 which shall be expended as follows:

(a) For the educational purposes of the DeKalb County School District the following capital outlay projects (the “DeKalb County School District Projects”) at a total maximum cost of $607,384,422:

(1) Improvement projects to make reasonable accommodations for the Americans with Disabilities Act at various schools throughout the DeKalb County School District;

(2) Upgrades, including turf installation, at stadiums and renovations to Athletic Facilities and Stadiums including, but not limited to Adams Stadium, Arabia Mountain High School, Avondale Stadium, Cedar Grove High School, Chamblee High School, Clarkston High School, , , , Hallford Stadium, Lakeside High School, , McNair High School, Miller Grove High School, Martin Luther King Jr. High School, North DeKalb Stadium, and Panthersville Stadium, , SW

(4) Modifications and upgrades to existing buildings and facilities to comply with health/safety and other building codes as required by DeKalb County or other local governments;

(6) (5) Development of an Early Learning Center in the Wesley Chapel area to include design, acquisition, construction, renovation, and modification of an existing structure;

(7) (6) Modifications, upgrades, and additions to Avondale Middle School for an Arts School;

(8) Modifications, upgrades, and renovations to Southwest DeKalb High School and Stone Mountain High School;

(9) (7) Design, construction, renovation, modification, additions to and equipping of replacement elementary buildings and facilities atfor Austin, Fernbank, Gresham Park, Pleasantdale, Peachcrest, Rockbridge and Smoke Rise Elementary Schools, including the acquisition of land and the demolition of all or portions of existing structures, if necessary;

(10) (8) Design, construction, renovation, modification, additions to and equipping of buildings and facilities at Henderson Middle School, including the acquisition of land and the demolition of all or portions of existing structures, if necessary;

(11) (9) Design, construction, renovation, modification, additions to and equipping of buildings and facilities at Redan High School, including the acquisition of land and the demolition of all or portions of existing structures, if necessary;

(12) (10) Acquisition of replacement Chamblee High School pursuant to Qualified School Construction Bonds (QSCB) lease-purchase financing;

(13) (11) Design, construction, renovation, modification, additions to and equipping of replacement buildings and facilities atfor McNair Middle School, including the acquisition of land and the demolition of all or portions of existing structures, if necessary;

(14) (12) Local School Priority Requests, involving minor projects deemed necessary to meet interior and exterior facility needs at various local schools;

(15) (13) Repurpose and/or demolish surplus properties as needed;

(16) (14) Modifications and upgrades to security and life safety systems for existing buildings and facilities, including, but not limited to, camera installation, lighting, intrusion alarm systems, fire alarm systems, closed circuit television, and video recorder installation;

(17) (15) Upgrade classroom technology (including interactive boards, student response systems and projectors), upgrade and refresh to hardware (including desktops,

-4- 12378145.412378145.6 laptops, and servers), software, wireless infrastructure in all schools, digital communication technology (including video conferencing, virtual and learning technologies), enterprise content management solution, upgrade and increase data storage systems, upgrades to telecommunications and implementing a mass notification system;

(18) (16) Acquisition of buses, upgrade bus radio communications to comply with FCC regulations, and GPS reporting equipment and construction of three bus parking locations to serve various schools throughout the DeKalb County School District;

(19) (17) Acquisition of support service vehicles; and

(20) (18) Facility improvement projects throughout the DeKalb County School District, including but not limited to building and site renovations, replacements and demolition; code required renovations and upgrades; HVAC renovations and replacements; roofing repairs and replacements; electrical and low voltage repairs, renovations, and upgrades; technology additions, renovations and upgrades; transportation improvements; environmental and air quality control; and site acquisitions for new facilities.

(b) For the educational purposes of the City of Decatur the following capital outlay projects (the “City of Decatur School Projects”) and the repayment of previously incurred general obligation debt at a total maximum cost of $18,115,116:

(1) To demolish existing structures or portions thereof at Renfroe Middle School and to design, acquire, construct, renovate, modify, add to, repair, replace, improve and equip Renfroe Middle School and the surrounding greenspace, including the conversion of the area formerly used as a gymnasium for use as classrooms;

(2) Acquisition of facilities leased by the City Schools of Decatur, including the College Heights Early Learning Center and the 4-5 Academy at Fifth Avenue, as now existing and as hereafter improved;

(3) To acquire, design, construct, renovate, modify, add to, repair, replace, demolish all or a portion of, improve and equip existing school buildings and other buildings and facilities, including greenspace, useful or desirable in connection therewith, including Clairemont Elementary School, College Heights Early Childhood Learning Center, Decatur High School, the 4-5 Academy at Fifth Avenue, Glennwood Elementary School, Oakhurst Elementary School, Renfroe Middle School, Westchester Elementary School, and Winnona Park Elementary School;

(4) To acquire, including, but not limited to, through lease-purchase, construct and equip new school buildings and other buildings or facilities useful or desirable in connection therewith, including acquiring real estate for new school buildings;

(5) To acquire and install system-wide technology and information systems, hardware, and infrastructure at all schools and other school system facilities;

-5- 12378145.412378145.6 (6) To acquire computers or similar technology for the use of students and staff in and outside of the classroom;

(7) To acquire school buses, school-related vehicles and other transportation equipment;

(8) School improvement and maintenance projects throughout the City Schools of Decatur, including but not limited to, HVAC renovations, repairs and replacements; roofing repairs and replacements; electrical repairs, renovations and upgrades, including but not limited to cost-saving energy efficiency capital projects; boiler renovations, repairs and upgrades; and other similar capital improvements;

(9) To acquire, including, but not limited to, through lease-purchase, design, construct and equip a new Central Office for the City Schools of Decatur, including parking.

(10) To acquire any property useful or desirable for the purposes listed in (1) through (9), both real and personal; and

(11) To pay a portion of the principal of and interest on the previously issued City of Decatur, Georgia Various Purpose General Obligation Bonds, Series 2007 the proceeds of which were used to finance improvements to the Decatur High School and Renfroe Middle School, and the maximum debt service to be paid on the Series 2007 Bonds will not exceed $1,500,000.

(c) For the educational purposes of the Atlanta Independent School System, a maximum of $19,500,463 of the tax proceeds shall be applied to the following capital outlay projects within DeKalb County (the “Atlanta Independent School System Projects in DeKalb”):

(1) Projects consisting of new construction, renovation, modifications, additions and equipment for the following facilities: Burgess Peterson, East Lake, Mary Lin, Springdale Park, Toomer, and Whitefoord Elementary Schools, Coan Middle School, and Crim Open Campus. Also includes education support facilities: WABE FM/WPBA TV (Bismark or an alternate facility), Valerie Dial Thomas Facilities Services site and the (former) Peterson elementary school site. Also includes a school relocation site at Marshal.

(2) Upgrading and/or replacing major building systems and making critical scheduled infrastructure improvements, including but not limited to roofing, HVAC systems and controls, electrical, plumbing, flooring, painting, building envelope, doors, and windows to the following educational facilities: Burgess Peterson, East Lake, Mary Lin, Springdale Park, Toomer, and Whitefoord Elementary Schools, Coan Middle School, and Crim Open Campus. Also includes education support facilities: Valerie Dial Thomas Facilities Services site and the (former) Peterson elementary school site. Also includes vacant land at Wesley Avenue and a school relocation site at Marshal.

-6- 12378145.412378145.6 (3) Correct deficiencies related to safety to life, health, and sanitation as identified in annual fire and life safety inspections in all existing school buildings and sites.

(4) Necessary modifications to comply with the Americans with Disabilities Act (ADA) in all existing school buildings and sites.

(5) Additional or replacement Furniture, Fixtures, and Equipment (FFE) for all existing buildings.

(6) Local school improvement requests involving minor projects deemed necessary to meet the interior facility educational needs at all existing school buildings.

(7) Site Improvements involving projects deemed necessary to improve safety and security, storm water management, traffic control and optimization, and recreation at all existing school sites.

(8) Purchase of land and other property required in connection with the development of new schools.

(9) Make system wide technology improvements, including but not limited to: acquisition and installation of instructional technology and information systems hardware and associated software, and technology infrastructure at all schools and all other support facilities. Also, Broadband infrastructure between any and all facilities.

(10) Installation or upgrading of security and safety systems as needed including, but not limited to, fencing, bollards, gates, and other site access controls, exterior lighting, electronic building and site access controls, security alarms, fire alarms, fire sprinkler systems, intercoms, security cameras and the integration of all low-voltage systems to optimize safety and security in all existing school buildings and sites.

(11) Athletic improvements listed within the Athletic audit action Item 5-B including, but not limited to, improvements to all middle school fields.

(12) Acquisition of school buses and other support vehicles to serve various schools and departments throughout the .

(13) Provide Staff Development and Instructional Support facilities.

(14) If, on further review and consistent with the BuildSmart Master Facilities Plan and the 5-Year Local Facilities Plan, it is determined that an identified facility is no longer required to accommodate the current student population, funds allocated to support that facility will be utilized on the facility designated to appropriately accommodate the impacted student population.

(15) Should the cost of the projects listed above be less than the estimated $19,500,462, all of the excess proceeds received by the Atlanta Independent School District will be allocated towards any outstanding construction, renovations,

-7- 12378145.412378145.6 modifications, additions and equipment needs for any other facility, as needed, and as deemed consistent with priorities set forth in the current five-year facilities plan (“BuildSmart”) and the 5 – Year Local Facilities Pan prepared for the Georgia Department of Education, as well as any future updates to either plan.

Section 2. Call for Election. It is hereby requested that the DeKalb County Board of Registrations and Elections (the “Board of Registrations and Elections”) call an election to be held in the voting precincts of DeKalb County, the City of Decatur and those voting precincts of the City of Atlanta located within DeKalb County on November 8, 2011, for the purpose of submitting to the qualified voters of DeKalb County the question set forth in Section 3 below.

Section 3. Form of Ballot. The ballots to be used in such election should have written or printed thereon substantially the following language or such other language as may be required by law:

( ) YES Shall a special one percent sales and use tax for educational purposes continue to be imposed in DeKalb County for not longer than 20 quarters, beginning July 1, 2012, to raise not more than $645,000,000 in the aggregate for the purpose of (BA) developing sites for constructing and equipping new schools, support facilities and athletic facilities; (CB) making additions to, acquiring or renovating and equipping existing schools, support facilities and athletic facilities and greenspace associated ( ) NO with such facilities, and demolishing portions of existing structures in connection therewith; (DC) making system-wide renovations, additions, and improvements to bus and parent pick-up driveways and facility parking lots and purchasing school buses, school-related vehicles and other transportation equipment; (ED) making existing lease/purchase payments with respect to the acquisition of new and existing schools and support facilities; and (FE) modernizing technology and making system- wide technology improvements, including the acquisition of computers and similar technology for students and staff; not to exceed $607,384,422 for the DeKalb County School District, $18,115,116 for the City Schools of Decatur and $19,500,462 for the Atlanta Independent School System, all as more fully described in the Notice of Election? If imposition of the tax is approved by a majority of the voters within the DeKalb County School District, such vote shall also constitute approval of the issuance of general obligation debt of the DeKalb County School District in the principal amount of not to exceed $150,000,000200,000,000 for the purpose of funding a portion of the above projects of the DeKalb County School District Projects and if the tax is approved by a majority of the voters within the City of Decatur, such vote shall also constitute approval of the issuance of general obligation debt of the City of Decatur in the principal amount of not to exceed $10,000,000 for the purpose of funding a portion of the above projects of the City Schools of Decatur School Projects.

Section 4. DeKalb Bond Terms. The DeKalb Bonds are hereby authorized to be issued by the DeKalb County School District, upon referendum approval, in order to fund a portion of the costs of the DeKalb Projects, including capitalized interest, and the costs of issuing the DeKalb Bonds. The DeKalb Bonds shall be issued from time to time in whole or in

-8- 12378145.412378145.6 part and in one or more series and shall be issued in the aggregate principal amount of not to exceed $150,000,000200,000,000. The DeKalb Bonds shall be dated their date of issuance or, at the option of the DeKalb Board, on the first day of any month prior to the date of issuance of the DeKalb Bonds as may be determined by the DeKalb County Board of Education, shall bear interest from such date at an interest rate or rates not to exceed ______4 percent per annum, determined by the DeKalb County Board of Education prior to the issuance of such series of DeKalb Bonds and shall mature (serially or, at the option of the DeKalb County Board of Education, by mandatory sinking fund redemption) in the years and amounts, as follows:

Section 5. Decatur Bond Terms. The Decatur Bonds are hereby authorized to be issued by the City of Decatur, upon referendum approval and approval by the City Commission, in order to fund a portion of the costs of the City of Decatur School Projects, including capitalized interest, and the costs of issuing the Decatur Bonds. The Decatur Bonds shall be issued from time to time in whole or in part and in one or more series and shall be issued in the aggregate principal amount of not to exceed $10,000,000. The Decatur Bonds shall be dated their date of issuance or, at the option of the City of Decatur, on the first day of any month prior to the date of issuance of the Decatur Bonds as may be determined by the City of Decatur, shall bear interest from such date at an interest rate or rates not to exceed ____5 percent per annum, determined by the City of Decatur prior to the issuance of such series of Decatur Bonds and shall mature (serially or, at the option of the City of Decatur Board of Education, by mandatory sinking fund redemption) in the years and amounts, as follows:

Section 6. Manner of Election. The date of such election shall be and is hereby set for November 8, 2011, the polls of each election district of DeKalb County, the City of Decatur and each election district of the City of Atlanta located within DeKalb County shall be open at 7 a.m. and close at 7 p.m., and the election shall be held by the same persons and under and in accordance with the election laws of the State of Georgia, and the returns of such election shall be made to the Boards of Education and to the Board of Registrations and Elections, and the Boards of Education and the Board of Registrations and Elections shall count the votes, consolidate the returns and declare the result of said election in the manner required by law.

Section 7. Publication of Notice of Election. The Board of Registrations and Elections is hereby authorized and requested to publish the notice of said election as required by law in the newspaper in which sheriff’s advertisements for DeKalb County are published (i) one time as soon as practicable after receipt of this Resolution and in any event prior to August 8, 2011 and (ii) once a week for five weeks immediately preceding the date of the election. The notice of the election shall be in substantially the form attached hereto as Exhibit A. Prior to the

12378145.6 date of the election authorized herein, there shall be appointed proper Election Managers and Clerks to supervise and hold said election.

Section 8. Notice to Board of Registrations and Elections. The Secretary of the Board of Education of the DeKalb County School District is hereby authorized and directed to deliver copies of this Resolution to the Board of Registrations and Elections with a request that the Board of Registrations and Elections join in this call of the election.

Section 9. Brochures and Advertisements. In accordance with the provisions of Section 36-82-4.1 of the Official Code of Georgia Annotated, as amended, any brochures, listings or other advertisements approved by (a) the DeKalb County Board of Education pursuant to a resolution duly adopted by the DeKalb County Board of Education shall be deemed to be a statement of intention concerning the use of the DeKalb Bond funds in accordance, or substantially in accordance, with the aforesaid purpose, and reference to same shall be contained in the legal advertisement of the bond election and (b) by the Decatur Board of Education pursuant to a resolution duly adopted by the Decatur Board of Education shall be deemed to be a statement of intention concerning the use of the Decatur Bond funds in accordance, or substantially in accordance with the aforesaid purpose, and reference to same shall be contained in the legal advertisement of the bond election.

Section 10. Further Authority. The proper officers and agents of the Boards of Education are hereby authorized to take any and all further actions as may be required in connection with the imposition of such sales and use tax and the acquisition, construction and equipping of the Projects.

Section 11. Effective Date. This Resolution shall take effect immediately upon its adoption by the Boards of Education.

NOTICE is hereby given that on November 8, 2011 an election will be held at the regular polling places in all the election districts of DeKalb County, Georgia, at which time there will be submitted to the qualified voters of DeKalb County for their determination the question of whether a special one percent sales and use tax for educational purposes shall be continued in DeKalb County for a period of time not to exceed twenty calendar quarters, beginning the first day of the calendar quarter (July 1, 2012) following the calendar quarter in which the sales and use tax for educational purposes currently in effect expires, to raise not more than $______645,000,000 and shall be used and applied for capital outlay projects for educational purposes of the DeKalb County School District, the City Schools of Decatur and Atlanta Independent School System, respectively, as specifically described below.

(a) For the educational purposes of the DeKalb County School District the following capital outlay projects (the “DeKalb County School District Projects”) at a total maximum cost of $607,384,422:

(1) Improvement projects to make reasonable accommodations for the Americans with Disabilities Act at various schools throughout the DeKalb County School District;

(2) Upgrades, including turf installation, at stadiums and renovations to Athletic Facilities and Stadiums including, but not limited to Adams Stadium, Arabia Mountain High School, Avondale Stadium, Cedar Grove High School, Chamblee High School, Clarkston High School, Cross Keys High School, Druid Hills High School, Dunwoody High School, Hallford Stadium, Lakeside High School, Lithonia High School, McNair High School, Miller Grove High School, Martin Luther King Jr. High School, North DeKalb Stadium, and Panthersville Stadium, Redan High School, SW Dekalb High School, Stephenson High School, Stone Mountain High School, Towers High School and Tucker High School.

(9) (7) Design, construction, renovation, modification, additions to and equipping of replacement elementary buildings and facilities atfor Austin, Fernbank, Gresham Park, Pleasantdale, Peachcrest, Rockbridge and Smoke Rise Elementary

(10) (8) Design, construction, renovation, modification, additions to and equipping of buildings and facilities at Henderson Middle School, including the acquisition of land and the demolition of all or portions of existing structures, if necessary;

(11) (9) Design, construction, renovation, modification, additions to and equipping of buildings and facilities at Redan High School, including the acquisition of land and the demolition of all or portions of existing structures, if necessary;

(12) (10) Acquisition of replacement Chamblee High School pursuant to Qualified School Construction Bonds (QSCB) lease-purchase financing;

(13) (11) Design, construction, renovation, modification, additions to and equipping of replacement buildings and facilities atfor McNair Middle School, including the acquisition of land and the demolition of all or portions of existing structures, if necessary;

(14) (12) Local School Priority Requests, involving minor projects deemed necessary to meet interior and exterior facility needs at various local schools;

(15) (13) Repurpose and/or demolish surplus properties as needed;

(16) (14) Modifications and upgrades to security and life safety systems for existing buildings and facilities, including, but not limited to, camera installation, lighting, intrusion alarm systems, fire alarm systems, closed circuit television, and video recorder installation;

(17) (15) Upgrade classroom technology (including interactive boards, student response systems and projectors), upgrade and refresh to hardware (including desktops, laptops, and servers), software, wireless infrastructure in all schools, digital communication technology (including video conferencing, virtual and learning technologies), enterprise content management solution, upgrade and increase data storage systems, upgrades to telecommunications and implementing a mass notification system;

(18) (16) Acquisition of buses, upgrade bus radio communications to comply with FCC regulations, and GPS reporting equipment and construction of three bus parking locations to serve various schools throughout the DeKalb County School District;

(19) (17) Acquisition of support service vehicles; and

(20) (18) Facility improvement projects throughout the DeKalb County School District, including but not limited to building and site renovations, replacements and demolition; code required renovations and upgrades; HVAC renovations and replacements; roofing repairs and replacements; electrical and low voltage repairs,

A-3 12378145.412378145.6 renovations, and upgrades; technology additions, renovations and upgrades; transportation improvements; environmental and air quality control; and site acquisitions for new facilities.

If imposition of the tax is approved by a majority of the voters within the DeKalb County School District, such vote shall also constitute approval of general obligation debt of the DeKalb County School District in the principal amount not to exceed $150,000,000200,000,000 for the purpose of funding a portion of the DeKalb County School District Projects, including capitalized interest and the costs of issuing such general obligation debt. Such general obligation debt shall bear interest at an interest rate or rates not to exceed ______4 percent per annum as determined by the DeKalb County Board of Education prior to the issuance of such general obligation debt, may be issued from time to time in whole or in part in one or more series and shall mature (serially or, at the option of the DeKalb County Board of Education, by mandatory sinking fund redemption) in the years and amounts as follows:

(b) For the educational purposes of the City of Decatur the following capital outlay projects (the “City of Decatur School Projects”) and the repayment of previously incurred general obligation debt at a total maximum cost of $18,115,116:

(1) To demolish existing structures or portions thereof at Renfroe Middle School and to design, acquire, construct, renovate, modify, add to, repair, replace, improve and equip Renfroe Middle School and the surrounding greenspace, including the conversion of the area formerly used as a gymnasium for use as classrooms;

(2) Acquisition of facilities leased by the City Schools of Decatur, including the College Heights Early Learning Center and the 4-5 Academy at Fifth Avenue, as now existing and as hereafter improved;

(3) To acquire, design, construct, renovate, modify, add to, repair, replace, demolish all or a portion of, improve and equip existing school buildings and other buildings and facilities, including greenspace, useful or desirable in connection therewith, including Clairemont Elementary School, College Heights Early Childhood Learning Center, Decatur High School, the 4-5 Academy at Fifth Avenue, Glennwood Elementary School, Oakhurst Elementary School, Renfroe Middle School, Westchester Elementary School, and Winnona Park Elementary School;

A-4 12378145.412378145.6 (4) To acquire, including, but not limited to, through lease-purchase, construct and equip new school buildings and other buildings or facilities useful or desirable in connection therewith, including acquiring real estate for new school buildings;

(5) To acquire and install system-wide technology and information systems, hardware, and infrastructure at all schools and other school system facilities;

(6) To acquire computers or similar technology for the use of students and staff in and outside of the classroom;

(7) To acquire school buses, school-related vehicles and other transportation equipment;

(8) School improvement and maintenance projects throughout the City Schools of Decatur, including but not limited to, HVAC renovations, repairs and replacements; roofing repairs and replacements; electrical repairs, renovations and upgrades, including but not limited to cost-saving energy efficiency capital projects; boiler renovations, repairs and upgrades; and other similar capital improvements;

(9) To acquire, including, but not limited to, through lease-purchase, design, construct and equip a new Central Office for the City Schools of Decatur, including parking.

(10) To acquire any property useful or desirable for the purposes listed in (1) through (9), both real and personal; and

(11) To pay a portion of the principal of and interest on the previously issued City of Decatur, Georgia Various Purpose General Obligation Bonds, Series 2007 the proceeds of which were used to finance improvements to the Decatur High School and Renfroe Middle School, and the maximum debt service to be paid on the Series 2007 Bonds will not exceed $1,500,000.

If imposition of the tax is approved by a majority of the voters within the City of Decatur, such vote shall also constitute approval of general obligation debt of the City of Decatur in the principal amount not to exceed $10,000,000 for the purpose of funding a portion of the City of Decatur School Projects, including capitalized interest and the costs of issuing such general obligation debt. Such general obligation debt shall bear interest at an interest rate or rates not to exceed ___5 percent per annum as determined by the City Commissionof Decatur prior to the issuance of such general obligation debt, may be issued from time to time in whole or in part in one or more series and shall mature (serially or, at the option of the City Commissionof Decatur, by mandatory sinking fund redemption) in the years and amounts as follows:

(c) For the educational purposes of the Atlanta Independent School System, a maximum of $19,500,463 of the tax proceeds shall be applied to the following capital outlay projects within DeKalb County (the “Atlanta Independent School System Projects in DeKalb”):

(1) Projects consisting of new construction, renovation, modifications, additions and equipment for the following facilities: Burgess Peterson, East Lake, Mary Lin, Springdale Park, Toomer, and Whitefoord Elementary Schools, Coan Middle School, and Crim Open Campus. Also includes education support facilities: Valerie Dial Thomas Facilities Services site and the (former) Peterson elementary school site. Also includes a school relocation site at Marshal.

(2) Upgrading and/or replacing major building systems and making critical scheduled infrastructure improvements, including but not limited to roofing, HVAC systems and controls, electrical, plumbing, flooring, painting, building envelope, doors, and windows to the following educational facilities: Burgess Peterson, East Lake, Mary Lin, Springdale Park, Toomer, and Whitefoord Elementary Schools, Coan Middle School, and Crim Open Campus. Also includes education support facilities: Valerie Dial Thomas Facilities Services site and the (former) Peterson elementary school site. Also includes vacant land at Wesley Avenue and a school relocation site at Marshal.

(3) Correct deficiencies related to safety to life, health, and sanitation as identified in annual fire and life safety inspections in all existing school buildings and sites.

(4) Necessary modifications to comply with the Americans with Disabilities Act (ADA) in all existing school buildings and sites.

(5) Additional or replacement Furniture, Fixtures, and Equipment (FFE) for all existing buildings.

(6) Local school improvement requests involving minor projects deemed necessary to meet the interior facility educational needs at all existing school buildings.

(7) Site Improvements involving projects deemed necessary to improve safety and security, storm water management, traffic control and optimization, and recreation at all existing school sites.

(8) Purchase of land and other property required in connection with the development of new schools.

(9) Make system wide technology improvements, including but not limited to: acquisition and installation of instructional technology and information systems hardware

A-6 12378145.412378145.6 and associated software, and technology infrastructure at all schools and all other support facilities. Also, Broadband infrastructure between any and all facilities.

(10) Installation or upgrading of security and safety systems as needed including, but not limited to, fencing, bollards, gates, and other site access controls, exterior lighting, electronic building and site access controls, security alarms, fire alarms, fire sprinkler systems, intercoms, security cameras and the integration of all low-voltage systems to optimize safety and security in all existing school buildings and sites.

(11) Athletic improvements listed within the Athletic audit action Item 5-B including, but not limited to, improvements to all middle school fields.

(12) Acquisition of school buses and other support vehicles to serve various schools and departments throughout the Atlanta Public Schools.

(13) Provide Staff Development and Instructional Support facilities.

(14) If, on further review and consistent with the BuildSmart Master Facilities Plan and the 5-Year Local Facilities Plan, it is determined that an identified facility is no longer required to accommodate the current student population, funds allocated to support that facility will be utilized on the facility designated to appropriately accommodate the impacted student population.

(15) Should the cost of the projects listed above be less than the estimated $19,500,462, all of the excess proceeds received by the Atlanta Independent School District will be allocated towards any outstanding construction, renovations, modifications, additions and equipment needs for any other facility, as needed, and as deemed consistent with priorities set forth in the current five-year facilities plan (“BuildSmart”) and the 5 – Year Local Facilities Pan prepared for the Georgia Department of Education, as well as any future updates to either plan.

Voters desiring to vote for the reimposition, levy and collection of the current one per cent sales and use tax for educational purposes shall do so by voting “YES” and voters desiring to vote against the reimposition, levy and collection of the current one percent sales and use tax for educational purposes shall do so by voting “NO” as to the question propounded, to-wit:

The ballots to be used at such election shall have written or printed thereon substantially the following:

Any brochures, listings or other advertisements issued by (a) the Board of Education of DeKalb County, Georgia or by any other person, firm, corporation or association with the knowledge and consent of the Board of Education of DeKalb County, Georgia shall be deemed to be a statement of intention of the Board of Education of DeKalb County, Georgia concerning the use of the proceeds of the general obligation debt of the DeKalb County School District and (b) the Board of Education of the City of Decatur or by any other person, firm, corporation or association with the knowledge and consent of the Board of Education of the City of Decatur,

The several places for holding said election shall be in the regular and established voting precincts of the election districts of DeKalb County, Georgia, and the polls will be open from 7 a.m.. to 7 p.m. on the said date fixed for the election.

Pursuant to O.C.G.A. § 21-2-224 (b)(2), the registration deadline for taking applications from persons desiring to register to vote in this election will be the close of business on the fifth Monday prior to the date of the Special Election, or if such Monday is a legal holiday, by the close of business the following business day (October 10, 2011).

Those residents of DeKalb County qualified to vote at such election shall be determined in all respects in accordance and in conformity with the laws of the State of Georgia.
