OFFICIAL RULES. The following rules (the “Official Rules”) apply to the below-referenced Promotion.

NO PURCHASE NECESSARY. The “Grizzlies Predictor Game Giveaway” (the “Promotion” or “Grizzlies Predictor Game Giveaway”) begins 5/3/2021 and ends 5/31/2021 ("Promotion Period").The Promotion is offered only in the states of Tennessee, Mississippi, and Arkansas and is open only to legal residents of Tennessee, Arkansas or Mississippi (within seventy-five (75) miles of FedExForum) who are eighteen (18) years or older.

CONTEST & PRIZES. Individuals (the “Entrants”) may enter the Promotion for an opportunity to win Fanatics gift cards based on their finishing position on the daily and weekly leaderboards. Entrants may enter the Promotion by signing up and participating in the Grizzlies Predictor Game in the Grizzlies app. Entry is limited to one (1) entry per person, and the Promotion will be in effect from May 3, 2021 to May 31, 2021. The winner(s) will be notified within forty-eight (48) to seventy-two (72) hours following each game day, with one (3) Entrants to be selected as the winner of a Fanatics gift card. This Entrant must have the Official Memphis Grizzlies Mobile App downloaded and must sign up for the game through the app. Void where prohibited.

PRIZE VALUE: The aforementioned prize will not exceed the value of two-hundred dollars ($200). No prize transfer. No prize substitution or cash equivalent except at the sole discretion of Memphis Basketball, LLC, due to prize unavailability for any reason and only then for a prize of equal value..

WINNER REQUIREMENTS: Every Winner, at the request of Memphis Basketball, LLC will be required to sign and return an affidavit of eligibility, liability release, and/or publicity release. Every Winner will also be required to produce a proof of age and residence to Memphis Basketball, LLC, and will further be required to complete and return all required documents within forty-eight (48) hours of the day of being notified that he/she is a Winner. Failure to return all documents in the time and manner specified may result in disqualification. Any Winner who does not comply with these Official Rules may be disqualified. Return of any prize or prize notification as "undeliverable" will result in disqualification and selection of an alternate winner.

ODDS OF WINNING: Odds of winning depend upon the total number of eligible entries overall that are received for the Promotion during such particular prize drawing day.

INDEMNIFICATION: By entering, each Entrant agrees to hold harmless and indemnify Memphis Basketball, LLC, the National Basketball Association and its Member Teams, NBA Properties, Inc. and each of their respective parents, subsidiaries, affiliates, directors, officers, governors, employees and agents against any and all liability, damages or causes of action (however named or described), with respect to or arising out of either (i) such Entrant's participation, or (ii) the receipt or use of the prizes awarded in the Promotion.

RELEASE LANGUAGE: Each Entrant hereby releases, waives and discharges any and all claims of damages or causes of action, including but not limited to, death, personal injury or loss or damage to property, which such Entrant or any of the Entrant's representatives, heirs, next of kin or assignees may have or which may hereinafter accrue to the Entrant or Entrant's representatives as a result of the Entrant's participation in the Promotion or the receipt or use of the prizes awarded therein and which may be asserted by the Entrant, or Entrant's representatives against Memphis Basketball, LLC, the National Basketball Association and its Member Teams, NBA Properties, Inc. and their respective parents, subsidiaries, affiliates, directors, officers, governors, employees and agents.

ELIGIBILITY: All legal residents of Tennessee, Mississippi, or Arkansas (within seventy-five (75) miles of FedExForum) who are eighteen (18) years or older may participate. By entering, you represent to Memphis Basketball, LLC that you are at least eighteen (18) years of age by May 3, 2021. Employees of Memphis Basketball, LLC or their affiliated companies and agencies, the National Basketball Association and its Member Teams, NBA Properties Inc., employees, agents, and their immediate families (parents, children, siblings, spouse) are not eligible to participate in the promotion. By submitting an entry form, each Entrant grants Memphis Basketball, LLC and the National Basketball Association and its Member Teams, NBA Properties, Inc., employees, agents permission to use Entrant’s name, likeness, and story for advertising and promotion purposes without additional authorization, remuneration, or compensation (except where prohibited by law) and agrees, without additional compensation, to appear for any presentation or other activity which may include filming/audio/video/electronic or other recordings and/or interviews, as may be determined from time to time by Memphis Basketball, LLC. The Promotion is subject to these Official Rules.

CONDITIONS: Memphis Basketball, LLC is not responsible for issues that may arise due to this contest. Memphis Basketball, LLC is not responsible for any injury or damage to Entrants' or any other person's state due to participation in this contest. All entries become the sole property of Memphis Basketball, LLC and will not be returned. This contest is subject to all applicable federal, state, local and municipal laws and regulations. By participating, Entrants agree to be bound by these Official Rules.

RULES/WINNERS LIST: Official Rules will be posted on the Memphis Grizzlies team web site at www.grizzlies.com during the Promotion Period. A list of winners can be obtained from the Memphis Grizzlies Marketing Department by written request (submit to: Memphis Grizzlies, Marketing, 191 Beale Street, Memphis, TN 38103) after the contest end date of May 31, 2021. Requests received after June 15, 2021 will not be honored.
