Dear Mayor Sawicki:

It is the pleasure of the South Florida Canoe Kayak Club to present this "Unsolicited P3 Proposal" to the City of Cape Coral for your consideration of an athletic training complex at Lake Kennedy. Our proposal is to design, build, finance, operate, and maintain these features for a period of 25 years after which time they will become the property of the City. We are further proposing to lease the park land at Lake Kennedy at an annual amount of $1/year for the first five (5) years and then an amount equal to $1 /person/bed/night for years six (6) through 25 along with other considerations to be spelled out further in this proposal.

The Project

South Florida Canoe Kayak Club is proposing to develop a state-of-art paddlesports destination based around a holistic approach to athlete training. This multi-faceted project, located in Cape Coral, FL; will feature proven services, pre-existing programs, and established management practices in conjunction with proven and innovative training elements all aimed at providing a one-of-a-kind experience in a unique facility tailored to the needs of paddlesport athletes globally. The operating plan will ensure long-term sustainability and in tum serve the growing demand for a year-round international paddlesport training destination. The development will be financed through a combination of bank financing and investor contributions.

The project is designed to serve consumers of paddlesport training, clinics, camps, and competition as well as personal fitness, sports performance training, pay-to-play recreation experiences, teambuilding events, youth development activities, birthday parties, special events, and youth summer camps. These core programs will provide a solution to domestic and international paddlesport enthusiast; as well as, local area residents. The result is a project that assists in the development of paddlesport athletes, encourages healthy lifestyles and creates a welcoming, social experience for youth, adult, and family participation, as well as making a positive impact on the local economy.

Serving Florida, the United States, and the international market; the project is designed to serve the growing and largely unmet demand for year-round, advanced paddlesport

1 training and recreation facilities. The facility will be built on best practices utilizing state­ of-the-art c:tmenities and finishes to create a world-class training, competition, and recreation facility. ·

The project will be located at Lake Kennedy in Cape Coral, Florida. The campus will feature a boathouse, athlete housing facilities, outdoor amphitheaters, and outdoor sports performance training area for athletes and the local community. The Boathouse will also feature a cafeteria, physical therapy center, multi-purpose rooms, fitness center, offices, locker rooms, and ample indoor storage. This ideal location offers access to hundreds of miles of protected waterways for .

The Boat House

The 22,500 sq. ft. boathouse on the banks of the Cape Coral Canals will be the epicenter of paddlesport activities at the project. The amenity filled boat house will feature a fitness center, cafeteria/conference center, physical therapy & sports medicine services, indoor boat storage, and much more. With adjacent docks; club guests will be just steps away from a day out on the water. Kayak, canoe, & paddleboard rentals will be available to all guests throughout the year.

2 The Fitness Center

The fitness area will serve as the preferred destination for local and residence athletes to train. The fitness center will span 3,000 sq. ft. and feature state-of-the-art equipment for both cardio and weight training. Fitness center programming will focus on personal, small group, and team training. In addition to general fitness, the facility will also be home to -specific training aids such as ergometers.

Reception I Cafeteria I Commons Area

With hundreds of visitors projected every week, South Florida Canoe Kayak Club will focus on creating and maintaining a unique and welcoming experience as patrons reach their destination, whether it is for sports, recreation, education, adventure, or business. The cafeteria, which can also be converted to a 250-seat meeting/event room, is conceived to be an example of healthy food and beverage choices, serving nutritionally balanced and scientifically planned meals to elite athletes as well as serving the needs of the local enthusiast's. This space is complemented by a corporate meeting room; equipped to handle all audiovisual needs.

Multipurpose Rooms

The Multi-Purpose Rooms located in the boathouse will host a myriad of birthday party, corporate, meeting, and conference programming as well as group exercise and fitness classes. The rooms will feature open window views with options for meeting tables or open space and will incorporate sturdy, reliable finishes and equipment designed to accommodate a diverse spectrum of programming and use. Additionally, the rooms will have enough storage space to accommodate a quick transformation between various user groups.

Amphitheater

The campus amphitheater will create a sense of community at the project. It will be used to host local concerts, training seminars, athlete and visitor orientation, movie nights, and other local community events.

Athletic Suites

Athlete housing will be able to accommodate 280 athletes. Twelve of the suites will have full handicap accessibility features. The project's athletic suites will feature room and board plans in furnished dorm-room apartments. Cable TV, wireless Internet access and onsite coin-laundry will be available. An athlete lounge will provide study, computer, and printing services. For greater security, the suites have been separated into secured wings. Each wing will be its own community allowing ·for separation of athletes by age, gender, team, or sport. The Athletic suites will be used for other sports during non-peak paddling times. South Florida Canoe Kayak Club has developed

3 relationships with Lee County Sport Authority and the City of Cape Coral Parks & Recreation to offer athlete accommodations for other sporting events.

The on ..site housing will be for athletes only; friends, family, and visitors will be encouraged to stay in local hotels and enjoy all that Cape Coral and the surrounding areas have to offer.

The Adventure Ropes Course

The campus will feature a dynamic ropes course. The course is designed for individual and group participation regardless of age, physical limitation or ability level. Participants must navigate cables and ropes either individually or in their group. The experience will be both physically and mentally challenging. The challenges presented by the ropes activities enhance communication skills, cooperation, interpersonal awareness, leadership skills, decision-making, and trust building. The adventure ropes course will be the perfect destination for corporate team building, youth development, sports leadership, or a fun day out with family and friends.

The Sports Medicine and Physical Therapy

The Sports Medicine and Physical Therapy center will provide comprehensive care for athletes through the spectrum of development. We offer sports-specific wellness assessments, conditioning and nutrition programs for athletes at all levels of activity, from local casual recreational sports enthusiasts to international elite athlete training.

Our Team

South Florida Canoe Kayak Club (SFCKC) is a 501 (c) (3) non-profit member based organization in Cape Coral, Florida offering both development and high performance training in flatwater and kayak racing, stand up paddleboard racing, , dragonboat racing and para canoe. SFCKC has world class coaches with experience in National, International and Olympic level regattas. They are also proud to be the home of two Olympic hopeful athletes training daily with our club. Their mission is to provide all ages with a competitive level of training in a variety of paddlesports.

SFCKC is the lead organization for this P3 proposal and will be responsible for the overall success of the project. They will be responsible for the operations of the facility and oversee all programs available at the facility for the duration of the agreement.

Manhattan Construction is the construction manager for this project and will oversee the development and completion of the entire capital improvements for the project. They have been involved with the planning and design of the project buildings and have worked closely with SFCKC, architect, and engineer on the site development.

HKS is the architect for the project. They developed the look, feel and layout of the facilities. They will be responsible for building plans and will be part of the oversight team during construction.

Avalon Engineering is a team of innovative professionals providing civil engineering, architecture, and planning services to the Lee County, FL area. With Avalon, you can always look forward to customized service and a team that will always listen to your specific goals. Avalon Engineering has the expertise to provide full-service engineering and administrating of large and specialty type projects. They have a large list of successful projects in Cape Coral, and is one of the oldest local engineering firms in the Cape.

Avalon will be the civil engineer for the project and will be responsible for the design and construction oversight of all the site work necessary to support the project. They will also assist with the PDP application process.

5 Sport Facilities Advisory/Sport Facilities Management (SFA/SFM) SFA is a sport center plam:iing consultant. SFM is a sport center management company. Their venues host recreation programs, league sports, tournaments, concerts, meetings and conventions, and all types of special events. They assess feasibility, master plan entire community programs, produce funding documents, structure public-private partnerships, oversee new facility openings, and they manage and advise many of today's most notable community sport and recreation centers. In 2013 and 2014 alone, SFA/SFM opened 1.5 Million square feet of indoor facilities and nearly 800 acres of outdoor complexes! In 2015, SFA/SFM client facilities will host more than 15 million visits.

SFA prepared the financial feasibility study for this project along with the Five Year Financial Forecast. They will assist with the private sector funding placement for the necessary capital to construct the project. They will also be involved in the team's negotiations with the City for the P3 agreement.

SFM will be responsible for the facility's operation and management during the life of the P3 agreement. They will also assist the SFCKC with the on-going programing of the facility.

Cape Coral Council for Progress Foundation (CFP) is a private sector partner with the City of Cape Coral's Economic Development Office. Their members are community business leaders whose sole purpose is to advance economic development efforts within the City of Cape Coral. Their Executive Director, Joe Mazurkiewicz, Jr., President of BJM Consulting will be assisting the SFCKC with overall government relations for the project.

Based on our review of the P3 Statues the following needs to be considered by the City when reviewing our proposal.

Project Approval Requirements

Before project approval, the responsible public entity must determine that the proposed project is in the public's best interest; is for a facility that is owned by a responsible public entity or for a facility for which ownership will be conveyed to the responsible public entity; has adequate safeguards to ensure that additional costs or service disruptions are not imposed on the public in the event of material default or cancellation of the agreement by the responsible public entity; has adequate safeguards in place to ensure that the responsible public entity or the private entity has the opportunity to add capacity to the proposed project; and will be owned by the responsible public entity upon completion or termination and upon payments of the amounts financed.

The proposed project is in the public's best interest.

These core programs will provide a solution to domestic and international paddlesport enthusiast; as well as, local area residents. The result is a project that assists in the development of paddlesport athletes, encourages healthy lifestyles and creates a welcoming, social experience for youth, adult, and family participation, as well as making a positive impact on the local economy.

At the end of the P3 contract the entire facility will become the property of the city. The P3 contact will make sure the facility is completely debt free, maintained to the highest standards and will have a track record of providing world class programs when it transferred to the city.

Is for a facility that is owned by a responsible public entity or for a facility for which ownership will be conveyed to the responsible public entity.

We propose to build our project on lands owned by the City and at the end of the term of the agreement all facilities will become the property of the City.

Has adequate safeguards to ensure that additional costs or service disruptions are not imposed on the public in the event of material default or cancellation of the agreement by the responsible public entity.

We proposed that SFCKC will have total responsibility for the construction of the project, its maintenance and on-going operations for the duration of the agreement. If there is a material default or cancellation of the agreement the City can decide if they want to take over the operation and maintenance of the facilities, or decide if they want to outsource the management of the facilities to a third party vendor. SFA has completed a fiscal forecast that shows sufficient project revenues from programs to cover the initial construction and operational cost for the life of the agreement. See Exhibit 1

Has adequate safeguards in place to ensure that the responsible public entity or the private entity has the opportunity to add capacity to the proposed project.

If either party to this agreement want to add capacity to this project by adding additional structures or attractions to the project they can do so only though a public negotiation to the original agreement. The ability to add to the capacity of this agreement is at the sole discretion of the City Council.

Will be owned by the responsible public entity upon completion or termination and upon payments of the amounts financed.

The entire project will be owned by the City at the termination of the agreement.

7 In addition to the above stated requirements an unsolicited proposal from a private entity for approval of a qualifying project must be accompanied by the following material and information, unless waived by the responsible public entity:

A description of the qualifying project, including the conceptual design of the facilities or a conceptual plan for the provision of services, and a schedule for the initiation and completion of the qualifying project.

A description of the method by which the private entity proposes to secure any necessary property interests that are required for the qualifying project.

Property interest will be through a lease with the City for the use of the property they own immediately North of Sunsplash. The property has the appropriate land us and the necessary zoning will be acquired through a PDP process which will be facilitate by the project team.

A description of the private entity's general plans for financing the qualifying projects, including the sources of the private entity's funds and identification of any dedicated revenue source or proposed debt or equity investment on behalf of the private entity.

SFCKC plans to raise $17.2 million though ban.k financing or through an Industrial Development Bond. The remaining $6.7 million in capital equity will come from: WCIND grants, waivers and venture capital. For a detailed breakdown of the funding see Exhibit 3

The Adventure Ropes Course The South Florida Canoe Kayak Club campus will feature a dynamic ropes course. The course is designed for individual and group participation regardless of age, physical limitation or ability level. Participants must navigate cables and ropes either individually or in their group. The experience will be both physically and mentally challenging. The challenges presented by the ropes activities enhance communication skills, cooperation, interpersonal awareness, leadership skills, decision-making, and trust building. The adventure ropes course will be the perfect destination for corporate team building, youth development, sports leadership, or a fun day out with family and friends.

The Sports Medicine and Physical Therapy The Sports Medicine and Physical Therapy center will provide comprehensive care for athletes through the spectrum of development. We offer sports-specific wellness assessments, conditioning and nutrition programs for athletes at all levels of activity, from local casual recreational sports enthusiasts to international elite athlete training.

South Florida Canoe Kayak Club -presents a unique opportunity to attract participants from the regional community and paddlesport athletes of all skill levels internationally. This opportunity is based on the lack of similar competition, unique facility amenities, need for paddlesport training programs, the demonstrated enthusiasm in paddlesport as well as other recreational activities, and the proximity to population centers. Strengths in the Market:

Limited Competition: In terms of adventure-based market competition, a limited number of service providers exist in the market and none feature all the amenities that the South Florida Canoe and Kayak Oub will feature. There are tour operators, boat rental locations, and fitness and wellness competitors in the local and regional market but none that offer guests a comparable level of amenities. The relative lack of competition and absence of any dedicated adventure and action based recreation facilities is a positive factor for South Florida CanoeKayak Club.

Climate: The area averages 355 days of sunshine each year. While the summers are very warm and humid, the winters in Cape Co1·al are dry with moderate temperatures. Cape Coral receives about 54 inches of rain each year, the majority of which falls from May to September. During the summer months, afternoon rains can be heavy yet brief.

Waterways: Cape Coral's 400-mile (640 km) canal system (most in any city in world) provides many residents with access to water sport recreation and access to the Gulf of Mexico via the broad Caloosahatchee River and Matlacha Pass. The Gulf of Mexico provides access to smaller tropical islands, rookeries, and sports grounds. Attractions: The city features a sandy beach and fishing pier on the Caloosahatchee River at the public Yacht Basin & Club. Cape Coral is home to the expansive SunSplash Water Park more than 30 recreational parks, and seven golf courses. Cape Coral offers a variety of Gulf beaches in its immediate neighborhood, such as Sanibel Island and Fort Myers Beach. The area is known by birding enthusiasts for a wide variety of wildlife and the largest population of burrowing owls in the state of Florida. Cape Coral's cultural assets include the Historical Museum, the Art Studi6, the Cape Coral Art League, and the Cultural Park Theater, a 187-seat performing arts facility that serves as home to community actors. In addition, there are several regional arts and performance venues in the immediate area, including the Barbara B. Mann Performing Arts Hall. Several parks and ecological preserves allow observation of the local wildlife. Elevated nature trails wind through the mangroves at Four Mile Cove Ecological Preserve. Cape Coral Bike-Ped: The Cape coral is ideally suited alongside beautiful canals and adjacent streets, much of it in quiet, serene settings for cycling, walking, running or pet walking. On the water we would prefer to operate hi groups of eight with one coach per group. It would be I good to have one low wash coaching boat b~tween the three groups of eight. We would paddle twice a day and use weights I gym for one session~- Ifit is possible it would be nice to have a chin bar at the waterside. Dormitory accommodation is fin~ and we would like to have meals at 0700, 1200 and 1800. I I would like to encourage GB Canoeing to attend as I think they would appreciate the great training envionment arid positive attitude of SFCK. ,

This Letter of Intent is designed to outline the mentiondd parties' interest in entering into a facility usage agreement or Lease as outlined below. General terms of an agreement to be formally negotiated at a later date. - I. Proposed Transaction: a} Use (through the use of a long term usage/Lease agreement) of athletic facilities NAME (Lessee) from South Florida Canoe Kayak Club (Lessor) for the purposes of delivering sports activities in the facility throughout the year (uprospective transaction"). II. Enforcement: a) The provisions of this Letter of Intent are informational and non-binding on all parties. The prospective transaction requires further negotiation and documentation including the preparation of a final agreement for a specified usage term. Ill. Liability: a) The Lessee will provide the Lessor a certificate of liability insurance and name the Lessor as an individual named insured for activities operated at the facility. The Lessor shall provide a certificate of insurance for the property to the Lessee with the Lessee named as an additional insured. IV. Expenses: a) All parties agree to pay their own expenses associated with the usage agreement/Lease. V. Confidentiality: a) All parties hereby agree not to release any information to the public in regards to this letter or the potential agreement without the separate written consent of all parties involved. The parties agree that the terms of this letter of intent and any negotiations regarding the transaction shall remain confidential between parties. VI. Effect of the Letter of Intent: a) This letter of intent is not a binding agreement related to the prospective transaction on any parties listed herein. This letter of intent is a statement of the parties' intentions to enter into negotiations for a usage agree/Lease of the field space for purposes of delivering youth sports activities on those fields. This letter shall be governed by the laws of the State of Wisconsin. Any other letters of intent are hereby withdrawn with the regards to the company or interested listed in this letter.
