As this document will attest, New Century Systems (NCS) is uniquely qualified to provide technology products and services to the participating members of the Charlotte Cooperative Purchasing Alliance (CCPA) I City of Charlotte. Founded in 1993, NCS is a Charlotte-based Technology focused company, which currently provides HP technology products and services for the City of Charlotte and would provide other noteworthy benefits to the City of Charlotte and CCP A members it serves. Any additional staffing requirements related to a CCP A contract will lead to local job creation; NCS's increased business revenue will result in greater tax revenue; and our commitment to utilize local businesses to support our effort (including the Charlotte banking community) will provide a strong economic boost for the city which would not be realized by choosing a non-local vendor. NCS is actively registered as a HP Diversity Partner/ Veteran-owned Small Business, selectively qualifying for grants/contracts/set-asides from the local, state and federal government agencies. This special designation will be a strong and distinguishing feature for the CCPA, particularly since the vast majority of current or potential participating Technology Products and Associated Services (RFP: 269-2011-065) - Cover Letter public agencies have procurement guidelines which include vendor diversity requirements. Since our inception, our seasoned and experienced team has been providing technology solutions and consulting services throughout the Carolinas, including the City of Charlotte, the Charlotte-Mecklenburg Police Department, Buncombe County, City of Winston-Salem, Charleston County, Duke Energy and the majority of South Carolina state agencies. Our 19 years of experience delivering state-of-the art IT solutions to state/local government, K-12, public utilities and commercial enterprises is indicative of our pride and performance. This RFP specifically states that any proposed products and solutions provided under this contract must adhere to the standards and preferences of the City of Charlotte. As a leading provider of technology solutions to the City for over 14 years (including the successful implementation of the Myers Street Data Center), NCS has intimate familiarity with these standards I preferences and is in the best position to enhance and refine them as future technology innovations emerge. In addition to being recognized as an HP Public Sector Elite Partner, NCS has proudly earned the distinguished HP Enterprise Services designation, which provides us with specialized training to deal with large accounts with complex operating environments. Through the HP Enterprise Services program, we can offer end-to-end IT services in applications, as well as business processes and infrastructure technology for increased business productivity and data security. New Century Systems is also designated as an HP Agent Partner, which allows us to offer competitive HP- Direct contract pricing and warranties with the valued-added services of an indirect reseller. NCS is also a traditional HP Reseller and is able to utilize the strength ofHP's Commercial Distribution Channel which complements the HP Direct Model. This capability translates into quicker, off-the-shelf delivery, wider product availability, and access to HP "Channel Special Promotions" for the participating public agencies. Understanding of Project The Charlotte Cooperative Purchasing Alliance (CCPA) was established by the City of Charlotte as a cooperative purchasing organization for government agencies nationwide. An alliance of this kind is highly beneficial for organizations who must comply with stringent purchasing statutes (cities, counties, public and private schools, colleges and universities, non-profits, and all governmental entities) which create a high administrative burden and time/cost commitment in the process. This project is specifically focused on providing competitively priced Technology Products and Services under a single negotiated general contract which meets all of the mandated procurement requirements, and can be delivered quickly and efficiently to participating public agencies with the highest degree of customer service. Technology Products and Associated Services (RFP: 269-20 11 -065) - Cover Letter If awarded, NCS will be required to offer a comprehensive array of technology products, equipment and services as outlined in Section 3 of this RFP (Scope of Services). Pricing for these products and services must carry a fixed discount off the manufacturer's advertised list price, and provide access to any additional manufacturer pricing promotions or rebates. In addition, NCS will be required to offer financing solutions and payment options to participating public agencies and fulfill the requirement of this contract with exemplary customer service and support. From an administrative standpoint, NCS will be required to submit monthly and quarterly reports to CCP A, in addition to periodic environmental impact reports. CCPA will be paid a quarterly administrative fee based on sales volume, within 30 days of the end of each calendar quarter. NCS fully understands the scope of this assignment and stands ready to meet or exceed the high standards that have been outlined in this RFP. Summary of Approach NCS's current service and product delivery model has a proven track record for being able to offer the most competitive pricing, responsiveness and exemplary customer service to the large government agencies and public sector clients. Our success can be attributed to our ability to leverage our deep and long-standing relationship with HP, and working collaborative with HP Global Support Services and HP local/regional sales teams. In addition, we are highly adept at utilizing HP's on-line marketing resources and configuration tools to bring enterprise level support and service to organizations of all size. This model is easily scalable and ready to meet the needs and demands of CCPA 's participating public agencies. Summary of Costs NCS has developed a comprehensive model which helps manage income and expenses. We have been successful by building customer relationships and providing excellent customer service to a wonderful customer base in the Carolina' s. We are able to scale this model to address supporting CCAP associates through expanding our call center in Charlotte to address the increase demand, and would do so in concert with product sales. Our costs & revenues are principally driven by the size and complexity of the Technology Solution being addressed. NCS fixed and variable costs include Salaries, Employee Benefits, Facilities, Automation, Communications, Travel Expenses, Training, and other overhead (Demo lab, etc) On an average, costs + overhead are 6%-7% of Revenue. Technology Products and Associated Services (RFP: 269-2011 -065) - Cover Letter Executive Summary The Charlotte Cooperative Purchasing Alliance (CCPA) has joined the other public and private­ sector cooperative purchasing organizations across the country. These organizations have been successful in reducing costs and administrative burden typically associated with government procurement requirements. The benefits of such organizations are well documented, not just for the Lead Agency which organizes the Alliance, but for all participating public agencies. Current figures estimate that government entities across the U.S. save approximately $300 - $400 million annually by utilizing cooperative purchasing alliances. The role that technology serves in the public sector has never been more critical as it not only creates operational efficiencies, but also improves the quality of the service experience for citizens I constituents, and bolsters public trust, For that reason, the addition of Technology Products and Associated Services to CCPA's master contracts is a significant step forward for the Alliance. It is paramount that this decision be made with deliberation and care, not just in terms of the financial benefits ofthe resulting contract, but also in terms of the selected vendor's ability to harness the continuing evolution of technology

The Court, having 4 reviewed the motion for settlement approval, the settlement agreement, the pleadings and other 5 papers on file in this action, and the statements of counsel and the parties, hereby finds that the 6 motion should be GRANTED. 7 NOW, THEREFORE, IT IS HEREBY ORDERED THAT: 8 1. The Court has jurisdiction over the subject matter of this litigation, and the Actions 9 within this litigation and over the parties to the settlement agreement, attached hereto as Exhibit 1, 10 including all members of the settlement class and the Defendants. 11 2. For purposes of this Order, except as otherwise set forth herein, the Court adopts 12 and incorporates the definitions contained in the settlement agreement, to the extent not 13 contradictory or mutually exclusive.
