Inbjudan Till Teckning Av Stamaktier I Zenterio AB (Publ) Inbjudan till teckning av stamaktier i Zenterio AB (publ) Oktober 2016 VIKTIG INFORMATION TILL INVESTERARE Detta prospekt (”Prospektet”) har upprättats med anledning av erbjudandet (”Erbjudandet”) till allmänheten i Sverige och till institutionella investerare i Sverige och utomlands att teckna stamaktier (”Stamaktie”) i Zenterio AB (publ) i enlighet med villkoren i detta Prospekt (”Företrädesemissionen”). Med ”Zenterio”, ”Bolaget” eller ”Koncernen” avses i detta Prospekt, beroende på sammanhang, Zenterio AB (publ), org. nr. 556622-1486, eller den koncern vari Zenterio AB (publ) är moderbolag eller ett eller flera dotterbolag i Koncernen. Förutom vad som uttryckligen anges häri har ingen finansiell information i detta Prospekt reviderats eller granskats av Bolagets revisor. Finansiell information som rör Bolaget i detta Prospekt och som inte är en del av den information som har reviderats eller granskats av Bolagets revisorer i enlighet med vad som anges häri är hämtad från Bolagets interna bokförings- och rapporteringssystem. Detta Prospekt har godkänts och registrerats av Finansinspektionen i enlighet med bestämmelserna i 2 kap. 25 och 26 §§ lagen (1991:980) om handel med finansiella instrument, som implementerar Europaparlamentets och rådets direktiv 2003/71/EG. Godkännandet och registreringen innebär inte att Finansinspektionen garanterar att sakuppgifterna är riktiga eller fullständiga. Tvist med anledning av detta Prospekt, Erbjudandet och därmed sammanhängande rättsförhållanden ska avgöras exklusivt enligt svensk lag och av svensk domstol, varvid Stockholms tingsrätt ska utgöra första instans. Inga teckningsrätter, betalda tecknade aktier eller nya aktier (”Värdepapper”) får erbjudas, tecknas, säljas eller överföras, direkt eller indirekt, i eller till USA förutom i enlighet med ett undantag från registreringskraven i United States Securities Act från 1933 (”Securities Act”).
