Byron Berklely NATO GENERAL MEMBERSHIP MEETING Tuesday, 24 September 2019 Beverly Hills, California DRAFT MINUTES PRESIDING: Ellis Jacob, Chairman Call to Order – 8:00 am Approval of Minutes A motion was made and seconded to approve the minutes of the General Membership Meeting held 9 October 2018. The motion passed. Antitrust Guide NATO General Counsel Jackie Brenneman reviewed the antitrust guidelines distributed to members. Membership Report Secretary Jeff Logan, on behalf of the Membership Committee, presented the names of the individuals who have met the requirements for Advisory Board membership. All proposed individuals were approved, after the proper motion was made and seconded. David Binet reported that the current NATO membership is 604 companies with 33,683 screens in the U.S.; 22 companies with 2,396 screens in Canada; three companies with 343 screens in U.S. Territories; and 62 companies with 32,583 screens in other parts of the world. Mr. Binet listed the new members that had joined over the past year, and recognized first-time meeting attendees. Young Members Committee Report Phil Contrino and Erin Von Hoetzendorff described the results of a recent survey of its members that revealed opportunities including diversity, AI/automation, reserved seating and alcohol sales, and dangers including piracy, and directors/actors making content for streaming. Finance Report NATO Treasurer Joe Masher highlighted the financial statements as of June 30, 2019 (including assets, revenues and expenses for NATO and CinemaCon), and reviewed the programs that were funded by reserves in FYE 2019 including an industry PR campaign, the purchase of an office property in Los Angeles, and the State Legislative Grants program. Mr. Masher told members that they are welcome to request a copy of the full audited statements by contacting the NATO office. New NATO Office in Los Angeles Patrick Corcoran described the office property that NATO purchased and moved into earlier in the year and welcomed members to stop in. 4 Strategic Planning Report Vice Chairman Rolando Rodriguez provided an update on the implementation of NATO’s Strategic Plan, highlighting efforts: windows/studio relations, government relations, industry promotion, technology and innovation, security, movie theft and film ratings compliance. Moment of Remembrance John Fithian described the important leadership contributed to NATO by two members who passed away during the year – Richard A. Fox and Salah M. Hassanein. Don Fox and Sheryl Myerson shared memories and proposed a memorial resolution in honor of Richard A. Fox. Nesa E. Hassanein, Richard Hassanein and Salah Hassanein, Jr. shared memories and proposed a resolution in honor of Salah M. Hassanein. The General Membership approved the resolutions, the full texts of which will be kept in the official records of NATO. Adjournment Mr. Jacob asked if there were any new business or old business that members wanted to discuss. Hearing none, a motion to adjourn was made and seconded. The motion passed and the meeting adjourned at 8:30 am. The members present then moved directly into the meeting of NATO’s Advisory Board of Directors. 5 .

Ms. Brenneman provided a brief overview of the antitrust statement. Chairman Ellis and Mr. Fithian welcomed Don Fox on his election to the NATO Executive Board. Public Messaging: The Board agreed to reduce the CinemaSafe national campaign remaining $1.2 Million to $500,000 concentrating on the New York and Los Angeles markets instead. The remaining $700,000 will be used in late November as needed. Chairman Ellis noted there was no new business and the next meeting will be via Zoom on Wednesday, 7 October 2020 at 1:30 pm Eastern. It was moved and seconded to adjourn the meeting. A vote was taken and the meeting was adjourned. Depew Assistant United States Attorneys One Courthouse Way, Suite 9200 Boston, MA 02210 (617) 748-3100 Dated: July 15, 2002 INTRODUCTION The United States opposes the defendants’ motions for summary judgment for a single, simple reason: the central factual issues raised by this case – whether the defendants’ stadium-style movie theaters provide people with disabilities with (i) “comparable” “lines of sight,” (ii) in locations that are an “integral part” of the fixed seating plan – are vigorously disputed. The government contends that the lines of sight are not comparable, based on facts demonstrating that a large number of the defendants’ theaters fail to provide wheelchair access to the elevated sight lines of the auditoriums’ full stadium risers. Instead, wheelchair users frequently are relegated to the inferior sight lines in the frontmost rows, much lower and closer to the screen. The government further contends that the wheelchair areas are segregated, in some instances due to walls and railings that physically separate them from other seats but also because of the de facto segregation that results from putting the wheelchair areas in inferior locations where most people choose not to sit. The defendants disagree with both of the foregoing assertions. Despite the parties’ material dispute over these core facts, the defendants have moved for summary judgment.

  • 1. DEFINITIONS. 1.1. “D-BOX Motion Code ”
    Execution Version LICENSE, SERVICES AND CO-MARKETING AGREEMENT This License, Services and Co-Marketing Agreement (the “Agreement”) is entered into as of the Effective Date (as defined below) by and between D-BOX TECHNOLOGIES INC., a Canadian corporation (“D-BOX”), on one hand, and SONY PICTURES RELEASING CORPORATION, a Delaware corporation, SONY PICTURES RELEASING INTERNATIONAL CORPORATION, a California corporation, and COLUMBIA PICTURES INDUSTRIES, INC., a Delaware corporation (collectively, “Sony” or “Licensee”), on the other hand. For purposes hereof, (i) in connection with the United States, references to “Sony” will mean Sony Pictures Releasing Corporation, (ii) in connection with Canada, references to “Sony” will mean Columbia Pictures Industries, Inc., and (iii) in connection with all other parts of the Territory, references to “Sony” will mean Sony Pictures Releasing International Corporation. Additionally, where applicable, certain of Sony‟s Film-related activities will be taken by Sony‟s licensees, subdistributors or distribution agents. RECITALS A. D-BOX is the owner of certain software, known as D-BOX Motion Simulator and/or D-BOX Motion Code software (as further defined below, the “D-BOX Motion Code”) that is used to enable the D-BOX Equipment that, when conformed to and coupled with a motion picture or movie clip, creates a motion simulation system that is synchronized with onscreen action and sound for an enhanced end user experience. B. In connection with the theatrical release of the Films during the Term of this Agreement and as described herein, D-BOX shall, at no cost to Sony, license to Sony the D-BOX Motion Code created for each Film, and perform certain services in connection with each Film, in each case in accordance with the terms and conditions of this Agreement.
