Decretului Preşedintelui României nr. 700/27.04.2009 pentru numirea Preşedintelui Consiliului Concurenţei, publicat în Monitorul Oficial al României, Partea I, nr. 284 din 30 aprilie 2009; 2. Decretului Preşedintelui României nr. 973/19.12.2011 privind numirea unui Vicepreşedinte al Consiliului Concurenţei, publicat în Monitorul Oficial al României, Partea I, nr. 901 din 20 decembrie 2011; 3. Decretului Preşedintelui României nr. 703/27.04.2009 pentru numirea unui membru al Consiliului Concurenţei, publicat în Monitorul Oficial al României, partea I, nr. 284 din 30 aprilie 2009 4. Decretului Preşedintelui României nr. 974/19.12.2011 pentru numirea unui membru al Consiliului Concurenţei, publicat în Monitorul Oficial al României, Partea I, nr. 901 din 20 decembrie 2011; 5. Legii concurenţei nr. 21/1996, republicată, cu modificările şi completările ulterioare, publicată în Monitorul Oficial al României, partea I, nr. 742 din 16 august 2005 (numită în continuare Legea concurenţei); 6. Regulamentului de organizare, funcţionare şi procedură al Consiliului Concurenţei, publicat în Monitorul Oficial al României, Partea I, nr. 113 din 14 februarie 2012 ; 7. Regulamentului privind analiza şi soluţionarea plângerilor referitoare la încălcarea prevederilor art. 5, 6 şi 9 din Legea concurenţei nr. 21/1996 şi a prevederilor art. 101 şi 102 din Tratatul privind funcţionarea Uniunii Europene, publicat în Monitorul Oficial al României, Partea I, nr. 687 din data de 12 octombrie 2011, cu modificările şi completările ulterioare; 8. Instrucţiunilor privind definirea pieţei relevante, publicate în Monitorul Oficial al României, Partea I, nr. 553 din 5 august 2010; 9. Plângerii depuse de către SC RCS&RDS SA cu privire la posibila încălcare a prevederilor art. 6, alin. (1), lit. c) şi d) din Legea concurenţei 21/1996, republicată, cu modificările şi completările ulterioare1, şi a art. 102 din Tratatul privind Funcţionarea Uniunii Europene de către SC Antena TV Group SA, plângere înregistrată cu RS- 50/27.09.2011, şi completată prin adresele înregistrate cu RG 14895/01.11.2011, RG 17233/22.12.2011, RG 1340/01.02.2012 şi RG 13206/02.10.2012; 10. Notelor Direcţiei Servicii nr. DS-1231/02.12.2011 şi DS-136/21.02.2012 prin care s-a propus respingerea plângerii depuse de către SC RCS&RDS SA cu privire la posibila 1 Legea concurenţei a fost modificată şi completată prin Ordonanţa de Urgenţă nr. 75 din 30 iunie 2010 privind modificarea şi completarea Legii concurenţei nr. 21/1996, publicată în Monitorul Oficial cu numărul 459 din data de 6 iulie 2010 şi prin Legea nr. 149 din 5 iulie 2011 pentru aprobarea Ordonanţei de Urgenţă nr. 75/2010 privind modificarea şi completarea Legii concurenţei nr. 21/1996, publicată în Monitorul Oficial cu numărul 490 din data de 11 iulie 2011. 1 încălcare a prevederilor art. 6, alin. (1), lit. c), d) şi f) din Legea concurenţei nr. 21/1996, republicată, cu modificările şi completările ulterioare, şi a art. 102 din Tratatul privind Funcţionarea Uniunii Europene de către SC Antena TV Group SA; 11. Ordinului Preşedintelui Consiliului Concurenţei nr. 937 din 21.12.2011 privind modificarea Ordinului Preşedintelui Consiliului Concurenţei nr. 932 din 20.12.2011 care modifică Ordinul Preşedintelui Consiliului Concurenţei nr. 895 din 05.12.2011 şi Ordinului Preşedintelui Consiliului Concurenţei nr. 295 din 22.03.2012 12. Materialelor din dosarul cauzei (RS-50/27.09.2011); 13. Proceselor verbale ale comisiei Consiliului Concurenţei nr. ON 131/22.12.2011, VM 35 din 04.04.2012 şi VM 91 din 04.10.2012; 14. Informaţiilor suplimentare depuse de către SC RCS&RDS SA prin adresa înregistrată la Consiliul Concurenţei sub nr. RG 13.206/02.10.2012; 15. Deliberării comisiei Consiliului Concurenţei, întrunită valabil în prezenţa celor 3 membri, din data de 11.10.2012, cu privire la această speţă, consemnată în procesul verbal nr. VM 98 din 11.10.2012. Având în vedere că: 1. Prin adresa înregistrată cu nr. RS-50/27.09.2011, SC RCS&RDS SA2 (denumită în continuare RCS&RDS) a reclamat existenţa unui posibil abuz de poziţie dominantă săvârşit prin încălcarea art. 6, alin. (1), lit. c) şi d) din Legea concurenţei nr. 21/1996, republicată, cu modificările şi completările ulterioare (denumită în continuare Lege), şi a art. 102 din Tratatul privind Funcţionarea Uniunii Europene (denumit în continuare Tratat) de către SC Antena TV Group SA3 (denumită în continuare Antena TV Group). RCS&RDS a solicitat dispunerea de către Consiliul Concurenţei, în temeiul art. 47 din Lege dispunerea de măsuri interimare până la soluţionarea investigaţiei. 2. În completarea plângerii, autoritatea de concurenţă a solicitat reclamantei, prin adresa înregistrată cu RG-14.085/13.10.2011, date şi informaţii, iar reclamanta şi-a completat plângerea prin adresa înregistrată cu RG-14.895/1.11.2011. În vederea realizării analizei au fost solicitate informaţii întreprinderii Antena TV Group prin adresa RG-14243/17.10.2011, 2 SC RCS&RDS SA - Bucureşti, strada dr. Staicovici, nr. 75, Forum 2000 Building, Faza I, etaj 2, sector 5, CUI 5888716, nr. de ordine în Registrul Comerţului J40/12278/1994. Structura acţionariatului:Cable Communications Systems N.V. (Olanda) – 88.540427%, RCS & RDS SA – 7.829878%, Teszari Zoltan – 1.768108%, Lista asociaţi persoane fizice – 1.861539% şi Lista asociaţi persoane juridice – 0.000048%. Acţionarii Cable Communications Systems N.V.: RCS Management SA – 57.87%, Carpathian Cable Investment Limited – 19,67%, Cable Communications Systems N.V. – 8,75%, Celest Limited (Cyprus) – 5,32%, Teszary Zoltan – 4,60%, Oprea Alexandru – 0,93%, ING Bank – 0,68%, Tal Joshua Moses Almog – 0,65%, G. Mag. Wurmbock – 0,46%, Bendei Ioan – 0,38%, Maftei Gheorghe – 0,36%, Jordan Mariuma – 0,34%. Acţionarii RCS Management SA: Teszari Zoltan – 59,23%, Bugarszki Sfetozar – 7,23%, Schelean Nicuşor Dorel – 6,98%, Patap Mihai – 5.31%, Docea Maria – 4,56%, Bendei Ioan – 4,51%, Maftei Gheorghe – 4,51%, Schelean Dorina – 3,02%, Cable Communications Systems N.V. – 2,47%, Sirian Traian Aurelian – 2,18%. 3 SC Antena TV Group SA - Bucureşti, str. Gârlei, nr. 1B, clădirea Grivco Business Center, sector 1, CUI 1599030, nr. de înregistrare în Registrul Comerţului: J40/3765/1991. Structura acţionariatului: Voiculescu Camelia Rodica – 41,780095%, Voiculescu Corina Mirela – 37,457653%, Lazăr Mihai – 8,644884%, Gheorghe Anca Raluca – 4,322442%, Fundaţia Dan Voiculescu pentru Dezvoltarea României (membru fondator şi preşedinte – Dan Voiculescu) – 3,91666%, Grivco SA – 3,878266%. Acţionarii Grupului Industrial Voiculescu şi Compania (Grivco) SA: Voiculescu Camelia Rodica –39.125%, Voiculescu Corina Mirela – 39.125%, Gheorghe Anca Raluca – 10%, Lazăr Mihai – 10% şi Constanda Elena Sorina – 1.75%. 2 iar întreprinderile Antena TV Group şi Antena 3 SA4 (în continuare Antena 3) au furnizat informaţii prin adresele înregistrate cu RG-15020/02.11.2011.şi RG-15.021/02.11.2011. 3. În urma analizei informaţiilor aflate la dispoziţia Consiliului Concurenţei a rezultat că autoritatea de concurenţă nu dispune de elementele necesare pentru a declanşa o investigaţie privind posibila încălcare a art. 6 din Lege şi a art. 102 din TFUE de către Antena TV Group şi, prin adresa înregistrată cu RG-17113/20.12.2011, reclamanta a fost informată de intenţia autorităţii de concurenţă de a-i respinge plângerea. Prin aceeaşi adresă reclamanta a fost convocată în data de 22.12.2011 la sediul Consiliului Concurenţei pentru a-şi expune punctul de vedere verbal cu privire la intenţia autorităţii de concurenţă precum şi pentru a aduce eventuale noi informaţii relevante. 4. Prin adresa înregistrată cu RG-17233/22.12.2012 RCS&RDS a cerut acordarea unui termen suplimentar pentru formularea şi comunicarea unui punct de vedere cu privire la poziţia Consiliului Concurenţei precum şi pentru comunicarea unor noi informaţii şi documente relevante. RCS&RDS a ataşat adresei documente şi informaţii necesare, din punctul de vedere al reclamantei, în reevaluarea plângerii. 5. Ca răspuns la solicitarea RCS&RDS, prin adresa înregistrată cu RG-17233/20.01.2012 Consiliul Concurenţei a comunicat reclamantei că termenul pentru formularea punctului de vedere şi pentru comunicarea informaţiilor şi documentelor este 31.01.2012. 6. Prin intermediul adresei înregistrate cu RG-1340/01.02.2012 reclamanta a furnizat noi informaţii şi documente şi a adus în atenţia autorităţii de concurenţă şi alte fapte care, în opinia sa, ar fi reprezentat abuz de poziţie dominantă din partea Antena TV Group. Reclamanta a susţinut că, prin anumite fapte, Antena TV Group a încălcat şi prevederile art. 6, alin. (1), lit. f) din Lege. 7. În formularul de plângere, în răspunsurile la cererile de informaţii ale Consiliului Concurenţei şi în adresa RG-1340/01.02.2012 RCS&RDS a susţinut următoarele: a) întreprinderile din cadrul Antena TV Group/Intact Media Group5 au încălcat art. 6 din Lege prin condiţionarea acordării acordului de retransmisie a posturilor cu statut must carry (Antena1, Antena 3 şi GSP TV de preluarea şi retransmiterea contra-cost a posturilor cu audienţă mai scăzută Antena 2 şi Euforia Lifestyle); b) firmele din cadrul Intact Media Group au încălcat art. 6 din Lege prin impunerea unor distribuitori de servicii de programe prin cablu preluarea contra-cost a canalului de televiziune GSP TV prin ameninţarea că, în caz contrar, respectivii distribuitori nu vor primi acordurile de retransmisie pentru posturile de televiziune Antena 1 şi Antena 3. După data la care canalul de televiziune GSP TV a devenit liber la retransmisie, taxa percepută pentru retransmisia canalului de televiziune GSP TV nu a fost micşorată corespunzător, fiind perpetuată astfel perceperea unei taxe pentru un canal de televiziune declarat liber la retransmisie; c) refuzul îndeplinirii de către Antena TV Group a obligaţiei de a difuza serviciile de publicitate în schimbul sumelor cu care RCS&RDS a creditat Antena TV Group în anul 2009 şi în schimbul contravalorii serviciilor de comunicaţii electronice prestate 4 SC Antena 3 SA - Bucureşti, şos.

Some of them don’t exist anymore, but there always appear new ones. The Romanian newspaper market comprises about 1500 publications most of which appear on a weekly basis and 200 daily newspapers. Television is the most familiar source of information. The radio landscape has changed considerably - similar to the television - since 1990. Besides the public broadcaster offering several programs, there are over 150 private local radio stations and various other channels. Despite the diversity of the Romanian press, we cannot yet speak of a completely free press (see the report of the Freedom House organization). The limitations of media freedom and freedom of speech are related to media ownership, but also with gaps in the national legislation. This study aims to contribute to the advancement in the conceptualization of qualitative journalism by proposing to analyze different situations of failure in investigative journalism and identifying factors that conduct to limitation of media freedom.
