The Smart Business • Smart Development Resource Guide briefly introduces the World Bank Group's private sector activities that support sound policy development and private initiative in develop- ing countries. The World Bank Group continues to provide support to policies of member-governments that seek to expand benefits of private sector participation in economies, contributing to promoting growth, expanding markets, and alleviating poverty. The effort to alleviate poverty requires strong partnerships between governments, private sector, civil society, donors, multilateral development institutions and others. These partnerships enable governments and other agents to tap into the resources and vision of the private sector as well as the energy and commitment of the public sector and civil society, and are key to mobilizing development finance and promoting policy reform, institution building and knowledge dissemination.

Introduction to the World Bank Group

The World Bank Group1 is a family of international development agencies that provides financing and advice to support development projects and economic reform in developing and emerging economies. Almost every country in the world is a member of the World Bank Group organizations. The Bank Group is headquartered in Washington, D.C., and has representative offices in more than 90 countries worldwide. The World Bank Group consists of: International Bank for Reconstruction and Development/International Development Association (IBRD/IDA) The International Bank for Reconstruction and Develop- ment (IBRD) and the International Development Association (IDA) share the same staff and management and together are known as the World Bank. The IBRD extends loans directly to middle-income developing country governments or to enterprises and other entities in these countries with the guarantee of the government concerned. The IBRD finances its lending operations primarily through borrowings in the world markets. IDA finances projects in the poorest countries by making credits available to them on concessional terms. The aim is to help improve the living standards of the poorest countries and achieving faster environmentally sustainable growth. The bulk of IDA resources comes from voluntary contribu- tions from its wealthier member country governments. The IBRD and IDA increasingly co-finance their projects with funds from other sources, such as governments, commercial banks, export-credit agencies, and other multilateral institutions. International Finance Corporation The International Finance Corporation (IFC) fosters sustainable economic growth in the developing world by financing private sector development, mobilizing capital in the international financial markets, and providing country, industry, financial, and technical advisory services. It is the largest multilateral source of financing for private enter- prises in emerging markets. In partnership with private investors, IFC provides loans and equity finance for business ventures in developing countries and helps them

THE WORLD BANK GROUP ● 3 stimulate the flow of savings and investment. It further promotes economic development by working to build efficient capital markets. IFC works directly with entrepre- neurs, companies, and financial institutions interested in starting a venture or expanding an existing enterprise. Multilateral Investment Guarantee Agency The Multilateral Investment Guarantee Agency (MIGA) was established in 1988 to encourage foreign direct investment in developing countries by providing: ● Investment guarantees (insurance) to private investors against the risks of transfer restriction, expropriation, breach of contract, and war and civil disturbance in the host country; ● Technical assistance and advisory services to developing countries to help them define and implement strategies to promote investment. MIGA also develops and deploys tools and technologies to support the spread of information on investment opportunities; and ● Dispute mediation, through which MIGA helps governments and investors resolve their differences, and ultimately improve the country’s investment climate. International Centre for Settlement of Investment Disputes The International Centre for Settlement of Investment Disputes (ICSID) is an autonomous international organization having close links with the World Bank. ICSID provides facilities for the conciliation and arbitra- tion of disputes between governments (or constituent subdivisions or public agencies) of ICSID member countries and investors (individuals or companies) that qualify as nationals of other member countries. The Centre’s objective in making such facilities available is to promote an atmosphere of mutual confidence between governments and foreign investors conducive to private international investment.

How You Can Work With the World 2Bank Group A thriving private sector is essential for sustained poverty reduction. Business activity provides jobs and incomes for millions of people who must earn a living under extremely challenging conditions. A key role of the World Bank Group’s private sector activities is to help create more opportunities for the poor, as well as access to better services. This section of the Resource Guide outlines the range of World Bank Group products and services, that are of direct interest to firms doing business in the developing world, and to developing countries eager to attract and retain private investment. If You Are An Investor Project Finance IFC offers a variety of financial products, tailored to meet the needs of each project. The bulk of the funding, as well as management and leadership responsibility, lies with private sector owners. Financial products available include: ● Loans: both fixed or variable rate loans in any of the leading currencies are available. These are IFC’s largest product and typically have maturities of seven to twelve years, although if warranted, longer-term loans and longer grace periods may be possible. ● Guarantees: useful for projects needing local currency funding. Such guarantees would be for a partial amount of the financing raised. ● Equity investments: IFC provides equity investments based on project needs and anticipated returns. IFC is never the largest single shareholder and does not take an active role in company management. IFC usually retains its equity investments for a period of eight to fifteen years and is considered a long-term investor. IFC also provides a full range of quasi-equity finance, including convertible debt, subordinated loans, preferred stock, and income notes. ● Credit lines: to developing-country banks can help redress the limited availability of term funding that constrains the ability of these banks to provide working capital and investment financing for their customers. IFC’s venture capital funds help channel flows to

THE WORLD BANK GROUP ● 7 companies that are generally unlisted and that might not receive the notice of large investors. IFC has also been active in helping establish leasing industries around the world.

Eligibility for Financing: Technical, Social, Environmental Guidelines IFC financing is generally limited to no more than 25 percent of project cost. Investments in small and medium projects range from $100,000 to $1 million and in standard-size projects from $1 million to $100 million. To be eligible for financing, a project must be in the private sector and must be financially, economi- cally, environmentally, and technically viable and conform to host country and World Bank guidelines. Partial credit guarantees cover debt service defaults on a specified portion of a loan or a bond, allowing public sector projects to extend maturities and lower spreads. Partial risk guarantees cover debt service defaults on a loan to a private sector project caused by a government’s failure to meet its contractual obligations related to a private project. Policy based guarantees cover a portion of debt service on a borrowing by an eligible member country from private foreign creditors in support of agreed structural, institu- tional, and social policies and reforms. By covering risks the market is unable to bear, the Bank’s guarantees can open new investment opportunities for businesses. The syndication of participations in IFC loans, known as the B- loan program, offers financial institutions the opportunity to participate in carefully appraised projects in developing countries while sharing the advantages that IFC derives from its status as a multilateral institution, including its treatment as a de facto preferred creditor. Member governments grant IFC loans, including B-loan participa- tions, preferential access to foreign exchange in the event of a country foreign exchange crisis. IFC loans have never been included in a general country debt rescheduling and have been exempted from mandatory country risk provisioning, where such provisioning is applicable. Working in emerging markets is IFC’s only business, and for banks seeking to mitigate risk in difficult country conditions, IFC has proven to be a valuable partner. For IFC clients, the B-loan program provides an efficient means of raising funds from the financial markets in amounts and tenors that might not otherwise be available.

MIGA-insured projects encompass a broad range of sectors, including banking, mining, manufacturing, agribusiness, telecommunications, and others. MIGA guarantees cover risks of transfer restriction, expropriation, breach of contract, war and civil distur- bance for qualified equity and equity-related investments in developing member countries. Guarantees can extend up to 15–20 years and are non-cancelable. MIGA can insure new investments originating in any member country, that are destined for any developing member country other than the country from which the investment originates. Eligible forms of foreign investment include equity, shareholder loans, and shareholder loan guaranties, provided the loans and loan guaranties have a term of at least three years. Loans to unrelated borrowers can also be insured, as long as a shareholder investment in the project is concurrently insured. These counterpart agencies include investment promotion intermediaries (e.g., national and regional investment promotion agencies), privatization agencies, sectoral ministries promoting private investment into local infrastructure and country gateways, as well as industry associations and business chambers.

THE WORLD BANK GROUP ● 11 The Investment Promotion Network (IPAnet), MIGA’s Internet portal for international corporate investors, is a gateway to investment information resources from the World Bank Group, other multilateral institutions, investment promotion and privatization agencies and sectoral ministries, as well as private sector business information providers worldwide. Users can evaluate potential investment opportunities, analyze the business enabling environment, and obtain current research on factor costs and infrastructure. In addition, they can contact key government agencies, financing sources and support services through this portal. This MIGA investment informa- tion service features detailed profiles of enterprises slated for divestiture in emerging markets. PrivatizationLink offers privatization information on more than 70 developing countries and contains 600–700 profiles of enterprises offered for sale to domestic and foreign investors. These profiles are sourced directly from 50 privatization agencies and packaged with relevant background information on the privatization program and bidding procedures. Partnership: SMExchange The SMExchange is a capacity building program which links intermediary organizations (chambers of commerce, business or trade associations, investment promotion agencies) in developed and developing countries to support SME development through the transfer of knowledge and experience. Its ultimate mission is to stimulate trade and investment between SMEs in the North and South. The program, presently implemented in the MENA region, is based on three tools designed to facilitate the knowledge transfer: 1) a website (www.smexchange.org) which contains information on capacity building programs, offered and requested, by intermediary organizations from the North and South; 2) An SMExchange Liaison Officer (SMELO) from a European intermediary organization seconded to an intermediary organization in the South for a three year period; and 3) “World Bank Group roadshows” to get the World Bank, IFC and MIGA closer to the companies in developing countries through conferences and seminars organized in partnership with intermediary organizations from Europe and the countries visited, explaining how to better use WBG private sector services. The primary instrument

The main objective of the CPAR is to help governments: (a) increase their capacity to plan, manage and monitor the procurement process effectively; (b) improve the accountability, integrity, and transparency of the process and reduce the scope for corruption; and (c) be consistent with internationally accepted principles and practices. A key tenet of the CPAR is a review of the competitive- ness and the performance of local private industry with regard to public procurement. This analysis helps deter- mine the extent to which local firms can compete effectively for contracts in general and in Bank-financed projects in particular. During the process of conducting a CPAR it is strongly recommended that the team carrying out the work consult with key stakeholders, including the private sector. Consultation with the private sector can provide critical information on the shortcomings of the public procure- ment infrastructure within the government. In many cases, the local private industry acts as an important catalyst for improvements in the public procurement system. World Bank Group Procurement Procurement Under IFC-Financed Projects IFC is involved only in the financing of projects, and has no part in the procurement process. The local project company is responsible for all aspects of procurement, such as evaluation of bids and contract awards, and is the contact point for any information regarding the bidding process.
