The report: i) highlights the extent to which companies (and especially their boards and executive management) are organising themselves in order to integrate considerations of business integrity into their corporate governance frameworks, strategy, and operations; and ii) assesses what factors may influence business decisions to implement business integrity measures, including decisions requiring board-level consideration and approval. The report concludes with a summary of these findings. While specific integrity risks are addressed in this report, the focus is on the role of the board and senior management and the extent to which business integrity considerations are integrated into their overall oversight of a corporation’s strategy and operations. This report was prepared by the Secretariat to the OECD Corporate Governance Committee on the basis of research undertaken from January to April 2015 and a literature review, and was developed in co-operation with the Secretariat of several other OECD bodies charged with overseeing implementation of a number of OECD recommendations and guidelines relevant to business integrity. These include the Working Party on State Ownership and Privatisation Practices, the Competition Committee, the Working Party on Responsible Business Conduct, the Working Group on Bribery in International Business Transactions, and the Committee on Financial Markets, all from the Directorate for Financial and Enterprise Affairs. The report was drafted by Mary Crane-Charef, Leah Ambler and Héctor Lehuedé, under the supervision of Mats Isaksson and Pierre Poret in the OECD Directorate for Financial and Enterprise Affairs. The emphasis was first placed on business people’s social conscience rather than on the company itself, which was well reflected by Howard Bowen’s landmark book, Social Responsibilities of the Businessman.1 Then CSR was defined as responsibilities to society, which extends beyond economic and legal obligations by corporations.2 Since then, corporate responsibility is thought to begin where the law ends. 3 In other words, the concept of social responsibility largely excludes legal obedience from the concept of social responsibility. Roe* Abstract In this review piece, I outline the institutions of corporate governance decision- making in the large public firm in the wealthy West. By corporate governance, I mean the relationships at the top of the firm—the board of directors, the senior managers, and the stockholders. By institutions I mean those repeated mechanisms that allocate authority among the three and that affect, modulate, and control the decisions made at the top of the firm. Core corporate governance institutions respond to two distinct problems, one of vertical governance (between distant shareholders and managers) and another of horizontal governance (between a close, controlling shareholder and distant shareholders). Some institutions deal well with vertical corporate governance but do less well with horizontal governance. The institutions interact as complements and substitutes, and many can be seen as developing out of a “primitive” of contract law. In Part I, I sort out the central problems of corporate governance. Design/methodology/approach: Conceptual paper based on how Bandura has developed and used moral disengagement. Findings: Moral disengagement can be used in SCM research. The theory is not to be applied to the supply chain itself, but SCM can be seen as the environment that is part of a reciprocal exchange that shapes human behavior. Research limitations/implications: The paper suggests a new theory to better understand business ethics, corporate social responsibility, and sustainability in SCM. Further, the paper outlines how the theory should be used, and some challenges that still remain. Practical implications: Originality/value: SCM researchers are given support on how to transfer a theory from psychology to SCM, which could help to progress several areas of the research field.
