Dear Shareholder: You Are Invited to Attend the Annual and Special Meeting of The Dear Shareholder: You are invited to attend the Annual and Special Meeting of the shareholders of BCE Inc. which will be held at the Metro Toronto Convention Centre, 222 Bremner Blvd. (South Building), Toronto, Ontario on Wednesday, April 26, 2000, at 10:30 a.m. The items of business to be acted upon are set forth in the notice of meeting, management proxy circular, and the Corporation's and Nortel Networks Corporation's notice of application and joint arrangement circular. This year, in addition to the usual business, you will be asked to vote on the proposed plan of arrangement announced by the Corporation on January 26, 2000, being recommended by the Board of Directors, under the Canada Business Corporations Act, pursuant to which the Corporation is proposing to distribute to its common shareholders an approximate 36% interest in Nortel Networks Corporation. The proposed plan of arrangement is brie¯y described in the accompanying management proxy circular and is described in more detail in the accompanying notice of application and joint arrangement circular. In addition, you will be asked to vote on a resolution ratifying the Corporation's shareholder rights plan previously adopted by the Board of Directors and discussed in the accompanying management proxy circular. Furthermore, you will be asked to vote on certain shareholder proposals set out in the accompanying management proxy circular. Your participation in the affairs of the Corporation is most important, regardless of the number of shares you hold. If you are unable to attend in person, please complete, sign and return the enclosed proxy form in the envelope provided for this purpose. If you intend to be present at the meeting, you may nevertheless ®nd it convenient to express your views in advance by completing and returning your proxy form. If your shares are not registered in your name but are held in the name of a nominee, you may wish to consult the information on page 3 of the accompanying management proxy circular with respect to how to vote your shares.     ATTACHMENT 1 - BENEFITS OF SPECTRUM AGGREGATION INTRODUCTION AND SUMMARY In the Call for Applications to License Satellite Orbital Positions (“Call”), Notice No. DGRB-001-06 dated July 7, 2006, Industry Canada is offering 29 licences for satellite spectrum covering four frequency bands (extended Ku-band FSS, Ka-band FSS, 12 GHz BSS and 17 GHz BSS) spread over 16 orbital positions. Telesat already has operating satellites at six of these orbital positions. Telesat is applying for 10 of the 29 licences to expand its satellite fleet and to build a platform for continued growth and innovation through the next decade and beyond. Nine of the 10 licences for which Telesat is applying are for satellites at orbital locations at which Telesat already operates. Telesat’s business rationale for each application is based on detailed discussions with its customer and user groups in Canada, each of which has identified needs and growth plans of their own. Moreover, Telesat is seeking to maintain the ability to compete effectively in both Canadian and North American satellite service markets and to compete for critical investment funds in an increasingly satellite-sophisticated financial community. In this context, Telesat would like to raise a fundamental issue for consideration by Industry Canada, one that is critical to the Canadian satellite industry as a whole, and to the customers of Canadian satellite services. As discussed below, Telesat urges Industry Canada to maximize that number of frequency bands that are assigned to an operator at any given orbital location. Introduction On June 30, 2007, Bell Canada Enterprises (BCE) Canada’s largest communications company announced that it had entered into an agreement to be acquired by an investor group led by Teachers’ Private Capital (Teachers’), the private investment arm of the Ontario Teachers’ Pension Plan, Providence Equity Partners Inc. (Providence) and Madison Dearborn Partners LLC. The all-cash transaction was valued at C$51.7 billion (US$48.5 billion). The BCE Board of Directors unanimously recommended that shareholders vote to accept the offer.1 This constitutes the biggest private equity offer ever.2 While the principal purpose of this report is to describe and analyze this massive Canadian takeover, this development, and events leading up to it, raise a number of substantial issues for the telecommunications industry generally. Is a debt-laden privatized operator an appropriate ownership model in a competitive, capital intensive industry? What form will telecommunications ownership take in an era of active pension fund investing? What trade offs need to be made between concentration and competition in the event of the emergence of a domestic publicly-owned “national champion” in response to bids from foreign private equity firms? Can an auction process be designed so as to accommodate both private equity and public strategic investors? Can foreign ownership rules ever adequately address the level of control inherent in foreign private equity investment?
