SINCLAIR BROADCAST GROUP RIPLEY’S BELIEVE IT OR NOT Rider A

This Rider A is attached to and made part of that the Agreement , between SONY PICTURES TELEVISION INC. ("Distributor") and ("Licensee") in connection with the syndicated television series ‘RIPLEY’S BELIEVE IT OR NOT” (the “Program”).

Distributor hereby grants to Licensee, to the extent it is lawful to do so and does not violate any rules and regulations of any state or federal agencies and does not violate any other agreements to which Distributor is a party, the right to broadcast the Program via the transmission tower/device of television stations WNUV (Baltimore, MD), WUTV (Buffalo, NY), WDKA (Paducah, KY), WNYS (Syracuse, NY), KRRT (, TX), WABM (Birmingham, AL), WRDC (Raleigh, NC),KFBT (Las Vegas, NV) ( (hereinafter “LMA/ Station(s)”), which right shall be in addition to broadcast rights to said Program on WBFF (Baltimore, MD), WNYO (Buffalo, NY), KBSI (Paducah, KY), WSYT (Syracuse, NY), KABB (San Antonio, TX), WTTO (Birmingham, AL), WLFL (Raleigh, NC), and KVWB (Las Vegas, NV), (hereinafter “Primary Stations”), licensed to Licensee through the Agreement. Such permission is granted only so long as the LMA Station in each market is under common ownership with or operating under an LMA or a time brokerage agreement with the Primary Station in each market.

Licensee represents and warrants that the LMA/Duopoly Station(s) are duly licensed by the FCC. In the event the FCC withdraws its license and/or authorization from an LMA Station(s), Licensee shall terminate any transmission of the Program over said station(s). Furthermore, Distributor shall have the right to revoke the permission granted to Licensee herein at its sole discretion by giving written notice to Licensee.

Prior to the Availability Date, Licensee agrees to seek and to obtain Distributor’s written approval with regard to the scheduling of telecasts on either the Primary Station or the LMA Station in each market (the “Initial Schedule”). Prior to changing the Initial Schedule or making any subsequent change to the schedule, Licensee agrees to seek and to obtain Distributor’s written approval. Notwithstanding the foregoing, Licensee agrees that such change shall not occur during any of the four national Nielsen ratings periods (i.e., the exact weeks as determined by Nielsen Media Research for the November, February, May and July ratings periods).

Licensee further agrees, as a material provision of the Agreement, that the Program shall be broadcast in accordance with the terms of the Agreement, that the number of telecasts in the aggregate for both the Primary Station and LMA Station in each market shall not exceed the number of telecasts licensed to Licensee pursuant to the Agreement. Licensee shall have the sole responsibility of accurately tracking the number of telecasts used by both stations, separately as to each station, and Licensee shall report said usage as follows: Licensee agrees to furnish to Distributor within ten (10) days following each calendar month of the Term, monthly reports for each station, signed by Licensee, on Distributor’s form or a form approved by Distributor, indicating whether the Program set forth in the Agreement were telecast by Licensee during such calendar month, and if so, the specific Program telecast and the dates of each telecast. Licensee shall be liable for any and all costs and damages arising from any telecasts broadcast in excess of the number of telecasts set forth in the Agreement.

Licensee acknowledges and agrees that the Program shall not be broadcast simultaneously in the same market by the Primary Station and the LMA Station.

Furthermore, Licensee specifically agrees that the LMA/Duopoly Station(s) will abide by all the terms and conditions specified in the Agreement when broadcasting the Program. If an LMA Station should breach or allegedly breach any provision of the Agreement, Licensee agrees to indemnify and hold Distributor forever harmless from and against any and all claims, damages, liabilities, losses, costs and expenses, including reasonable fees of counsel, arising from said breach by said station.
