Closed-End Funds NAV Pricing Nuveen Core Plus Impact Fund (NPCT1) ANTICIPATED OFFERING PERIOD: MARCH 26 – APRIL 27, 20212 A new closed-end fund offering designed for investors seeking: • Attractive total return potential from a primarily high quality portfolio • Income enhancing opportunities spanning the entire fixed income market • Investments with direct and measurable positive social and environmental impact • Active management leveraging Nuveen’s3 fixed income and impact investing expertise The Fund is newly organized and its common shares have no history of public trading. Shares of closed-end investment companies frequently trade at a discount from their net asset value. The risk of loss due to this discount may be greater for investors who expect to sell their shares in a relatively short period after completion of the initial public offering. An investment in the Fund involves risk, is not appropriate for all investors and is not intended to be a complete investment program. Investors could lose some of all of their investment. Please see “Risks” in the back of this brochure and the preliminary prospectus. This brochure must be preceded or accompanied by the Fund’s preliminary prospectus. The information contained in this brochure and in the preliminary prospectus is not complete and may be changed. A registration statement (including a preliminary prospectus) relating to these securities has been filed with the Securities and Exchange Commission (SEC), but has not yet become effective. We may not sell these securities until the registration statement filed with the SEC is effective. Neither this brochure nor the preliminary prospectus is an offer to sell these securities and neither document is soliciting an offer to buy these securities in any jurisdiction where such offer or sale is not permitted. The Fund has filed a registration statement (including a preliminary prospectus) with the SEC for the offering to which this communication relates. Before you invest, you should carefully read the preliminary prospectus, which accompanies this brochure, and consider the Fund’s investment objective and policies, risk considerations, charges and expenses. Once the registration statement is effective, you should read the Fund’s final prospectus, which contains this and other information about the Fund, carefully. You may obtain these documents by visiting EDGAR on the SEC’s website at www.sec.gov. Alternatively, the Fund, or any underwriter or any dealer participating in the offering, will arrange to send you the preliminary prospectus, free of charge, if you request it by calling 800-257-8787. Capitalized terms not defined in this brochure have the meanings ascribed to them in the preliminary prospectus. 1 It is expected that the Fund’s common shares will be approved for listing on the New York Stock Exchange, subject to notice of issuance. 2 Subject to change. 3 In this brochure, “Nuveen” refers to Nuveen LLC, its direct and indirect subsidiaries, and other entities that are its affiliates, including Nuveen Fund Advisors, LLC, the Fund’s invest- ment adviser, and Nuveen Asset Management, LLC, the Fund’s sub-adviser. Expanding the opportunity set to include non-traditional “plus” sectors of the market offers the potential for enhanced income and diversification, though may entail greater risk. The Nuveen Core Plus Impact Fund (NPCT) is designed to pursue opportunities across the entire fixed income market. The Fund may invest up to 50% of its Managed Assets in below investment grade securities. Below investment grade investments (commonly referred to as “high yield” or “junk”) are regarded as having predominantly speculative characteristics with respect to the issuer’s capacity to pay interest or dividends, and repay principal, which implies higher price volatility and default risk than investment grade instruments of comparable terms and duration. These investments generally provide higher income than investment grade securities in an effort to compensate investors for their higher risk of default, which is the issuer’s failure to make required interest or principal payments. See “Portfolio Level Risks — Below Investment Grade Risk” in the back pages of this brochure and the Fund’s preliminary prospectus. During temporary defensive periods, the period in which the net proceeds of this offering are first being invested, the “wind-up” period during which the Fund is transitioning its portfolio as the Fund’s termination approaches or the period in which the Fund’s assets are being liquidated in anticipation of the Fund’s termination, the Fund may deviate from its investment policies and objective. 2 The Fund’s fixed income investments are subject to Nuveen’s proprietary public market impact framework criteria (the “Impact Criteria”) or Nuveen’s ESG criteria. See page 6 and the preliminary prospectus for more information. 3 The Fund is not obligated to repay such organizational expenses or offering costs paid by Nuveen. 2 Nuveen Core Plus Impact Fund | NPCT 410899 M2.NI315.NPCT Investor Brochure.indd 2 3/25/21 6:30 AM NPCT | Fund highlights Investment objective Investment policies Anticipated portfolio Seeks total return through high Under normal circumstances, the Fund current income and capital will invest subject to the following NCPTCredit Anticipated quality Credit profile QualityNCPTSector Anticipated allocation Sector Allocation appreciation, while giving special policies: consideration to certain impact y At least 80% of Assets2 in fixed-income and environmental, social and investments of any type8, which are governance (“ESG”) criteria. subject to the Impact Criteria or There is no guarantee that the Fund will achieve Nuveen’s ESG criteria its investment objective. y Up to 50% of Managed Assets in below investment grade investments Fund details (rated BB+/Ba1 or lower at the time of investment or unrated but judged to be Term1: 12 years with potential to of comparable quality) ● AAA 2% ● Investment grade convert to perpetual y No more than 10% of Managed Assets ● AA 10% corporates 24% CUSIP number: 67080D 103 in investments rated CCC/Caa or lower ● A 8% ● High yield corporates 23% Initial offering price/NAV: at the time of investment or unrated ● BBB 31% ● Emerging market debt 14% but judged to be of comparable quality, $20.00 per share ● BB 27% ● Municipals 13% including defaulted investments ● Sales load: None ● B 7% Commercial mortgage- y backed 10% May invest without limitation in invest- ● Not rated 15% Fees and expenses (as a ments of foreign issuers, with no more ● Asset-backed 8% percentage of Managed Assets2): than 30% of Managed Assets in invest- ● Preferred 6% 3 Management fee: 1.00% ments of foreign issuers located in ● Senior loans 1% 4 Other expenses: 0.10% emerging market countries ● Non-U.S. govt/agency 1% 5 Source: Nuveen Total fund expenses: 1.10% y May invest without limitation in Distributions: Anticipated restricted and illiquid investments9 The figures above represent Fund management’s proposed portfolio allocations, as of monthly6 26 Feb 2021.
