EXPANDED 2019 BIENNIAL/POST-CONSUMATION OWNERSHIP REPORTS The instant ownership report is being submitted as a combined post-consummation and 2019 biennial report. As the Commission is aware, Nexstar Media Group, Inc. (“Nexstar”), the parent entity of Nexstar Broadcasting, Inc., sought and received Commission approval for the transfer of control of Tribune Media Company and its subsidiary FCC licensees. See Exhibit A. Those transfer applications were consented to on September 16, 2019 and consummated on September 19, 2019.1 Nexstar later submitted a series of pro forma transfer of control and assignment of license applications – see Exhibit B – which the Commission consented to on December 20, 2019 and consummated on December 31, 2019. Throughout both transactions, the ownership structure has been consistent and maintains Nexstar as the ultimate parent followed by Nexstar Broadcasting, Inc., and Tribune Media Company - as detailed in the attached ownership chart.
