Loan Agreement Public Disclosure Authorized Public Disclosure Authorized OFFICIAL 4 DocMT LOAN NUMBER 2108 TUN Loan Agreement Public Disclosure Authorized (Fifth Highway (Rural Roads) Project) between REPUBLIC OF TUNISIA Public Disclosure Authorized and INTERNATIONAL BANK FOR RECONSTRUCTION AND DEVELOPMENT Dated Mo. ,.1982 Public Disclosure Authorized LOAN NUMBER 2108 TUN LOAN AGREEMENT AGREEMENT, dated b 1 , 1982, between REPUBLIC OF TUNISIA (hereinafter called the Borrower) and INTERNA- TIONAL BANK FOR RECONSTRUCTION AND DEVELOPMENT (hereinafter called the Bank). WHEREAS the Borrower has requested the Bank to assist in the financing of the Project described in Schedule 2 to this Agreement by making the Loan as hereinafter provided; and WHEREAS the Bank has agreed, on the basis inter alia of the foregoing, to make the Loan to the Borrower upon the terms and conditions hereinafter set forth; NOW THEREFORE the parties hereto hereby agree as follows: ARTICLE 1 General Conditions; Definitions Section 1.01. The parties to this Agreement accept all the provisions of the General Conditions Applicable to Loan and Guarantee Agreements of the Bank, dated October 27, 1980, with the same force and effect as if they were fully set forth herein (said General Conditions Applicable to Loan and Guarantee Agreements of the Bank being hereinafter called the General Conditions). Section 1.02. Wherever used in this Agreement, unless the context otherwise requires, the several terms defined in the General Conditions have the respective meanings therein set forth and the following additional terms have the following meanings: (a) "Rural Road" means a road, under Part A of the Project, carrying predominantly agriculture-related traffic, generally unpaved, irrespective of its classification, and located outside urban areas in the Borrower's territory; (b) "MPW" means the Borrower's Ministry of Public Works; (c) "DPC" means the Direction des Ponts et Chauss6es, a directorate established and operating within MPW; (d) "MA" means the Borrower's Ministry of Agriculture; -2- (e) "MTC"' means the Borrower's Ministry of Transport and Communication; (f) "BNT" means Banque Nationale de Tunisie, a Societe Anonyme incorporated and operating under the Borrower's Code de Commerce promulgated by Law No. 59/129 of October 5, 1959, and pursuant to its Statutes as filed with the R6gistre du Commerce of Tunis, as the same may be amended from time to time; and (g) "Dinars" and the sign "DT" mean the currency of the Borrower. ARTICLE II The Loan Section 2.01. The Bank agrees to lend to the Borrower, on the terms and conditions in the Loan Agreement set forth or referred to, an amount in various curre-cies equivalent to thirty-five million five hundred thousand dollars ($35,500,000). Section 2.02. The amount of the Loan may be withdrawn from the Loan Account in accordance with the provisions of Schedule 1 to this Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and the Bank, for expenditures made (or, if the Bank shall so agree, to be made) in respect of the reasonable cost of goods and services required for the Project described in Schedule 2 to this Agreement and to be financed out of the proceeds of the Loan. Section 2.03. Except as the Bank shall otherwise agree, procurement of the goods and civil works to be financed out of the proceeds of the Loan shall be governed by the provisions of Schedule 4 to this Agreement. Section 2.04. The Closing Date shall be December 31, 1987 or such later date as the Bank shall establish. The Bank shall promptly notify the Borrower of such later date. Section 2.05. Not later than the Effective Date, the Borrower shall pay to the Bank a fee equivalent to five hundred twenty-four thousand six hundred and thirty-one dollars ($524,631). The fee shall be payable in such currency or currencies as the Bank shall specify. In the event that the Bank shall not have received full payment of the fee by the Effective Date, the Bank shall, on behalf of the Borrower, withdraw from the Loan Account and pay to -3- itself the amount required for the full payment of the fee in the currency or currencies specified for the purpose. Section 2.06. The Borrower shall pay to the Bank a commitment charge at the rate of three-fourth of one per cent (3/4 of 1%) per annum on the principal amount of the Loan not withdrawn from time to time. Section 2.07. The Borrower shall pay interest at the rate of eleven and three-fifths per cent (11-3/5%) per annum on the principal amount of the Loan withdrawn and outstanding from time to time. Section 2.08. Interest and other charges shall be payable semiannually on March 15 and September 15 in each year. Section 2.09. The Borrower shall repay the principal amount of the Loan in accordance with the amortization schedule set forth in Schedul-, 3 to this Agreement. ARTICLE III Execution of the Project Section 3.01. (a) The Borrower shall: (i) carry out Parts A, D, E and H (1) (iv) and (v) of the Project through DPC; (ii) carry out Parts B, F, and H (1) (iii) of the Project through MA; (iii) carry out Part H (1) (i) and (ii) and Part (H) (2) of the Project through MPW's DPC in collabora- tion with MA; (iv) carry out Part G of the Project through MTC; and (v) cause BNT to carry out Part C of the Project in collaboration with MA; all under the overall supervision of MPW with due diligence and efficiency and in conformity with appropriate financial, admini- strative, agricultural and engineering practices, and shall -4- provide, or cause to be provided, promptly as needed, the funds, facilities, services and other resources required for the purpose. (b) For the purpose of coordinating the activities of the Borrower's departments and agencies and of BNT in the execution of the Project or any part thereof, the Borrower shall establish and maintain, until the completion of the Project, a Project Coordination Committee, with such membership, powers and responsi- bilities as shall be satisfactory to the Bank. Section 3.02. Without any limitation to the generality of the provisions of Section 3.01 of this Agreement, the Borrower shall cause BNT to make the short-, medium- and long-term credit included in Part C of the Project adequately available to farmers and all other agricultural enterprises in the zones served by the Rural Roads to be improved under Part A of the Project. Section 3.03. (a) The Borrower shall carry out the Project in accordance with an overall action program to be agreed upon between the Borrower and the Bank. (b) Not later than April 30 of each year, starting in 1983, the Borrower shall through the Project Coordination Commit- tee submit to the Bank for its review and comments a plan of project operations, consistent with the overall action program, to be carried out in the following calendar year. Upon receipt of the Bank's comments, the Borrower shall promptly finalize such plan of operations and furnish it to the Bank not later than September 30 of that same year. (c) The Borrower shall furnish to the Bank, together with the plans of operations referred to in paragraph (b) of this Section, for approval, using selection criteria and a methodology satisfactory to the Bank: (i) feasibility reports for the Rural Roads proposed to be included in Part A (2) of the Project for each year; and (ii) extension guidelines, farm budget analyses and implementation data for the extension to be carried out in each year in the zones served by the Rural Roads proposed to be included. Section 3.04. In order to assist the Borrower in: (i) the preparation of feasibility studies, detailed designs and contract documents for the Rural Roads included in Part A (2) of the Project; (ii) the supervision of works to be carried out under Part A of the Project; (iii) the preparation of detailed extension -5- programs and of credit need projections to be carried out under Part B of the Project for the zones served by the Rural Roads included in the second or third year of the Rural Roads improve- ment program; (iv) the carrying out of Part H of the Project; and (v) the preparation of guidelines for use by regional engineers in the carrying out of Part E of the Project; the Borrower shall employ consultants whose selection, qualifications, experience and terms and conditions of employment shall be satisfactory to the Bank in accordance with the principles and procedures described in the "Guidelines for the Use of Consultants by World Bank Borrowers and by the World Bank as Executing Agency" published by the Bank in August 1981. Section 3.05. (a) The Borrower undertakes to insure, or make adequate provision for the insurance of, the imported goods to be financed out of the proceeds of the Loan against hazards incident to the acquisition, transportation and delivery thereof to the place of use or installation, and for such insurance any indemnity shall be payable in a currency freely usable by the Borrower to replace or repair such goods. (b) Except as the Bank shall otherwise agree, the Borrower shall cause all goods and services financed out of the proceeds of the Loan to be used exclusively for the purposes of the Project. Section 3.06. (a) The Borrower shall furnish to the Bank, promptly upon their preparation, the plans, specifications, reports, contract documents and construction and procurement schedules for the Project, and any material modifications thereof or additions thereto, in such detail as the Bank shall reasonably request.
