Show your contract and this disclosure document to an advisor, like a lawyer or an accountant. Buying a franchise is a complex investment. The information in this disclosure document can help you make up your mind. More information on franchising, such as “A Consumer’s Guide to Buying a Franchise,” which can help you understand how to use this disclosure document, is available from the Federal Trade Commission. You can contact the FTC at 1-877-FTC-HELP or by writing to the FTC at 600 Pennsylvania Avenue, NW, Washington, DC 20580. There may be laws on franchising in your state. Ask your state agencies about them. Issuance Date: May 16, 2008 STATE COVER PAGE Your state may have a franchise law that requires a franchisor to register or file with a state franchise administrator before offering or selling in your state. REGISTRATION OF A FRANCHISE BY A STATE DOES NOT MEAN THAT THE STATE RECOMMENDS THE FRANCHISE OR HAS VERIFIED THE INFORMATION IN THIS DISCLOSURE DOCUMENT. Call the state franchise administrator listed in Exhibit K for information about the franchisor, or about franchising in your state. MANY FRANCHISE AGREEMENTS DO NOT ALLOW YOU TO RENEW UNCONDITIONALLY AFTER THE INITIAL TERM EXPIRES. YOU MAY HAVE TO SIGN A NEW AGREEMENT WITH DIFFERENT TERMS AND CONDITIONS IN ORDER TO CONTINUE TO OPERATE YOUR BUSINESS. BEFORE YOU BUY, CONSIDER WHAT RIGHTS YOU HAVE TO RENEW YOUR FRANCHISE, IF ANY, AND WHAT TERMS YOU MIGHT HAVE TO ACCEPT IN ORDER TO RENEW. Please consider the following RISK FACTORS before you buy this franchise: 1. THE FRANCHISE AGREEMENT REQUIRES YOU TO ARBITRATE WITH US ONLY WHERE WE ARE HEADQUARTERED (CURRENTLY, NEW YORK). IT MAY COST MORE TO ARBITRATE WITH US IN NEW YORK. CERTAIN LOCAL LAWS MAY SUPERSEDE THIS REQUIREMENT. 2. UNDER A TRADEMARK DISTRIBUTION AGREEMENT WITH KBI HOLDINGS, LLC., WE HAVE THE RIGHT TO OPEN AND OPERATE BLIMPIE RESTAURANTS, AND TO FRANCHISE OTHERS TO DO SO, IN CERTAIN PARTS OF THE STATE OF CALIFORNIA. IF THE LICENSE AGREEMENT TERMINATES, WE WOULD NO LONGER HAVE THE RIGHT TO OFFER THESE FRANCHISES. 3. THERE MAY BE OTHER RISKS CONCERNING THIS FRANCHISE. We may use the services of one or more FRANCHISE BROKERS or referral sources to assist us in selling our franchise. A franchise broker or referral source represents us, not you. We pay this person a fee for selling our franchise or referring you to us. You should make sure to do your own investigation of the franchise. Effective Date: May 16, 2008 CALIFORNIA NOTICE THE CALIFORNIA FRANCHISE INVESTMENT LAW REQUIRES THAT A COPY OF ALL PROPOSED AGREEMENTS RELATING TO THE SALE OF THE FRANCHISE BE DELIVERED TOGETHER WITH THE DISCLOSURE DOCUMENT. • Agenda Item 7
Item Number: AGENDA ITEM 7 TO: CITY COUNCIL Submitted By: Douglas D. Dumhart FROM: CITY MANAGER Community Development Director Meeting Date: Subject: Conceptual Review of a Proposal for the July 19, 2011 Development of a Chase Bank at 5962 La Palma Avenue RECOMMENDATION: It is recommended that the City Council conceptually approve a proposal for the development of a Chase Bank at 5962 La Palma Avenue and direct staff to draft a Zoning Code Text Amendment and Development Agreement for further consideration. SUMMARY: The City has received a letter from Studley, the real estate brokerage firm representing the property owner at 5962 La Palma Avenue, requesting that the City consider the development of a JP Morgan Chase Bank on their property. The letter is provided as Attachment 1 to this report. The site is located at the southwest corner of Valley View Street and La Palma Avenue and has been vacant for over 10 years. Late last year, the subject parcel was rezoned from Neighborhood Commercial (NC) to Planned Neighborhood Development (PND) land use designation, which prohibits financial institutions and banks. The Broker has stated that they have exhausted attempts to find end users for his client’s property that are consistent with the goals of the new PND Zone and that meet the needs of his client. They have a ground lease offer from Chase to develop a free-standing bank. The financial institution use alone does not meet the requirements in the PND Zoning District to develop the commercial corner with retail uses that are lacking in the community.

Introduction In recent years there have been signs of substantial research interest in marketing practices of small and medium enterprises (SMEs) (Gillmore et. al, 2001; Blankson and Stokes, 2002; Hill, 2001; Siu, 2000; Siu et. al, 2004; Morrison, 2003; Lee et. al, 2001). Most of these studies have indicated the role of marketing to be critical in the sustainability of the small firms. In a recent study (Huang and Brown, 1999), the problems of sales and marketing were reported as important by 40 percent of the firms surveyed while other important factors reported were human resources (15 percent), general management (14 percent) and production / operations (9 percent) \ In India, a survey by the All India Management Association pointed out that among 872 SSI (Small Scale Industry) units in manufacturing, growth fell by 8.1 percent in 1998-2002. One of the main reasons cited by the units for not being able to do well was problems related to marketing (70 percent) (Jain, 2003).
