THIRD SUPPLEMENTAL DECLARATION OF STEVEN N. SERAJEDDINI IN SUPPORT OF THE DEBTORS’ APPLICATION FOR THE RETENTION AND EMPLOYMENT OF KIRKLAND & ELLIS LLP AND KIRKLAND & ELLIS INTERNATIONAL LLP AS ATTORNEYS FOR THE DEBTORS AND DEBTORS IN POSSESSION EFFECTIVE AS OF AUGUST 2, 2020

I, Steven N. Serajeddini, being duly sworn, state the following under penalty of perjury:

1. I am the president of Steven N. Serajeddini, P.C., a partner of the law firm of

Kirkland & Ellis LLP, located at 601 Lexington Avenue, New York, New York 10022, and a

partner of Kirkland & Ellis International, LLP (together with Kirkland & Ellis LLP,

collectively, “Kirkland”). I am the lead attorney from Kirkland working on the above-captioned

chapter 11 cases. I am a member in good standing of the Bar of the State of New York and the

State of Illinois, and I have been admitted to practice in New York and Illinois. There are no

disciplinary proceedings pending against me.

2. On August 2, 2020 (the “Petition Date”), each of the above-captioned debtors and

debtors in possession (collectively, the “Debtors”) filed a petition with this Court under chapter 11

of title 11 of the United States Code (the “Bankruptcy Code”). On August 24, 2020, the Debtors

filed an application to employ and retain Kirkland as counsel for the Debtors [Docket No. 191]

(the “Application”)2 pursuant to sections 327(a) and 330 of the Bankruptcy Code,

rules 2014(a) and 2016 of the Federal Rules of Bankruptcy Procedure (the “Bankruptcy Rules”),

and rules 2014-1 and 2016-1 of the Local Bankruptcy Rules of the United States Bankruptcy Court

for the Eastern District of Virginia (the “Local Bankruptcy Rules”). On September 16, 2020, the

Court entered the Order Authorizing the Retention and Employment of Kirkland & Ellis LLP as

Attorneys for the Debtors and Debtors in Possession Effective as of August 2, 2020

[Docket No. 346] (the “Retention Order”).

3. My declaration in support of the Application (the “Original Declaration”) was

attached to the Application as Exhibit B. On September 11, 2020, I filed the First Supplemental

Declaration of Steven N. Serajeddini in Support of Debtors’ Application for Entry of an Order

Authorizing the Retention and Employment of Kirkland & Ellis LLP as Attorneys for the Debtors

and Debtors in Possession Effective as of August 2, 2020 [Docket No. 309] (the “First

Supplemental Declaration”). On December 17, 2020, I filed the Second Supplemental Declaration

of Steven N. Serajeddini in Support of Debtors’ Application for Entry of an Order Authorizing the

Retention and Employment of Kirkland & Ellis LLP as Attorneys for the Debtors and Debtors in

Possession Effective as of August 2, 2020 [Docket No. 695] (the “Second Supplemental

Declaration,” and together with the Original Declaration and the First Supplemental Declaration,

the “Prior Declarations”).

4. I submit this third supplemental declaration (this “Third Supplemental

Declaration”) in further support of the Application and to supplement the disclosures set forth in

the Prior Declarations in accordance with Bankruptcy Rules 2014(a) and 2016(b). Unless

otherwise indicated herein, all facts stated in this Third Supplemental Declaration are based on my

personal knowledge of Kirkland’s operations and finances, information learned from my review

of relevant documents, and information supplied to me by Kirkland’s partners or employees. If

called upon to testify, I could and would testify on that basis.

Additional Disclosures

5. As set forth in the Prior Declarations and herein, Kirkland may in the past have

represented, currently may represent, and may in the future represent certain of the Debtors’

creditors, equity security holders, or other parties in interest in ongoing matters unrelated to the

Debtors and these chapter 11 cases. None of the representations described herein or set forth on

Schedule 2 or Schedule 3 are materially adverse to the interests of the Debtors’ estates. Moreover,

pursuant to section 327(c) of the Bankruptcy Code, Kirkland is not disqualified from acting as the

Debtors’ counsel merely because it represents certain of the Debtors’ creditors, equity security

holders, or other parties in interest in matters unrelated to these chapter 11 cases.

6. Kirkland has searched its electronic database of representations for connections to

parties in interest in these chapter 11 cases, and certain connections were disclosed in the Original

Declaration and the First Supplemental Declaration. Kirkland has become aware of additional

parties in interest in these chapter 11 cases and has therefore further updated those conflicts

searches. In addition to the entities searched and disclosed in the Prior Declarations, Kirkland has

searched its electronic database for the entities listed on Schedule 1, attached hereto. Kirkland

will continue to update its disclosures as necessary and when Kirkland becomes aware of material

information. The following is a list of the additional categories that Kirkland has searched:3

7. I have included the results of Kirkland’s conflicts searches of the above-listed

entities on Schedule 2 to this Third Supplemental Declaration.4 Listed on Schedule 3 to this Third

Supplemental Declaration are new client connections for entities identified in the Prior

Declarations. All current and prior representations of the parties identified on Schedule 2 and

Schedule 3 are in matters unrelated to the Debtors and these chapter 11 cases. Kirkland will

update its disclosures as necessary and when Kirkland becomes aware of material information.

8. Based on the conflicts searches conducted to date, to the best of my knowledge,

neither I, Kirkland, nor any partner, of counsel, or associate thereof, insofar as I have been able to

ascertain, has any connections with the Debtors, their creditors, or any other entities who may be

parties in interest, their respective attorneys or accountants, the United States Trustee for the

Eastern District of Virginia (the “U.S. Trustee”), any person employed by the U.S. Trustee, or any

person employed by the Bankruptcy Court for the Eastern District of Virginia, or the United States

District Court for the Eastern District of Virginia, except as disclosed or otherwise described herein

and in the Prior Declarations.

9. Generally, it is Kirkland’s policy to disclose entities in the capacity that they first

appear in a conflicts search. For example, if an entity already has been disclosed in Prior

Declarations in one capacity (e.g., a customer), and the entity appears in a subsequent conflicts

search in a different capacity (e.g., a vendor), Kirkland does not disclose the same entity again in

supplemental declarations, unless the circumstances are such in the latter capacity that additional

disclosure is required.

Specific Disclosures

10. Kirkland currently represents Green Point Inc. (“Green Point”). Ed Kremer, the

chief restructuring officer of Le Tote, Inc., is also an officer of Green Point. Kirkland’s current

representation of Green Point is unrelated to the Debtors or these chapter 11 cases. I do not believe

that Kirkland’s current representation of Green Point precludes Kirkland from meeting the

disinterestedness standard under the Bankruptcy Code.

11. The spouse of Kirkland partner Helen E. Witt, P.C. is a managing director of

JPMorgan Chase & Co. JPMorgan Chase Bank, N.A. is a contract counterparty of the Debtors.

Out of an abundance of caution, Kirkland has instituted formal screening measures to screen

Ms. Witt from all aspects of Kirkland’s representation of the Debtors.

12. As disclosed on Schedule 2, Kirkland currently represents, and formerly has

represented, certain affiliates, subsidiaries, and entities associated with the Debtors’ suppliers,

vendors, and service providers, including AT&T Corp., Thomson Reuters Corp., and Verizon

Wireless Inc. (collectively, the “Supplemental Suppliers”) in a variety of matters. Kirkland’s

current and former representations of the Supplemental Suppliers have been in matters unrelated

to the Debtors or these chapter 11 cases. I do not believe that Kirkland’s current or former

representation of the Supplemental Suppliers precludes Kirkland from meeting the

disinterestedness standard under the Bankruptcy Code.

13. As disclosed in Schedule 2 attached hereto, certain vendors and utility providers in

these chapter 11 cases are current or former Kirkland restructuring clients, including AllSaints

USA Limited, Destination Maternity Corporation, Mood Media Corp., and/or certain of their

affiliates (the “Supplemental Restructuring Clients”). None of the Debtors or other entities

associated with the Debtors are creditors of entities that Kirkland currently represents or has

represented in bankruptcy proceedings or post-effective date claims processes. Kirkland will not

represent the Debtors or other entities associated with the Debtors in any matter related to the

Supplemental Restructuring Clients’ restructuring matters. Similarly, Kirkland will not represent

the Supplemental Restructuring Clients against the Debtors in any of the Debtors’ restructuring

matters. I do not believe that Kirkland’s current or former representation of the Supplemental

Restructuring Clients precludes Kirkland from meeting the disinterestedness standard under the

Bankruptcy Code.

Continued Vigilance and Affirmative Statement of Disinterestedness

14. Based on the conflicts search conducted to date, to the best of my knowledge and

insofar as I have been able to ascertain, (a) Kirkland is a “disinterested person” within the meaning

of section 101(14) of the Bankruptcy Code, as required by section 327(a) of the Bankruptcy Code,

and does not hold or represent an interest adverse to the Debtors’ estates and (b) Kirkland has no

connection to the Debtors, their creditors, or other parties in interest, except as may be disclosed

in the Prior Declarations and herein.

15. Kirkland will continue to review its files periodically during the pendency of these

chapter 11 cases to ensure that no conflicts or other disqualifying circumstances exist or arise. If

any new relevant facts or relationships are discovered or arise, Kirkland will use its reasonable

efforts to identify any such further developments and will file a supplemental declaration as

required by Bankruptcy Rule 2014(a) and as stated in the Original Declaration and herein.
