In order to help meet the goals set forth by the strategic plan and to align Be Our Guest to the new mission and vision of DPS, this dinner provides an opportunity for stakeholders in the Durham community to meet with the DPS Board of Education in a small group, casual setting to discuss how DPS and the community can work together to ignite the limitless potential of our schools, staff and students.

• Student of the Month: Recognizing the Durham Public Schools Student of the Month for October: senior Elijah King from Riverside High School.

• Special Recognition: Recognizing 17 schools for outstanding implementation of NC MTSS, a multi-tiered framework that promotes school improvement through engaging, research-based, academic and behavioral practices. Bethesda Elementary and Burton Elementary are DPS schools of recognition and Hillandale Elementary, Lakewood Elementary, School for Creative Studies and Carrington Middle School are Ribbon Schools and will be recognized at the Exceptional Children’s conference in November. Brogden Middle, CC Spaulding Elementary, Creekside Elementary, Mangum Elementary, Neal Middle, Oak Grove Elementary, RN Harris Elementary, Rogers-Herr Middle, Githens Middle, Spring Valley Elementary and WG Pearson Elementary also applied for state recognition.

• Special Recognition: Recognizing Durham Public Schools School Nutrition Services Department for receiving an Outstanding and award in the first-ever Farm to School of NC Awards from the Farm to School Coalition of for their achievements in expanding and enhancing farm-to-school initiatives.

• Special Recognition: Recognizing Durham Public Schools Finance Department for receiving the Government Finance Officers Association Certificate of Achievement for Excellence in Financial Reporting.

• Special Recognition: Recognizing recipients of the Spark pin. The DPS Office of Public Affairs launched a recognition PINNING initiative to acknowledge both internal and external stakeholders who exhibit the Spark-like characteristics. Durham Public Schools Board of Education held its regular monthly Board of Education Meeting Thursday, September 26, 2019 at approximately 6:32 p.m. in Room 307 at 511 Cleveland Street, Durham, NC. Call to Order: Chair Mike Lee called the meeting to order. Then Chair Lee asked for a moment of silence. Spanish Interpreter Present: Martha Gensemer-Ramirez is an ESL teacher at Jordan High School and Durham School of the Arts.

3. Be Our Guest Dinner Invitees • The Be Our Guest invitees for September 26, 2019: o To meet the goals set forth by the Strategic Plan and to align the Be Our Guest Dinner to the mission and vision of Durham Public School, this dinner provides an opportunity for internal and external stakeholders to meet with the Board of Education members. They meet in a small group, casual setting to discuss how Durham Public Schools and the community can work together to ignite the limitless potential of our schools, staff, and students.

4. Celebrations • Students of the Month for August and September: o Ella Blackmore is a senior at Middle College High was the Student of the Month for August 2019.

o John Elmenshawi is a senior at City of Medicine Academy was the Student of the Month for September 2019.

• Special Recognition as a cellist: o Marcus Gee is a senior at Hillside New Tech High School and was one of 18 young musicians selected nationwide to perform this summer with the LA Philharmonic in Edinburgh, Scotland. Marcus was one of Kidznotes first students. Kidznotes engages students in an intense out-of- school musical program that includes instrumental instruction, choir, music theory, general music, orchestra, and band. Marcus performed a short piece on cello.

• Special Recognition to Kidznotes: o Nick Malinowski is the Executive Director of Kidznotes. Kidznotes is a musical outreach program for children that collaborates with schools in Durham and Raleigh. This program is privately funded so no child has to pay for the instrument or instruction received.

• Special Recognition to Spark pin recipients: The DPS Office of Public Affairs launched a recognition PINNING initiative to acknowledge both internal and external stakeholders who exhibit the Spark-like characteristics. 5. Superintendent’s Update Dr. Pascal Mubenga reported academic performance results are higher than state average. He congratulated J.D. Clement Early College High School as being one of only two schools in North Carolina named a National Ribbon School by the U.S. Department of Education. Dr. Mubenga gave credit to our teachers for working beyond what is expected of them in working with our students. He gave kudos to the DPS Board of Education for supporting the vision and the Strategic Plan, kudos to the principals, administrators and staff, and community for their support. Although we still have a lot of work to do, this team is getting it done. This success would not have been possible without the support of our community.

Dr. Mubenga noted the district’s enrollment is growing again (more than 200 students), but we cannot stop marketing and mustering community support. Durham will be adding approximately 160,000 students over the next ten years. We must respond to our growth by careful long-term community engagement and looking at where our schools and programs are, severe overcrowding at Creekside Elementary School and Githens Middle School, and follow our core beliefs – equity, shared responsibility, high expectations, and putting the child at the center of everything we do.

6. Agenda Review and Approval Steven Unruhe made a motion to adjust the agenda to remove the consent item, 10a. K-5 Literacy Comparative Reading Materials and place it under the Academic Services for discussion as Item 11a. Xavier Cason seconded the motion. The Agenda Review approved as adjusted and passed unanimously. 7. Board of Education Meeting Minutes dated August 22, 2019 Xavier Cason moved to approve the minutes dated August 22, 2019. Natalie Beyer seconded, and the motion passed unanimously. Accolades 8. Superintendent’s Evaluation Chair Mike Lee stated that one of the duties of the Board is to evaluate the performance of the Superintendent. He gave Dr. Mubenga many accolades on an outstanding job he has done as Superintendent. Chair Lee stated the Board fully supports him. On the Evaluation Instrument Tool, they rated him as high as you can get in almost every single category. Chair Lee thanked Dr. Mubenga for his leadership, the administrators he hired, and implementing the Strategic Plan are the reasons we are getting the positive news stories and having the Blue Ribbon schools.

Chair Lee stated the Board has offered to extend Dr. Mubenga’s contract for an additional year. He mentioned that the Board wants to congratulate Dr. Mubenga and to vote on the contract extensions and updates presented and discussed in closed sessions. Chair Lee asked for a motion to approve to the Second Amendment to the Superintendent’s contract tonight, which includes the one year extension the Board discussed. Steven Unruhe stated he happily so moved the motion. Natalie Beyer seconded. It was moved and properly seconded that the Board approve the Second Amendment to the Superintendent’s Contract. The motion passed unanimously.

9. General Public Comment Before the general public comments, Chair Lee read the following rules for public comments as follows:

“First, please state your name. If speaking for an organization, please state your name and the name of the organization. Second, speakers are asked to present their comments in a specified time (usually 3 minutes). When the yellow light comes on, you have fifteen seconds left to start winding up your remarks. When the light comes on, it will beep which indicates your time is up.

Complaints about named staff, students or parents should not be voiced in open session. However, we are very interested in hearing your concerns with regard to public education, safety of students, or to the operation of the school system.

Finally, the Board members will listen carefully and consider the comments, but we do not engage in a discussion with speakers. “

Two people signed up for General Public Comment.

1. Bill Garrity (Substitute Teacher) voiced his concerns on false accusations by the DAE.

2. Shea Ramirez (Substitute Teacher) spoke about doing the first ever Bull City Cease Fire, which entails a week of non-violence with a lifetime of positive impact.

Natalie Beyer moved to accept the two consent items on the agenda. Xavier Cason seconded, and the motion passed unanimously. 11. Academic Services

a) Topic: K-5 Literacy Comparative Reading Materials Recommendation: Action Public Comment: None

Dr. Nakia Hardy (Deputy Superintendent for Academic Services) and Chanel Sidbury (Executive Director, Secondary Instructions Services) presented and approval to purchase reading materials from the American Reading Company (ARC). They stated the materials provide structured project-based learning process that ensures students are ready to meet the demands of college or career through extensive reading, extended writing projects, and daily practices discussing both ideas and texts with their peers. In addition, the materials will provide valuable data to determine effective programming for DPD K-5 literacy materials. This is comprehensive literacy materials for children K-5.

The Board members discussed the purchase of the reading materials with American Reading Company (ARC). Steven Unruhe moved approval for the K-5 Literacy Comparative Reading Materials. Xavier Cason seconded. The motion passed unanimously.

b) Topic: Day 1 Proclamation Recommendation: Information/Discussion Public Comment: None

Dr. Nakia Hardy (Deputy Superintendent for Academic Services) presented the Day 1 Declaration that is from the Tyler Clementi Foundation. This Foundation provides a #Day 1 toolkit for organizations to use to acknowledge and commit to a safe space, free of bullying behavior. She stated this proclamation is in alignment to the Strategic Plan and Core Beliefs – Priority 2: Provide a Safe School Environment that Supports the Whole Child.

Each board members read aloud the #Day 1 Upstander Pledge.

c) Topic: District Title 1 Plan Recommendation: Action Public Comment: None

Dr. Nakia Hardy (Deputy Superintendent for Academic Services) and Dr. Dietrich Danner (Executive Director, Professional Learning and Federal Programs) presented and discussed the District Title I Plan.

Dr. Danner shared the following strategic strategies that will drive this year’s District Title I Plan: • Priority 1B: Strategy 4 – Create and implement a tiered plan of support that provides standardized intervention strategies that are designed to supplement or enhance curriculum.

• Priority 4A: Strategy 7 – Focus on continued professional development for teachers.

• Priority 4B: Strategy 1 – Utilize the Family Academy to support all schools in offering meaningful family engagement activities, and Strategy 3 – Partner with community organizations to sponsor family engagement activities.

• Priority 4C: Strategy 2 – Identify community partners for every school that could address the school’s needs.

Dr. Danner gave an overview of Title I, Part A that provides supplemental educational opportunities for low achieving students in the district’s highest poverty schools.

The Board members discussed the Title I Plan.

Steven Unruhe moved approval of the District Title I Plan and Natalie Beyer seconded. The approval passed unanimously.

12. Human Resource Services

a) Topic: 2019-20 Staffing Snapshot and Strategic Plan 3 Update (Attract and Retain Outstanding Educators and Staff Recommendation: Information/Discussion Public Comment: None

Arasi Adkins (Assistant Superintendent for Human Resources) provided Board and the community with information related to recruitment and staffing initiatives. She stated that the teacher turnover rate decreased. Ms. Adkins discussed the recruitment tools and strategies for hiring.

The board members thanked Ms. Adkins for a wonderful detailed presentation and stated what she shared will impact student achievement by having the right people in the classroom.

13. Closed Session At approximately 8:58 p.m., Natalie Beyer moved to go into closed session for the reasons stated on the agenda and to give staff negotiation instructions. Steven Unruhe seconded, and the motion passed unanimously.

Reconvened Open Session

The open session reconvened at approximately 9:16 p.m.

Dr. Pascal Mubenga stated he is seeking approval for Personnel Reports as discussed in closed session.

Natalie Beyer made a motion to approve the Personnel Reports dated September 26, 2019. Xavier Cason seconded and the motion passed unanimously.

SURVEYING CONSULTANT AGREEMENT

AGREEMENT made this 24th day of October 2019 between Durham Public Schools Board of Education, located at 511 Cleveland St, Durham, North Carolina 27702 (hereinafter, “Owner”) and McKim & Creed, Inc, located at Venture IV, 1730 Varsity Drive #500, Raleigh, NC 27606 (hereinafter, the “Surveyor”). The Agreement is for Professional Services to be provided as authorized by the Owner and as outlined in the Proposal and Scope of Services attached to this Agreement as Exhibit A.

ARTICLE 1

TERMS AND CONDITIONS

1.1 WORK: The Surveyor shall perform the services outlined on the attached Exhibit A, and as identified in the request for proposals previously delivered to the Surveyor, as authorized by the Owner and in accordance with the terms and conditions of this Agreement. The Surveyor agrees that all plans, drawing, specifications, designs, reports and surveys in draft or final form are the property of the Owner, who may demand possession of them at anytime from Surveyor and receive the same within three business days of demand. This Agreement shall take precedence over any conflict between any terms and conditions in Exhibit A and this Agreement.

1.2 TIME: The parties acknowledge that this Project is time sensitive and must be completed in its entirety no later than the delivery dates for project tasks as specified with Exhibit A. The parties further agree that the Surveyor’s Scope of Work will proceed and be executed in accordance with the proposed Timeline attached to this agreement as Exhibit A.

In the event that circumstances beyond the Surveyor’s control force a delay that prohibits or may prohibit the Surveyor’s compliance with the schedule, the Surveyor shall inform the Owner immediately.

1.3 COMPENSATION: The Surveyor shall be compensated in accordance with the fee schedule included in Exhibit A to this Agreement and this Paragraph. The fee for the Basic Services included in Exhibit A shall be Not to Exceed $168,000.00 (one hundred sixty eight thousand dollars) and shall cover the cost of the Surveying services (including the furnishing of all materials, apparatus, labor and any required insurance). The Surveyor shall not be compensated for any work or services performed without specific authorization from Owner.

1.4 BILLING AND PAYMENT:

1.4.1 Billing for the work shall be directed to the Owner at the following address:

1.4.2 Payment shall be made within thirty (30) days of receipt of an acceptable invoice from the Surveyor. 1.5 INSURANCE: The Surveyor shall purchase and maintain insurance for protection from claims under workers' or workmen's compensation acts; claims resulting from negligent acts or omissions for damages because of bodily injury, including personal injury, sickness, disease or death of any of the

Surveyor's employees or any other person; claims for damages because of injury to or destruction of personal property including loss of use resulting therefrom; and claims arising out of the performance of this Agreement and caused by negligent acts or (2) omissions for which the Surveyor is legally liable. 1.5.1 Evidence of such insurance shall be attached hereto, and the Owner shall receive thirty (30) days prior written notice of any cancellation, nonrenewal or reduction of coverage of any of the policies. Upon notice of such cancellation, nonrenewal or reduction, the Surveyor shall procure substitute insurance so as to assure the Owner that the minimum limits of coverage are maintained continuously throughout the period of this Agreement. 1.5.2 The Surveyor shall deliver to the Owner a Certificate of Insurance for its Professional Liability coverage annually. 1.5.3 All insurance policies (with the exception of Professional and Public Liability and Worker’s Compensation) required under this agreement shall name the Owner as an additional insured for the insurance and shall contain a waiver of subrogation against the Owner. 1.5.4 The Surveyor shall maintain in force during the performance of this contract and for three years after final completion of the Project, the Professional Liability insurance coverage referenced above. 1.6 QUALIFICATIONS: All work shall be performed by qualified personnel under the supervision of a North Carolina Licensed Surveyor, and the documents submitted shall bear the Surveyor’s seal and certification. 1.7 USE OFDOCUMENTS: It is understood that the Owner, or his representatives and/or agents, may reproduce the documents without modifications and distribute the documents without incurring obligation for additional compensation to the Surveyor.

ARTICLE 2 BASIC SERVICES 2.1 Scope of Services. 2.1.1 The Basic Services to be provided by the Surveyor shall be as described in Exhibit A and shall include all services customarily furnished by a Surveyor and its consultants in accordance with generally accepted Surveying practices consistent with the terms of this Agreement.

2.2 Surveyor's Professional Responsibility and Standard of Care.

2.2.1 By execution of this Agreement, the Surveyor warrants that (a) it is an experienced and duly licensed firm or individual having the ability and skill necessary to perform all the Services required of it under this Agreement in connection with the testing and inspection of a project having the scope and complexity of the Project contemplated herein; and (b) it has the capabilities and resources necessary to perform its obligations hereunder. 2.2.2 The Surveyor shall be responsible for any errors, inconsistencies or omissions in its work. In addition, the Surveyor will correct at no additional cost to the Owner any and all errors and omissions caused by its work.

2.2.3 It shall be the responsibility of the Surveyor throughout the period of performance under this Agreement to exercise the abilities, skills and care customarily used by Surveyors of the training and background needed to perform the Services required under this Agreement who practice in the Park area or similar communities.

2.2.4 Throughout the Project, the Surveyor and its consultants shall meet periodically with the Owner when reasonably requested. Participants shall be as determined by the Owner.

2.2.5 The Surveyor agrees that it shall use reasonable efforts to coordinate and cooperate with the Durham Public Schools in execution of the project.

ARTICLE 3 GENERAL INSTRUCTIONS 3.1 ACCURACY STANDARDS: 3.1.1 All surveys shall conform to G.S. 4730 and G.S. 89C, which are constituted as minimum guidelines for surveying and mapping practices. 3.1.2 Horizontal controls for the project will have a traverse error of closure no greater than one part of 10,000. Vertical control will be based upon NAVD ‘88. The vertical control shall be established at third or higher order accuracy to U.S.G.S Standards. 3.2 DESCRIPTION PROVIDED BY OWNER OF PROPERTY TO BE SURVEYED: To be provided, if at all, on a per project basis in an Individual Project request for proposal. 3.3 MEANS OF ACCESS: To be provided, if at all, on a per project basis in an Individual Project request for proposal. 3.4 DRAWING REQUIREMENTS: 3.4.1 Drawing sheets shall be trim size 24 x 36 with left binding edge and borders. 3.4.2 Use scale 1 inch = 40 feet unless otherwise authorized by the Owner. Include graphic scale. 3.4.3 Show NORTH arrow and locate North at the top of the sheet, or locate the front of the campus at the bottom of the sheet, to be determined on a per project basis. 3.4.4 Include legend of symbols and abbreviations used on the drawings(s). 3.4.5 Spot elevations on paving or other hard surfaces shall be to the nearest .05' (or 1/2"), on other surfaces to the nearest .10' (or 1"). 3.4.6 Boundary and topographic information, where both are required, shall be on the same drawing unless otherwise requested by the Owner. 3.4.7 State elevation datum on each drawing. Give location of benchmark used.

3.4.8 Furnish to the Owner one reproducible transparency and prints of each drawing. The Licensed Land Surveyor shall sign and seal each drawing and shall certify that to the best of the Land Surveyor's knowledge, information and belief all information thereon is true and accurately shown. 3.4.9 Furnish to the owner’s representative an electronic data file on CD-rom all drawing files and information in .DWG file format. All information shown on the sealed drawing submitted to owner shall be included on electronic file, except signature and seal

ARTICLE 4 TYPICAL LAND (BOUNDARY) SURVEY REQUIREMENTS 4.1 Show boundary lines, giving length and bearing (including reference or basis) on each straight line, interior angles; radius, point of tangency and length of curved lines. Where no monument exists, set permanent iron pin (monument) or other suitable permanent monument at property corners; drive pin into ground adequately to prevent movement, mark with wood stake; state on the drawing(s) whether corners were found or set and describe each. 4.2 Confirm or furnish a legal description which conforms to the Record Title Boundaries. Prior to making this survey, the Land Surveyor shall, insofar as possible, acquire data including, but not limited to, deeds, maps, certificates or abstracts of title, section line and other boundary line locations in the vicinity. 4.3 Give area in square feet if less than one acre, in acres (to .001 acre) if over one acre. 4.4 Note identity, jurisdiction and width of adjoining streets and highways, width and type of pavement. Identify landmarks. 4.5 Plot location of structures on the property and on adjacent property within 100 feet. Dimension perimeters in feet and inches to the nearest 1/2 inch, decimals to .05'. State the characters and number of stories. Dimension to property lines and other buildings. Vacant parcels shall be noted VACANT. 4.6 Show encroachments, including cornices, belt courses, etc., either way across property lines. 4.7 Describe fences and walls. Identify party walls and locate them with respect to property lines. 4.8 Show recorded or otherwise known easements and rights-of-way; state the owner of right of each. 4.9 Note possibilities of prescriptive rights-of-way and the nature of each. 4.10 Note anticipated street widenings. 4.11 Show individual lot lines and lot block numbers; show street numbers of buildings if available. 4.12 Show zoning of property; if more than one zone, show the extent of each. Show zoning of adjacent property and property across the street(s) or highway(s). 4.13 Show building line and setback requirements, if any. 4.14 Give names of owners of adjacent property. 4.15 Reconcile or explain any discrepancies between the survey and the recorded legal description. 4.16 Provide list of reference documents, maps, deeds, etc., discovered.

ARTICLE 5 TYPICAL TOPOGRAPHICAL SURVEY REQUIREMENTS 5.1 All lines of levels shall be checked by separate check level lines or on previous turning point or benchmarks. Minimum of one permanent benchmark on site for each ten acres; description and elevation to nearest .01'. 5.2 Contours at two (2) foot intervals; error shall not exceed one half contour interval. 5.3 Spot elevation at each intersection of an 80 foot square grid covering the property. 5.4 Spot elevations at street intersections and at 40 feet on center on curb, sidewalk and edge of paving including far side of paving. 5.5 Plotted location of structures, above and below ground (if marked by others prior to commencement of survey), man-made (e.g., paved areas) and natural features; all floor elevations and elevations at each entrance of building in the property. 5.6 Location of water and gas mains, central steam and other utilities including, but not limited to, buried tanks and septic fields serving, or on, the property (if marked by others prior to commencement of survey). 5.7 Location of fire hydrants available to the property and the size of the main serving each. 5.8 Location and characteristics of power and communications systems above and below grade. 5.9 Location, size, depth and direction of flow of sanitary sewers, combination sewers, storm drains and culverts serving, or on, the property; location of catch basins and manholes, and inverts of pipe at each. 5.10 Name of the operating authority of each utility. 5.11 Mean elevation of water in any excavation or body of water on the property. 5.12 Flood plain, flood level of streams or adjacent bodies of water and analysis of site for potential flooding. 5.13 Extent of watershed onto the property. 5.14 Locations of test borings if ascertainable and the elevation of the top of holes. 5.15 Perimeter outline only of thickly wooded areas unless otherwise directed.

ARTICLE 6 ADDITIONAL SERVICES

6.1 If any Additional Services are authorized in advance by the Owner in writing, the Surveyor shall furnish or obtain from others the authorized services. If authorized in advance, in writing, by the Owner, the Surveyor shall be paid for these additional services by the Owner pursuant to the rates established in Exhibit B. The Surveyor shall not be entitled to compensation for any additional services that are not authorized in advance by the Owner in writing.

ARTICLE 7

TERMINATION OF AGREEMENT 7.1 If (a) the Owner abandons the Project, or (b) the Owner has failed to substantially perform in accordance with the provisions of this Agreement due to no fault of the Surveyor and such non- performance continues without cure for a period of thirty (30) days after the Owner receives from the Surveyor a written notice of such non-performance, the Surveyor may, upon fifteen (15) days' additional written notice to the Owner, terminate this Agreement, without prejudice to any right or remedy otherwise available to the Owner, and recover from the Owner payment for all services performed to the date of the notice terminating this Agreement. 7.2 If the Surveyor refuses or fails, except in cases for which extension of time is provided, to supply sufficient properly skilled staff or proper materials, or disregards laws, ordinances, rules, regulations or orders of any public authority jurisdiction, or otherwise violates or breaches any term or provision of this Agreement, then the Owner may, without prejudice to any right or remedy otherwise available to the Owner, and after giving the Surveyor fifteen (15) days written notice, terminate this Agreement. 7.3 Upon termination of this Agreement by the Owner under paragraph 7.2 it shall be entitled to furnish or have furnished the Services to be performed hereunder by the Surveyor by whatever method the Owner may deem expedient. Also, in such cases, the Surveyor shall not be entitled to receive any further payment until completion of the Work; and the total compensation to the Surveyor under this Agreement shall be the amount which is equitable under the circumstances. If the Owner and the Surveyor are unable to agree on the amount to be paid under the foregoing sentence, the Owner shall fix an amount, if any, which it deems appropriate in consideration of all of the circumstances surrounding such termination, and shall make payment accordingly. 7.4 The Owner may, upon thirty (30) days' written notice to the Surveyor terminate this Agreement, in whole or in part, at any time for the convenience of the Owner, without prejudice to any right or remedy otherwise available to the Owner. Upon receipt of such notice, the Surveyor shall immediately discontinue all services affected unless such notice directs otherwise. In the event of a termination for convenience of the Owner, the Surveyor's sole and exclusive right and remedy is to be paid for all work performed and to receive equitable adjustment for all work performed through the date of termination. The Surveyor shall not be entitled to be paid any amount as profit for unperformed services or consideration for the termination of convenience by the Owner. 7.5 Should the Owner terminate this agreement as provided for under this Article, the Owner will acquire such documents and materials relating to the Project prepared by or in the possession of the Surveyor. The Surveyor will turn over to the Owner in a timely manner and in good unaltered condition all original drawings, specifications, documents, materials, and computer files. 7.6 The payment of any sums by the Owner under this Article 7 shall not constitute a waiver of any claims for damages by the Owner for any breach of the Agreement by the Surveyor.

ARTICLE 8 OWNERSHIP OF WORK PRODUCT/CONFIDENTIAL INFORMATION 8.1 Work product prepared by the Surveyor shall be the joint property of the Surveyor and the Owner. The Owner shall retain copies of documents for information and reference and use in connection with the Owner's use and occupancy of the Project and for the Owner's future requirements of the Project.

ARTICLE 9 ADDITIONAL REQUIREMENTS 9.1 This Agreement and its Exhibits represent the entire and integrated agreement between the Owner and the Surveyor and supersedes all prior negotiations, representations or agreements, either written or oral. This Agreement may be amended only by written instrument signed by both Owner and Surveyor. 9.2 This Agreement shall be governed by the laws of the State of North Carolina. 9.3 If any one or more of the provisions contained in this Agreement, for any reason, are held to be invalid, illegal, or unenforceable in any respect, such invalidity, illegality or unenforceability shall not affect any other provisions thereof and this Agreement shall be construed as if such invalid, illegal or unenforceable provision had never been contained herein. 9.4 Except where specifically stated otherwise, all periods of time stated in terms of days shall be considered periods calculated in calendar days. 9.5 The headings or captions within this Agreement shall be deemed set forth in the manner presented for the purposes of reference only and shall not control or otherwise affect the information set forth therein or interpretation thereof. 9.6 For the purpose of this Agreement unless the context clearly indicates otherwise, the singular includes the plural, and the plural includes the singular. 9.7 This Agreement may be executed in any number of counterparts, each of which shall be deemed an original, and the counterparts shall constitute one and the same instrument, which shall be sufficient evidence by any one thereof. 9.8 This Agreement shall inure to the benefit of and be binding on the heirs, successors, assigns, trustees and personal representatives of the Owner, as well as the permitted assigns and trustees of the Surveyor. 9.9 The Surveyor shall not assign, subcontract, sublet or transfer its interest in this Agreement without the written consent of the Owner, except that the Surveyor may assign accounts receivable to a commercial bank or financial institution for securing loans, without prior approval of the Owner. 9.10 Notwithstanding anything to the contrary contained herein, the Surveyor shall indemnify and hold harmless the Owner and its agents and employees from and against all claims, damages, losses and expenses, including but not limited to attorney's fees, arising solely out of or resulting from the Surveyor's performance or failure to perform its obligations under this Agreement or caused by any negligent act or omission of the Surveyor, anyone directly or indirectly employed by the Surveyor or anyone for whose acts the Surveyor may be liable. Such obligation shall not be construed to negate, abridge or otherwise reduce any other right or obligation of indemnity which would otherwise exist as to any party or person described in this Article. Notwithstanding anything to the contrary contained herein, the Owner shall indemnify and hold harmless the Surveyor and its agents and employees from and against all claims, damages, losses and expenses, including but not limited to attorney's fees, arising solely out of or resulting from (i) the Owner's performance or failure to perform its obligations under this Agreement and (ii) any claim, damage, loss or expense attributable to bodily injury, sickness, disease or death, or to injury to or destruction of personal property including the loss of use resulting therefrom and caused solely by any negligent act or omission of the Owner, anyone directly or indirectly employed by the Owner or anyone for whose acts the Owner may be liable. Such obligation shall not be construed to negate, abridge or otherwise reduce any other right or obligation of indemnity which would otherwise exist as to any party or person described in this Article. 9.11 Except as otherwise set forth in this Agreement, the Surveyor and the Owner shall not be liable to each other for any delays in the performance of their respective obligations and responsibilities under this Agreement which arise from causes beyond their control and without their fault or negligence, including but not limited to, any of the following events or occurrences: fire, flood,

earthquake, epidemic, atmospheric condition of unusual severity, war, state or local government acting in its sovereign capacity, and strikes. Owner shall not be liable to the Surveyor for acts or failures to act by the Contractor or the Owner's consultants. 9.12 Restricted Companies Lists. Surveyor represents that as of the date of this Contract, Surveyor is not included on the Final Divestment List created by the North Carolina State Treasurer pursuant to N.C. Gen. Stat. § 147-86.58. Surveyor also represents that as of the date of this Contract, Surveyor is not included on the list of restricted companies determined to be engaged in a boycott of Israel created by the North Carolina State Treasurer pursuant to N.C. Gen. Stat. § 147-86.81.. 9.13. Anti-Nepotism. Surveyor warrants that, to the best of its knowledge and in the exercise of due diligence, none of its corporate officers, directors, or trustees and none of its employees who will directly provide services under this Agreement are immediate family members of any member of the Owner’s Board of Education or of any principal or central office staff administrator employed by the Owner. For purposes of this provision, “immediate family” means spouse, parent, child, brother, sister, grandparent, or grandchild, and includes step, half, and in-law relationships. Should Surveyor become aware of any family relationship covered by this provision or should such a family relationship arise at any time during the term of this Agreement, Surveyor shall immediately disclose the family relationship in writing to the Superintendent. Unless formally waived by the Owner, the existence of a family relationship covered by this Agreement is grounds for immediate termination by Owner without further financial liability to Surveyor. 9.14 Lunsford Act/Criminal Background Checks. Surveyor also acknowledges that G.S. § 14-208.18 prohibits anyone required to register as a sex offender under Article 27A of Chapter 14 of the General Statutes from knowingly being on the premises of any school. Surveyor shall conduct or arrange to have conducted, at its own expense, sexual offender registry checks on each of its owners, employees, agents and subcontractors (“contractual personnel”) who will engage in any service on or delivery of goods to Owner’s property or at an Owner sponsored event, except checks shall not be required for individuals who are solely delivering or picking up equipment, materials, or supplies at: (1) the administrative office or loading dock of a school; (2) non-school sites; (3) schools closed for renovation; or (4) school construction sites. The checks shall include at a minimum checks of the State Sex Offender and Public Protection Registration Program, the State Sexually Violent Predator Registration Program, and the National Sex Offender Registry (“the Registries”). For Surveyor’s convenience only, all of the required registry checks may be completed at no cost by accessing the United States Department of Justice Sex Offender Public Website at http://www.nsopw.gov/. Surveyor shall provide certification on the Sexual Offender Registry Check Certification Form (attached as Exhibit C) that the registry checks were conducted on each of its contractual personnel providing services or delivering goods under this Agreement prior to the commencement of such services or the delivery of such goods. Surveyor shall conduct a current initial check of the registries (a check done more than 30 days prior to the date of this Agreement shall not satisfy this contractual obligation). In addition, Surveyor agrees to conduct the registry checks and provide a supplemental certification form before any additional contractual personnel are used to deliver goods or provide services pursuant to this Agreement. Surveyor further agrees to conduct annual registry checks of all contractual personnel and provide annual certifications at each anniversary date of this Agreement. Surveyor shall not assign any individual to deliver goods or provide services pursuant to this Agreement if said individual appears on any of the listed registries. Surveyor agrees that it will maintain all records and documents necessary to demonstrate that it has conducted a thorough check of the registries as to each contractual personnel, and agrees to provide such records and documents to the Owner upon request. Surveyor specifically acknowledges that the Owner retains the right to audit these records to ensure compliance with this section at any time in the Owner’s sole discretion. Failure to comply with the terms of this provision shall be deemed a material breach of the Agreement. In addition, the Owner may conduct additional criminal records checks at the Owner’s expense. If the Owner exercises this right to conduct additional criminal records checks, Surveyor agrees to provide within seven (7) days of request the full name, date of birth, state of residency for the past ten years, and any additional information requested by the Owner for all contractual personnel who may deliver goods or perform services under this Agreement. Surveyor further agrees that it has

an ongoing obligation to provide the Owner with the name of any new contractual personnel who may deliver goods or provide services under the Agreement. The Owner reserves the right to prohibit any contractual personnel of Surveyor from delivering goods or providing services under this Agreement if the Owner determines, in its sole discretion, that such contractual personnel may pose a threat to the safety or well-being of students, school personnel or others. 9.15 Compliance with Applicable Laws. Surveyor shall comply with all applicable laws and regulations in providing services under this Agreement. In particular, Surveyor shall not employ any individuals to provide services to the Owner who are not authorized by federal law to work in the United States. Surveyor represents and warrants that it is aware of and in compliance with the Immigration Reform and Control Act and North Carolina law (Article 2 of Chapter 64 of the North Carolina General Statutes) requiring use of the E-Verify system for employers who employ twenty- five (25) or more employees and that it is and will remain in compliance with these laws at all times while providing services pursuant to this Agreement. Surveyor shall also ensure that any of its consultants will remain in compliance with these laws at all times while providing subcontracted services in connection with this Agreement. Surveyor shall be responsible for complying with all federal laws regarding affordable health care coverage for its full-time employees providing services to the Owner. The definitions of “affordable coverage” and “full-time employee” are governed by the Affordable Care Act and accompanying IRS and Treasury Department regulations. 9.14 Applicable Durham Public Schools Board of Education Policies. Surveyor acknowledges that the Durham Public Schools Board of Education has adopted policies governing conduct on all property owned by the Durham Public Schools Board of Education and agrees to abide by any and all relevant board policies while on its property. Surveyor acknowledges that these policies are available online on the Owner’s website. In particular, Surveyor acknowledges that it has received copies of or has access to (via the Durham Public Schools Board of Education’s website) and will abide by all applicable Durham Public Schools Board of Education policies, including but not limited to policies related to conduct on school property, weapons, drugs and alcohol, tobacco, and interactions with staff and students.

WHEREAS, Omega Curtis Parker was born November 27, 1936, and

WHEREAS, in 1954 Omega graduated from Hillside High School in Durham, NC, and

WHEREAS, in 1958 Omega earned her Bachelor of Arts degree from North Carolina Central University, and

WHEREAS, in 1959 Omega earned her Master of Library Science degree from North Carolina Central University, and

WHEREAS, Omega delighted in working with students in Durham Public Schools for more than 30 years and served as the esteemed Media Coordinator at Little River Elementary School before retiring in 2002, and

WHEREAS, after retirement, Omega began serving as a substitute teacher in Durham Public Schools, and

WHEREAS, in 2006 Omega was elected to the Durham Board of Education and she faithfully served two terms until 2014, and

WHEREAS, Omega was a tireless advocate for the needs of students, educators and media coordinators, and

WHEREAS, Omega was a member of Durham Alumnae Chapter of Delta Sigma Theta Sorority, Inc., the Durham Chapter of Charms, Progressive Sertoma Club International, Delta Kappa Gamma Society and Tau Gamma Delta Sorority, Inc., and
