Your submission will provide the Prequalification Evaluation Team(s) with your qualifications for performing work within the service classification(s) identified. As part of your application for service prequalification, MDOT requires the following information:

Part A Service Prequalification Application and a List of Service Classifications for which you are applying. Only complete submissions will be accepted. Leave no blank spaces; if information does not apply, please indicate N/A (not applicable). Forms for this part are included in this package. See Sections II and III. NOTE: NIGP codes are for use in completing Part H, State of Michigan Vendor/Payee Registration only and do not further define any classification. Please provide a list of your company’s Michigan offices with their complete addresses, telephone numbers and Fax #’s. (No form has been provided for this portion of your submission)* You must also provide proof of professional liability Insurance with minimum limits of one million dollars per occurrence.

Part B It is mandatory that you identify Management Structure and Ownership (names). (There are no forms supplied in this package for preparation of this part of the submission.) Show parent company, subsidiaries or affiliates (companies sharing com- mon owners with applicant company - those who own all or part of the applicant company also own all or part of the affiliate company(s)). Include a list of other businesses and MDOT prequalified vendors which your company's owners, partners, stockholders,

You shall also include a list of the company’s principles and a copy of each principal’s Michigan license or approved application for non licensed principal approval.

Part C Quality Assurance Measurements - an overview of quality assurance measurements you use to insure your customers receive quality products and/or services (e.g. excerpt from your Quality Assurance Manual, checklists, scheduled client meetings, etc.) Be sure to list the name, address and phone number of your Quality Assurance Officer. (There are no forms supplied in this package for preparation of this part of the submission.)

Part D Equipment Availability - a list of equipment used in performing the service classification for which you are applying. Include equipment owned, leased, or otherwise available, including age, dollar value, and depreciation rate on owned equipment. (There are no forms supplied in this package for preparation of this part of the submission.)

Part E Staff Education and Experience Report - include only key staff (staff likely to work on Michigan projects) and submit no more than one page per reported staff member. An optional form for preparation of this part can be found in Section IV. If you choose not to use the form, be sure you supply the same information in a similar format. Please do not submit federal forms 254 or 255 or use multiple page resumes to supply this information. Be sure to report all appropriate staff in order to give an accurate picture of the number of employees capable of working on a project should you be awarded a contract with MDOT. In addition please provide information regarding the specific Michigan office at which each employee is based and each employees Title/Classification. In detailing experience, list only work performed directly by key staff. You are required to comply with all Michigan licensing and registration requirements, such as those detailed on page 7 of this package.

Part F Vendor Project Experience - list work similar to the service classification for which you are applying. This information is NOT to exceed ten (10) projects within the past ten (10) years (per classification) and no more than ½ page of detail per project. Include informa- tion such as name of project, brief description of project, organization contracted with and contact person's name/phone, location of project, completion date, dollar value, your responsibility (e.g. prime or sub), and names of project leader and staff. (There are no forms supplied in this package for preparation of this part of your submission.)

Part G Financial Information - Current financial information, including labor rates, overhead computations and financial statements if overhead rate is not audited, must be submitted on an annual basis within one year of the effective date of your latest prequalification or re-qualification. If you are selected for a contract with MDOT, the financial review will be delayed if your financial information is more than one year old.

NOTE - No financial information is required if total contracting with MDOT at any given time is anticipated to be less than $50,000, as identified on your Application form. If current financial information is not received and your prequalification is renewed for an additional 2 years, prequalification will be lowered to the under $50,000 total contracting limit.

3/26/03 Page 3 To accurately evaluate your accounting system, the following information must be supplied:

! a description of how direct and indirect labor and other costs are recorded, ! a description of how project costs are segregated and accumulated, ! a sample of a completed time report, ! a sample of a project cost report for a current project, ! a current chart of accounts, and ! name of the person to contact for accounting related questions.

To accurately evaluate the rates proposed, the following information must be supplied:

! a copy of a certified Auditor's Report on your overhead rate developed in accordance with the Federal Acquisition Regulation (Title 48 Code of Federal Regulation, Part 31) including any applicable Cost Accounting Standards (Title 48 CFR, Chapter 99). This would include an audit performed by any federal, state or local audit agency and any Acceptance letters from other DOT’s. If you do not have an Auditor’s Report on overhead or an Acceptance letter, you MUST submit an overhead rate computation that ties to the accompanying financial statements. The overhead rate must be based on the time period consistent with your most recently completed fiscal year; ! a listing of all audits performed in the last three (3) fiscal years by any federal, state, or local agency. Include the name, address, and phone number of the party performing the audit and the nature of the audit. Identify any audit that is in dispute, or has not been issued; ! a copy of your written bonus or incentive program; ! if sole proprietorship, a copy of your most recent tax return; ! support for labor rates of individuals assigned to similar projects. This can be a copy of the most recent payroll register with classifications noted or a listing of the employees by name, job title and pay rate as certified by a company officer; and ! a signed statement by owner or corporate officer attesting that all information is true and accurate, that you are aware of the federal cost eligibility and documentation re- quirements, and that any working papers related to your independent auditor will be made available to MDOT to review, inspect, and/or copy if MDOT deems it neces- sary.

Part H State of Michigan Vendor/Payee Registration

The State of Michigan has developed a fully integrated financial management system with one master vendor/payee file to be used statewide by all State departments and agencies. As a current or potential vendor/payee for the State of Michigan, you play a vital role in this process.

In order to receive bids or payments, you must be in our master vendor/payee file. To create this file we are requiring all vendors to complete the Vendor Registration process, (either through the Contract & Payment Express online registration or by submitting the paper packet available through the mail,) and the Request for Taxpayer Identification Number and Certification Form (W-9). To complete these forms you will need to know the National Institute of Government Purchasing (NIGP) commodity/service code(s) for the service classification(s) for which you are applying. These codes are listed next to each classification in Section II, List of Service Classifications and in the Contract & Payment Express site. You will need to complete one Contract & Payment Express

3/26/03 Page 4 registration for each Taxpayer Identification Number. Completion of the State of Michigan Vendor/Payee Registration process does not guarantee you will receive bid packages or contracts with the State of Michigan.

PERIOD OF QUALIFICATION

Prequalification will be considered valid for a 2-year period from the date of prequalification approval, as stated in the notification letter, providing staffing and financial information are kept current. Once a prequalification expiration date has been set, all subsequent approved classifications will also expire on that date. A vendor may not request a review of a rating previously granted until prequalification renewal date.

NOTE 1: The following MUST be immediately reported to the Michigan Department of Transportation, Service Prequalification Coordinator:

Federal ID# change ! change of address, ! change of designated contact person, ! change in key staff or project personnel, or ! change in individual(s) authorized to submit proposals, execute contracts or in any other manner legally bind the company. ! changes in the make-up of the principles of your company ! changes in the company’s corporate organization structure that impacts it’s financial make-up and or it’s accounting system. ! equipment changes

RE-APPLICATION - If prequalification is denied and you do not wish to appeal, you may reapply for the same classification no earlier than 12 months from date of denial notification.

QUALIFICATION REVIEW PROCESS - You will be sent a notification of prequalification rating(s) or denial. Notification of denial of prequalification will include reason(s) for denial. Your request for a qualification review must be sent to the Service Prequalification Coordinator postmarked no later than 30 days from the date of the rating/denial notification letter. Within 30 days of receipt, an informal meeting will be set up with your representative(s), a representative from the evaluation team(s) and the Division Service Prequalification Coordinator. In some areas, additional MDOT staff may be present. The qualification review meetings are to discuss the evaluation of the original documentation.

RENEWAL PROCESS - A renewal notification letter will be sent to you 60-90 days prior to expiration of prequalification. Renewal information set forth in one of the following options must be submitted by the expiration date in order to avoid discontinuation of prequalification. A request for an extension of time in which to submit the appropriate renewal documentation may be applied for in writing on or before the due date of the renewal information. If approved , the extension shall not exceed sixty (60)

Failure to renew by the expiration date or the extension date will result in discontinuation of prequalification, rendering you ineligible to be considered for or awarded contract(s) with the Michigan Department of Transportation in the affected service classification(s).* Approved renewal will extend prequalification for an additional 2 years from the previous expiration date, under the provisions stated above. *Once your rating(s) have expired you may not be allowed to retain your current ratings(s).

PERFORMANCE EVALUATION PROCESS - Each prequalification category may be evaluated at any time via the Performance Evaluation Process (PEP). The PEP may raise or lower the prequalification score. The score resulting from the PEP will remain in effect for one year or until the end of the current prequalification period whichever is longer. The PEP score may be superceded by another PEP score at anytime during that period.

OPTION 1. This option should be selected if your firm is only interested in retaining its current prequalification status and ratings. Please submit only part G of the MDOT Service Prequalification Package along with a certified statement indicating that the previous prequalification information has not changed, there have been no unreported personnel changes and that changes in ratings are not being requested.

OPTION 2. This option should be selected if your firm is interested in applying for new prequalification ratings in all service classifications currently approved and/or any additional classifications. Please see the instructions in the MDOT Service Prequalification Package for submittal of parts A-G. Documentation will indicate and highlight only the information that has changed since the original submission. Please note that re-submittal of part H is not necessary as that form is already on file. Note: This option should be used only when your company has had significant changes in its operation that you feel will improve your ratings.

OPTION 3. This is an option that if selected allows the firm to retain its previous ratings in some of the service classifications while requesting review and evaluation for new ratings in other service areas or classifications. Please submit a letter indicating the service classifications in which you desire to retain your ratings, along with the appropriate new and/or additional information for the service classifications in which you are applying for new ratings. Again, any new and or additional information shall be highlighted to indicate the information that has changed since the original submission. Do not submit information for the service classifications in which you wish to retain your current ratings.

Please Note: If this is your second (or later) prequalification renewal and your Firm selects option 1 or 3, you may be requested to provide updated documentation for any classification(s) in which you wish to retain your score(s.)

ARCHITECTURAL, PROFESSIONAL ENGINEERING & PROFESSIONAL SURVEYING SERVICES

Excerpts from Article 20 of the Occupational Code, PA 299 of 1980, as amended:

339.2001 Definitions. Sec. 2001. As used in this article: (b) AFirm@ means a sole proprietorship, partnership, corporation, or limited liability company through which a person licensed under this article offers or provides a service to the public.

(d) APerson in responsible charge@ means a person licensed under this article who determines technical questions of design and policy; advises the client; supervises and is in responsible charge of the work of subordinates; is the person whose professional skill and judgment are embodied in the plans, designs, plats, surveys, and advice involved in the services; and who supervises the review of material and completed phases of construction.

(h) APrincipal@ means a sole proprietor, partner, or the president, vice president, secretary, treasurer, or director of a corporation, or a member or manager of a limited liability company.

(k) AServices@ means professional service offered or provided by an architect in the practice of architecture, a professional engineer in the practice of professional engineering, or a professional surveyor in the practice of professional surveying.

339.2010 Firm; practice of architecture, professional engineering, or professional surveying; approval of nonlicensed principal and principal's firm; report; person in responsible charge at each place of business; exception.

Sec. 2010. (1) A firm may engage in the practice of architecture, professional engineering, or professional surveying in this state, if not less than 2/3 of the principals of the firm are licensees.

(2) However, a non-licensed principal and the principal's firm shall apply for and receive an approval from the department to engage in the practice of architecture, professional engineering, or professional surveying, if the conduct of the firm and its principals comply with rules promulgated by the department.

(3) Upon request by the department, a firm shall report to the department the names and addresses of its principals, persons in responsible charge, unlicensed principals, a copy of each principals professional license, and any other information the department considers necessary.

(4) A firm shall employ a person in responsible charge in the field of services offered at each place of business in this state where services are offered by the firm, except at a field office which provides only a review of construction.

3/26/03 Page 7 WHAT THIS MEANS TO YOUR FIRM:

If your firm is contracting to provide professional services in architecture, professional engineering or professional surveying, Article 20 requires that at least 2/3 of the principals of the firm be licensed in Michigan in one or more of the professions. A copy of each principals professional license is required.

This means that in addition to each of the licensed principals maintaining their individual licenses, each non-licensed principal must file an application for approval on form BCS/LDB-050. Please note, it is mandatory that at least two out of three of the principals of the firm be licensed in the State of Michigan. Further, if all of the principals of the firm are licensed in Michigan you are not required to make any filings on behalf of your firm to the Michigan Board.

FILING: There is no fee for application for non-licensed principal approval and an acknowledgment will be issued approximately four (4) weeks after the form is submitted to the Department of Consumer & Industry Services (CIS), Design Boards. Copies of form BCS/LDB-050 and of the Occupational Code may be obtained by contacting the Board office (517-241-9253) or by accessing the CIS Web site, Bureau of Consumer and Industry Services, and viewing the Occupational Codes.
