11 | OCTOBER 12-13, 2021 SPONSOR Agreement

The entity named above (the “Applicant”) in the Sponsorship Application (the “Application”) acknowledges receipt of the Prospectus, which is incorporated by reference into this Agreement. Applicant agrees that submission of the Application constitutes a request to be considered for sponsorship (“Sponsorship”) and that Pluralsight is under no obligation to select the Applicant for a Sponsorship. In the event that Pluralsight, LLC (“Pluralsight”) selects your Application, the Applicant becomes a Sponsor. This Pluralsight LIVE Sponsor Agreement (“Agreement”) sets forth the terms and conditions governing Sponsor’s participation in Pluralsight LIVE (the “Event”). The Event sponsorship prospectus (“Prospectus”) sets forth Sponsorship Levels and Additional Marketing Opportunities (“AMOs”). This Agreement will govern the relationship between Pluralsight and the Sponsor, effective as of the date Pluralsight notifies Sponsor that the Application has been received (“Effective Date”). Notification will occur via email. Admission to the Event is by badge only. It is stipulated that each Sponsor subscribe to the following stipulations and that his or her representatives will comply:

1. EVENT LOCATION AND TIME The Event is scheduled for the location, date, and time as set forth in the Prospectus. Sponsor acknowledges that Pluralsight reserves the right to make modifications to the location, date, time, and logistics of the Event without penalty to Pluralsight, including holding an all-virtual Event or a combination of in-person and virtual segments of the Event. Pluralsight will notify Sponsor of any changes as soon as possible. Minor or insubstantial scheduling changes are not considered a breach of this Agreement, though Sponsor may elect to cancel its Sponsorship of the Event upon notification of said scheduling change. In the event of cancellation by Sponsor due to a scheduling change by Pluralsight, Sponsor is not entitled to a refund of any pre-paid fees. If any portion of the Event is in-person, logistics regarding load-in, set up, breakdown, and load-out will be communicated by Pluralsight to Sponsor prior to the Event.

2. USE OF EXHIBIT SPACE For in-person or partially in-person Events, the aisles, passageways and overhead spaces remain strictly under control of Pluralsight and no signs, decorations, banners, etc., will be permitted on them except by special permission of Pluralsight. Exhibits shall be installed so that they will in no case project from the background beyond 42” so view of neighboring exhibits is not obstructed. All exhibiting materials must be contained within the assigned booth space. Projectors and all other apparatus must conform to local fire and venue regulations. Presentations must be so arranged that aisles are not blocked. Sponsor agrees to adhere to any additional guidelines provided by the exhibition hall (the “Venue”).

3. IMPROVEMENTS For in-person or partially in-person events, all structural work such as shelving, standards, display racks, spotlights, signs, etc., must be approved by Pluralsight. All decorations must be flame-proofed and subjected to inspection by the local Fire Department. No flammable fluids or substances may be used or displayed.

4. SUBLETTING OF SPACE The space, whether virtual or in-person, contracted for is to be used solely for the Sponsor whose name appears on the contract, and it is agreed that the Sponsor will not (i) sublet or assign any portion of his space or (ii) request badges for persons not employed by the Sponsor.

5. LICENSE FOR USE OF INTELLECTUAL PROPERTY The parties grant a limited license to use the other party’s trademarks, logo, trade names, or slogans in connection with promoting and marketing for the Event and for future Pluralsight LIVE events, as well as in connection with the fulfillment of each party’s duties under this Agreement.

6. TERM The term of this Agreement will commence on the Effective Date and terminate upon fulfillment of all obligations of the parties hereunder.

7. CANCELLATION BY SPONSOR Sponsors desiring to cancel this Agreement may only do so by giving notice in writing to Pluralsight with evidence of receipt. Subject to section 1, for virtual or in-person Events, to the extent applicable, all booth deposits, exhibit fees and paid promotional fees will be subject to a 50% refund prior to sixty (60) days prior to the first day of the Event. If Pluralsight receives written notice of cancellation after sixty (60) days prior to the first day of the Event, Sponsor shall not be entitled to any refunds for booth fees, exhibit fees and/or promotional opportunity fees. Upon receiving written cancellation, Pluralsight will cease marketing of the promotional opportunities. The amounts forfeited pursuant to this section are considered to be liquidated and agreed upon damages, for the injuries Pluralsight will suffer as a result of the Sponsor’s cancellation. This provision for liquidated and agreed upon damages is a bona fide provision and not a penalty. The parties understand that the withdrawal of the space reserved from the availability at a time when other parties would be interested in applying for it, will cause Pluralsight to sustain damages. In this situation, Pluralsight’s damages will be substantial, but they will not be a capable to determine with mathematical precision. Therefore, the provisions for liquidated and agreed upon damages have been incorporated into this Agreement as a valid pre-estimate of these damages.

8. CANCELLATION OR TERMINATION BY PLURALSIGHT Pluralsight reserves the right to cancel the Event, or any portion thereof, for any reason and at any time, upon written notice to Sponsor. Pluralsight may also immediately terminate this Agreement, in whole or in part, with or without cause, upon written notice to Sponsor. In the case of cancellation or termination, notice will be sent to the email address listed in the Application for the this Agreement. Upon cancellation or termination of this Agreement by Pluralsight for cause, including, without limitation, Sponsor’s breach of this Agreement, Pluralsight will not refund any of the Sponsorship Fee. Upon cancellation or termination of this Agreement by Pluralsight without cause, Sponsor shall be entitled to a full refund of the Sponsorship Fee. In the event of failure or inability to fulfill this contract, or to furnish space due to war, fire, strikes, authority of the law, or act of God, Pluralsight agrees to return to Sponsor all deposits or other monies paid hereunder, and thereupon this agreement shall be deemed cancelled by mutual consent and Pluralsight shall be relieved from all responsibilities thereafter.

9. CANVASSING Advertising materials or signs of firms other than Sponsor or those that have engaged space are prohibited. Canvassing or conferences, except by Sponsor(s), are prohibited. Canvassing outside of the Sponsor’s booth is forbidden. Sponsors are not permitted to allow use of their space or facilities by any person other than the Sponsor.

10. EARLY DEPARTURE Early departure from the Event is not permitted. In the event that Sponsor does leave early, Pluralsight reserves the right to assess a penalty, either in the form of a monetary penalty pursuant to Section 14 below or denial of applications for future events or trade shows. 11. ADMISSION TO TRADE SHOW AREA For in-person or partially in-person events, only Sponsors, staff and approved guests will be permitted in the Event area. No children under 16 years of age will be admitted to the exhibit area floor. The foregoing rules have been formulated for the best interest of Sponsors. The cooperation of our patrons is requested. All points not covered herein are subject to settlement by Pluralsight. 12. SPACE ASSIGNMENT If received by Pluralsight sixty (60) days prior to the start of the Event, all contracts will be assigned based on the date the contract is received and payment of the appropriate fees. Contracts not received sixty (60) days prior to the Event will be placed in date-received order and assigned after the initial space assignment. 13. PAYMENTS For Sponsorships, a deposit of 50% of the total amount due is due within ten (10) business days after being notified of selection as a Sponsor, and all charges are due in full sixty (60) days prior to the start date of the Event. For AMOs, payment in full is due within ten (10) days after confirmation of awarded opportunity. No refunds will be made after sixty (60) days prior to the start date of the Event. Please email your contract and payment information to [email protected]. 14. CODE OF CONDUCT AND PENALTIES All Sponsors are required to agree with the following code of conduct. Pluralsight will enforce this code throughout the event. We expect cooperation from all participants to help ensure a safe environment for everybody. Pluralsight will not tolerate any discrimination or harassment at events, which includes without limitation offensive verbal comments, sexual images, deliberate intimidation, stalking, following, harassing photography or recording, sustained disruption of talks or other events, inappropriate physical contact, and unwelcome sexual attention. Participants asked to stop any harassing behavior are expected to comply immediately. If you are being harassed, notice that someone else is being harassed, or have any other concerns, please contact a member of conference staff immediately. Conference staff can be found at the registration desk or via the Event platform at a virtual Event. Conference staff will be happy to help participants contact hotel/venue security or local law enforcement, provide escorts, or otherwise assist those experiencing harassment to feel safe for the duration of the conference. We value your attendance. We expect participants to follow these rules in all conference environments. Conduct deemed to be unethical by Pluralsight or an infraction of rules on the part of the Sponsor or its representatives, or both, will subject the Sponsor or its representatives to sanctions, which may be imposed by Pluralsight including, without limitation, (i) monetary penalties not to exceed five thousand dollars USD ($5,000), (ii) denial of Sponsor’s right to exhibit at future trade shows, and/or (iii) dismissal from the exhibit hall, in which event it is agreed that no refund will be made by Pluralsight and further that no demand for redress will be made by the Sponsor or its representatives. 15. SECURITY AND INSURANCE Except for the acts or omissions of Pluralsight’s or the Venue’s employees, representatives, or agents, Sponsor agrees to make no claim for any reason whatsoever against Pluralsight or the Venue for loss, theft, damage or destruction of goods; nor for any injury to himself or his employees while in the exhibit quarters; nor for any damage of any nature or character, including any damage to his business by reason of the failure to provide space for the exhibit, or the removal of the exhibit; nor for any action of any nature of the exhibit management, or its employees or agents; nor for failure to hold the show as scheduled. Pluralsight will endeavor to protect Sponsor’s materials by providing security during the closed hours of exhibits. Sponsor is urged to insure its property against, loss, theft, and damage. Cartons containing valuables should not indicate contents from the outside. 16. INDEPENDENT CONTRACTOR RELATIONSHIP Sponsor will be acting as an independent contractor of Pluralsight while participating in the Event. Nothing in this Agreement will be deemed to create an employment relationship, partnership or joint venture between Sponsor and Pluralsight, and Sponsor will not hold itself out as a member, employee or agent of Pluralsight.

17. ASSIGNMENT Pluralsight may assign or delegate its responsibilities under this Agreement without limitation and in its sole discretion. Sponsor may not assign or delegate its responsibilities under this Agreement to any person or entity, except for wholly-owned subsidiaries of Sponsor, without Pluralsight’s written permission.

18. LIABILITY Space is leased with the understanding that Pluralsight and the Venue will act for the Sponsor and its representatives only in the capacity of agent, and not as principal, and that neither the Venue nor Pluralsight assume any liability whatsoever for damages for any act of omission or commission in connection with said agency, and the Sponsor and his representatives hereby hold harmless Pluralsight and the Venue from any and all liabilities for loss arising from any cause. For in-person or partially in-person events, Sponsors or their agents shall not injure or deface walls, floors or carpets of the building, the booths or the equipment of the booths. Sponsors are forbidden to drive tacks, nails or screws into the walls or woodwork. When such damage appears, the Sponsor is liable to Pluralsight and/or the owner of the property so damaged. For virtual events, Sponsor or its agents shall not introduce any viruses, trojan horses, worms, logic bombs, ransomware, or other material that is malicious or technologically harmful via the Event platform. 19. GENERAL This is the entire agreement relating to Sponsor’s participation in the Event, and supersedes any and all prior agreements, representations and understandings regarding the Event. This agreement may be amended, changed or waived only by a written instrument signed by Pluralsight and Sponsor. For the Event held in Utah, this Agreement is governed by and will be construed in accordance with the laws of Utah. Pluralsight and Sponsor submit to the non-exclusive jurisdiction of the courts of Utah. For the Event held in the United Kingdom, this Agreement is governed by and will be construed in accordance with the laws of England and Wales. Pluralsight and Sponsor submit to the non-exclusive jurisdiction of the courts of England and Wales. Should any dispute arise with regard to this Agreement, the Parties agree to first work in good faith to resolve such dispute, and neither Pluralsight or Sponsor may commence any action with regard to such dispute until thirty (30) days have passed from the time Pluralsight or Sponsor has provided written notice to the other party of the nature of such dispute. Nothing in this Section shall prevent any party from commencing proceedings before any court of competent jurisdiction where interim, injunctive, or declaratory relief is required.
