Chairperson’s Message

Dear Professional Members,

No matter what the environment around you, it is always possible to maintain your brand of integrity -Abdul Kalam

I am pleased to share my thoughts with each of you, in this, the Golden Jubilee year of the founding of our institute. What Abdul Kalam said about “Brand of Integrity” has piqued me and forced me to relook at what it means to each of us in the professional world. Using this plank, how can we build our CS members as bulwarks of integrity of the Corporate World? This is a key area I am focusing and on and trust that it will enable all of us to benefit from it in the coming years. The hope is that the businesses whom we support will cherish and benefit from this effort ensuring our success. As I move forward towards this focus area with dedication, I sincerely thank the Managing Committee and members for their unstinting support. I take immense pleasure in thanking each one of them for reposing their confidence in me. Towards making our Hyderabad chapter achieve significant milestones, several professional programs, and programs on personality development for both for members and students are being organized. The aspiration is to create value for all the stake holders, in as many ways as possible by ensuring that all of us are abreast with the latest and the best in our areas of expertise. For being successful in life, we need to put in lot of effort. Today’s corporate world is full of challenges for professionals and in particular for us the, company secretaries. Gone are the days of simply taking care of mere compliance’s. The role of company secretaries in now a critical part of strategic management with a 360 degree perspective of business and industry. More so with the advent of the information technology. Continuous learning and making due efforts to enhance knowledge is one of the key roles of the company secretaries as corporate advisor/strategists. Various new opportunities in different fields are opening up for company secretaries in practice as well as in service. It has become mandatory for us to acquaint ourselves with the challenges thrust on our profession as a result of globalization of corporate activities. For the overall development of the members and the students, conducted 34 programs in these 5 months programs and we are conducting various programs in company law, Foreign Exchange management, Agreements and Joint Ventures, Insolvency and Bankruptcy code and also on other areas like Leadership Abilities, Communication Skills and Technological Skills. The advantage for the students is, they can become brand ambassadors in future.

The Professional Development programs are in areas like “In bound and out bound investments under FEMA”, “Court Etiquette & Preparation of Documents” etc. The chapter has even scaled up to conduct Joint program with all the three professional bodies CS, CA and CMA – ‘UNNATI the Women professionals”, which is a first of its kind in the History of the Hyderabad Chapter. Once the Companies Amendment Act, 2017, has hit the corporate world, chapter has immediately organized a 16 hour long program. Similarly, a marathon program for Insolvency Professional Examination is also planned in the near future. Apart from this, the chapter is gearing up to conduct knowledge orientation programs in different organizations to cater to their needs every now and then in the form of corporate orientation programs. Life’s not about the people who are visible in the front, on the stage! It’s about all those who remain behind the curtains, without whom thingsjust don’t happen! I sincerely thank my colleagues of the Managing Committee CS Venkata Ramana Rajavolu, CS Mahadev Thirunagari,CS Issac Raj P.G., CS Ravi Mandavali, , CS Rahul Jain & CS KPC Rao. My Special thanks to Our Vice President CS Ahalada Rao V and Southern Regional Council Chairman CS Rama Krishna Gupta and CS PS Sastry, Member SIRC and Shri M R Bhatt,(RD-SER) the then ex-officio member and Shri(RD_SER), and Shri Srinivas, GST Commissioner, Medchal. 1. To receive, consider, approve and adopt the Income & Expenditure Statement for the year ended 31st March, 2018 and the Balance Sheet as on that date together with the Report of the Managing Committee and the Auditors’ Report thereon. 2. To consider any other item with the permission of the Chair.

REPORT OF THE MANAGING COMMITTEE FOR THE YEAR 2017-2018 The Managing Committee (2015-18) of The Institute of Company Secretaries of India – Hyderabad Chapter has pleasure in presenting the 37th Annual Report and the Audited Accounts of the Chapter for the financial year ended 31st March, 2018 together with Auditors’ Report thereon. During the year under review (the financial year 2017-2018), the Chapter generated a surplus of Rs.29,39,045/- the amount as against Rs. 32,52,101/- for the year 2016-17 after meeting the cost of maintenance of the Chapter, which, in our opinion, was possible only with the support from all concerned Members of the Hyderabad Chapter, APS and APS+ members, the Leadership, Team of the Chapter, Sponsors, the staff and all other patrons who have been associated with the Hyderabad Chapter. During the year the chapter has also additionally generated Rs.4,00,000/- surplus from CSBF cultural nite and donated the same to the CSBF. We take this opportunity to once again thank all the members for their continued and consistent support. The important achievements and activities of the Chapter are reported hereunder: IMPORTANT PROGRAMMES/ACTIVITIES DURING THE YEAR 2017-18; The ICSI Hyderabad Chapter has always been ahead in taking innovative initiatives to excel in providing its services to students, members and corporate and stands as a role model to inspire all other chapters in the country to think and do things differently. Our Chapter is the First Chapter in entire India to have a dedicated mobile app named ‘CS Connect’ which promises perpetual usage for the members, students and Institute.

The major initiatives taken by ICSI Hyderabad chapter during 2017-18 tenure:

For the Benefit of Students and Members v Launched ‘CS Connect’ mobile application which is functional in Android and IOS operating systems v Teachers Congruence jointly with Department of Management, Department of Commerce and Department of Law of Osmania University for the Faculties of Universities at Telangana State. v Interactive meeting on Striking off of Companies and Disqualification of Directors v Arrangement with Ni-msme for organizing continuous training programs and workshops on GST and IPR v GST Point v GST awareness campaigns v Conducted record number of around 90 programs for professional development, brand building etc. v Organized PCS Drive month - December 2017- January 2018

For the benefit of Members v Introduced new area of practice for PCS viz ‘Bank Concurrent Audit’ and launched video on creating awareness on concept of Bank Concurrent Audit, Road map for obtaining recognition with the complete curriculum for Training Programme on Concurrent Audit. v Introduced ‘Free Health Risk Assessment Program’ on every Friday and Saturday in association with Care Hospitals for a period of 6 months for the family members of students and members covering six free Medical diagnostic services worth around Rs. 4,000. More than 600 people have benefitted outof the same. v Held CSBF Benefit Show at Imax Theatre (showcasing ‘Bahubali’ Movie) and contributed Rs.30,000 for CSBF Including the amounts allocated by Chapter 13 ICSI MOTTO: “ – Speak the Truth, Abide by the Law” ANNUAL REPORT 2017-2018 Hyderabad Chapter v Organized CSBF Cultural Night and donated Rs.4,00,000 towards CSBF Corpus during CSBF Drive month. v Launched special video for propagation of CSBF registration. v In-house training programs at corporate hubs- facilitating Professional Development Program at corporate hub situated far away from the city limits. v Conducted training programs for preparation of Limited Insolvency Examination for eligible members v Conducted GST awareness program in the gracious presence of Hon’ble Union Minister Shri. Muqtar Abbas Naqvi v Hosted 11th Regional PCS Conference with a record of highest number of participation (311 participants) and huge surplus. v Made four representations with Telanagana Government for the recognition of Company Secretaries in Labour Law, Panchayat Raj and other areas v Published special edition of News Letter on the occasion of Foundation Day with the history of ICSI Hyderabad Chapter v Organized PCS Drive month - December 2017- January 2018 v Initiated discussions with on a proposal to enter into MOU for organizing joint workshops, seminars, continuing education and training programs for professionals and corporate executives, to undertake research on emerging state laws, policies and schemes relating to commerce and Industry, promoting the start ups Business, Entrepreneurship, Governance, compliance management, improving standards, Growth & Sustainable development, Capacity Building programs in the state of Telangana. Intellectual Property Rights for Innovative Entrepreneurship On 26th April, 2017 chapter organized programme on Intellectual Property Rights for Innovative Entrepreneurship at NIMSME, Yusufguda in association with NIMSME where in Shri G Sampath Kumar, GM, SIDBI garced programme as Chief Guest and Shri. Oggu Prasad Rao, Assistant Controller of Patents ,Head -RMID Section (RO-PCT) , Indian Patent Office as Guest of Honour. Research Circle – Atelier Sessions Chapter organized series of Atelier sessions (Six) on various dates on various important practicing areas for Company Secretaries and also to provide insight into the research methodology for CS on various topics. Vinod Kumar, Hon’ble MP as Chief Guest and Shri. Ravikumar Duraisamy, Hon’ble Member-Technical, NCLT as Special Guest other Speakers were CS U K Chaudhary, Senior Advocate, Supreme Court and Past President, the ICSI, CS A M Sridharan, Advocate, Chennai, Shri Y Suryanarayana, Advocate, Hyderabad & CS Henry Richard, Former Regional Director, MCA. Workshop on Corporate Resolution Process. On 2nd June, 2017 chapter organized Workshop on Corporate Resolution Process at Hotel NKM Grand, CS (Dr.) Navarang Saini, Whole Time Member, Registration and Monitoring Wing Insolvency and Bankruptcy Board of India(IBBI) graced the seminar as Special Guest. CS Ramakrishna Gupta R, (Vice-Chairman & Treasurer, ICSI –SIRC) Senior Partner, R & A Associates, Hyderabad & CA Devendra D Jain, Insolvency Professional were the speakers. PCS Day – Full day seminar on FOUR SQUARE AUDIT On 15th June 2017 Chapter organized Full day seminar on FOUR SQUARE AUDIT on the occasion of PCS day (PAN India programme) at Hotel Abode. Topic covered during the seminar 1) GST Audit & Practice 2) Introduciton of Concurrent Audit of Banks 3) Secretarial Audit and 4) Disclosures in financial Statements in light of Statutory Audit. Workshop on Goods & Service Tax – A New Era of One Nation One Tax On 8th July, 2017 chapter organized Workshop on Goods & Service Tax – A New Era of One Nation One Tax at Auditorium of Centre for Economic and Social Studies(CESS), Ameerpet. Dr. Manjula Hosmani IRS, Additional Commissioner, CGST graced the workshop as Chief Guest and CS P.K. Mittal, Advocate, PKMG Law Chambers, New Delhi & Gopi Donthireddy, Deputy Director, National Academy of Customs, Indirect Taxes and Narcotics (NACIN), MCRHRDI were the speakers. Joint programme with Department of Central Tax, Central Excise & Service Tax on GST Awareness On 9th July, 2017 ICSI Hyderabad chapter joined hands with Department of Central Tax, Central Excise & Service Tax in organizing GST Awareness Meeting at Ravidra Bharati, Hyderabad. Shri ,,Hon’ble Union Minister of State for Minority Affairs (I/c) & Parliamentary Affairs, Govt. Of India graced programme as Chief Guest. Teacher’s Congruence on Empowering Teachers To Prepare Professionals of Tomorrow On 22nd July, 2017 chapter organized Teacher’s Congruence on Empowering Teachers To Prepare Professionals of Tomorrow at PGRR Auditorium, Osmania University. 17th All India Company Law Quiz -22.08.2017@ Nimsme The ICSI- Hyderabad Chapter was hosting the 17th All India Company Law Quiz – National Level held on 22 August, 2017 at ni-msme, Yousufguda, Hyderabad. Information Technology: Computers in the Chapter office were inter-connected through LAN connection for administrative convenience. Data relating to various activities of the Chapter and details of the Managing Committee Members of the Chapter were uploaded on the web-page of the Hyderabad Chapter for dissemination of information amongst its Members, Students and the general public. All other activities of the Chapter have been fully computerized.

During the year under review with the support of members, Hyderabad Chapter has initiated a “CSBF program with a difference. ICSI Hyderabad Chapter has organized CSBF Benefit Show at Imax Theatre (“Bahubali” Movie) and contributed around Rs.30,000 plus for CSBF along with amount allocated by chapter for same ICSI Hyderabad Chapter has organized CSBF Cultural Night and donated Rs.4,00,000 towards CSBF Corpus during CSBF Drive month and Launched special video for propagation of CSBF registration. Contribution to Chapter Building: An amount of Rs.10,00,000/- shown under the head of ‘Other Non Current Assets’ as against contribution to Chapter Building was being carried on from the year 1992 in the books of accounts maintained by the Chapter every year. It is to bring to the notice of the members that there is a communication from the Head Quarters that the said amount has to be maintained on permanent basis. Report on the Financial Statements We have audited the accompanying financial statements of INSTITUTE OF COMPANY SECRETARIES OF INDIA – HYDERABAD CHAPTER, which comprise the Balance Sheet as at March 31, 2018, and the Statement of Income and Expenditure Account for the year ended, and a summary of significant accounting policies and other explanatory information.

Management’s Responsibility for the Financial Statements

Management is responsible for the preparation of these financial statements that give a true and fair view of the financial position and financial performance of the Institute in accordance with accounting principles generally accepted in India. This responsibility includes the design, implementation and maintenance of internal control relevant to the preparation and presentation of the financial statements that give a true and fair view and are free from material misstatement, whether due to fraud or error.

Auditor’s Responsibility

Our responsibility is to express an opinion on these financial statements based on our audit. We conducted our audit in accordance with the standards on Auditing issued by the Institute of Chartered Accountants of India. Those Standards require that we comply with ethical requirements and plan and perform the audit to obtain reasonable assurance about whether the financial statements are free from material misstatement. An audit involves performing procedures to obtain audit evidence about the amounts and disclosures in the financial statements. The procedures selected depend on the auditor’s judgment, including the assessment of the risks of material misstatements in the financial statements, whether due to fraud or error. In making those risk assessments, the auditor considers internal control relevant to the preparation and fair presentation of the financial statements in order to design audit procedures that are appropriate in the circumstances. NOTE - 20 ACCOUNTING POLICIES AND NOTES TO ACCOUNTS

(A) ACCOUNTING POLICIES 1. Basis of Preparation of Financial Statements The Financial Statements are drawn up on historical cost basis and have been prepared in accordance with applicable Accounting Standards issued by the Institute of Chartered Accountants of India and are on accrual basis unless otherwise stated. The Financial statements, Accounting Policies and Notes to Accounts are prepared in the format as provided by the ICSI HQ irrespective of the applicability of the same to the Hyderabad Chapter of ICSI. 2. Uses of Estimates The preparation of Financial Statements requires some estimates which affect the reported amounts of assets and liabilities on the date of Financial Statements and the reported amount of revenues and expenses during the year. Difference between the actual result and estimates are recognized in the period in which results are known/ materialized 3. Revenue Recognition a. The Entrance Fee is collected at the time of admission of a person as a Member and is directly credited to “Capital Reserve”. – Not Applicable to ICSI, Hyderabad Chapter. b. Fees received from Members are accounted for on cash basis. However, fees received in advance are carried over as a liability - Not Applicable to ICSI, Hyderabad Chapter. c. Fee from students is recognized on cash basis - Not Applicable to ICSI, Hyderabad Chapter. d. Examination fee is recognized on the basis of conduct of examination - Not Applicable to ICSI, Hyderabad Chapter. e. Revenue from sale of publications is recognized at the time of preparing the sale bill, ie. when the property in goods as well as the significant risks and rewards of the property get transferred to buyer. f. Income from Investments i) Dividend on investments is recognized on receipt basis - Not Applicable to ICSI, Hyderabad Chapter. ii) Income on interest-bearing securities and fixed deposits is recognized on a time proportion basis taking into account the amount outstanding and the rates applicable. g. Receipt of money for specific sponsored Programmes is recognised on a systematic basis in the Income & Expenditure Account over the periods necessary to match them with the related costs which they are intended to compensate. Unspent balance of such receipts, if any, is carried to next year. 4. Investments a. Long term Investments are carried at cost and diminution in value, other than temporary, is provided for. b. Current investments are carried at lower of cost or fair value.

5. Fixed Assets / Depreciation and Amortization a. Fixed Assets excluding Land are stated at historical cost less depreciation. b. Freehold land is stated at cost. Leasehold land is stated at the amount of premium paid for acquiring the lease rights. The premium paid on leasehold land is amortized over the period of lease - Not Applicable to ICSI, Hyderabad Chapter. c. Depreciation is provided on the Written Down Value method at the following rates as approved by the Council, based on the useful life of the respective assets :

Depreciation on additions to Fixed assets is provided on monthly pro-rata basis. No depreciation is charged in the year of sale. e. Fixed Assets costing Rs.5,000 or less are fully depreciated. f. Library books are depreciated at the rate of 100% in the year of purchase. g. Intangible Assets (Software) are amortized equally over a period of three years. 6. Impairment of Assets The carrying amounts of assets are reviewed at each Balance Sheet date if there is an indication of impairment based on internal / external factors. The impairment loss is recognized wherever the carrying amount of an asset exceeds its recoverable amount. The recoverable amount is higher of asset’s net selling price or value in use. In assessing the value in use, the estimated future cash flows are discounted to their present value at the weighted cost of capital. 7. Inventories Inventories of Consumables, Publications, Study Materials, etc. are valued at lower of cost or net realizable value. The cost is determined on FIFO basis. 8. Provisions A provision is recognized when an enterprise has a present obligation as a result of past events; it is probable that an outflow of resources will be required to settle the obligation, in respect of which a reliable estimate can be made. Provisions are not discounted to its present value and are determined based on best estimate required to settle the obligations at the Balance Sheet date. These are reviewed at each Balance Sheet date and adjusted to reflect the current best estimates. 9. Contribution to Approved Funds Allocation /Contributions to ICSI Students Education Fund Trust, ICSI National Award for Corporate Governance, ICSI Employees Medical Hospitalization Trust, Company Secretaries Benevolent Fund, ICSI Employees Benevolent Fund, Performance-related Incentive Fund and Infrastructure Fund, Professional

Development Fund are made based on the amount as approved by the Council from time to time. 10. Allocations / Transfer to Reserves and Surplus and Earmarked Funds a. Corpus donation / donation for Building & Other Specific Fund received during the year is directly taken to such Reserve. b. Income from investment of earmarked funds is allocated to the respective earmarked funds on actual basis and the amount utilized there from is debited to such funds. 11. Old outstanding amounts under the heads of ‘Earnest Money Deposits, Retention Money, Security Deposits and Stale Cheques’ Earnest Money Deposits, Retention Money, Security Deposits and Stale Cheques remaining unpaid for more than three years after the due date for payment, wherever applicable, is treated as income. (B) NOTES TO ACCOUNTS 1. Contingent Liability - Nil 2. Prior Period Income / Expenditure - Nil 3. Capital Commitments - Nil 4. Other Commitments – A building namely “Centre of Excellence” is built at Uppal, Hyderabad and payments are made/ expenses are incurred by the Chapter on behalf of Head Office and later on these payments/ expenses are reimbursed by the Head Office. An amount of Rs 2,29,196/- is receivable from Head Office as on 31-03-2018 towards various expenses. 5. Donation in kind– Nil 6. The existing “Building Reserve Fund” has been renamed as “Building and Land Acquisition Reserve”. During the year an amount of Rs.10,00,000/- has been appropriated from the Surplus arisen out of Income & Expenditure account to the “Building and land Acquisition Reserve”. 7. Stock of Head Office The method of accounting for Stock of Publications received from ICSI, New Delhi has been changed to Consignment stock method from 1990-91. Therefore, the closing stock of publications as well as study material held on account of ICSI, New Delhi, as on 31.03.2018 have not been shown in financial statements. The Details of publications received from HO, sold/issued by chapter during the year 2017-18 and lying in stock as on 31.03.2018 are as under.

Details of Depreciation Depreciation on Fixed Assets for the year 2017-18 comprises of two components, namely (1) Depreciation at normal rates stated in Para 5(c) of Part A above, (2) Items costing Rs.5,000 or less bought during the year and depreciated at 100%. (3) Items with Written Down Value less than Rs.250 as on 01st April, 2017 was fully depreciated in the current year. Accordingly the details of computation of depreciation on fixed assets for the year 2017-18 are as under:

An amount of Rs 3,00,000/- is pending receivable from India Island Tourism out of the advance paid to them for Andaman Residential Program during the FY 2016-17. Since the cheques given by the party got dishonored and the party is not responding, legal case was filed against the vendor with the Honorable Additional Chief Metropolitan Magistrate, Nampally dated 01st September, 2017 vide CC No.3084/2017. Later the case was transferred to Erramanzil Court vide CC No.201/2018.

11. Amount of Rs.10,30,526 /- receivable from Head Office as on 31st March, 2018 is subject to confirmation from Head Office. 12. Fixed Deposits of Rs.1,63,81,964/- having maturity period of less than one year from 31st March, 2018 are classified under Current Investments and remaining fixed deposits of Rs.1,27,77,349/- are classified under Non Current Investment. 13. Amounts are collected from members towards APS. These amounts are transferred to respective programmes as and when the respective member attends the programme. 14. TDS of Rs.2,56,415 has been deducted on interest received on FD’s with SBI which includes the Rs.1,04,576 towards TDS on previous years interest on FD No.62104054174, which was deducted by bank during FY 2017-18. 15. Surplus amount of Rs.7,02,400 from and out of SIRC PCS Regional Conference, which was conducted by the ICSI Hyderabad Chapter has been considered as income of the chapter has per the SIRC Council meeting decision. 16. Previous year figures were regrouped and represented to suit to the new format of financial statements. Figures have been rounded off to the nearest Rupee.
