To: All the Members of the Federation:

101 Annual General Meeting Thursday, the 19th July, 2018 at 3.00 p.m. at K. L. N. Prasad Auditorium, Registered Office, Red Hills, Hyderabad Notice is hereby given under Article 28 of the Articles of Association of the Federation that the 101 Annual General Meeting of The Federation of Telangana and AndhraPradesh Chambers of Commerce and Industry (the ‘Federation’) will be held on day, date, time and venue mentioned above to transact the following business: A. ORDINARY BUSINESS : 1. To receive, consider and adopt the Annual Report consisting of Managing Committee’s Report, Financial Statement, together with the Auditor’s Report and any other statement, as required by the Companies Act, 2013, and Rules made there under, of the Federation for the financial year ending 31st March, 2018 2. To announce the appointment of the President as per Articles 28(1)(b) and Senior Vice-President for the year as per Article 15(5) of the Articles of Association of the Federation 3. To elect members (15) of the Managing Committee from amongst the valid nominations received as per the Article 15(8) of the Articles of Association of the Federation 4. To appoint Statutory Auditors to Audit the Accounts of the Federation for the year 2018 – 2019 and to fix their remuneration. B. ANY OTHER BUSINESS: Any Member of the Federation may give Notice to the Secretary General not less than fourteen days (exclusive of the day on which the notice is given and the day of the meeting) prior to the date of the Annual General Meeting of any business that the Member desires to be considered at the Annual General Meeting, as per Article 28(2). The surplus earned during the Financial Year 2017-18 is Rs. 9894178 as against Rs.-2751460 (deficit) in the previous year 2016-17. FUTURE OUTLOOK & THE STATE OF THE FEDERATION AFFAIRS FTAPCCI is in the process of opening Branch Offices at regional level in the State of Andhra Pradesh to cater to the needs of its members in Andhra Pradesh. NUMBER OF MEETINGS OF THE MANAGING COMMITTEE The Managing Committee duly met 13 times on 14/07/2017, 26/07/2017, 18/08/2017, 22/09/2017, 27/10/2017, 17/11/2017, 23/12/2017, 19/01/2018,16/02/2018, 16/03/2018, 20/04/201818/05/2018 and 08/06/2018 in respect of which meetings, proper notices were given and the proceedings were properly recorded and signed in the Minutes Book maintained for the purpose. MANAGING COMMITTEE MEMBERS’ RESPONSIBILITY STATEMENT: Pursuant to the requirement under Section 134 of the Companies Act, 2013 with respect to the Managing Committee Members’ Responsibility Statement, it is hereby confirmed: i. That in the preparation of the annual accounts for the financial year ended 31st March 2018, the applicable accounting standards had been followed along with proper explanation relating to material departures. ii. That the Managing Committee Members had selected such accounting policies and applied them consistently and made judgments and estimates that were reasonable and prudent so as to give a true and fair view of the state of affairs of the Federation at the end of the financial year and of the profit or loss of the Federation for the year under review. iii. That the Managing Committee Members had taken proper and sufficient care for the maintenance of adequate accounting records in accordance with the provisions of the Companies Act, 2013 for safeguarding the assets of the Federation and for preventing and detecting fraud and other irregularities; iv. That the Managing Committee Members had prepared the accounts for the financial year ended 31st March 2018 on a ‘going concern’ basis. v. The Managing Committee Members had devised proper systems to ensure compliance with the provisions of all applicable laws and that such systems are adequate and operating efficiently.

AUDITORS M/s Nataraja Iyer & Co., Chartered Accountants bearing Firm Registration Number 002413S Statutory Auditors of the Federation, who retire at the conclusion of the ensuing Annual General Meeting, have confirmed their eligibility and willingness to accept office, if reappointed. The Federation has also received a confirmation from them under Section 139(1) of the Companies Act, 2013. There are no observations or adverse remarks made by auditors during the financial year 2017-2018. CHARGES The Federation has not created any charge on its assets FIXED DEPOSITS The Federation has not accepted any fixed deposits during the year under review. PARTICULARS OF LOANS, GUARANTEES OR INVESTMENTS UNDER SECTION 186: NIL PARTICULARS OF CONTRACTS OR ARRANGEMENTS: Nill INSURANCE: The Properties and assets of the Federation are adequately insured. INTERNAL CONTROL: The Federation has a proper and adequate system of internal control to ensure all the assets are safeguarded and protected against loss from unauthorized use or disposition and the transactions are authorized, regarded and reported correctly. The internal control is supplemented by an extensive program of monthly audits, review by management and procedures. The internal control is designed to ensure that the financial and other records are reliable for preparing financial statements and other data, and for maintaining accountability of assets. Normal forcible risks of the Federation’s Assets are adequately covered by comprehensive insurances THE CONSERVATION OF ENERGY, TECHNOLOGY ABSORPTION, FOREIGN EXCHANGE EARNINGS AND OUTGO: The Federation has taken adequate measures to conserve energy by continuous monitoring and effective use of energy, which is continuous process. i. Capital investment on energy conservation equipment: Nil

DISCLOSURE UNDER THE SEXUAL HARASSMENT OF WOMEN AT WORKPLACE (PREVENTION, PROHIBITION AND REDRESSAL) ACT, 2013 The Federation has in place an Anti Sexual Harassment Policy in line with the requirements of The Sexual Harassment of Women at the Workplace (Prevention, Prohibition & Redressal) Act, 2013. Internal Complaints Committee (ICC) has been set up to redress complaints received regarding sexual harassment. All employees (permanent, contractual, temporary, trainees) are covered under this policy. The Management has not received any complaint of sexual harassment during the year 2017-2018. PERSONNEL The Federation has enjoyed cordial relations with its employees during the year under review and the Managing Committee appreciates all the employees across the cadres for their dedicated service, and looks forward to their continued support and higher level of productivity for achieving the targets set for the future. One Day State Level Seminar on “Scope and Emerging Trends in Food Processing Industry” - 28th April, 2017 – FTAPCCI Auditorium, Federation House Sri Ravindra Modi, President, FTAPCCI in his welcome address said that Food processing sector provides a vital linkage between the agriculture and industry. Bankers Conclave on “Financial Opportunities for MSME Sector” –28th & 29th July, 2017 - FTAPCCI Auditorium, Federation House Sri Etela Rajender, Hon’ble Minister for Finance & Planning, Government of Telangana inaugurated the Conclave. The Conclave was supported by State Bank of India, Central bank, Andhra Bank, Syndicate Bank and SIDBI. Sri Gowra Srinivas, President in his welcome address said that Conclave was a platform to create awareness of financial schemes among MSME and providing opportunity to bankers to showcase their products and have one to one interaction. One of the Amendments is that only content is supplied by the publisher and the physical inputs including paper used for printing belongs to printer also comes under the purview of Supply of Service. After detailed discussion on the issue, it was decided to meet the Commissioner - Central Tax, Central Excise & Service Tax Sri. M. Srinivas, IRS to apprise the issue personally. Meeting with Sri M. Srinivas, IRS, Commissioner of Customs and GST Committee, Hyderabad-III Commissionerate – August 29, 2017 - Commissioner’s Chamber, Basheerbagh, Hyderabad Sri Abhay kumar Jain, Chairman, GST & Customs Committee, Sri Rama Krishna P Musunuri- Member of the Managing Committee, FTAPCCI, Sri Narendra – MD, Pragati Offset Pvt Ltd and others met the Commissioner at his chamber and apprised that where printer used their own physical inputs (Paper, board, flex, vinyl etc.) is to be treated as supply of goods because when a printer exports the printed products manufactured by them he would have to quote the HSN code for the same in the shipping bill. Globally the products of printing industry are classified by the Chapter 49 of HSN. After detailed discussion on the issue, the Commissioner advised the representatives of printers to send a letter in writing for clarification from the department.

Sri Vijay Venkatesh, Syscon Solutions Private Limited explained about the importance of adoption of ERP (Enterprise Resource Planning) for MSMEs. Shri V. Referring to the Conclave, Sri Venkatesam said that the conclave would highlight Telangana as a tourist destination and aims to give a push to business to business category in tourism. The delegation appraised the concept of forthcoming Telangana Tourism Conclave 2018 to be held from 28-30th June, 2018 at Hotel Marriott, Hyderabad. Sri B. Venkatesam, IAS Secretary, Tourism department, Government of Telangana leading the discussion stated that the State Tourism Department is participating in the Conclave. Sri Valmiki explaining the concept informed that the Conclave consists of knowledge sharing session on the tourism sector and there would be Business to Business Meetings wherein other State Tourism Boards and few of foreign Tourism Boards and travel companies would be taking part. GENERAL FTAPCCI jointly with Rotary Club of Hyderabad and Twin Cities Forum organized a Joint Meeting to celebrate the eve of 71st Independence Day - 14th August, 2017 – FTAPCCI Auditorium, Federation House, Hyderabad.

Sri Gowra Srinivas, President, FTAPCCI mentioned that Dr. Subba Rao’s appointment as RBI Governor in 2008 was coincident with the outbreak of the Global Financial Crisis and he had safely stewarded Indian economy through the financial crisis. He informed that FTAPCCI was constantly striving to support both the Governments in taking proactive business friendly measures. Dr. Duvvuri Subba Rao, Reserve Bank Governor 2008-2013 stated that India needs to up its investments in the manufacturing segment. Though the Government was taking up many reforms, the growth happening so far has not resulted in creation of significant number of jobs. While agriculture continued to be the biggest employment creator, the productivity has been low. Speaking on ‘India -Will the elephant start dancing?’, Dr. Duvvuri Subba Rao mentioned that we need to invest more than 10 per cent of the GDP in infrastructure creation. We are not even doing two per cent. Agriculture in the country is besieged with poor production, poor credit

There are no price signals for the farmers, which is a trait of deeper developed markets. He stressed that the focus should be on improving the education outcomes, skills and employability. He lauded the mid- day meal that is helping millions. Rtn. J. Dr Sanjaya Baru, Secretary General, FICCI addressed the gathering. Sri Gowra Srinivas, President, FTAPCCI said that 2017 seems to be the most challenging year for the Indian economy in its 70 years of independence. Growth has slowed down in recent years and several challenges remain unsolved. The state of the economy is much in discussion these days. The recent resurgent GDP growth rates had earned India the tag of fastest growing economy, But, it reversed in the past three quarters. Much of the criticism seems to be centered on the effects of demonetization, its apparent failure to curb black money, and the teething troubles of the GST. Dr Sanjaya Baru, Secretary General, FICCI, said that the domestic manufacturing sector was lagging behind other nations. He expressed concerns over the drop in investments, while adding that this could further impact the performance of industry and business as well. He mentioned that Investors sentiment to invest in ‘Home India’ will change the fate of Indian Business. Businessmen are more comfortable investing outside India and they are not confident about the future of their investments in the country. He said there is a need to restore confidence among the private investors to boost private investments in the country. Unless the investors within the country do not invest, it will be difficult to convince foreign investors to pump money into India, he opined. Awareness Programme on The Sexual Harassment of Women at Workplace (Prevention, Prohibition and Redressal) Act 2013 - 9th February, 2018 – J.S.Krishna Murthy Hall, Federation House, Hyderabad.

Shri C. Niranjan Rao, Advocate - High Court, spoke on main features of The Sexual Harassment of Women at Workplace (Prevention, Prohibition and Redressal) Act, 2013. He explained the background behind the enactment of the Act; and the objectives of the Act. Earlier, Sri Arun Luharuka, Sr. Vice President, FTAPCCI in his welcome address stated that the crime rate was increasing day by day. He opined that sexual harassment at workplace was a serious impeding factor that makes women’s participation in productive activities unsafe there by keeping them away. Ms. Bhagwati Devi Baldwa, Chairperson, FTAPCCI Women in Business Committee spoke on the occasion. She opined that it was not only important to create awareness among women about the Act, but also necessary to make men aware of this Act.

3. A Panel of Consultants for Business Development was constituted for extending the services (GST, IEC, Company Formation, etc.) at a discounted price to the members. This was also communicated to the prospective members, to enthuse them to take membership of FTAPCCI. 4. A distinction between member and non-member fee for the events was made, so that members feel that they are being offered with discount. 5. Explored tie-ups with service providers (Airlines, Newspapers, Hospitals, Hotels, Shopping malls, etc.) to enhance the presence in trade, commerce and industry.

REPORT ON THE SVC & SLC MEETINGS HELD BY THE COMMISSIONER OF INDUSTRIES, TELANGANA AND ANDHRA PRADESH RESPECTIVELY. Meetings of the Scrutiny and Verification Committee (SVC) held during April 2017 to March 2018 - Commissionerate of Industries, Government of Telangana,: Nine meetings of Scrutiny and Verification Committee ( 31/5/17, 22/8/17, 23/10/17, 08/11/17, 13/12/17, 10/01/18, 31/ 01/18, 20/2/18, 14/3/18) were held during the year April 2017 to March 2018, for recommending the applications received for sanction of Incentives under IIPP 2005-10, 2010-15, T-IDEA & T-PRIDE policies. The SVC Members have scrutinized and verified the applications received during the period for sanction of Investment Subsidy, Reimbursement of Stamp Duty, and Registration charges, Power Cost, Sales Tax and Pavala Vaddi etc., and all applications except few, were approved for recommendation to the State Level Committee. Meetings of the State Level Committee (SLC) Committee held during April 2017 to March 2018 - Commissionerate of Industries, Government of Telangana,: Total of Nine Meetings of State Level Committee (SLC) (22/6/17, 12/9/17, 23/10/17, 08/11/17, 13/12/17, 10/01/18, 31/ 01/18, 20/2/18, 14/3/18) were held during the year April 2017 to March 2018. Claim applications for sanction of incentives under IIPP 2010-15 and new industrial policy 2014-19 (T-IDEA, T-PRIDE) scrutinized & recommended by the SVC were approved for sanction of incentives. Status of Release of Incentives and Budget Details: As on 12th March 2018, total of Rs. 1255.58 crore of sanctioned amounts towards power subsidy, Pavala Vaddi, Investment Subsidy, Sales Tax, Stamp Duty, Land Cost, Land Conversion, Mortgage Duty, Skill Up Gradation was pending for release to 7179 eligible units in the State belonging to General Category. An amount of Rs 547.83 crore of sanctioned amounts was pending for release to 10,342 units belonging to SC/ST Category. The total amount of pending amount for release is Rs. 1793.41 crore as on 12th March 2018. The government of Telangana allocated Rs. 629.90 crore towards budget for industrial promotion for the year 2017-18. (incl SC/ST budget) but LOC was issued to the extent of Rs 256.59 crore only. Another Rs 347.29 crore for which BRO was issued towards industrial promotion were lapsed due to non issuance of LOC by the Finance Department. Meetings of the Scrutiny and Verification Committee (SVC) - Commissionerate of Industries, Government of Andhra Pradesh: A total number of seven SVC meetings (14/9/17, 31/10/17, 14/11/17, 24/12/17, 22/01/18, 13/02/18, 15/03/18) were held during the year April 2017 to March 2018, by the Member Convener, SLC, at the Office of the Commissioner of Industries, Mutyalampadu, Vijayawada. 464 units of large and mega industries applied for 1147 claims for incentives over Power, Investment, Interest, Stamp Duty, and Tax subsidies and all the claims are verified and sent for the approval of SLC. Meetings of the State Level Committee (SLC) - Commissionerate of Industries, Government of Andhra Pradesh: A total no of Six SLC meetings, i.e. 14th SLC to 19th SLC (10/8/17, 21/11/17, 29/12/17, 25/01/18, 16/02/18, 20/03/18) were held during the year April 2017 to March 2018 at the conference hall, Office of the Commissioner of Industries, Mutyalampadu, Vijayawada.

1147 claims of 464 large and mega units were resolved and the SLC trough these meetings sanctioned an amount of Rs 1113.76 Cr. as incentives. All the claims by the MSME units are being dealt by the DIC’s and being sanctioned there itself, the claim process has been decentralized and digitalized and is done online trough APINDUSTRIES portal. Meeting of the MSME Sub-Committee of Telangana - 11th January, 2018 - Local Head Office, State Bank of India, Bank Street Koti, Hyderabad, Telangana The meeting was chaired by Sri KT Rama Rao, Hon’ble Minister for Industries & Commerce. Sri Swaminathan J, Chief General Manager, SBI & President SLBC, Telangana. Dr. B Yerram Raju, Advisor to M/s Telangana Industrial Health Clinic Limited (M/s TIHCL) said that TIHCL promoted by Government of Telangana has received the NBFC approval and explained the salient features of the company. Hon’ble Minister suggested that monthly Town Hall meetings be held at the district level as there is no mechanism to receive the grievances of MSE borrowers After disbanding of SLIIC Sub Committees. It was informed by the Convener that NPAs in Government Sponsored Schemes were varying from 1% to 55% depending up on the schemes. A study was to be conducted by the Government of Telangana on NPAs position in different Government Sponsored Schemes. Hon’ble Minister welcomed the suggestion and advised the Commissioner of Industries to thoroughly examine the issue by taking the required data from Reserve Bank of India. Meeting of the 49th Empowered Committee (EC) on MSMEs of Andhra Pradesh for the quarter ended September 2017 - February 09, 2018 - Hotel Fortune Kences, Tirupati, Andhra Pradesh. The EC had deliberated several issues faced by the MSME entrepreneurs and reviewing the functioning of committees constituted under the framework for rehabilitation and restructuring of MSMEs. The members were informed of results of a study conducted by RBI to ascertain the levels of financial literacy among the MSMEs. A cluster based approach was followed and a total of 1943 enterprises were surveyed for this purpose. A total of 1943 enterprises were surveyed for the analysis. Out of these units, 47%, 46% 7% were micro, small and Medium enterprises respecitvely. The major findings of the survey highlighted the need for financial literacy among the MSMEs enterprises, specially the micro enterprises. Shri Jagannadh Swamy, AGM, SLBC, made a presentation on credit flow to MSME sector for the quarter ended September 2017. Meetings of Telangana State Minimum Wages Advisory Board (TSMWAB): The Telangana State Minimum Wages Advisory Board held four meetings during the year April 2017 to March 2018. In the 2nd Board Meeting, it was suggested by the Employees’ Representatives that of the 34 Scheduled Employments sent to the Government for final notifications, 9 Schedules were calculated at 1169 CPI Points and others were calculated at 1286 CPI Points. Hence it was requested to resend those 9 schedules by revising the Minimum Wages at 1286 CPI Points. In the 3rd and 4th Meetings of the Board, another 24 Scheduled Employments were taken up for revision of minimum wages. The employees’ representatives have suggested for Rs 15000 as revised minimum wage for unskilled workers in all the Schedules. This was opposed by Employers’ representatives stating that the Board has no jurisdiction to change the Schedules and also to recommend uniform minimum wages across all the Schedules. Apart from Revision of Minimum Wages the other issues that were discussed are: Adding/Deleting some of the designations, implementation of Zonal System for fixing the minimum wages in all the Schedules (currently Zonal System is followed in 14 employments), incorporation of new schedule of employments (FTAPCCI has given

64 The Federation of Telangana and AndhraPradesh Chambers of Commerce and Industry representation to create new schedule for Food Processing Industry), and De-notification of employments such as Slate, Betel Nut, Salt Pan, Tea Plantation etc as their presence in Telangana State is either Zero or marginal. The government of Telangana, so far, has not finalized the revision of minimum wages for any schedule of employment Government of Andhra Pradesh - 22nd Meeting of the Land Alienation Sub Committee – 28th June, 2017 - Commissionerate of Industries, Vijayawada. Out of 73 cases towards allotment of land, 67 cases of APIIC were considered and approved and directed for identification of lands for establishment of Industrial Parks in the Districts of Andhra Pradesh. Another 6 cases were related to individual. Among the 6 cases, 3 were approved and another 3 were kept pending for requirement of necessary documents. Fair/Exhibition Committee Meeting of MSMEO/o. MSME,Balanagar, Hyderabad -12th July, 2017 With a view to encourage the manufacturing units of MSMEs towards their participation in International Trade Fairs under Marketing Development Assistance Scheme for Developing/International Marketing, the meeting was called and recommended a few MSMEs to the various International Trade Fairs. Meeting of Commissioner of Civil Supplies with the Sugar Dealers. – August 18, 2017 – C.S. Bhavan, Hyderabad The Commissioner of Civil Supplies and other officials of the Department, and Dealers of Sugar, Retail and wholesale merchants have attended the meeting. The Commissioner said that recently the Government of India has pointed out that there is price crisis on sale of Sugar in the States. The President and Treasurer of the Sugar Dealers Association said that there is no price crisis in Telangana State. The retail price of the Sugar is at Rs.38 to 40 only. Good quality sugar is Rs.40. In the festival days it may be Rs.42/- which will be sold by the Retailers. Hardly 5 to 6 Sugar Mills are running in Telangana State and they are also facing some problems. One of the departmental officer pointed out that one dealer at Mukthyar Gunj was found selling the sugar but on verification, it was found that he was not having license. The dealers said that all sugar dealers at Mukthyar Gunj, Kishan Gunj and Begum Bazar having Licenses. The person who was selling without license may not be the Association Member. The Commissioner said that the Government of Telangana has issued a Gazette Notification under “The Telangana Sugar Dealers (Licensing Storage and Regulation) Order, 2016” on August 26,2016 instructing all the Sugar Dealers to obtain fresh license. The Association members said that the departmental authorities have not brought to their notice. The Commissioner instructed concerned officer to communicate the Gazette Notification to all the Dealers. Public hearing on additional cross-subsidy surcharge on Open Access Consumers for the year 2017-18 – October 11, 2017 – TSERC Bhavan TSERC has conducted public hearing on the proposal of imposition of additional cross- subsidy of 1.95 paisa per unit on Open Access Consumer under TSSPDCL and TSNPDCL. FTAPCCI objected to the claim of additional surcharge under the grounds of non- maintainability of petition, errors in the computations, and imposition of disproportionately high demand charges on the industrial consumer. It is prayed to reject the petition in absence of requisite data and information to establish that there is stranded capacity due to open access consumers. Ms Sujatha appeared before the Hon’ble Commission and presented the objections. Meeting of the Telangana Tourism Department – November 03, 2017 – Plaza Hotel, Hyderabad The Meeting was held with regard to preparation of action plan for Draft Inception Report on Telangana 2014 ( the First Decade document). Several suggestions on the various tourism related issues were given during the meeting which includes Inter State Road Tax, Excised Duty and GST , skill training to the tourist guides, food and refreshing facilities on wayside and tourist places such as Nagarjuna Konda, preparation of calendar of events in advance, to involve all the stake holders in all the programmes and events of the Department; to bring out a Brochure on Hyderabad city and to have monthly News letter; promotion of MICE and Leisure Tourism in the State. All the representatives requested for one more meeting with sufficient time so that concrete suggestions could be given to the Department. FTAPCCI AND APSMA stressed that since 80% of ARR arises out of Power Purchase Costs there is no scope to reduce HT TARIFF unless economies are derived by higher PLF (85%) for reducing fixed and variable costs in power purchase.They have stated that the ARR should also include their “TRUE UP “ Petition ,else a true picture of the DISCOMS will not be clear. JMD APTRANCO who presented the ARR stated that they have not proposing increasing tariff but proposes a CSS and Additional CSS for open access. Telangana State Micro and Small Enterprises Facilitation Council Meeting – January 20, 2018 – Commissionerate of Industries, Chirag Ali Lane, Hyderabad 73 cases for claim of delayed payments by the buyers were heard. 7 cases pertaining to Rural Water Supply department of various districts in Andhra Pradesh were instructed to clear the dues by the end of March. 10 cases were referred to Arbitration due to failure to conciliate, and remaining cases were posted for next hearing. State Advisory Committee of Telangana State Electricity Regulatory Commission Meeting – January 27, 2018 – Singareni Bhavan, Hyderabad The Hon’ble Commission heard the objections/suggestions on proposals of Telangana DISCOMs on ARR and Retail Supply Tariffs and also Cross Subsidy Surcharge and Additional Surcharge for open access consumers for the yr 2018-19. Few major issues like Revenue Gap in ARR, lack of government commitment on subsidy amount, irrational power purchase agreements and passing on the fixed costs burden of Generators and Distributors in toto on to the consumers were brought to the notice of the Hon’ble Commission. Sri Vijaya Gopal Reddy and Smt. Sujatha attended the meeting. Public Hearing on ARR and retail supply Tariffs, Cross Subsidy Surcharge and Additional Surcharge proposals of AP DISCOMs for the yr 2018-19 – February 07, 2018 – Vijayawada Mr. Saurabh Srivastava form Meracados Energy Markets presented the objections on the proposals on behalf of FTAPCCI. The major objections were on: Non Adherence to MYT Regulations, non adherence to NTP, imposition of ‘additional surcharge’ When seen from the perspective of eligible power purchase sources, the DISCOMs may not be having any stranded fixed cost obligation, errors in energy sales estimates, inconsistencies in the claims made by the DISCOMs about power purchase costs etc.. Apart from the above objections on ARR proposals, Smt Sujatha, Deputy Director requested the Hon’ble Commission to take notice of two issues affecting the MSME sector: 1. that the contracted load limit of 100 HP of LT III Industry Category is causing huge financial loss to the MSMEs, more so to micro and small units, because those who are with more than 100 HP are considered as HT I Industry category for billing purpose, making it mandatory for them to pay demand charges for minimum 80% of contracted load. Most of these units’ load factor will be 40 to 50% of their contracted load. Requested to revive the LT III B category or increase the limit up to 200 – 250HP for LT III Industry category. 2. to reduce the tariff rate difference between the 33 KV and 132 KV, as it is exorbitantly high at 43 paise where as the difference in the cost to supply is only 13 paise. Climate Change Adaptation Committee Meeting – February 22, 2018 – Telangana Secretariat, Hyderabad The President attended the meeting. Members from TSPCB and other organizations have also attended. The GIZ authorities have placed Objective and Indicators of the CCA-Project.

1. Report on the Financial Statements We have audited the accompanying financial statements of Federation of Telangana & Andhra Pradesh Chamber of Commerce and Industry (Formerly Federation of AP Chamber of Commerce and Industry) (“the Federation”), which comprise the Balance Sheet as at 31st March, 2018, the Statement of Income and Expenditure and the Cash Flow Statement for the year then ended, and a summary of the significant accounting policies and other explanatory information. 2. Management’s Responsibility for the Financial Statements and for Internal Financial Controls over Financial Reporting The Federation’s Managing Committee is responsible for the matters stated in Section 134(5) of the Companies Act, 2013(“the Act”) with respect to the preparation of these financial statements that give a true and fair view of the financial position, financial performance and cash flows of the Federation in accordance with the accounting principles generally accepted in India, including the Accounting Standards specified under Section 133 of the Act, read with Rule 7 of the Companies (Accounts) Rules,2014. This responsibility also includes maintenance of adequate accounting records in accordance with the provisions of the Act for safeguarding of the assets of the Federation and for preventing and detecting frauds and other irregularities, selection and application of appropriate accounting policies, making judgments and estimates that are reasonable and prudent, and design, implementation and maintenance of adequate internal financial controls, that were operating effectively for ensuring the accuracy and completeness of the accounting records, relevant to the preparation and presentation of the financial statements that give a true and fair view and are free from material misstatement, whether due to fraud or error. The Federation’s management is responsible for establishing and maintaining internal financial controls based on the internal control over financial reporting criteria established by the Federation considering the essential components of internal control stated in the Guidance Note on Audit of Internal Financial Controls Over Financial Reporting issued by the Institute of Chartered Accountants of India. These responsibilities include the design, implementation and maintenance of adequate internal financial controls that were operating effectively for ensuring the orderly and efficient conduct of its business, including adherence to Federation’s policies, the safeguarding of its assets, the prevention and detection of frauds and errors, the accuracy and completeness of the accounting records, and the timely preparation of reliable financial information, as required under the Act. 3. Auditor’s Responsibility Our responsibility is to express an opinion on these financial statements based on our audit and to express an opinion on the Federation’s internal financial controls over financial reporting based on our audit. We have taken into account the provisions of the Act, the accounting and auditing standards and matters which are required to be included in the audit report under the provisions of the Act and the Rules made thereunder. We conducted our audit in accordance with the Standards on Auditing specified under Section 143(10) of the Act and the Guidance Note on Audit of Internal Financial Controls Over Financial Reporting. An audit involves performing procedures to obtain audit evidence about the amounts, the disclosures in the financial statements and adequacy of the internal financial controls over financial reporting and their operating effectiveness. Our audit of internal financial controls over financial reporting included obtaining an understanding of internal financial controls over financial reporting, assessing the risk that a material weakness exits, and testing and evaluating the design and operating effectiveness of internal control based on the assessed risk. The procedures selected depend on the auditor’s judgment, including the assessment of the risks of material misstatement of the financial statements, whether due to fraud or error. In making those risk assessments, the auditor considers internal financial controls relevant to the Federation’s preparation of the financial statements that give a true and fair view in order to design audit procedures that are appropriate in the circumstances. An audit also includes evaluating the appropriateness of the accounting policies used and the reasonableness of the accounting estimates made by the Federation’s Members of Managing Committee, as well as evaluating the overall presentation of the financial statements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our audit opinion on the Federation’s financial statements and on the internal financial controls system over financial reporting. 4. Meaning of Internal Financial Controls Over Financial Reporting Federation’s internal financial controls over financial reporting is a process designed to provide reasonable assurance regarding the reliability of financial reporting and the preparation of financial statements for external purposes in accordance with generally accepted accounting principles. Federation’s internal financial control over financial reporting includes those policies and procedures that (1) pertain to the maintenance of records that, in reasonable detail, accurately and fairly reflect the transactions and dispositions of the assets of the Federation; (2) provide reasonable assurance that transactions are recorded as necessary to permit preparation of financial statements in accordance with generally accepted accounting principles, and that receipts and expenditures of the Federation are being made only in accordance with authorisations of management of the Federation; and (3) provide reasonable assurance regarding prevention or timely detection of unauthorised acquisition, use, or disposition of the Federation’s assets that could have a material effect on the financial statements. 5. Inherent Limitations of Internal Financial Controls Over Financial Reporting Because of the inherent limitations of internal financial controls over financial reporting, including the possibility of collusion or improper management override of controls, material misstatements due to error or fraud may occur and not be detected. Also, projections of any evaluation of the internal financial controls over financial reporting to future periods are subject to the risk that the internal financial control over financial reporting may become inadequate because of changes in conditions, or that the degree of compliance with the policies or procedures may deteriorate. 6. Opinion In our opinion and to the best of our information and according to the explanations given to us, the aforesaid financial statements give the information required by the Act in the manner so required and give a true and fair view in conformity with the accounting principles generally accepted in India, of the state of affairs of the Federation as at 31st March, 2018, and its excess of Income over Expenditure and its cash flows for the year ended on that date. 7. Report on Other Legal and Regulatory Requirements 7.1. As required by Section 143(3) of the Act, we report that:

(a) We have sought and obtained all the information and explanations which to the best of our knowledge and belief were necessary for the purposes of our audit. (c) The Balance Sheet, the Statement of Income and Expenditure and the Cash Flow Statement dealt with by this Report are in agreement with the books of account. (d) In our opinion, the aforesaid financial statements comply with the Accounting Standards specified under Section 133 of the Act, read with Rule 7 of the Companies (Accounts) Rules, 2014 except for subscription from members in arrears and Leave Encashment which arc accounted on cash basis. NOTE 17 A) SIGNIFICANT ACCOUNTING POLICIES 1) Method of Accounting: The financial statements have been prepared in accordance with Generally Accepted Accounting Principles (GAAP) in India, the Accounting Standards as prescribed under Section 133 of The Companies Act, 2013 read with Rule 7 of (Accounts) Rules, 2014 and the relevant provisions of the Companies Act, 2013 and are based on the historical cost convention on accrual basis. 2) Use of Estimates: The preparation of the financial statements in conformity with Indian GAAP requires management to make estimates and assumptions that affect the reported balances of assets and liabilities and disclosures relating to contingent assets and liabilities as at the date of the financial statements and reported amounts of income and expenditure during the period. Although the estimates are based upon management’s best knowledge of current events and actions, actual results could differ from these estimates. Any revision in the estimates is recognized prospectively in the year in which it arise. 3) Fixed Assets: Fixed Assets are stated at Cost of Acquisition or Construction less depreciation. Depreciation on Fixed Assets is provided based on useful life of the assets as prescribed in Schedule II to the Companies Act, 2013. The cost of Fixed Assets not ready for use is disclosed under Capital Work in Progress. 4) Employee Benefits: a. Group Gratuity: The Federation contributes to a Group Gratuity Policy with the Life Insurance Corporation of India for future payments of retirement gratuity to eligible employees other than consultants. b. EDLI: The Federation contributes to an Employee Deposit Linked Insurance Scheme (EDLI) with the Life Insurance Corporation of India. c. Provident Fund and ESI: The Federation contributes to Provident Fund and ESI at prescribed rates. d. Leave Encashment: Leave encashment is recognized on Payment. The above are charged to Statement of Income and Expenditure. 5) Revenue Recognition: a. Membership Subscription: Membership subscription is accounted on cash basis except for advance subscription received for ensuing years which is shown under other current liabilities as subscription received in advance. b. Interest Income: Interest Income is recognized on time proportion basis taking into account the accrued amount certified by the bank. c. Recognition of Sponsorships: Sponsorships for Seminars and Conferences from the Corporates/Donors is recognized, where there is reasonable assurance that the Federation will comply with the conditions attached to them and where such benefits have been earned by the Federation and it is reasonably certain that ultimate collection of the sponsorship will be made. 6) Earnings per share: Earnings per share is not applicable as there are no shares issued by the Federation. 7) Provisions and Contingent Liabilities: A provision is recognized when the Federation has a present obligation as a result of past events i.e. it is probable that an outflow of resources will be required to settle the obligation in respect to which a reliable estimate can be made. Provisions are not discounted to its present value and are

determined based on best estimate required to settle the obligation at the balance sheet date. These are reviewed at each balance sheet date and adjusted to reflect the current best estimates. A contingent liability is a potential liability that may occur, depending on an outcome of an uncertain future event. A contingent liability is recorded in the accounting records if the contingency is probable and the amount of the liability can be reasonably estimated. If both of these conditions are not met, the liability may be disclosed in the notes on Financial Statements. 8) Taxes: Provision for current taxes has been made on taxable income arising on service activity. Provision for deferred tax has not been made as there is no variation between reported and taxable profit on account of timing difference due to income tax exemption available on other income. 4) Accounting Standards to the extent applicable and relevant with reference to the transactions undertaken requiring disclosures have been considered. B) NOTES ON ACCOUNTS: 1) The Government of Andhra Pradesh in 1986 allotted the land admeasuring 2000 sq. yards situated at Jubilee Hills, Hyderabad, in lieu of the land that was earlier allotted to Federation by the Government. The said land was under unauthorized occupation by the Jubilee Hills Corporative House Building Society and its Members. The Federation is contesting its legal right in various Courts. 2) Admission fee of Rs.7,50,364/- (Previous year Rs.6,64,356/-) and Life Membership Fee of Rs.1,89,000/- (Previous year 10,53,501/-) collected during the year from the members is credited to General Reserve. 3) Subscriptions: a. Subscriptions of Rs.1,61,38,664/- (Previous year 1,30,65,905/-) shown in Statement of Income and Expenditure comprises of subscription for Current year of Rs.1,59,25,596/- (Previous year Rs.1,29,96,281/ -) and Arrears of subscription of earlier years received during the year Rs.2,13,068/- (Previous year Rs.69,624/-). b. Rs.1,10,04,680/- (Previous year Rs.1,21,04,032/-) received during the current year towards future subscription has been shown as Subscriptions received in Advance and shown under other current liabilities. 4) The premium of Rs.2,83,368/- (Previous year Rs.17,216/-) on Group Gratuity Policy was considered as expenditure. 5) The contribution of Rs.1,17,848/- (Previous Year Rs.1,48,264/-) towards EDLI with LIC was considered as expenditure. 6) Additional information pursuant to the requirements of part II of Schedule III to the Companies Act, 2013- Nil. 7) Capital commitment (net of advance) not provided for – NIL (Previous year Rs.NIL). 8) Comparative figures of previous year have been regrouped wherever necessary.
