OFFICIALS STATEMENT OF RESPONSIBILITY

Thank you for applying and for your interest in participating in the Frontwave (Frontwave) volunteer program. The Board of Directors and/or Supervisory Committee of (Frontwave) would like to assure you that your opportunity for candidacy with Frontwave Credit Union will be based upon merit and qualifications and no other considerations. The best interests of Frontwave membership are always highest in mind.

QUALIFICATIONS FOR ALL OFFICIALS: 1. Be a member of the Credit Union in good standing (have at least $50 on deposit, or an active ). 2. Complete an Application, Statement of Consent, and Statement of Disclosure. 3. Demonstrate the ability to handle personal financial affairs and the complex dealings of a large financial institution. A credit report, which will be processed through Frontwave, will be required with an application. 4. Upon approval/appointment, you are required to complete the Volunteer Achievement Program (VAP) basic learning track (home-study course), which consists of three modules and accompanying tests, and an additional three modules, which pertain to your particular position or committee. Each module is 50 pages in length and takes approximately 2-3 hours to read and complete the open- book competency test. This program is sponsored by the Credit Union League and the Credit Union National Association (CUNA). The Chief Executive Officer’s assistant will order these modules for you. 5. In order to gain a base of knowledge for effective teamwork with management, you may complete additional VAP modules during your term of office. (e.g. Director’s Liability, Bankruptcy, Credit Union Examination, Financial Management, or others.) 6. Also added to the Board’s required training is the completion of Financial Literacy training plus other mandated courses, which are accomplished online through the Frontwave Learning Institute. 7. One year from the date of appointment to the Board or date of resolution, Board Members will comply with all required training. 8. Be willing to serve without compensation. Frontwave has nine (9) Board Members and up to five (5) Supervisory Committee Members. 9. No person shall serve as a Volunteer who has been, or is an employee of the credit union, nor if any member of such person’s immediate family has been an officer, director, or employee within (5) years of application date.

THE BOARD OF DIRECTORS is responsible and liable for the overall general vision and control of Frontwave for the best interest of the members and to ensure the safety and soundness of Frontwave. Primary responsibilities include CEO relations and evaluation of his/her performance, setting policies, approving membership, reviewing operation of Frontwave through monthly statistical reports, and approving Bylaws and regularity changes as set forth by the National Credit Union Administration (NCUA) and the Department of Business Oversight (DBO). Because of the importance of their office, their fiduciary responsibilities and the liabilities imposed upon them, it is vital that each and every Board Member be willing and capable of serving on a continuing basis. A Board Member may not serve as a member of the Supervisory Committee during his term of office. This is an elected position.

Members of the Board of Directors have certain responsibilities that include, but are not limited to the following:

1. Required to attend the regularly scheduled Board meeting each month unless specifically excused by the Board Chairman. Each regular Board meeting is generally held either during the last week or next to the last week of each month, depending upon other scheduled activities. Unless notified otherwise, meetings commence promptly at 5:00 pm, generally last 1 to 1-1/2 hours and are held at: Frontwave Credit Union (Headquarters), 1278 Rocky Point Drive, Oceanside, California 92056

2. Serve on at least one committee. Committees are either standing or ad hoc. Committee selections are made by the Chairman based on the areas of interest of each Board member.

3. Comply with the calendar of Board meetings.

4. Be prepared to discuss the board packet, which will be received at least 4-to-5 days prior to each meeting.

5. Attend designated internal training sessions, Chapter meetings, Seminars, and Conferences on Credit Union-inspired topics by our trade associations or other applicable groups.

6. Attend Frontwave’s Annual Meeting.

7. Expect to display the integrity, professionalism, and concern for the members’ interests expected of this position.

8. If the Board has its full 9 members, additional volunteers can be designated as “Associate Directors,” which would be similar to a director-in-training. However, an Associate would not have a voting right on the Board, nor have the liability of a full Board Member, but would have the other benefits of a Board Member.

SUPERVISORY COMMITTEE is responsible for overseeing the auditing of Frontwave through a third party auditor, to have the account of all members verified with Frontwave records, to review Frontwave’s policies and procedures and assure that they are carried out faithfully, and that members’ concerns are promptly addressed and resolved. Committee members will attend meetings held at least quarterly or when directed by the Chairman of the Committee, as well as Board of Director’s meetings, if so requested. The Director – Audit and Compliance is designated to assist the Committee in conducting their functions. If the Committee has its full 5 members, additional volunteers can be designated as “Associate Committee Members”, which would be similar to a Committee member-in-training. However, an Associate would not have a voting right on the Committee, nor have the liability of a full Committee member, but would have the other benefits of a Committee member. No member of the Supervisory Committee shall serve as the credit manager or as a member of the Board of Directors of the Credit Union during their term on the Committee. This is an elected position.

If you are chosen to fill an open position prior to the next annual meeting and election, you will be appointed to that position until the next annual meeting and election.
