    MEDIA SECTOR REVIEW Dog Days Of Summer Already? INSIDE THIS ISSUE It seems that investors in media stocks are already affected by the “dog days of Outlook: Traditional Media 2 summer.” Media stocks have drifted after a strong first quarter performance. (See TV 3 details later in the report). We believe that the performance relates to concern over the Radio 4 general macro-economic environment, including slowing auto sales. In addition, there has been a fairly lackluster M&A environment, aside from some announced, high profile Publishing 5 mergers including Entercom and CBS Radio and Sinclair and Tribune Media. We believe Industry M&A Activity 6 that there is a heightened M&A environment emerging and will build in the second half 2017. In our view, the prospect of the FCC lifting in-market rules, which will allow a Outlook: Internet and Digital Media 7 TV broadcaster to own two of the big four Networks, and a lift in the ownership caps, Digital Media 9 both will be a catalyst for heightened M&A activity. This is a very important question for Dispatch and for the American public. The answer is provided by the Spectrum Act1 and by the essential policy goal of not depriving viewers of access to free, over-the-air television service. A repacking process that fails to replicate the stations’ coverage areas and populations served would harm these viewers, would harm Dispatch’s stations, and would violate the requirements that Congress set forth in the Spectrum Act. Dear Ms. Dortch: The American Cable Association (“ACA”) has previously brought to the Commission’s attention the widespread and increasing consolidation in the local television station marketplace, particularly the rising prevalence of separately owned, same market Big 4 network affiliates (e.g., ABC, CBS, FOX, NBC) coordinating their activities in ways that are harmful to competition and consumers. ACA submits this letter in the above referenced dockets now in light of the significant number of recent broadcast television mergers and acquisitions and sharing agreements, which present fresh evidence highlighting how broadcasters effectively ignore the Commission’s prohibition on duopoly ownership between top four-rated stations in the same market (usually Big 4 network affiliates), particularly through creative structuring of license transfers, followed by subsequent arrangements to coordinate activities. Taking into account deals that have closed in 2013, and those currently pending, within months there will likely be at least five new instances of top four-rated stations in a single market operating under a sharing arrangement, and the year is only half over.

    Sinclair Broadcast Group Acquisition of Tribune Media: Competitive and Regulatory Issues Updated July 18, 2017 Congressional Research Service https://crsreports.congress.gov R44892 Sinclair Acquisition of Tribune Media: Competitive and Regulatory Issues Summary On May 8, 2017, Sinclair Broadcast Group Inc. announced that it agreed to acquire the Tribune Media Company for $6.6 billion, including $3.9 billion for Tribune’s stock, and the assumption of $2.7 billion of Tribune’s debt. The transaction, if approved by shareholders and the U.S. government, would make Sinclair the nation’s largest television broadcast company, giving it access to a far larger share of U.S. households than any other television broadcaster. Both the U.S. Department of Justice (DOJ) and the Federal Communications Commission (FCC) must approve Sinclair’s transactions before they can close. The DOJ is to review the transaction to ensure that it will not substantially reduce competition. The FCC is to review whether the transaction would (1) violate FCC broadcast media ownership rules and (2) serve the public interest. The Sinclair-Tribune transaction potentially runs afoul of two FCC rules regarding broadcast ownership: local television ownership rules (sometimes referred to as the “duopoly” rules), which limit common ownership of television stations serving the same geographic region; and the FCC’s national television ownership rules, which cap the reach of a single company’s television stations to 39% of U.S. television households. Recent rule and policy changes determining how the FCC defines ownership and television household reach, however, may allow Sinclair to own and/or operate more Tribune stations than it might otherwise.
