Rotary International Mission Statement

The main objective of Rotary is service – in the community, in the workplace, and throughout the world. Rotarians build goodwill and peace, provide humanitarian service, and encourage high ethical standards in all vocations. The Rotary motto is “Service Above Self.”

The Object of Rotary

The object of Rotary is to encourage and foster the ideal of service as a basis of worthy enterprise and, in particular, to encourage and foster:

First: The development of acquaintance as an opportunity for service;

Second: High ethical standards in business and professions, the recognition of the worthiness of all useful occupations, and the dignifying of each Rotarian’s occupation as an opportunity to serve society;

Third: The application of the ideal of service in each Rotarians personal, business and community life;

Fourth: The advancement of international understanding, goodwill and peace through a world fellowship of business and professional persons united in the ideal of service.

Rotary International President Kaylan Banerjee Gujarat, India

Banerjee is a director of United Phosphorus Limited, the largest agrochemical manufacturer in India, and the chair of United Phosphorus (Bangladesh) Limited. He is a member of the Indian Institute of Chemical Engineers and the American Chemical Society, a past president of Vapi Industries Association, and former chair of the Gujarat chapter of the Confederation of Indian Industry. He earned a degree in chemical engineering from the Indian Institute of Technology, Kharagpur, in 1964. Banerjee has served Rotary as a director, Rotary Foundation trustee, committee and task force chair, International Assembly group discussion leader, president's representative, and district governor. The chair of the Southeast Regional PolioPlus Committee, Banerjee has served as a member of the International PolioPlus Committee for many years and has attended international meetings with the World Health Organization and UNICEF in that capacity. Banerjee is a Major Donor, Benefactor, and Bequest Society member, and has been awarded the Foundation's Citation for Meritorious Service and its Distinguished Service Award. Banerjee also serves as a trustee of Rotary club-sponsored trusts that support many educational and community development programs in India, including a 250-bed hospital. He noted that Rotary's strengths include its ability to attract leaders from different vocations around the world, as well as its role in promoting peace. "Rotary needs to become the preferred organization for today's generation to join and participate in, to make the world better and safer and happier," he said. Banerjee's wife, Binota, is a social worker and Inner Wheel club member. The couple have two children and four grandchildren.

To stress the importance of both membership and continued support of The Rotary Foundation, I have established the following criteria for recognition during 2011-12. These actions and criteria support the priorities and goals identified within the RI Strategic Plan, strengthen clubs, increase humanitarian service, and enhance public image.

Rotary Foundation requirements and membership requirements must both be attained for recognition. All clubs and districts that have been certified as reaching these goals will receive a certificate signed by me. In addition, the top 15 certified clubs and districts will be eligible for onstage recognition at the 2012 RI Convention in Bangkok.

Rotary International Presidential Citation Criteria for 2011-2012

Rotary Foundation requirements and membership requirements must both be attained for recognition. All clubs and districts that have been certified as reaching these goals will receive a certificate signed by 2011-12 RI President Kalyan Banerjee. In addition, the top 15 certified clubs and districts will be eligible for onstage recognition at the 2012 RI Convention in Bangkok (see details below).

Top District and Club Winners The top 15 districts and 15 clubs will be recognized onstage at the 2012 RI Convention in Bangkok, Thailand (6-9 May). To be eligible for convention recognition, districts must certify the club results and submit them to RI, along with their district results by Tuesday, 10 April 2012.

RI will then determine the 15 highest achieving districts (no more than one per zone) and the three highest achieving clubs in each of the following club-size categories (no more than one club per zone):

Club Sizes  10 members or fewer  11-24 members  25-50 members  51-100 members  101+ members

All club and district figures must be verified by Rotary International and The Rotary Foundation. To certify club achievements and make district calculations, governors should sign into Member Access on or after 31 March to draw up their club membership, monthly contribution reports for per capita achievement, and EREY eligibility report to confirm each active Rotarian’s contribution. Certification forms will be available on www.rotary.org.

RI will cover the cost of the convention registration fee, travel, lodging and reasonable meal expenses for the 2011-12 district governors of the three highest achieving districts and the 2011-12 club president of the highest achieving club from each club-size segment (five club presidents in total). Spouse or partner costs will not be covered by RI.

The remaining 12 districts and 10 clubs will be recognized on stage at convention at no cost to Rotary International (convention registration, travel, lodging and meal costs will not be covered by RI).

Club Recognition Club recognition has TWO Rotary Foundation contribution components and FOUR membership components. Clubs that meet all requirements and are certified by the district governor will receive a certificate. Clubs must submit their results to the district governor no later than 6 April 2012.

Mandatory: The Rotary Foundation (two components)  100% Annual Programs Fund participation (every active member personally contributes some amount between 1 July 2011 and 31 March 2012); and

 US $100 minimum per capita1 in club contributions to Annual Programs Fund

Mandatory: Membership (four components)  Minimum net increase of one member; and

 85% minimum retention rate2

And achievement of TWO of the following FOUR components:  2% increase in qualified women

 2% increase in qualified younger professionals (under age of 45)

 Induction of one or more RI/Rotary Foundation program alumni

 Increased diversity (e.g. classification, gender, age)

Rotary International President-elect Sakuji Tanaka Saitama, Japan

Sakuji was chairman of the Daika Company and president of the National Household Papers Distribution Association of Japan. He has also served as the vice president of Yashio City chamber of commerce. A member of the Rotary Club of Yashio since its charter in1975, he has served RI as a director, district governor, training leader, regional Rotary Foundation coordinator, and committee member. With his district he has traveled to Bangladesh where he has helped in the construction of a school building. He has also served a Rotary International Director and a Trustee for the Rotary Foundation. Sakuji is a recipient of the Service Above Self Award. He has also received the Citation for Meritorious Service and the Distinguished Service Award. Sakuji and his wife Kyoko are Paul Harris Fellows, Benefactors of the Permanent Fund, and Major Donors. In addition, he established the Endowed World Peace Fellowship for the Rotary Foundation. Sakuji and Kyoko live in Yashio, Saitama, Japan. They have been married since 1962, and have three children and six grandchildren.

Rotary International Director Noel Bajat Noel earned a BS degree in Business Administration, majoring in Finance, from the University of Southwestern Louisiana and is currently President/Chief Executive Officer and Director of Abbeville Building & Loan. He has been a member of four Rotary Clubs and is currently a member of the Rotary Club of Abbeville where he served as President in 1993-94. He served as District 6200 Governor in 1998-99. Noel is also a veteran, having served in the U.S. Navy during the Cuban Crisis. He is the recipient of the Rotary International "Service above Self" Award, the Rotary Foundation Citation for Meritorious Service and the Rotary Foundation Distinguished Service Award. Noel has served Rotary in many capacities at the District and Zone Level and has also been active at the International level of Rotary having served as a Regional Rotary Foundation Coordinator, a National Advisor to the Permanent Fund and Zone Leader/Coordinator for various Rotary International Task Forces. Noel was a Delegate to the 2004 Council on Legislation, Member of the Executive Committee for the Osaka International Institute and an International Training Leader at the 2004 and 2005 Rotary International Assembly. He has also served as a Discussion Facilitator at the 2006 Malmo- International Convention and the 2007 International Convention. Noel and Sis served as Senior Leader Sergeant at Arms to R.I. President-Elect D.K. Lee and Young at the 2008 International Convention in . He has been a guest speaker at numerous clubs, District PET's, District Assemblies, District Conferences and International Institutes in several states and in England, Japan & Canada. Noel will serve as a Director of Rotary International during the 2010-2012 Rotary years. He and his wife Sis are Major Donors, Members of the Paul Harris Society, Benefactors and Charter Members of the Bequest Society of the Rotary Foundation. They have four grown children and seven grandchildren. Sis is also an Honorary Rotarian.

Rotary International General Secretary John Hewko

Hewko is a former partner with the international law firm of Baker & McKenzie and was vice president at the Millennium Challenge Corporation, a U.S. government agency established in 2004 to deliver U.S. foreign assistance to the world’s poorest countries. During his 15 years at Baker & McKenzie, Hewko specialized in international corporate transactions in emerging markets. He participated in the establishment of the firm’s office and was the managing partner of its offices in Kyiv and Prague. While in Ukraine in the early 1990s, Hewko assisted the working group that prepared the initial draft of the new Ukrainian post-Soviet constitution and was a charter member of the first Rotary club in Kyiv. Prior to joining Baker & McKenzie, he worked for leading Brazilian and Argentine law firms and later with Gibson, Dunn & Crutcher in Washington and New York handling Latin American and project finance transactions.

In 2004, Hewko entered public service with the Millennium Challenge Corporation (MCC). As vice president for operations and compact development, Hewko had primary responsibility for managing MCC’s relationship with its 26 partner countries in , Asia, South America, the Middle East, and the former Soviet Union. During his tenure he oversaw the development, negotiation, and approval of foreign assistance agreements with 18 countries totaling $6.3 billion for projects in infrastructure, agriculture, water, sanitation, health, and education. For the past year, he has been a non-resident senior associate at the Carnegie Endowment for International Peace, where his writing has focused on international development and foreign policy issues.

Hewko is a 1985 graduate of Harvard Law School, and holds a master’s degree from Oxford University (where he studied as a Marshall Scholar) and a bachelor’s degree from Hamilton College in Clinton, New York. He speaks six languages.

Hewko and his wife, Margarita, have a daughter, Maria, who graduates this year from high school in the Washington, D.C., area.

Rotary International Foundation Chair William B. Boyd

Bill retired in 1995 as General Manager of Gordon & Gotch Magazines, Ltd., New Zealand’s largest magazine distributor. He is a Trustee of New Zealand’s Trees for Survival Trust and the June Gray Trust and has represented Rotary on the National Kidney Foundation and the Intellectually Handicapped Society. He has been an elder and Youth Leader of the Presbyterian Church and a warranted Scout Leader, and has refereed rugby union football for 31 years. He was chair of the Rotary Down Under Management Committee. Bill was awarded the Queen’s Service Order for community service in the 2007 New Zealand Honours List.

A Rotarian since 1971, Bill is a member of the Rotary Club of Pakuranga. He has served Rotary International as district governor, training leader, moderator of the International Assembly, committee member and chair, including deputy chair of the New Zealand National PolioPlus committee, assistant deputy coordinator of PolioPlus partners, task force assistant general coordinator, regional Rotary Foundation coordinator, Director, Treasurer and President of the RI Board. He is a recipient of The Rotary Foundation’s Citation for Meritorious Service and its Distinguished Service Award. He has also received a Meritorious Service Award from Rotary Down Under.

Bill and his wife Lorna live in Howick, Auckland, New Zealand. They have two sons and two daughters and 12 grandchildren.

Rotary International Supervisor Club and District Administration

Western James R. Damato, Jr.

Jim joined the Club and District Administration department of Rotary International in August 1999, after having worked for 15 years in the facility administration department of CNA Financial in , . Jim was born and raised in the Chicago area. He is a graduate of Southern Illinois University, Carbondale, with a degree in Administration of Justice and History. He enjoys reading history, historical fiction and novels of global intrigue, and biking along Chicago’s lakefront. Jim, along with the coordinator for the area, Charlene Sobczak, and their assistant Thomas Woods, are dedicated to helping you develop and maintain effective clubs in your district. Rotary International District 5440, Inc. District Governor Mary McCambridge 2011-2012

In addition to being a passionate Rotarian, Mary McCambridge is Senior Vice President and Community Relations Director for Home State Bank in the Loveland/Fort Collins markets. She has 39 years experience in the banking industry. Mary began her banking career in Illinois in 1972 and was there until 1982 when her family moved to Colorado. She joined Home State Bank in 1997. Mary is active in the community with many interests especially working with Affordable Housing initiatives in Larimer County, Habitat for Humanity. She has served on the Loveland Chamber of Commerce Board, was involved with Marketing Education and other committees for the Thompson School District. She was a board member for Loveland High Plains Arts Council for 5 years and 10 years on the show committee for Sculpture in the Park in Loveland. Mary has worked on numerous committees for United Way and participated many years in the Pacesetter programs for banks and finance. She was the Loveland Campaign Chair in 2008 for United Way of Larimer County. Mary currently serves on the Good Samaritan Advisory Board. Rotary has been a focus and a passion for Mary even before joining Rotary in 1993. She served as show coordinator of the Governors Art Show which was showcased in the bank building where she worked and loved working with the artists and Rotarians that put on the fundraising Art function each year. After attending a few Rotary meetings she was hooked and has been active in Rotary ever since. Mary is married to Jim McCambridge, a professor at Colorado State University in the College of business who is a Rotarian in the Fort Collins Breakfast Club. They have a family of five children ranging in age from 29 to 39 with six grandchildren. Mary lists her hobbies as scuba diving, snow skiing, arts, gardening, golf, music and travel as things she loves to do with her “spare” time. Mary and Jim are Paul Harris Fellows as are several of the children. Other Rotary involvement includes: teaching new member orientation, a trip to Russia to visit a sister club in Saratov where we help with an orphanage, the Russian Rotoract Club and a deaf and blind school. She visited Cali, Columbia in the spring of 2011 and met many wonderful Rotarians and Rotaractors. The Columbians are engaged in wonderful Rotary programs which hopefully we can participate with in the future. Mary and Jim have hosted and assisted with GSE and friendship teams several times. She has served on the RYLA selection committee and was senior RYLA counselor in 2007 which was an amazing week. “Rotary is truly able to accomplish so many things that countries and governments can’t.” Mary is proud to be a Rotarian and wishes all of the clubs in District 5440 a wonderful and successful year! Literacy on many levels will be a focus for this year. Not just literacy for children, but for our communities. A quote by Gene White which Mary feels embodies our Rotary mission: “Peace begins when the hungry are fed ~ and the future begins when they are educated.”

Rotary International District 5440, Inc. District Governor Elect T. Michael (Mike) Forney 2012-2013

Mike has been a member of the Rotary Club of Steamboat Springs since 2003, serving as board member, PR Committee chair and club president (2008-2009). He was named District 5440 Rotarian of the Year in 2009. He is an instructor in the district’s Rotary Leadership Institute and helped facilitate “visioning” exercises with more than a dozen clubs in the district. Mike led a Group Study Exchange Team to Australia in 2010. He was also appointed District Public Relations Chair in 2010. Mike is a Paul Harris Fellow and Rotary Foundation Benefactor. He was born and raised in Montana and became an Eagle Scout when he turned 13. He left his home in Livingston the day of his high school graduation (1959) to continue an eight-year career in radio broadcasting in Montana and Washington State that began when he was 15 years old. He earned a degree in Political Science from Eastern Washington University in 1965. Upon graduation Mike joined AT&T where he spent 18 years in public relations, public affairs and advertising in , and New York City before leaving in 1984 to form his own New-Jersey-based commercial mortgage banking. He sold the company 14 years later to a national commercial mortgage company (Paine Webber Mortgage/PW Funding), where he served as that company’s president and chief operating officer until retiring and moving to Steamboat Springs in 2003. He is past president of the Routt County United Way, founding member of Main Street Steamboat Springs, commissioner and past chairman of the Yampa Valley Airport Commission and as senior counselor in the U.S. Small Business Administration’s SCORE program. In 2005 he formed Management Dynamics, a business consulting firm. A general aviation pilot since 1962, Mike also continued his long-term involvement as a senior command pilot for the Angel Flight organization and as an on-call pilot for the Department of Homeland Defense. Mike and his wife Janet Finley, their two indoor cats and two outdoor horses reside in Steamboat Springs with a second home in “Old Town” Fort Collins, Colorado.

Rotary International District 5440, Inc. District Governor Nominee Julie Phares 2013-2014

Julie A. Phares, an Insurance agent for Insurance Associates of Estes Park has been in the Insurance Industry for over 11 years. She is been a resident of Estes Park, CO for over 30 years where she serves on several community boards. Julie has been a Rotarian since 1994. She immediately became involved in her local Rotary Club, The Rotary Club of Estes Park. In 2003 she was named Rotarian of the Year by her club and served as Club President in 2006-2007. In 2010 Julie helped charter a new evening Rotary Club in Estes Park, The Longs Peak Rotary Club. She served as the Charter Club President. During her time as President she sponsored 9 new members. Some of the club members have experienced firsthand her tireless efforts on behalf of Rotary, her willingness to learn and her approach of “appreciative leadership” encouraging all our members to be involved, accomplishing our goals while having fun at the same time. She lives and breathes the Rotary motto: “Serves Above Self.” At the District level she served as Assistant Governor 2007-2010. She was the District Trainer and helped organize RLI for the District. She serves on the District Finance & Insurance Committee. In 2005 she was named Rotarian of the Year for District 5440. She has served on the PETS committee for the past two years and was named the “Lead Trainer” for 2010 & 2011. Julie is married to Charles Phares who is a member of the Longs Peak Rotary Club. They have a family of 3 children plus one grandson. Julie lists her hobbies as golf, music, travel, snow skiing, theater, and travel. Julie Phares is a Paul Harris Society Member, Paul Harris Fellow +2, and a Bequest Society Member. Charles is a Paul Harris Fellow. Julie loves the fellowship of Rotary and the opportunity for local and International service and considers it a true honor to serve as District Governor for 5440 in 2013-2104.

Rotary International District 5440, Inc. Past District Governor Bryan Cooke 2010-2011

Bryan Cooke joined the Greeley Rotary Club GRC in January 1987. Bryan married Carolyn in September 1966. Carolyn, is a Charter Member of the 2008 Greeley After Hours Rotary Club. They are both multiple Paul Harris Fellows and have two adult children, Hilary, an equestrian in Milwaukee and Ian a singer-songwriter in Denver. Bryan served the GRC as editor of the newsletter Sparks for two years; on the Board of Directors for six years and was President in 1995-'96. During his presidency the club added 30 new members, 32 Paul Harris Fellows (PHFs), achieved 100% Paul Harris Sustaining Members and created a video history of the oldest club in the District. He served three terms as Assistant Governor (2005-2008); led a Group Study Exchange Team to District 9910 New Zealand in the spring of 2007; served as Senior Counselor for RYLA in 2006; was aide-de-camp to RI President's Carolyn & Bryan Cooke representative PDG Charlie Laine at the 2004 District 5440 Conference; served as PETS Trainer for District 5440 & the Quad-Districts. During the 1990s he chaired the District GSE and Ambassadorial Scholarship committees. As a Rotary Professor in a Developing Country (India) he worked on Health Promotion/Disease Prevention, HIV/AIDS Prevention and Eradication. In 2004 he participated in India's Polio-Plus National Immunization Days. In India he lectured at three teacher training colleges, two universities, three medical schools, and nursing & dental colleges and at Manipal Institute of Communications. He has facilitated seven Matching Grant Projects (five in India, one in and one in New Zealand). Bryan was born in Agra, India. His education includes credentials from the Universities of Aligarh, Cambridge, , Illinois & Texas. After a 35 year career at the University of Northern Colorado UNC, he retired in August 2003 as Professor Emeritus of Public Health. In 2003 UNC's Center for International Education named him International Person of the Year. In 1999 he received UNC's College of Health & Human Sciences Outstanding Service Award and in 1996 he was selected Faculty Member of the Year. In 1988 he was honored with the Celebration of Teaching Excellence Award from the Colorado Department of Education and UNC's College of Education. He coordinated the First Medical & Health Specialist Training Program for the US Peace Corps in Malaysia. He was awarded three Fulbright Fellowships, one in Australia and two in India. As a National Institutes of Health Post-Doctoral Fellow at the University of Texas Health Science Center-Houston in 1985-'86 he earned the Master of Public Health degree and completed research on Cardio- Vascular Risk Factor Reduction in Children. He has served on the Boards of the International Union for Health Promotion and Education, National Commission for Health Education Credentialing Inc., Partners of the Americas, American School Health Association & Regional Institute for Health & Environmental Leadership. He is a Life Fellow of the Royal Geographical Society and a Fellow of the American School Health Association. He enjoys the fellowship of Rotary and the opportunity for local and global service and considered it an honor to serve as Governor of Rotary International District 5440 in 2011-2012.

I have now lived in Colorado longer than I lived in my home state of Pennsylvania so can I now consider myself a native? Probably not, anyway, I have worked as District 5440’s Administrative Secretary since April, 2000. I like to play pickleball (and yes I will know who all reads this as they will ask me what this is!), hike and vacation with my family. My husband, Mark, is a Health Underwriter with State Farm Insurance Company and works at the regional office in Greeley, CO. He enjoys hiking, golf and vacationing with his family. My daughters, Marisa, Kortney, and Allyson, sure are growing up! Marisa, who was 8 years old when I started working for the District, will be a Sophomore at the University of Northern Colorado this fall. Marisa is enjoying college and when she isn’t in school, she enjoys working with the children at a small Christian daycare as her part-time job. Kortney will be in eighth grade at Frontier Charter Academy this fall, oh my, she was two when I started this position; she plays volleyball and basketball for her school. Finally, there is Ally and she was a baby when I started this position and she will be in the sixth grade at Frontier Charter Academy and she is excelling not only in school but also on her gymnastics team. Thank you to all of the wonderful District Governors I’ve worked with for allowing me to serve this District as your Admin! I hope to meet many of you throughout the year as I perform my duties. See you at all the District Conference in Estes Park, CO on June 7-9, 2012!

Donna Burrill was proposed for membership in the Fort Collins Foothills Rotary Club in 1990. Almost immediately Donna was nominated to serve on the Foothills Rotary Charitable Foundation. During her service to the charity she served as Secretary, fund raising chair and President. She is a multiple Paul Harris Fellow, Benefactor and member of the Bequest Society. She is serving Foothills for the second time as Secretary until July 2012. During her first term as Secretary and while serving as Treasurer she computerized the Club’s record-keeping and finances. She is a Past President (2006-07) of Foothills Rotary. Donna currently volunteers on the District’s training team as a facilitator for the Rotary Leadership Institute. Her Club knows if they need a hand, just ask Donna. Now she’s looking forward to facilitating in any way possible communication between the District Governor and her assigned Clubs as Assistant Governor. A native of Connecticut and graduate of the University of Connecticut, Donna is a proud Nutmegger and avid alumni of UConn. Go Huskies! Donna has been a resident of Fort Collins, CO since October 1979. She was employed by Avogadro’s Number restaurant from 1980 to 1983. The last year of that employment was as General Manager. Donna started in the insurance business in 1983 and gained her securities license in 1984. She founded Burrill Financial Services, Registered Investment Advisor, in May 1985 and offers fee-only financial planning or assistance acting as a broker for insurance and investments (securities offered thru Waterford Investor Services, Inc. member FINRA/SIPC). Her spare time is spent gardening, golfing, fly fishing, running her buddy, Ben the German Shorthair Pointer, and rooting for her UConn Huskies basketball teams.

Jane was born in Cambridge, Ohio, grew up outside Atlanta and have been in Routt County Colorado since 1995. She was a high school math teach in GA and then got into the title business once coming to Colorado, where she is currently the Escrow Manager and Senior Escrow Officer at Heritage Title Company. I am single and have a 29 year old son who lives with his family here in Routt County. Jane joined Rotary in 2003 and worked on the Steamboat Springs RC Centennial Project in 2004 and 2005, becoming really involved with other members. She has volunteered with many committees and in 2007 was named Rotarian of the Year. Jane was a Board member from 2007 - 2009, President Elect 2009-2010 and President in 2010-2011; she has just taken over as Assistant Governor and is looking forward to more fun!

Eleanore was born and raised in Bayard, Nebraska. She moved to the Jones family farm at Huntley, Wyoming when she married Chuck in 1962. Eleanore still lives at the farm and is involved in its management with her sons, Marty and Jeff. Eleanore joined the Rotary Club of Torrington in 1995. She was able to experience “Rotary in action” when she had the wonderful opportunity to travel to Russia with the District 5440 delegation that chartered the Rotary Club of Saratov on October 31, 1995. Following that trip, Chuck and Eleanore hosted several Russian agriculture students who spent summers living and working at their farm. It enriched our lives to share our American way of life, strong work ethic and commitment to serving and helping others. Eleanore served as president of the Rotary Club of Torrington in 2007-2008. She is a multiple Paul Harris Fellow and is currently a member of the District 5440 Membership Committee. She has been an elder in her church and served as president of the American National CattleWomen in 1994. She enjoys playing bridge, reading, gardening and has a passion for Rotary.

Ray is a retired police officer, working for the Garland, Texas Police Department for 22 years. He served as a patrol officer, detective and member of the Garland Police Department SWAT team. When he retired from the Garland Police Department, he and his family moved to Estes Park. Ray “unretired” and worked for the Estes Park Police Department for 6 years before finally retiring from police work altogether in 2004. Ray is currently an insurance agent for Insurance Associates of Estes Park. Ray and his wife, Cindy, have been married for 40 years, and have one daughter, Sandy. Cindy is the Medical Staff Coordinator at the Estes Park Medical Center and the pianist for the Chapel program at the YMCA of The Rockies. Daughter Sandy is a pre-school teacher at Cherry Hills Christian School. Sandy and her husband, Rob, a golf professional at The Links Golf Course, live in Highlands Ranch and have a two year old son, Austin. Austin is the pride and joy of Ray and Cindy. They believe life doesn’t get any better than being a grandparent. In his spare time, Ray enjoys playing golf as well as working on and driving his 1929 Model A Ford. Ray has been a member of the Rotary Club of Estes Park since 1996 and served as Club President in 2008-2009. Ray has chaired and served on numerous club committees during his service in Rotary and believes Rotary to be the best service club in the world. Ray, Cindy, Sandy and Rob are all Paul Harris Fellows. Ray and Cindy are both members of the Rotary International Bequest Society.

David was born in Montrose, Colorado but grew up in Golden, Colorado and attended Arvada West High School. He graduated from the University of Colorado in 1969 with a BA in Anthropology and a minor in Geology. After two years of service in the US Army between 1970 and 1971, he attended Western Kentucky University working on a Master of Public Service in park administration. Dave was offered only one meaningful job in his life and so far has managed to hand on to it long enough to receive a forty year length of federal service award from the National Park Service in May of 2010. He has served as superintendent of Fossil Butte National near Kemmerer, Wyoming since 1987, the year in which he joined the Kemmerer Rotary Club. Over the last thirty-five years he and wife Brenda have lived and worked in seven different states. Dave and Brenda who currently serves as the Lincoln County Director of Libraries are both Paul Harris Fellows. Dave served as Kemmerer Rotary Club President, 1994-1995, and Brenda served as Club President during the Rotary's Centennial year, 2004- 2005. During the Centennial of Rotary Year, Dave was Centennial Project Chairman. Dave has also served on the District Russian Project and District GSE Committees. In 2010 Dave is Chair of the new Vocational Training Team Committee for the District. At the local Club level Dave has coordinated seven Russian Rotaract summer vocational internships with the NPS since 2001 and coordinated the club's inbound hosting of four Russian Open World delegations. Over the past ten years, Dave has been a member of three Rotary service project teams to the Khvalynsk and Saratov regions of Russia. Dave and Brenda have two sons. Kyle and his wife, Jamie, live in Denver where Dave and Brenda enjoy visiting grandson David, age 8, and granddaughter Meryl , age 3. Tyler lives in Omaha and is a teacher. Both sons graduated from UW.

Scott Meier is the new AG for the Rotary Clubs in Cheyenne and Laramie. Scott is an attorney in Cheyenne with the law firm of Hathaway & Kunz, P.C., practicing in the areas of estate planning and business planning. He is licensed in Colorado and Wyoming. Scott is also a Certified Public Accountant. Scott began his service in Rotary in 1996, joining the Rotary Club of Laramie. He transferred to the Rotary Club of Cheyenne in 1998 when he moved his practice to Cheyenne. Scott served as the President of the Rotary Club of Cheyenne in 2009 - 2010. He is married to Kathy and has three boys, Michael, Patrick and Philip. Scott’s interests include bicycling, fishing, hunting and outdoor activities.

Roberta Mundell, known to all as Robin, has been a member of the Casper Rotary Club since January 8, 1996. She first volunteered for the Rotary Cares Committee. She became the club’s newsletter editor, The Rig, and won the Cecil Staver award in 2002. In 2000, she and her husband were a host family for Cher Cuadro, a Rotary Exchange student from Naga City, Philippines. Past President Deb Theriault awarded Robin “Rotarian of the Year” in 2001. She also was given the Distinguished Service Award by Past President Bill Mortimer in 2006. Robin served as the Publicity Chair for the Casper Duck Derby and received special recognition from RI Past President Jonathan Majiyagbe for the club’s centennial project publicity. Robin served as the Publicity Chairman for the District and currently is the Casper Rotary Club’s Publicity Chair. During her presidency (2006-2007), she collaborated with the President of the Five Trails Rotary Club and established a Rotaract Club in Casper. In the fall of 2010, she began working with a group to form a Wednesday morning Rotary Club, the Rotary Club of Casper – Reveille. The club will be chartered shortly. In July, Robin will begin her three year term as Assistant District Governor and assist the three Casper clubs, Douglas and Rawlins clubs. Robin, a native of North Dakota, is married to Rodney, a retired Air National Guardsman. She has a son William, a daughter and son- in-law (Janae’ and Sonny) and a granddaughter (Jordan).

Phil has been the Information Technology Manager for 23 years. Prior to that he was the field director for the forest inventory analysis program. Phil is a member of the Fort Collins Breakfast Rotary Club and was their club treasurer for 16 years. He is a past president of the club having served in the Rotary year 2006-07. Phil does volunteer work for the Food Bank of Larimer County, Education and Life Training Center in Fort Collins, the Poudre School District and Meals on Wheels. Phil has also been involved with Boy Scouts and the City of Fort Collins in their Natural Resources Board. Phil and his wife, Sara, have been married for 35 years and they have two children. His son is also a member of the Rotary Club of Fort Collins Breakfast and his daughter is a second grade teacher in Douglas County. In his free time, Phil is an avid bird and caricature carver and an amateur photographer.

Barb joined the Gillette Rotary Club in 2001 and served as President in 2008/2009. She serves on the Gillette Rotary Club Foundation Board and has chaired the Rotary Ball committee several times. She is currently on the District Membership Committee and is a facilitator for the Rotary Leadership Institute. Barb is a Past President (twice) of the Wyoming Land Title Association, a graduate of the Gillette Area Leadership Institute and has served on the Campbell County Chamber of Commerce Board since 2004. Barb is married to Don and in their spare time they enjoy camping, golfing and traveling.

Chuck was born in Rochester, NY and spent the majority of his 31 year career at Kodak and Johnson & Johnson in Sales, Marketing and Finance. He moved to Fort Collins in 2000 where he is a partner in a small Financial Services Agency. Chuck joined the Rotary Club of Fort Collins in 2001 and served as President in 2007-2008. In 2007 he was honored as “Rotarian of the Year” by District 5440 and is a multiple Paul Harris Fellow. Chuck is the District Chair for Club Visioning, a member of the District Membership Committee as well as a member of various club committees such as Fundraising, Public Relations and World Community Service. As part of the World Community Service Committee, Chuck travels to Gualan, Guatemala each year to work with the local Rotary Club on community projects. Chuck also served as President of Rocky Mountain RYLA, Chair of RYLA and YRYLA, and senior counselor at both RYLA and YRYLA. He is also on the Board of Directors of SAINT and the Board of Directors of CARE Housing in Fort Collins. Chuck and his wife Lynn have a son who lives in Castle Pines, CO and three daughters who live in New Hampshire and New York State. They also have five grandsons, two granddaughters, and one grandchild on the way.

Ken is an engineer with a long period of public service, consulting, and marketing. Ken and spouse (Joan) moved to Jackson Wyoming in 2009. David worked in the public schools first as a science teacher and coach and subsequently as a secondary school principal. David has 40 years of experience in Oregon and Wyoming and retired in June of 2010. David was a member of the Professional Teaching Standards Board in Wyoming and served as the chair of that board. In addition, David currently serves on the Crisis Intervention Services Board who goal is to prevent domestic violence and assist victims of domestic violence. David served as the President of the Cody Rotary this past year. He is married to Berta and has three married children and 5 grandchildren. David loves the outdoors, bicycling, photography, and our western way of life.

Peter was born and raised in Kansas and graduated from Wichita State University with a BFA and MFA. He was an instructor and served as Associate Dean for the Humanities and Human Services Division until his retirement in 2000. Pete continues to teach a stained glass class and assists in the art gallery at NJC. Peter joined the Sterling Rotary Club in 2001 and served as President in 2005-06. He is active in Rotary. He is on the NJC Foundation Board, the Alumni Heritage Center Committee and the Rundus Foundation. Pete continues to produce paintings, drawings and stained glass. His wife, Jeanne, helps in the glass studio and actively helps with Rotary activities. They have a son, daughter and three grandsons.

She is currently the Director of Resource Investment/Community Impact at United Way of Weld County. Susan graduated from CU with a Bachelor of Arts in 1988. History of District 5440

District #14 At the 6th Annual Convention held in Oakland, California in 1915, the District System with a District Governor for each District was adopted. The District for our area was numbered 14 and included Colorado, Montana, Utah and Wyoming. John E. Zahn of Denver was the first District Governor. The District started with four clubs: Salt Lake City #24, Denver #31, Pueblo #42 and Butte, Montana #140. Five clubs were added by Jack Zahn. The second Governor, T. Casey Witherspoon of Butte, Montana, added five clubs and was followed by George E. Relf of Salt Lake City who added seven clubs.

District #21 At the International Convention in 1918 the area was changed to include Eastern Wyoming, Colorado and New Mexico, and was renumbered the 21st District. This change reduced the number of clubs from 21 to 6. Under the next four District Governors 22 new clubs were added, bringing the total to 28.

District #7 At the International Convention in 1922, the boundaries were again changed to include Colorado, Wyoming, one county in Nebraska, and two counties in New Mexico, and the District was renumbered to #7. During the next 15 years 20 clubs were added.

District #113 In 1937 the District was renumbered the 113th, with no change in the territory. Over the next 12 years 27 clubs were added, making a total of 73 clubs in the District.

District #168 In 1950 the District was divided by an East-West line south of Littleton. The northern part retained the number 168 with 40 clubs: 23 in Colorado, 15 in Wyoming, and two in Nebraska.

District #545 The District was again renumbered in 1955 but with no change in territory. In 1975 Summit County was transferred to District 547 (Southern Colorado).

District #544/5440 At the close of the Rotary year 1986-87, District 545 had 70 clubs and approximately 5,000 members. This made the District so large that it became too large a burden for the District Governor to handle effectively. The decision of the Board of Directors of Rotary International to split District 545 into two smaller Districts was made on November 1, 1986, to become effective July 1, 1987. The new District 544 received 38 clubs; 22 (all of the clubs) in Wyoming, two in one county of western Nebraska, and 14 in northern Colorado.

During the past sixteen years that we have been a new District, we have grown from 38 to 52 clubs. The last club to be added was Rotary Club of Estes Park-Longs Peak, CO.

Founder of Rotary

Paul P. Harris

Paul P. Harris (1868-1947) a lawyer, was the founder of Rotary, the world’s first and most international service club. Rotary is an organization of business and professional leaders united worldwide who provide humanitarian service, promote high ethical standards in all vocations, and help build good will and peace in the world.

Born in Racine, Wisconsin, U.S.A. on 19 April 1868, Paul was the second of six children of George N. Harris and Cornelia Bryan Harris. At age 3 he moved to Wallingford, Vermont where he grew up in the care of his paternal grandparents. Married to Jean Thompson Harris (1881-1963), they had no children. He received an LL.B. from the University of Iowa and received an honorary LL.D. from the University of Vermont.

Paul Harris worked as a newspaper reporter, a business teacher, stock company actor, cowboy, and traveled extensively in the U.S.A. and Europe selling marble and granite. In 1896, he went to Chicago to practice law. One evening Paul went with a professional friend to his suburban home. After dinner, as they strolled through the neighborhood, Paul’s friend introduced him to various tradesmen in their stores. This reminded Paul of his New England village and it occurred to him “Why not have a fellowship composed of businessmen from different occupations, without restrictions of politics or religion?”’

On 23 February, 1905, Paul Harris formed the first club with three other businessmen: Silvester Schiele, a coal merchant; Gustavus Loehr, a mining engineer; and Hiram Shorey, a merchant tailor. Paul Harris named the new club “Rotary” because members met in rotation at their various places of business. Club membership grew rapidly. Many members were from small towns and in the Rotary club they found an opportunity for camaraderie. When Paul Harris became president of the club in its third year, he was convinced that the Rotary club could be developed into an important service movement and strove to extend Rotary to other cities.

The second Rotary club was founded in San Francisco in 1908. In August, 1910, when there were 16 clubs, the National Association of Rotary Clubs was organized. When clubs were formed in Canada and Great Britain, the name was changed to the International Association of Rotary Clubs in 1912, and was later shortened to Rotary International in 1922. Paul Harris was the first president of both the National Association and the International Association. As Rotary spanned the globe, branch offices were opened in Europe and Asia. In 1932 the Four Way Test was created. Two world wars changed the face of Rotary -- Eastern Europe was closed to Rotary until 1989 when clubs were re-established in and Hungary. In 1990, the first club was opened in the Soviet Union.

When President Emeritus Paul Harris passed away on 27 January 1947, his dream had grown from an informal meeting of four to some 6,000 clubs brought together through the service and fellowship of Rotary.

Worldwide, Rotarians lend their time, expertise and resources to a number of vocational programs, and community and international service projects. The Rotary Foundation of Rotary International carries out some US$60 million annually in international education and humanitarian programs, providing grants which save lives and improve conditions throughout the world; and sponsors international ambassadors of good will through educational awards to university students and teachers, and through international exchange of business and professional people. Today, the Rotary Foundation scholarship program is the world’s largest privately funded international scholarships program, approximately 1,000 scholarships are awarded annually. Through its PolioPlus program, Rotarians have raised in excess of US $600 million by the time the world is certified polio free.

Paul was also prominent in other civic and professional work. He served as the first chairman of the board to the National Easter Seal Society of Crippled Children and Adults in the U.S.A. and of the International Society for Crippled Children. He was a member of the board of managers of the Chicago Bar Association and its representative at the International Congress of Hague, and a committee member of the American Bar Association. He received the Silver Buffalo Award from the for distinguished service to youth, and was decorated by the governments of Brazil, Chile, Dominican Republic, Ecuador, France and Peru.

The Rotary Foundation Contribution Levels

Paul Harris Fellow

An individual who contributes, or in whose honor or memory has contributed, at least US$1,000 to The Rotary Foundation of Rotary International, is recognized as a PAUL HARRIS FELLOW. Each person who receives this recognition is presented with a commemorative certificate. A medal and lapel pin are also given to persons so recognized.

Sustaining Member

An individual who contributes US$100 annually to The Rotary Foundation of Rotary International.

Paul Harris Society

A special pin and certificate is awarded to those individuals who inform the current District Governor that they pledge to donate US$1,000 or more annually to The Rotary Foundation.

White Hat Society

A special pin is awarded to those individuals who inform the current District Governor that they pledge to donate US$5,000in one Rotary year to The Rotary Foundation.

Benefactor

A certificate and insignia is provided to anyone who notifies The Foundation in writing that provision has been made in the person’s will or makes an outright gift of at least US$1,000 to the Permanent Fund.

Bequest Society

A special crystal is awarded to those individuals who inform The Rotary Foundation that they have made a major gift commitment (US$10,000 or more) in their final estate plan. They are also recognized as major donors to The Rotary Foundation.

Major Donor

Couples or individuals whose combined personal outright or cumulative giving has reached US$10,000 or more. There are six levels, up to US$1 million or greater.

BYLAWS

ARTICLE 1. NAME AND AUTHORITY

1.1 The name of this organization shall be ROTARY INTERNATIONAL DISTRICT 5440, INC.

1.2 The authority for the organization is the constitution, the State of Wyoming and the Bylaws of Rotary International.

1.3 This organization is not for profit in every respect.

ARTICLE 2. MEMBERSHIP

2.1 All Rotary Clubs within District 5440, as designated by Rotary International, shall be members of ROTARY INTERNATIONAL DISTRICT 5440, INC.

ARTICLE 3. ADMINISTRATION

3.1 The administration of this organization shall be according to the Constitution and Bylaws of Rotary International, in particular ARTICLE 15 of the Bylaws of Rotary International (as printed in the current Editions of the Manual of Procedure), and according to these Bylaws. Whenever any conflict may exist between these Bylaws and the Constitution and Bylaws of Rotary International, the Constitution and Bylaws of Rotary International shall take precedence and prevail.

3.2 The District Governor, being an officer of Rotary International (“RI”), and having been nominated by ROTARY INTERNATIONAL DISTRICT 5440, INC. and elected at an annual Convention of Rotary International, shall function under the general supervision of the RI Board of Directors. The District Governor is charged with the duty of furthering the Object of Rotary in exercising direct supervision of the clubs in the District. Additionally the District Governor shall be responsible for those duties described in Section 15.090 of the Bylaws of Rotary International in the current edition of the RI Manual of Procedure, and charged with carrying out the Duties of a Governor as specified in the most current edition of the RI Manual of Procedure.

3.3 ROTARY INTERNATIONAL DISTRICT 5440, INC. shall be governed by a Board of Directors, also known as the Executive Committee. The Executive Committee shall be comprised of the current District Governor, the immediate Past District Governor, two Past District Governors elected annually by the Council of Past Governors, currently members of Clubs within the District and willing to serve, the Chairman of the Council of Past Governors, District Governor Elect, and the Chair of the District Training Committee. The District Governor Nominee (following their selection), District Governor Nominee Designate (should one be selected), the Chair of the District Rotary Foundation, District Treasurer, and Administrative Secretary shall serve as ex-officio members.

3.4 Before assuming office, the District Governor-Elect shall establish a quarterly schedule of meetings for the ensuing year. The Committee shall elect a Chairman from among its members at its first meeting. Special meetings can be called by the Chairman, or by a majority of the voting members, and such meetings may be held by conference telephone call or by internet access. Meetings of the Executive Committee shall be open to any interested Rotarian in ROTARY INTERNATIONAL DISTRICT 5440, INC.

3.5 There shall be a Council of Past Governors comprised of any past officer of Rotary International residing in and currently a member of a Club within the District and desiring to participate. This group shall elect a Chairman for the ensuing Rotary year at its last meeting of the preceding year. The role of the Council is to offer advice, counsel and assistance upon request to the District Governor, the District Governor-Elect, and the District Governor Nominee, on matters affecting the District as referred to them. Meetings of the Council shall also serve as an opportunity for the District Governor to inform members regarding any items of interest or news involving the District and/or Rotary International.

3.6 A ROTARY INTERNATIONAL DISTRICT 5440, INC. office shall be established and maintained as a centralized permanent office to: (1) provide continuity and safe keeping for ROTARY INTERNATIONAL DISTRICT 5440, INC. records and data base information; (2) to aid in the efficient storage and dissemination of Rotary International forms, documents, and materials for the use of District Clubs and Rotary Officers; and (3) to assist each successor District Governor with the availability of an experienced Administrative Secretary responsive to the needs and desires of the District Governor.

a. When a vacancy occurs in the Administrative Secretary position, a replacement shall be nominated by the current District Governor with final approval by the District Executive Committee. The Administrative Secretary shall be an employee of the District with primary duties and responsibilities as stated in this Section III, Paragraph 3.5.

b. The Office shall be managed by the District Governor, with the assistance of a Past District Governor or other experienced Rotary Officer, appointed by the District Governor, as may be appropriate or necessary.

c. The person overseeing the office, if other than the District Governor, in conjunction with the District Governor and District Governor Elect, shall review the performance of the Administrative Secretary annually before the thirty first day of December. Recommended salary and/or fringe benefit adjustments as deemed appropriate will be referred to the District Executive Committee for approval. Approved changes and/or modifications will then be referred to the Finance Committee for inclusion in the next year’s budget for the District.

d. The district office is intended to be a continuing function of the District and shall function as a primary source of historical information and data for incoming District Governors.

3.7 A District Treasurer shall be appointed by the District Executive Committee to function on a continuing long-term basis, coordinating his or her efforts with the current and incoming District Governors and the District Office Manager and Administrative Secretary. The District Treasurer shall function under the guidelines as stated in Sections III and IV of these Bylaws. Further, the Treasurer shall be responsible for documenting and monitoring all District Funds including separate accounts such as may be maintained for Youth Exchange, RYLA and District Conference. Quarterly financial reports shall be submitted by the District Treasurer to the Executive Committees and other committees and officers as may be appropriate. The District Treasurer shall receive no compensation, but shall be reimbursed for appropriate out-of-pocket

expenses. The Treasurer shall be bonded in an amount approximating the total Funds of the District, the expense of such bond to be borne by the District.

3.8 A District Leadership Plan shall be maintained for the use, benefit and information of all district officers and Rotarians. The Plan, in addition to these Bylaws, shall be a primary and continuing source of uniform and consistent governance of ROTARY INTERNATIONAL DISTRICT 5440, INC. The Plan shall be reviewed annually by the first day of April of each year and revised as deemed necessary by the Executive Committee to provide useful guidance to District Officers in carrying out the District’s functions and activities.

ARTICLE 4. FINANCES

4.1 A District Budget fund shall be established for the administration and development of Rotary activities in the District as described in Section IV of District Bylaws. This Fund shall be developed through a per- capita levy of the Clubs in the District, plus any subsidy received from Rotary International. The total shall be sufficient to fund the activities of the District for the next Rotary year.

4.2 The annual District per-capita assessment shall be paid by all Rotary Clubs in ROTARY INTERNATIONAL DISTRICT 5440, INC. to the District Treasurer based on the total of active and honorary members as of the first day of July of each year as such totals are reported to Rotary International. This assessment shall be paid no later than the thirtieth day of September of each year. Payment of the assessment is mandatory. Upon notification by the District Governor that a Club has failed for more than six (6) months to pay its per-capita assessment, that Club, by action of the Rotary International Board of Directors, is subject to suspension of Rotary International services and termination of membership in Rotary International.

4.3 Care shall be taken to ensure that:

a. Approval of the per-capita levy and the budget for the following Rotary year shall take place at the District PETS by a two-thirds (b) vote of the incoming club presidents in attendance at the PETS meeting.

b. No District Funds are under the control of a single individual; and

c. An audited statement of income and expenditures is presented to the following District Conference as well as to club presidents as required in Article IV, Section 4.7 of these Bylaws.

4.4 A District Contingency Reserve Fund shall be established and maintained by the District in an amount sufficient to defray unexpected losses of the District. The minimum level of this Reserve Fund shall be Fifty Thousand and No/100 Dollars ($50,000.00). Money in this Fund will be augmented by excess funds from prior year’s activities, including any surplus remaining from the District Conference. The Fund shall be managed by the District Executive Committee which shall be responsible for annually reviewing the Fund level and making adjustments, as appropriate, in the minimum maintenance level. Expenditures from the Reserve fund shall be replaced with funds in succeeding year’s budgets to keep it at its approved minimum level. The District Governor, with concurrence of two thirds (b) of the members of the Executive Committee, shall determine if an emergency exists within the District, or within its operations or

activities, that warrants an expenditure from the Reserve Fund. Expenditures from the Reserve Fund might include the following:

a. Funds for specific ongoing District programs;

b. Advance Funds to establish the ensuing years budget when required by the District Governor- Elect and approved by the District Executive Committee;

c. Funds needed to support special new District projects or programs, as proposed to the Executive Committee by a Rotary Club or District Committee, with management and oversight of the funds by that Club or Committee;

d. Funds required to pay for emergency and/or unforeseen needs of the District.

4.5 The Executive Committee shall establish a subcommittee named the Finance Committee. The Finance Committee shall be comprised of three (3) members of the Executive Committee, serving three-year, staggered terms.

a. No later than sixty (60) days prior to the Presidents-Elect Training Seminar, the Finance Committee, taking into account the District Governor Elect’s wishes and recommendations for the next fiscal year, shall prepare a proposed budget for financing of the District-sponsored projects and programs, and for administration and development of Rotary within the District.

b. To coordinate with the Finance Committee’s preparation of the budget as defined in paragraph a. above, all District committees that anticipate either income or expense, or that are requesting funds from the District treasury, shall submit their proposed Committee budgets and fund requests to the Finance Committee by the thirty first day of December of each year, or at other times if so requested by the Finance Committee.

c. Following preparation, the budget will be submitted to the Clubs within the District at least four (4) weeks prior to PETS and approved by two-thirds of the incoming Presidents in attendance at that meeting. The Finance Committee is responsible for the management of District Funds including the current year’s Budget Fund. The committee will also have oversight of any other District Funds such as may be required for RYLA, Youth Exchange and the District Conference, as well as providing assistance to the District Governor in preparation of the budget for the District Conference.

d. The Finance Committee is responsible for the management of District funds including the current year’s Budget Fund. e. All decisions of the Finance Committee shall be approved by a majority vote of Committee members. The Finance Committee may authorize expenditures of up to Ten Thousand and No/100 Dollars ($10,000.00) from the District Contingency Reserve Fund for contingency or emergency requests in support of Rotary programs, subject to final approval by the Executive Committee (Article IV., Paragraph 4.4 of these Bylaws).

4.6 Expenditures from the District Fund may be made by the District Treasurer upon written authorization of the District Governor up to individual line-item budgeted amounts. Expenditures in excess of these amounts can only be made with the approval of the Finance Committee.

a. Two (2) signatures may be required to approve the disbursement of funds from the District Fund as further defined in Paragraph 4.6(b). Rotarians authorized to approve expenditures shall include the District Governor, District Governor-Elect, and the District Treasurer. The District Governor’s signature on a written request shall constitute one of the two (2) required signatures for disbursement.

b. On all payments in excess of Five Thousand and No/100 Dollars ($5,000.00), two (2) signatures, as defined above, must appear on the check.

c. At the District Governor’s discretion, designated budgeted funds may be adjusted on a line-item basis and transferred in amounts not exceeding One Thousand and No/100 Dollars ($1,000.00) to satisfy the changing of the monetary needs of the District. The District Treasurer and Finance Committee shall be notified promptly of any such adjustments and these changes must be specifically noted in the next quarter’s financial report. Adjustments in excess of One Thousand and No/100 Dollars ($1,000.00) can only be made with the approval of the Finance Committee.

d. It is recognized that in addition to the regular and normal activities of the District, which are paid for either by reimbursement from Rotary International, by the District’s per-capita levy, or by allotment of District Reserve funds, there may be special Club, District, or Rotary International programs, activities or functions which require or encourage the District Governor’s participation and use of District funds. It has been the long-standing policy of District 5440 and of Rotary International that expenses associated with these additional activities, including those incurred by the District Governor, if not allocated through the normal budgeting process and in compliance with District Bylaws, become the personal responsibility of the relevant District Governor.

4.7 Before taking office, the District Governor-Elect, with the assistance of the District Treasurer, shall appoint a District Audit Committee for the ensuing year. To assure continuity the Committee shall consist of three (3) Past District Governors appointed to staggered terms of three (3) years each, and two Rotarians with specific financial and/or audit experience who are appointed for one-year terms. The Chair of the Committee will be the most senior PDG member. The Committee shall not include any current members of the Finance Committee. The Audit Committee shall conduct an internal audit, or, if so required by the Executive Committee, shall contract with an outside accounting firm for an audit of the District’s financial records. This audit shall cover the period of the preceding Rotary fiscal year and shall be completed within four (4) months following the close of said year. If additional time is needed, the Audit Committee can request an extension from the Executive Committee. The Audit Report shall be submitted to the Finance Committee for review, following which the Report, including any comments by the Finance Committee, shall be submitted to the Executive Committee for review and to the Council of Past Governors for information and comment. Copies of the Report, with copies of the comments of the Finance and Executive Committee, will be submitted to Presidents of the Clubs in the District no later than sixty (60) days prior to the District Conference. The Report shall be accepted by a majority vote of the delegates attending that year’s District Conference, or referred back to the Executive Committee for appropriate action.

4.8 All District committees which have either income or expense, or which have received funds from the District treasury, shall make a complete itemized accounting of all income and expenses to the District Treasurer no later than the thirty first day of August of each year for the preceding Rotary year. Exceptions to requirements of this paragraph will be permitted only upon written approval of the District Governor and Finance Committee.

4.9 Where funds are raised for specific purposes or for District programs, such as for Youth Exchange, the District Conference, or multi-District activities such as RYLA, a separate budget and bank account may exist. At least quarterly, the Chair or Treasurer of that respective activity shall submit a financial report to the District Treasurer for inclusion in the District Financial Report.

4.10 When funds are to be solicited and accumulated from within the District for joint or multi-District projects, the proposed budget of income and expenditures, including the level of involvement requested of Rotarians in ROTARY INTERNATIONAL DISTRICT 5440, INC. shall be prepared by the first day of February of each year, or thirty (30) days before the PETS, and submitted to the District Treasurer so that the information may be included in the budget submitted to incoming club presidents at their Presidents Elect Training Seminar.

ARTICLE 5. MEETINGS

5.1 There shall be three (3) official ROTARY INTERNATIONAL DISTRICT 5440, INC. meetings held during any District Governor’s term. They are the Presidents-Elects Training Seminar, the District Assembly, and the District Conference. Other District-wide meetings as required or desirable may be held with the approval and sanction of the District Governor or as called for by RI.

5.2 All District-wide meetings shall be financed through registration fees paid by the participants, with supplementary District funds made available only when budgeted for that specific purpose. It shall not be the purpose of these meetings to produce a profit or surplus. Rather, it shall be the purpose of the meetings to operate on the lowest feasible registration fee so as to encourage the widest possible attendance at such meetings.

5.3 The Presidents-Elect Training Seminar shall be held annually, within one (1) month after the International Assembly, but no later than the thirty first day of March, for the purpose of orientation and training of Rotary Club Presidents-Elect. The Presidents-Elect Training Seminar shall be scheduled and conducted by the District Governor Elect, in cooperation with the District Governor, and shall be held at a time different than that of the District Assembly. The Presidents-Elect Training Seminar shall conform to ARTICLE 15, 15.030 of the Bylaws of Rotary International.

5.4 The District Assembly shall be directed particularly toward the incoming Officers, Directors and Committee members of ROTARY INTERNATIONAL DISTRICT 5440, INC. The Assembly program shall emphasize instruction and preparation of the participants for the Rotary year ahead, and shall follow as nearly as practical the guidelines furnished by Rotary International conforming to ARTICLE 15, 15.020 of the Bylaws of Rotary International. All Rotarians within District are welcome and encouraged to attend.

5.5 The District Conference shall be a meeting for all Rotarians, spouses, guests, and others. The program and activities of the District Conference shall emphasize Rotary information, ROTARY INTERNATIONAL DISTRICT 5440, INC. activities, business matters, inspiration, and fellowship. The District Conference shall conform to ARTICLE 15, 15.030 of the Bylaws of Rotary International.

5.6 The Council of Past District Governors shall assist the incoming District Governor on the selection of site and related contractual negotiations of the District Conference during the year he or she will serve as District Governor. The Council of Past District Governors and the District Governor shall develop an

advisory committee to assist the District Governor Nominee and District Governor Nominee Designate in matters of the district, including district conference.

ARTICLE 6. COMMITTEES

6.1 All Committees, except the Executive Committee, are a part of ROTARY INTERNATIONAL DISTRICT 5440, INC.

6.2 All Committee Chairs, except the Executive Committee, must report to the District Governor.

6.3 The District Governor shall appoint all District Committee members and designate each Committee Chair. Appointees shall be current members in good standing of a ROTARY INTERNATIONAL DISTRICT 5440, INC. club.

a. During the selection process, before the beginning of a new Rotary year, the District Governor Elect shall consult with current Committee Chairs and Committee members, the District Governor, the Council of Past Governors, and other Rotarians seeking suggested names of potential Committee members best suited for open positions. Efforts shall be made to select such persons from the broadest possible geographic Club distribution.

b. One-year appointments for Committee members are normal, except as committee membership is specifically identified elsewhere in these Bylaws. Two-year and three-year terms are acceptable at the discretion of the District Governor.

c. Notwithstanding Paragraph b. of this Article VI, no person shall be eligible to serve on the same Committee for more than three (3) years except as may be otherwise provided in the bylaws. No person who has served on a committee for three (3) years shall be eligible for subsequent appointment to the same committee except as approved by the Executive Committee. The provisions of this Paragraph c. of this Section 6.3 shall not apply to an ex officio member of any committee or to members of ad hoc committees.

d. All members of ROTARY INTERNATIONAL DISTRICT 5440, INC. committees shall be in good standing in a member club of ROTARY INTERNATIONAL DISTRICT 5440, INC.

ARTICLE 7. SELECTION OF THE DISTRICT GOVERNOR

7.1 The District Governor Nominee or Nominee Designate shall be selected by a District Nominating Committee in accordance with ARTICLE 13, 13.020 of the Bylaws of Rotary International. The Nominating Committee shall consist of five (5) immediate Past District Governors and two (2) Rotarians. Those Rotarians, who are not Past District Governors, should have served as Club President, residing in and members in good standing of Clubs within the District and willing to serve in this capacity. The most senior Past District Governor in term of service shall serve as Chair. The Committee will act only with at least five (5) of the seven (7) members in attendance.

7.2 ROTARY INTERNATIONAL DISTRICT 5440, INC. shall select its District Governor Nominee during the second year before the year in which the District Governor will serve. In addition, a District Governor Nominee Designate may also be selected during the third year before the year of service.

7.3 No later than the first day of March of each year, the Nominating Committee will convene to begin an active search to find the best qualified candidates for District Governor Nominee or District Governor Nominee Designate and to set a date(s) for interviews of candidates. Also, no later than the first day of March, the District Governor shall invite all the Clubs to submit their suggestions for nomination for Governor by mailing to the Secretary of every Club in the District an official call of nominations for Governor.

a. The last day for receipt of nominations from the clubs will be no later than the first day of March.

b. Names of candidates shall be submitted to the Council of Past Governors for comment.

c. The Nominating Committee shall meet no later than the first day of May to make its selection.

d. The District Governor shall be notified of the selection immediately thereafter.

e. All persons whose names were submitted will be notified by the Chair as to the selection made by the Nominating Committee.

f. The District Governor shall then publish to the clubs of the District the name and Club of the selected nominee and shall certify the name of the Governor Nominee to the General Secretary with ten (10) days after such nominee has been declared the Nominee.

g. If it is determined that an incoming District Governor Elect, District Governor Nominee, or District Governor Nominee Designate, cannot serve for any reason, or if a nominated Governor cannot serve for any reason before his or her election at the Rotary International Convention, or, if after the International Convention, the President of Rotary International acts for cause and disqualifies either the current District Governor or the Nominee candidate, the District Nominating Committee shall reconvene to select a replacement.

ARTICLE 8. VOTING

8.1 In all matters that require a vote at the District Assembly or the District Conference, or by mail, or otherwise, except as outlined in Section a. below, voting shall be as outlined in ARTICLE 15, 15.050 of the Bylaws of Rotary International.

a. Agreement by the District to participate in the Group Study Exchange shall be ratified by the Clubs in compliance with the procedures defined in the current edition of the Manual of Procedure.

b. In any matters where Rotary International may require a different method of voting, the requirements of Rotary International shall be followed.

ARTICLE 9. CHANGES AND AMENDMENTS TO THE BYLAWS OF ROTARY INTERNATIONAL DISTRICT 5440, INC.

9.1 Amendments to these Bylaws may be proposed by any Rotary Club in ROTARY INTERNATIONAL DISTRICT 5440, INC. the District Bylaws Committee, or the District Executive Committee. Suggestions must be in writing and, while they can be initiated and sent to the District Governor at any time, they must be received by the Governor not less than ninety (90) days prior to the scheduled District Conference. The District Governor shall formalize such suggestions and forward them to the District Bylaws Committee for review and comments, following which they will be sent to the District Executive Committee. After these reviews, the District Governor shall send a copy of the proposed changes, along with the Executive Committee’s recommendations to the Clubs of the District not less than four (4) weeks prior to the District Conference. The proposed changes shall be submitted for consideration at the District Conference, and must be approved by two-thirds of the delegates of the Clubs present.

9.2 To assure continuity, the Bylaws Committee shall be comprised of three (3) Past District Governors serving three-year staggered terms, and two (2) Rotarians who are not PDGs but who have served as Club Presidents. Each incoming District Governor, before taking office, shall select one (1) Past Governor to serve a three-year term, and two (2) Past Club Presidents, who can serve consecutive terms but not to exceed three (3) years on a Committee. Any vacancies on the Committee shall be filled by the Executive Committee.

ARTICLE 10. GENERAL

10.1 These Bylaws are intended to serve as a guide, which will provide continuity in the operation of ROTARY INTERNATIONAL DISTRICT 5440, INC. as well as provide for the protection and proper use of funds which have been provided by the Rotarians and Clubs in ROTARY INTERNATIONAL DISTRICT 5440, INC.

10.2 It should be kept in mind by all who are concerned with these Bylaws, or who have occasion to use them, that ours is a voluntary organization that tolerance is to be exercised in all matters. The guiding influence should always be the Object of Rotary, as incorporated in ARTICLE IV of the Constitution of Rotary International, and the things we think, say, and do should be measured by the Four Way Test.

e-mail Guidelines for Rotarians

1. E-mail pertaining to Rotary should contain “Rotary” in the subject line.

2. All Rotary e-mail should contain a signature block that includes the name of the person sending the Email and the sender’s title or committee designation (if any).

3. No Rotarian should be added to an “e-groups” or other type of bulk mailing list without that person’s permission; excepting mailing lists specifically established for RI Directors, Trustees, and Officers (including, but not limited to District Governors, District Governors Elect, District Governors Nominee), as well as RI Committee members, RI Task Force Chairmen and Coordinators, DICOs, CICOs, and Club President.

4. By virtue of having accepted the duties and responsibilities of their positions, Rotarians included in the “exception” list in Guideline #3 shall be presumed to have given permission to receive e-mail pertaining to their positions.

5. There should be no presumption of delivery of e-mail, unless the e-mail is acknowledged by the recipient.

6. E-groups and other bulk mailing lists shall not be used for expressing political views or for the distribution of “spam,” such as jokes and the like.

7. All policies and procedures contained in the Rotary International Manual of Procedure pertaining to circularization shall be applicable to all e-mail communication.

8. E-mail lists shall not be published in any form that is available to the public. Websites containing mailing lists or individual e-mail addresses (other than the e-mail addresses of the webmasters) should be password protected. Such passwords should not be distributed to non-Rotarians.

9. All users of e-mail should be encouraged to maintain an up-to-date version of virus checking software on their computers.

10. Whenever possible, attachments to e-mails should be avoided. Copy and paste information into the body of the e-mail. If an attachment is absolutely necessary, the attachment should be scanned to ensure that it is virus free before it is sent.

11. Brevity in e-mail messages is encouraged. No Forwarding of e-mail without consent. Copying large numbers of Rotarians is discouraged.
