Letter from William O. Douglas to Morris Gutman, Lehman Brothers

January 6, 1938 Mr. Morris Gutman c/o Lehman Brothers, 1 William Street, New York City. Dear Mr. Gutman: I am enclosing a copy of the most recent draft of the rules to regulate pegging, fixing and stabilizing the prices of registered securities together with a copy of a discussion of some of the salient features of the rules. This is the draft which represents the combined efforts of members of the staff of the Trading and Exchange Division and the experts especially retained by the Commission for this work of which you are one. These rules are being submitted by the Trading and Exchange Division to various representative organization among those engaged in the investment and securities business and I understand that that Division plans to hold conferences with representatives of these organizations during the first two weeks of February. The program is, I believe, to submit the rules, together with any changes deemed necessary as a result of those conferences, to the Commission shortly thereafter. If you have any further comment or criticism, please communicate them to Ganson Purcell, Director of the Trading and Exchange Division, if possible prior to February 1, 1938 so that the Division may have the benefit of your complete views prior to the beginning of the conferences which I have referred to. I want to thank you on behalf of the Commission for the work which you have done in giving us the benefit of your expert knowledge of this difficult problem. I should say that this draft is still a tentative one and the persons to whom it is being sent are being requested that its text and substance be treated as confidential for the present. It may be that we shall have occasion to call upon you further after the conferences have been concluded and the matter has been submitted to the Commission. Faithfully yours, William O. The SEC today announced a decision under the Securities Exchange Act (Release 34-8634) invoking sanctions against the following for violations of the anti-fraud provisions of the Federal securities laws in connection with transactions during 1962-1968 in U. S. Treasury and other government bonds: Malon S. Andrus, Inc., New York dealer in government bonda; Malon S. Andrus, its president; John G. Beutel and Edward L. Madden, Jr. of New Jersey, traders in government securities, Charles MeG. Baxter, Jr., sole proprietor of Baxter & Company, New York dealer in Government bonds, and Horace E. Hoffman, of New York. In addition, Beutel, Baxter & Co. and Baxter were found to have violated the record-keeping requirements of the Exchange Act. In offers of settlement aubmitted by these respondents, they consented to the sanctions but without admitting any violations of the securities laws. In an injunctive action brought by the Commission on February 13 against these and other defendanta, it was alleged (among other things) that the defendants Beutel and Madden, iilconcert with others, caused purchases and sales of government securities to be made from and to the securities firms which employed them as traders, through secret accounts established for the benefit of Beutel and Madden with other firms, in order to obtain trading profits for themselves while concealing from their employers their beneficial interests in such transactions.

SELIGMAN & COMPANY BUILDING (later LEHMAN BROTHERS BUILDING; now Banca Commerciale Italiana Building), 1 William Street (aka 1-9 William Street, 1-7 South William Street, and 63-67 Stone Street), Borough of Manhattan. Built 1906-07; Francis H. Kimball and Julian C. Levi, architects; George A. Fuller Co., builders; South William Street facade alteration 1929, Harry R. Allen, architect; addition 1982-86, Gino Valle, architect. Landmark Site: Borough of Manhattan Tax Map Block 29, Lot 36. On December 12, 1995, the Landmarks Preservation Commission held a public hearing on the proposed designation as a Landmark of the J. & W. Seligman & Company Building (later Lehman Brothers Building; now Banca Commerciale Italiana Building) and the proposed designation of the related Landmark Site (Item No. 5). The hearing was continued to January 30, 1996 (Item No. 4). The hearing had been duly advertised in accordance with the provisions of law. Nine witnesses spoke in favor of designation, including representatives of Manhattan Borough President Ruth Messinger, Council Member Kathryn Freed, Municipal Art Society, New York Landmarks Conservancy, Historic Districts Council, and New York Chapter of the American Institute of Architects. In addition, the Commission has received a resolution from Community Board 1 in support of designation. Summary The rusticated, richly sculptural, neo-Renaissance style J. & W. Seligman & Company Building, designed by Francis Hatch Kimball in association with Julian C. Levi and built in 1906-07 by the George A. Fuller Co. , is located at the intersection of William and South William Streets, two blocks off Wall Street.

DEMAREST & COMPANY and PEERLESS MOTOR CAR COMPANY BUILDINGS (later GENERAL MOTORS CORPORATION BUILDING); 224-228West57thStreet(aka 1758-1770 Broadway), Manhattan. Built 1909; Francis H. Kimball, architect; Purdy & Henderson, consulting engineer; George A. Fuller Co. , builders; New York Architectural Terra Cotta Co., terracotta. Landmark Site: Borough of Manhattan Tax Map Block 1028, Lot 4 7. On October 31, 2000, the Landmarks Preservation Commission held a public hearing on the proposed designation as a Landmark of the A.T. Demarest & Company and Peerless Motor Car Company Buildings (later General Motors Corporation Building) and the proposed designation of the related Landmark Site (Item No. 5). The hearing had been duly advertised in accordance with the provisions of law. Four people spoke in favor of designation, including representatives of the owner and the Historic Districts Council. In addition, the Commission received a letter in support of designation from the Friends of Terra Cotta. Summary The A.T. Demarest & Company and Peerless Motor Car Company Buildings, located in the heart of the "Automobile Row" section of Broadway in Manhattan, were used by the automobile industry for over six decades. They were constructed in 1909 to the designs of eminent architect Francis H. Kimball, in collaboration with consulting engineer Purdy & Henderson and George A. Fuller Co., builders. Kimball had emerged in the forefront of early skyscraper design in New York City, particularly during his collaboration with G. Kramer Thompson in 1892-98. A.T. Demarest & Co., started in 1860 by Aaron T. Demarest, was a carriage manufacturer that also ventured into the production of automobile bodies around 1902.
