GLOSSARY OF TERMS

In addition to the terms defined in the body of the RFP, the capitalized terms used in this RFP shall have the meanings ascribed/referred to them as follows:

1. Associate shall have its meaning as assigned under Clause 1.13.3;

2. Applicable Law shall mean any laws, bye-laws, statutes, rules, regulations, orders/ government orders, ordinances, notifications, clearances, approvals, directives, circulars, guidelines, policies, judgments, decrees or other governmental requirements or governmental restrictions or any similar form of decision, or determination by, or any interpretation or administration of any of the foregoing by a Government Authority, in each case as amended, modified or superseded from time to time, in ;

3. CHiPS shall mean the Chhattisgarh Infotech Promotion Society;

4. Authorized Service Centre means a Service Centre run by the Bidder by self or through another party by entering into a valid commercial agreement;

5. BDP shall have its meaning under Annexure-VIII;

6. Bid Due Date shall have its meaning under Clause 1.18;

7. Bidder shall have its meaning set out under Clause 1.3;

8. Bid shall have its meaning under Clause 1.3;

9. Call Centre shall mean the centre or the place wherein the Bidder shall make arrangements to receive complaints/service calls from the customer/ Department of Information Technology Chhattisgarh or CHiPS;

10. CEO shall mean the Chief Executive Offer;

11. Cell Site shall mean a cellular telephone site where antennae and electronic communications equipment are placed — typically on a radio mast, tower, or other raised structure — to create a cell (or adjacent cells) in a cellular network;

12. Connectivity shall mean availability of adequate strength of signals to ensure internet data usage and voice calls

13. Consortium Agreement shall have its meaning under Clause 1.2.4 (a);

14. Contractor shall mean the Successful Bidder who shall have executed the Agreement with CHiPS;

15. Consortium shall have its meaning set out under Clause 1.2.1 (b);

16. Damages shall mean generally for the purposes of this RFP, the performance/delay liquidated damages payable as per the terms hereof; except unless mentioned otherwise/distinctly under any specific Clause/Annexure of this RFP, in which case it shall mean such Damages as provided otherwise/specifically under that Clause;

17. DDP shall have its meaning under Annexure-VIII;

18. DoT shall mean the Department of Telecommunications;

19. e-Procurement Portal shall mean the online portal maintained by the Government of Chhattisgarh for the purposes of public procurement of goods, services etc.;

20. ESDM shall mean Electronics System Design and Manufacturing;

21. EMD shall have its meaning under Clause 1.3.1 (a);

22. Evaluation Committee shall have its meaning under Clause 2.1.1;

23. F-NAP shall have its meaning under Annexure-VIII;

24. FDP shall have its meaning under Annexure-VIII;

25. Foreword shall mean the executive summary of the Project and the Bidding Documents;

26. GPRS shall mean the general packet radio service (GPRS) and is a packet oriented mobile data service on the 2G and 3G cellular communication system;

27. ISO shall mean the International Organization for Standardization;

28. INR shall mean Indian Rupee;

29. IVR shall mean interactive voice response;

30. Li-ion shall mean a lithium-ion battery (sometimes Li-ion battery or LIB) is a family of rechargeable battery types in which lithium ions move from the negative electrode to the positive electrode during discharge, and back when charging;

31. ML shall mean the manufacturing license;

32. NAP shall have its meaning under of Annexure-VIII;

33. NIT shall mean the notice inviting tenders;

34. OEM shall mean the original equipment manufacturer;

35. OS shall mean the operating system;

36. Prime Bidder shall have its meaning under Clause 1.2.4 (b);

37. PBG shall have its meaning under Clause 4.21;

38. Price Bid shall have its meaning under Clause 1.3.3;

39. PBA shall mean the printed board assembly;

40. PCB shall mean the printed circuit board;

41. RFP shall mean this request for proposal document;

42. SKY Portal shall have its meaning under the foreword portion of this RFP;

43. Supporting Documents shall have its meaning under Clause 1.2;

44. Smartphone shall mean the smartphones to be manufactured, supplied and distributed by the Successful Bidder as per the terms of the Bidding Documents;

45. Smartphone Supplier shall have its meaning under Clause 1.2.3 (b);

46. Successful Bidder shall have its meaning under Clause 4.19;

47. USB shall mean the universal serial bus, which is a specification to establish communication between devices and a host controller, which has effectively replaced a variety of earlier interfaces such as serial and parallel ports;

48. VGA shall mean the video graphics array;

49. Service Centre means the center or place, wherein the Bidder, inter-alia undertakes and performs the service activities relating to the Smartphones indicated in the RFP, and shall include a direct service center or authorized service center;

50. Taxes means GST and shall further includes all forms of indirect taxes, duties, fees, charges, surcharges, cesses, imposts and levies or any sum payable to any Government Instrumentality, in relation to the Scope of Work under the Bidding Documents;

51. Testing Agency shall be the agency notified by Department of Information Technology, Chhattisgarh or CHiPS for the purpose of sample smartphones testing;

52. TSP shall have its meaning under Clause 1.2.3 (a);

53. TRAI shall mean the Telecom Regulatory Authority of India;

54. WLAN shall mean the wireless local area network links to two or more devices using some wireless distribution method and usually providing a connection through an access point to the wider internet;

55. Percent coverage of mobile cellular network in village/town/city means proportion of total mobile cellular coverage of the land area in percent. This is calculated by dividing the land area covered by a mobile cellular signal by the total area of the village/town/city identified; Covered/ Semi covered/ Uncovered means as defined in Annexure XXIX.

56. Manufacturing Batch means, as the content may permit, quantity or consignment of goods produced at one time.

57. Local language shall mean Chhattisgarhi and

58. Agreement shall have its meaning under Annexure-XII;

59. “Days” or ‘working days’ shall mean the days on which the banks are functioning in the state

60. Agreement shall mean the agreement to be executed between the Successful Bidder and CHiPS, in accordance with the terms of this RFP, for the purposes of execution of the Scope of Work in relation to the Project.

61. Project in general shall mean the CG-SKY project to be implemented as per the terms of the Bidding Documents.

62. Bidding Documents shall mean the documents in relation to the Project including inter-alia this RFP and the Agreement.

63. Scope of Work shall mean the scope of work to be executed by the Successful Bidder as set out in detail under Annexure VIII and other relevant portions herein.

64. Timelines shall mean the timelines as set out in terms of this RFP including specifically Annexure IX and Annexure XX.

65. Consortium shall mean the consortium to be formed by the telecom service provider, the smartphone supplier and the strategic partner (if any), who shall execute the Consortium Deed in accordance with Clause 1.2 and Annexure XXIV.

66. License Service Area shall mean the territorial jurisdiction as specified under the CMTS or UASL Service License except the areas that may notified to be excluded from time to time.

FOREWORD

About Chhattisgarh

I. Formed on 01 November 2000, Chhattisgarh is the 29th state of India. The state of Chhattisgarh with an area of 135,194 sq. km. (52,199 sq. miles) is the 10th largest state in terms of area and with a population of around 25.541 million, it is the 17th most-populated state in the country. Chhattisgarh is a resource-rich state; it is a source of electricity and steel for the country, and accounts for 15% of the total steel produced in India. The recorded forest area in the state is 59,722 sq.km which is around 44.21%2 of its geographical coverage. Some of the key demographic and IT indicators for the State of Chhattisgarh are being summarized below:

II. The above graph demonstrates the key demographical and IT indicators of state of Chhattisgarh vis-à-vis the same indicators for India. For e.g., the average decadal growth rate of state of Chhattisgarh is 22.60% which is around 4.9% more than the national average of 17.70%, implying that state of Chhattisgarh as a state is growing rapidly and in the near future, the state government shall be required to up-grade its infrastructure including IT, telecom connectivity and last mile outreach to cater to the growing demand. Similarly, going forward, there has to be a focus on improving the literacy rate, tele-density and smartphone penetration for the state, which the state intends to enhance through the Sanchar Kranti Yojana (SKY).

III. While comparing the telecom sector, the state has a presence of several prominent public and private operators including BSNL, Airtel, Idea, Reliance Jio, Vodafone and Tata DoCoMo. However, despite the steady strides towards development and urbanization, the positive socio- economic impact is not distributed homogenously throughout the entire region of state especially in the rural areas which is home to ~76.7% of the State’s population (2011). The Socio- Economic Caste Census 2011 places state of Chhattisgarh among the lowest in the country on ownership of smartphones among rural households at ~29%, translating to nearly 32 lakh unconnected households (HHs) at the time of the Socio-Economic Caste Census 2011.

About CHiPS

I. The state of Chhattisgarh InfoTech Promotion Society (CHiPS), a registered society promoted by the Government of Chhattisgarh, is the nodal agency and prime mover for propelling IT growth and implementation of IT plans in the State. The Hon’ble Chief Minister heads the Governing Council of CHiPS. It includes Minister for Finance & Commercial Taxes, Minister for Commerce & Industry, Minister for Education, Minister for Panchayat & Rural Development, Chief Secretary, and a representative from the Ministry of Information Technology in Government of India and eminent persons from IT industry.

II. Chhattisgarh State with wide-ranging socio-economic disparities is now witnessing the ongoing Information Technology (IT) revolution. The Government of Chhattisgarh visions ‘Vikas mool mantra, Aadhar loktantra’ (‘Driving Development through Democratic Governance’) and believes that Information and Communication Technology (ICT) is a particularly important medium for the state in reaching out and improving livelihoods specially for its overwhelming SC / ST population across 44% forest area, which has largely remained untouched by modern development.

III. CHiPS is involved as State Designated Agency (SDA) in NeGP MMP’s implementation of some mega IT Projects like CHOiCE, e-Gram Suraj, Gyan Vinimay (e-classroom), e-Procurement, SDC, SWAN, Bhuiyan, GIS and CSCs. A professional approach is being adopted for the implementation of IT projects using the services of e-Governance experts and consultants from corporate and academia fields.

Introduction to Sanchar Kranti Yojana (CG-SKY)

I. In today’s fast growing world, technology and connectivity have increasingly become the core engine for development and the new age smartphones are arguably the most empowering medium to stay connected to the outside world. Telecom network plays a key role in helping members of the society to be connected and gain access to information and services that improve their standard of living and standard of living. The internet shall have a dramatic impact on the socio-economic development of both, the individuals and society by linking them to the global community.

II. The absence of network connectivity in the rural regions of the State can be largely attributed to the lack of economic viability for making infrastructure investments. The lack of business viability can be attributed to two root causes i.e., current low mobile penetration, low affordability in the rural belt.

III. It is to address this issue, the Government of Chhattisgarh has taken a leap forward to design the Sanchar Kranti Yojna (CG-SKY) for providing a solution to improve the telecom connectivity

in the state of Chhattisgarh by incentivizing the telecom Operators to install Cell-Sites. In order to create commercial viability for Telecom operators to invest in the network infrastructure the Government will also distribute approx. 50 lakh Smartphones.

IV. In its attempt to make the benefits of this project sustainable and everlasting, the Government has linked the distribution of Smartphones with scaling the telecom connectivity in the unconnected and partially connected regions, thus making it a win-win scenario for all stakeholders i.e.:

a) Citizens (approx. 50 Lakh households will get to use the modern day technology, opening new horizons in a truly global economy)

b) Telecom operators (as service providers they will get approximately. 50 lakh subscribers);

c) State Government (will bridge the urban-rural digital divide and facilitate social and financial inclusion)

V. In summary, the scheme aims to attain the following objectives:

a) The primary objective is to ensure the mobile network connectivity is extended to all villages in state of Chhattisgarh with a population of 1000 or above as per the 2011 census and to further strengthen network coverage in all towns and villages, which already have coverage by either erecting new telecom towers or upgradation of existing towers.

b) Empower the citizens of state of Chhattisgarh by providing a Smartphone for each of the below listed population segments:

• Rural households in the state of Chhattisgarh • Urban poor households in the state of Chhattisgarh • College students in the state of Chhattisgarh

VI. The scheme will have cascading effects on the individuals (citizen), the State Government and the society at large. The stakeholder wise benefits can be seen as stated below:

Network Augmentation and Phone Distribution Plan

The implementation partner to be selected through this RFP process will be responsible for mobile network augmentation, supplying smartphones as per the specifications and distribution of the phones to the end beneficiaries. Based on our preliminary assessment, besides the urban areas, approximately 14,000 villages will come under network connectivity and approximately 50,80,000 (Fifty Lakh Eighty Thousand) Smartphones will be distributed under the CG-SKY scheme. The table below depicts a category wise break-up of the population segments and related Smartphone quantities proposed for distribution under CG-SKY project:

As per the above categorization, the Government of Chhattisgarh plans to initiate the Smartphone distribution by April 2018 and complete 100% Smartphone distribution by the end of March 2019. For ease of distribution and in order to ensure effective implementation, the distribution period has been divided into 02 stages with the first such stage witnessing distribution of approximately 48,00,000 (Forty eight lakh) Smartphones by end of August 2018 and the second stage witnessing distribution of the remaining approximately 2,80,000 (Two lakh eighty thousand) Smartphones by end of March 2019. These distribution stages and the related Smartphone quantities have been indicated below:

Before distribution of Smartphones in a particular Gram Panchayat or Ward or College, the Bidder shall be required to ensure:

a) Connectivity is available as per agreed Final Network Augmentation Plan b) Completion of e-KYC/ KYC7 for all eligible beneficiaries c) Set-up Collection Centres (for repair of phones) at respective block headquarters, and Service centre at Raipur d) Call Centre with support in local language

4.1. Key considerations:

I. The scheme would cover all villages and towns in the State of Chhattisgarh, except those villages having less than 1,000 population and not having connectivity. It may be noted that villages with less than 1,000 population, but having connectivity shall be considered for the CG-SKY. List of all target villages, across the State may be referred in Annexure XVI A.

II. All Urban Poor Households in the state of Chhattisgarh as identified by the concerned department are to be covered under the scheme. List of District wise number of urban poor households is mentioned in Annexure XVI B.

III. College Students in the state of Chhattisgarh as identified by concerned departments to the tune of approx. 5 lakh are to be covered under the scheme.

IV. Under this scheme, 01(one) Smartphone is to be distributed to each beneficiary household and eligible College Student. The distribution will need to be done through an event/ distribution camp being organized by the State Government at each Distribution Centre (GP/ Ward/ College). The e-KYC/ KYC of the proposed beneficiaries needs to be done at the Distribution Centres and Smartphones/ SIM cards must be distributed only after completion of e-KYC/ KYC.

V. There would be 02 categories of Smartphones. These are:

7 eKYC is the preferred choice (to the extent possible). However, Physical KYC should be ensured in case of areas faced with network connectivity issues, Unavailability of power supply, etc.

Other important details

CG-SKY scheme is to be implemented by CHiPS. Through this Request for Proposal, CHiPS intends to identify and select a single Bidder or a consortium, which should qualify to operate as per pre-defined guidelines stated.

I. A Consortium may have a maximum of 03 (three) members as per the following:

a) Telecom Service Provider (TSP) - shall augment the telecom network as per the implementation plan and timelines specified by CHiPS. Before distribution of smartphones in any of the distribution centres listed in Annexure XVI A, B & C, the TSP must ensure that the network is active for at least 15 days before the distribution event b) Smartphone Supplier –shall be responsible for supply of the Smartphones and timely delivery as per Detailed Distribution Plan provided by CHiPS. The Smartphone Supplier must ensure that both Category I & Category II Smartphones are of the same brand. The

Smartphone shall be installed with a customized platform on the lines of Google Play Store or Apple App Store to host e-Governance apps. The Bidder shall set up Collection Centres at each of the Block Headquarters along with a Service Centre in Raipur. A Call centre must be available in or outside Raipur with support in local language. c) e-Commerce Partner (Strategic Partner) – The consortium may also leverage the strategic partner in cross-subsidizing the cost of the Smartphone and/or for strategic support in last mile distribution of the Smartphones

II. In case of a Single bidder, the bidder should be a licensed TSP with established operations in Chhattisgarh as well as a Smartphone Supplier. In case of a Consortium, the Telecom Service Provider (TSP) must have established operations in Chhattisgarh, while the other partner(s) i.e., Smartphone Supplier (brand owner) and e-Commerce player (in the event of existence of such an entity in the Consortium) must have direct or third party distribution arrangements in the state of Chhattisgarh.

6.1. Right of Way

The Successful Bidder in this bid would be provided with free Right of Way (RoW) for laying optical fibre cable in the state of Chhattisgarh other than where it involves national highways, railways property or passage through forests. Reinstatement expenses, however, will have to be borne by the Successful Bidder. This free RoW will apply to all Cell-Sites covered under the Final Network Augmentation Plan (F-NAP) and erected during the term of the project ending March 2019.

6.2. Rent free land

To facilitate better network connectivity in target areas identified for Smartphone distribution, the State Govt. shall facilitate access to rent free Govt. land or building premises to the successful bidder for deploying it rural cell sites through a 02 (two) year lease valid from the date of signing of the lease agreement. For this, the Bidder shall provide CHiPS with a minimum of 03 location options as mentioned in Annexure XXIX for every identified area for installation of its Cell Site. CHiPS would then facilitate the leasing of the most viable site out of the 03 (three) shared locations to the Bidder to the specifications of 50 X 50 sq. ft. for ground based towers and 35 X 35 sq. ft. for roof top towers. Post the completion of the lease duration of 02 years, the rent rates applicable will be as per prevailing rates of the concerned Government Departments.

Under circumstances where the Bidder is unable to identify the location options or CHiPS or the Government of Chhattisgarh are not able to lease Govt. land or building for installation of Cell Site, Bidder shall have to make its own arrangements to provide optimum connectivity to the beneficiaries in the area.

CHiPS or the Government of Chhattisgarh shall not be responsible for facilitation of space for installation of Cell Site on Private land or building. Timely installation of Cell sites in such cases shall be the sole responsibility of the Successful Bidder and it should submit a copy of lease agreement copy/ No Objection Certificate (NOC) from lessor/building owner to CHiPS for its records.

6.3. Proposed benefits for end beneficiaries

In addition to providing the Smartphones, in lieu of the consideration paid by CHiPS to the Contractor under the Agreement, the Contractor shall provide the below-mentioned benefits to the end beneficiaries:

I. Minimum 01 GB unlimited8 data (3G or higher) per month valid up to 12 months from the date of activation of each SIM; II. Minimum 100 calling minutes per month applicable for both STD & Local, valid up to 12 months from the date of activation of each SIM. III. The state government shall strive to link the Mobile number issued under SKY with Aadhaar Number and the Bank Account Number of the beneficiaries IV. The Successful Bidder may provide payment bank service /mobile wallet through the Smartphone. The bidder may ensure SIM locking for a maximum period of 1 year from the date of activation of the SIM.

6.4. Platform and Applications

The Successful Bidder is required to provide the Smartphones with a separate, pre-installed (custom) platform (on the lines of an Apple App Store or Google Play Store) for eGov /other applications to be provided by CHiPS which will also need to be pre-installed on each Smartphone by the Bidder. The Bidder will reserve at-least 01 GB storage for the use by this platform and proposed applications. The platform will carry custom branding to be approved by CHiPS. Through these apps, the citizens would be able to avail Government services/ benefits on their Smartphone and will also get notifications about the concerned services/ benefits. The platform will also be available for download through public platforms like Google store/ Apple store by other citizens who are not beneficiaries of CG-SKY.

6.5. Repairs and Maintenance

The Successful Bidder will be required to establish a Collection Centre at each of the Block Headquarters to provide after sales support to the scheme beneficiaries. These Centres would act as the interface between the citizens and the Smartphone Supplier. A dedicated Service

Centre will need to be set up and operated by the Smartphone Supplier at Raipur which shall handle major repairs on the phone. A Call centre must be available in or outside Raipur with support in local language.

6.6. SKY Portal

For smooth project management and reporting requirements, a dedicated portal called SKY Portal will be created by the Successful Bidder. The portal will have project details, list of beneficiaries, SOPs for the project, notifications etc. Separate login IDs shall be created for multiple level officers involved in the project, for updating network preparedness, distribution event/ distribution camp details, beneficiary wise e-KYC/ KYC and actual distribution, etc. The Successful Bidder will upload the approved network augmentation plan, distribution plan, progress reports, manage change requests etc. through the portal. All progress reports, invoices, receipts from beneficiaries, etc. would be updated and uploaded on the portal for ease of information flow and dissemination. The detail of the SKY Portal is mentioned in Clause 12.3 of Annexure-VIII. Functional Requirement Specification for the SKY Portal shall be provided by CHiPS to the Successful Bidder

CLAUSE I GENERAL BIDDING GUIDELINES

General bidding guidelines

CHiPS seeks to identify a bidder for implementation of SKY Project, by way of the Bidding Process undertaken in terms of this RFP and all other Bidding Documents.

1.1. Single-Stage Bidding Process

CHiPS has adopted a single-stage bidding process for selection of the Successful Bidder for award of the Agreement (the “Bidding Process”). The Bidding Process involves qualification of the Bidders in accordance with the technical and financial capabilities of the Bidders and the provisions of this RFP and thereafter, short-listing of the Successful Bidder on the basis of, inter- alia, its quoted Price Bid.

1.2. Permitted Structures and Eligibility

The Bidders must satisfy CHiPS that they are qualified to participate in the Bidding Process and further, to perform the Scope of Work as set out under Annexure-VIII of this RFP. Further, the Bidders must meet the detailed eligibility criteria as set out under Annexure X of this RFP (as may be relevant to the Bidder, depending upon the adopted structure as provided below) and shall provide all the necessary documents (“Supporting Documents”) as evidence of the same. In this regard, the Bidders shall give an undertaking on to the effect of its compliance with the aforesaid and confirming the authenticity of the Supporting Documents, in the format provided under Annexure I of this RFP.

1.2.1. Permitted Structures

(a) a single company (incorporated under the provisions of the Companies Act, 1956/2013) (“Single Bidder”); or

(b) a Consortium comprising a minimum of 2 (two) and a maximum of 3 (three) members, as per Clause 1.2.3 below (“Consortium – Composition and Eligibility”);

as may be the case, having the requisite capabilities to perform its obligations as set out under this RFP and in detail under the Agreement, which are broadly to carry out network augmentation in the state of Chhattisgarh and to supply and distribute the requisite number of Smartphones in the target areas.

1.2.2. Single Bidder – Composition and Eligibility

In case of a Single Bidder, the same should be a licensed TSP as well as a Smartphone Supplier. The Single Bidder shall submit a Power of Attorney as per the format at Annexure III, authorising the signatory of the Bid to commit the Bidder. The Single Bidder shall meet all the eligibility requirements as applicable to it, as set out under Annexure X of this RFP.

1.2.3. Consortium – Composition and Eligibility

If the Bidder happens to be a Consortium, the composition in terms of the members thereof shall be as per the terms set out hereunder. In addition, the Consortium shall comply with the detailed eligibility requirements, as applicable to it, as set out under Annexure X of this RFP.

(a) Telecom Service Provider (TSP)

One of the members of the Consortium shall be a Telecom Service Provider (“TSP”) who shall augment the telecom network required for implementation of the Project, as per the specifications thereof and including the necessary timelines to be complied with, provided in detail under Annexure-VIII and Annexure IX, respectively. TSP may be the Prime Bidder.

(b) Smartphone Supplier

One of the members of the Consortium shall be responsible for manufacturing and supplying the Smartphones (“Smartphone Supplier”), while ensuring inter-alia adherence to the technical specifications and the timelines as per the terms set out under, this RFP. It shall also be responsible for setting up of collection centres, service centre in Raipur. A Call centre must be available in or outside Raipur with support in local language. Smartphone Supplier may be the Prime Bidder.

(c) Strategic Partner

In addition to the members as described under Clauses 1.2.3 (a) and 1.2.3 (b) who are mandatorily required to be appointed in the Consortium, a 3rd (third) member may optionally be appointed in addition to the aforesaid 2 (two) members, in the role of an e-Commerce strategic partner for the purposes of leveraging commercial opportunities such as cost-subsidization, smooth and cost-effective distribution, outreach expansion/marketing, etc. Provided, this RFP does not mandate the appointment of such 3rd (third) member and the same is entirely at the discretion of the members of the Consortium described under Clauses 1.2.3 (a) and 1.2.3 (b) above. Further, CHiPS shall not be responsible for any costs incurred in identification or appointment of such third members, nor shall it be liable to bear any costs in relation to the procurement of services of such third member in any manner. Strategic Partner cannot be the Prime Bidder.

1.2.4. Special Conditions for Consortiums

In addition to compliance with the requirements as set out elsewhere under this RFP, in the event that the Bidder happens to be a Consortium, it shall comply with the special conditions as set out below.

(a) The members of the Consortium shall execute an agreement comprising the terms of performance of obligations as set out under this RFP and the Agreement, inter-se such members (“Consortium Deed”), the format of which has been provided under Annexure XXIV hereto, which shall be submitted as part of the Bid. The precise roles of the each of the members in the Consortium in relation to the performance of its obligations set out under the Agreement, shall be clearly set out under the Consortium Deed. Further, the Consortium Deed shall be duly notarized and stamped as per the Applicable Law.

(b) The Parties shall nominate one of the members of the Consortium as the Prime Bidder, who shall be the point of contact of the Consortium with CHiPS, and shall serve as the representative of the Consortium (“Prime Bidder”). Such nomination shall be evidenced by way of submission of a power of attorney executed by all the members of the Consortium in accordance with the Applicable Law, in the format prescribed under Annexure III and Annexure IV of this RFP. Such power of attorney shall form a part of the Consortium Deed.

(c) The Prime Bidder shall be authorized by the members of the Consortium to act on their behalf and to incur liabilities and receive instructions, for and on behalf of him and all members of the Consortium; and entire execution of the Agreement including payments to be made thereunder, shall be done exclusively by the Prime Bidder.

(d) Remittance of the Bid Processing Fee by any one of the members of the Consortium shall be sufficient for compliance with Clause 1.5.

(e) In case of a successful Bid, the Agreement shall be executed by the Prime Bidder so as to be legally binding on all the members.

(f) Notwithstanding anything else provided under this RFP, all the members of the Consortium shall be jointly and severally liable for the execution of the Agreement and a statement to this effect shall be included in the Consortium Agreement, as well as in the Bid and in the Agreement (in case of successful Bid).

(g) The members of a Consortium shall not be permitted to become member(s) of any other Consortium in relation to this RFP. Further, only 1 (one) Bid shall be allowed to be made by a Consortium and the members shall not, separately or collectively, make any additional Bid under this RFP.

1.3. Bid

In the Bidding Process, the Bidders, including their successors, (the “Bidders”, which expression shall, unless repugnant to the context, include the members of the Consortium) shall submit their offers (the “Bids”) in 3 (three) parts, each as per the terms set out below.

1.3.1. The EMD - Envelope A

(a) The Bidder shall submit an earnest money deposit of INR 30,00,00,000/- (INR Thirty Crore only) ("EMD") online at e-Procurement as per the guidelines in Annexure-II. The EMD will be retained for a maximum period of 180 (one hundred eighty) days from the Bid Due Date, inclusive of a claim period of 60 (sixty) days, and which may be extended as mutually agreed between CHiPS and the Bidder from time to time.

(b) The EMD shall be returned to unsuccessful Bidders within 60 (sixty) days after opening of Price Bid and EMD of Successful Bidder shall be returned after the submission of Performance Bank Guarantee (PBG) in the manner as set out herein, prior to execution of the Agreement.

(c) The Bidder agrees that the EMD amount is interest-free and shall be refundable to the unsuccessful Bidders without any accrued interest thereon.

(d) CHiPS may, in its sole discretion and at the Successful Bidder’s option, adjust the amount of EMD in the amount of PBG to be provided by him in accordance with the provisions of the Agreement.

(e) CHiPS shall be entitled to forfeit and appropriate the EMD as Damages inter alia in any of the events specified in Clause 1.3.1 (f) herein. The Bidder, by submitting its Bid pursuant to this RFP, shall be deemed to have acknowledged and confirmed that CHiPS will suffer loss and Damages on account of withdrawal of its Bid or for any other default by the Bidder during the period of validity of the Bid as specified in this RFP. No relaxation of any kind on EMD shall be given to any Bidder.

(f) The EMD shall be forfeited as Damages without prejudice to any other right or remedy that may be available to CHiPS under the Bidding Documents and/ or under the Agreement, or otherwise, if:

(i) a Bidder submits a non-responsive Bid;

(ii) a Bidder engages in a corrupt practice, fraudulent practice, coercive practice, undesirable practice or restrictive practice as specified in Clause 4 of this RFP;

(iii) a Bidder withdraws its Bid during the period of Bid validity as specified in this RFP and as extended by mutual consent of the respective Bidder(s) and CHiPS; and

(iv) the Successful Bidder fails within the specified time limit:

• to sign and return the duplicate copy of LOA; or

• to execute the Agreement; or

• to furnish the PBG within the period prescribed therefore in the Agreement.

(v) the Successful Bidder, having executed the Agreement, commits any breach thereof prior to furnishing the PBG.

1.3.2. The Technical Bid – Envelope B

(a) The technical bid shall be submitted on the e-Procurement Portal and shall contain full details of deviations, if any, from the technical specifications requirements mentioned in this RFP. The technical bid shall be in the respective format provided under the relevant Annexure of this RFP. For the purposes of clarification, the technical bid shall be exclusive of the Price Bid.

(b) No alternation/modification to the format of the technical bid shall be permitted. The Bidder shall enclose relevant technical brochures/documents for the item(s) quoted in

support of the technical specifications quoted and other document as per requirement as proof of feasibility.

1.3.3. The Price Bid - Envelope C

(a) The Price Bid shall be quoted separately by the Bidder and shall not form part of the technical bid as provided above. The Price Bid shall be submitted by the Bidder on the e-Procurement Portal, in the format as provided under Annexure XVII. If the Price Bid has been made along with the Technical Bid, the same shall result in rejection of the Bid.

(b) The Price Bids of only those Bidders whose technical bid as provided above under Clause 1.3.2 has been accepted as “responsive” by the Evaluation Committee shall be opened. The Price Bid shall be opened in the presence of the Bidders at the office of CHiPS and the authorized representatives of the Bidder shall be allowed to witness the process, as per the terms of this RFP.

(c) The Price Bid should include the total cost of carrying out the Scope of Work as per Annexure XVII. Further, Taxes, delivery charges up to distribution centres, e-KYC of beneficiary and other requirements such as after sales service setup as mentioned under Annexure VIII, shall be included in the Price Bid.

(d) All prices under the Price Bid should be in Indian National Rupee (INR) and foreign Bidders should comply with all the rules and regulation of RBI, and the relevant Government instrumentality at their own cost. In the event of any discrepancy between the Price Bid quoted in words and in figures, words shall prevail.

(e) CHiPS may at its sole discretion and in accordance with the terms of this RFP, declare the Bidder quoting the lowest Price Bid as the lowest bidder (“L1 Bidder”). CHiPS shall not be responsible for any erroneous calculation of Taxes or any subsequent changes in rates or structure of the Taxes. All differences arising as aforesaid shall be fully borne by the Successful Bidder. The Price Bid shall be inclusive of all freight, forwarding, transit insurance and installation charges.

(f) CHiPS shall reserve the right to negotiate with the L1 Bidder for further reduction of the price.

(g) In the event of any difference between figures and words, the amount indicated in words in the Price Bid shall be taken into account.

1.4. Bid Validity

1.4.1. The Bid shall be valid for a period of not less than 180 (one hundred and eighty) days from the Bid Due Date.

1.4.2. Prior to the expiry of the period of validity of Bid, CHiPS may request the Bidders to extend the validity of the Bid for an additional specified period. Refusal of the Bidders to extend the validity of the Bid for such time shall amount to withdrawal of the Bid and in such an event, the EMD may be forfeited.

1.4.3. Bidders that agree to an extension of the period of validity of their Bids shall require extension in the period of validity of EMD submitted by them or submit new EMD to cover the extended period of validity of their Bids. A Bidder whose EMD is not extended, or that has not submitted a new EMD, shall be considered to have refused the request to extend the period of validity of its Bid. In such an event, the EMD shall be dealt with in the manner provided under Clause 1.4.2 above.

1.5. Bid Processing Fee

The Bidder shall pay INR 25,000 /- (INR Twenty-Five thousand only) to CHiPS for document processing by making online payment at https://eproc.cgstate.gov.in “(Bid Processing Fee")..

1.6. No Commitment

No commitment of any kind, contractual or otherwise, from the end of CHiPS, shall exist unless and until a formal written contract has been executed by or on behalf of CHiPS by way of the Agreement. CHiPS may cancel this RFP at any time prior to the Agreement being executed by or on behalf of CHiPS, and in such an event CHiPS shall return the EMD to the Bidder within 60 (sixty) days of such cancellation.

1.7. Prior Public Information

This RFP supersedes and replaces any previous public documentation and communications, and Bidders should place no reliance on such communications.

1.8. Downloading of Tender Documents

The Bidding Documents shall be available after publication of NIT. The complete Bidding Documents shall also be placed on CHiPS’s website and e-Procurement portal. The Bidders shall be permitted to download the bidding document from the website “https://eproc.cgstate.gov.in”.

1.9. Changes in the Bidding Document

1.9.1. At any time, prior to the Bid Due Date, CHiPS may for any reason, whether on its own initiative or as a result of a request for clarification by a Bidder, modify the Bidding Documents by issuing an addendum in accordance with the provisions contained in this Clause.

1.9.2. In case any modification is made to the Bidding Document or any clarification is issued which materially affects the terms contained in the Bidding Document, CHiPS shall publish such modification or clarification in the same manner as the publication of the initial Bidding Document.

1.9.3. In case, a clarification or modification to the Bidding Document is issued, CHiPS may, prior to the Bid Due Date, extend such time limit in order to allow the Bidder sufficient time to take into account the clarification or modification, as the case may be, while submitting their Bids.

1.9.4. Provided, the Bid last submitted or the Bid as last modified by the Bidder shall be considered for evaluation.

1.10. Schedule of Bidding Process

CHiPS and the Bidder shall adhere to and comply with the details including the timelines provided under this RFP under inter-alia Annexure IX and Annexure XI.

1.11. Pre-Bid Conference

1.11.1. Pre-bid meeting(s) of the Bidders shall be convened at the designated date, time and place as per Annexure XI. A maximum of (3) three representatives of each Bidder shall be allowed to participate.

1.11.2. During the Pre-bid conference(s), the Bidders shall be free to seek clarifications and make suggestions for consideration of CHiPS. CHiPS shall endeavour to provide clarifications and such further information as it may, at its sole discretion, consider appropriate for facilitating a fair, transparent and competitive Bidding Process.

1.12. Pre-Bid Clarifications to Bidders Queries

1.12.1. The Bidder shall ensure that its queries prior to the submission of Bid, should reach CHiPS by e-mail (in .xls format only) on or before last date for sending pre-bid queries mentioned under Annexure XI as per the format mentioned in Annexure VII, by the authorized representative of the Bidder only.

1.12.2. CHiPS shall endeavor to provide timely response to the queries. However, CHiPS makes no representation or warranty as to the completeness or accuracy of any response

made in good faith, nor does CHiPS undertake to answer all the queries that have been posed by the Bidders. CHiPS shall endeavour to respond to the queries within the period specified therein, but no later than 15 (fifteen) days prior to the Bid Due Date.

1.12.3. At any time prior to the last date for receipt of Bids, CHiPS may, for any reason, whether at its own initiative or in response to a clarification requested by a prospective Bidder, modify the RFP by way of a corrigendum. The corrigendum (if any) and clarifications to the queries from all Bidders will be posted on CHiPS website i.e. www.chips.gov.in and https://eproc.cgstate.gov.in. Any such corrigendum shall be deemed to be incorporated into this RFP. In order to provide prospective Bidders reasonable time for taking the corrigendum into account, CHiPS may, at its sole discretion, extend the last date for the receipt of Bids.

1.12.4. Any queries or request for additional information concerning this RFP shall be submitted in writing by speed post/ courier/ special messenger or by e-mail so as to reach the designated officer of CHiPS at “2nd Floor, State Data Centre Building, Civil Lines, Raipur, Chhattisgarh– 492001” or [email protected] by the specified date. The envelopes/ communication shall clearly bear the following identification/ title: “Queries/Request for Additional Information: RFP for selection of Bidder/Consortium for implementation of Sanchar Kranti Yojana Project”.

1.12.5. CHiPS shall endeavour to respond to the questions raised or clarifications sought by the Bidders. However, CHiPS reserves the right not to respond to any question or provide any clarification, in its sole discretion, and nothing in this Clause shall be taken or read as compelling or requiring CHiPS to respond to any question or to provide any clarification.

1.12.6. CHiPS may also on its own motion, if deemed necessary, issue interpretations and clarifications to all Bidders. All clarifications and interpretations issued by CHiPS shall be deemed to be part of the Bidding Documents. Verbal clarifications and information given by CHiPS or its employees or representatives shall not in any way or manner be binding on CHiPS.

1.12.7. Notwithstanding anything contained herein, CHiPS shall not be responsible for receipt of queries from the Bidders, it shall be the sole responsibility of the Bidder.

1.13. Conflict of Interest

A Bidder shall not have a conflict of interest that affects the Bidding Process. Any Bidder found to have a Conflict of Interest shall be disqualified. In the event of disqualification, CHiPS shall be entitled to forfeit and appropriate the EMD or PBG, for the Damages incurred by CHiPS, as the case may be, without prejudice to any other right or remedy that may be available to CHiPS under the Bidding Documents and/ or the Agreement or otherwise. Without limiting the

Selection of Implementation Partner for Chhattisgarh Sanchar Kranti Yojana (SKY) 2017 generality of the above, a Bidder shall be deemed to have a Conflict of Interest affecting the Bidding Process, if (“Conflict of Interest”):

1.13.1. the Bidder, its member or Associate (or any constituent thereof) and any other Bidder, its member or any Associate thereof (or any constituent thereof) have common controlling shareholders or other ownership interest; provided that this disqualification shall not apply in cases where the direct or indirect shareholding of a Bidder, its member or an Associate thereof (or any shareholder thereof having a shareholding of more than 5% (five percent) of the paid up and subscribed share capital of such Bidder, member or Associate, as the case may be) in the other Bidder, its member or Associate, is less than 5% (five percent) of the subscribed and paid up equity share capital thereof; provided further that this disqualification shall not apply to any ownership by a bank, insurance company, pension fund or a public financial institution referred to in sub- section (72) of section 2 of the Companies Act, 1956/2013. For the purposes of this Clause, indirect shareholding held through one or more intermediate persons shall be computed as follows:

(a) where any intermediary is controlled by a person through management control or otherwise, the entire shareholding held by such controlled intermediary in any other person (the “Subject Person”) shall be taken into account for computing the shareholding of such controlling person in the Subject Person; and

(b) subject to Clause 1.13.1 (a) above, where a person does not exercise control over an intermediary, which has shareholding in the Subject Person, the computation of indirect shareholding of such person in the Subject Person shall be undertaken on a proportionate basis; provided, however, that no such shareholding shall be reckoned under this Clause, if the shareholding of such person in the intermediary is less than 26% (twenty six percent) of the subscribed and paid up equity shareholding of such intermediary; or

(c) a constituent of such Bidder is also a constituent of another Bidder; or

(d) such Bidder, its member or any Associate thereof receives or has received any direct or indirect subsidy, grant, or subordinated debt from any other Bidder, its member or Associate, or has provided any such subsidy, grant, or subordinated debt to any other Bidder, its member or any Associate thereof; or

(e) such Bidder has the same legal representative for purposes of this Bid as any other Bidder; or

(f) such Bidder, or any Associate thereof, has a relationship with another Bidder, or any Associate thereof, directly or through common third party/ parties, that puts either or

both of them in a position to have access to each other’s information about, or to influence the Bid of either or each other; or

(g) Such Bidder or any Associate thereof has participated as a consultant to CHiPS in the preparation of any documents, design or technical specifications of the Project.

1.13.2. In case a Bidder is a Consortium, then the term Bidder as used in this Clause, shall include each member of such Consortium.

1.13.3. For purposes of this RFP, Associate means, in relation to the Bidder/ Consortium member, a person who controls, is controlled by, or is under the common control with such Bidder/ Consortium member (the “Associate”). As used in this definition, the expression “control” means, with respect to a person which is a company or corporation, the ownership, directly or indirectly, of more than 50% (fifty per cent) of the voting shares of such person, and with respect to a person which is not a company or corporation, the power to direct the management and policies of such person by operation of Applicable Law.

1.14. Disqualification of the Bidder

1.14.1. A Bidder shall be liable for disqualification and forfeiture of the EMD submitted by it, if any legal, financial or technical adviser of CHiPS in relation to the Project is engaged by the Bidder, its members or any Associate thereof, as the case may be, in any manner for matters related to or incidental to such Project during the Bidding Process or subsequent to the (i) issuance of the LOA or (ii) execution of the Agreement.

1.14.2. In the event any such adviser is engaged by the Successful Bidder or the Contractor, as the case may be, after issuance of the LOA or execution of the Agreement for matters related or incidental to the Project, then notwithstanding anything to the contrary contained herein or in the LOA or the Agreement and without prejudice to any other right or remedy of CHiPS, including the forfeiture and appropriation of the EMD or PBG, as the case may be, the LOA and/or the Agreement shall be liable to be terminated without CHiPS being liable in any manner whatsoever to the Successful Bidder or Contractor for the same.

1.14.3. For the avoidance of doubt, this disqualification shall not apply where such adviser was engaged by the Bidder, its member or Associate in the past but its assignment expired or was terminated prior to the Bid Due Date. Nor will this disqualification apply where

such adviser is engaged after a period of 3 (three) years from the date of completion of Scope of Work of the Project.

1.15. Change in composition of the Consortium

1.15.1. Where the Bidder is a Consortium, change in composition of the Consortium shall not be permitted.

1.16. Site(s) visit and verification of information

1.16.1. Bidders are encouraged to submit their respective Bids after visiting the sites relevant for the purposes of completion of Scope of Work of the Project and ascertaining for themselves the site conditions, location, surroundings, climate, availability of power, water and other utilities for construction, access to site, handling and storage of materials, weather data, Applicable Laws and regulations, and any other matter considered relevant by them.

1.16.2. It shall be deemed that by submitting a Bid, the Bidder has:

(a) made a complete and careful examination of the Bidding Documents;

(b) received all relevant information requested from CHiPS;

(c) accepted the risk of inadequacy, error or mistake in the information provided in the Bidding Documents or furnished by or on behalf of CHiPS relating to any of the matters referred to in Clause 1.16.1 above;

(d) satisfied itself about all matters, things and information including matters referred to in Clause 1.16.1 hereinabove necessary and required for submitting an informed Bid, execution of the Scope of Work of Project in accordance with the Bidding Documents and performance of its obligations/compliance with all of the requirements, as set out under the Bid Documents;

(e) acknowledged and agreed that inadequacy, lack of completeness or incorrectness of information provided in the Bidding Documents or ignorance of any of the matters referred to in Clause 1.16.1 hereinabove shall not be a basis for any claim for compensation, Damages, extension of time for performance of its obligations, loss of profits etc. from CHiPS, or a ground for termination of the Agreement by the Contractor;

(f) acknowledged that it does not have a Conflict of Interest; and

(g) agreed to be bound by the undertakings provided by it under and in terms hereof.

1.16.3. CHiPS shall not be liable for any omission, mistake or error in respect of any of the above or on account of any matter or thing arising out of or concerning or relating to the

Bidding Documents or the Bidding Process, including any error or mistake therein or in any information or data given by CHiPS.

1.17. Verification and Disqualification

1.17.1. CHiPS reserves the right to verify all statements, information and documents submitted by the Bidder in response to the Bidding Documents and the Bidder shall, when so required by CHiPS, make available all such information, evidence and documents as may be necessary for such verification. Any such verification, or lack of such verification, by CHiPS shall not relieve the Bidder of its obligations or liabilities hereunder nor will it affect any rights of CHiPS hereunder.

1.17.2. CHiPS reserves the right to reject any Bid and appropriate the EMD if:

(a) at any time, a material misrepresentation is made or uncovered, or

(b) L1 expresses its desire to or does withdraw its Bid, or

(c) the Bidder does not provide, within the time specified by CHiPS, the supplemental information sought by CHiPS for evaluation of the Bid within a reasonable time as determined by CHiPS in its sole discretion.

1.17.3. Such misrepresentation/ improper response/intent to withdraw shall lead to the disqualification of the Bidder. If the Bidder is a Consortium, then the entire Consortium may be disqualified/rejected. If such disqualification/rejection occurs after the Bids have been opened and the L1 Bidder gets disqualified/rejected, then CHiPS reserves the right to:

(a) invite the remaining Bidders to submit fresh Bids in accordance with this RFP; or

(b) approach the next lowest Bidder (L2) for matching the price of L1. Should L2 choose to match the price bid of L1, CHiPS may issue the LOA to L2

(c) take any such measure as may be deemed fit in the sole discretion of CHiPS, including annulment of the Bidding Process.

1.17.4. In case it is found during the evaluation or at any time before signing of the Agreement or after its execution and during the period of subsistence thereof, that one or more of the qualification conditions have not been met by the Successful Bidder/Contractor (as may be the case), or the Bidder has made material misrepresentation or has given any materially incorrect or false information, the Successful Bidder/Contractor shall be disqualified forthwith if not yet appointed as the Contractor either by issue of the LOA or entering into of the Agreement, and if the Successful Bidder has already been issued the LOA or has entered into the Agreement, as the case may be, the same shall, notwithstanding anything to the contrary contained therein or in this RFP, be liable to

be terminated, by a communication in writing, by CHiPS to the Successful Bidder/Contractor, as the case may be, without CHiPS being liable in any manner whatsoever to the Successful Bidder or Contractor. In such an event, CHiPS shall be entitled to forfeit and appropriate the EMD or PBG, as the case may be, as Damages, without prejudice to any other right or remedy that may be available to CHiPS under the Bidding Documents and/ or the Agreement, or otherwise.

1.17.5. Bidders are advised to study all instructions, forms, terms, requirements, appendices and other information in the RFP carefully. Online submission of the Bid shall be deemed to have been done after careful study and examination of the RFP with full understanding of its implications and failure to comply with the requirements of the RFP, in addition to submission of all the documents as required hereunder, may render the Bid non-compliant and the same may be rejected.

1.18. Bid Due Date

1.18.1. Bids should be submitted as per the details mentioned in Annexure XI , on the e- Procurement Portal wherever required, in the manner and form as detailed in this RFP.

1.18.2. CHiPS may, in its sole discretion, extend the Bid Due Date by issuing an addendum to this effect uniformly for all Bidders.

1.19. Modifications/ Substitution/ Withdrawal of Bids

1.19.1. The Bidder may modify, substitute or withdraw its Bid prior to the Bid Due Date. No Bid shall be modified, substituted or withdrawn by the Bidder on or after the Bid Due Date.

1.20. Termination by CHiPS

1.20.1. Notwithstanding anything contained herein, CHiPS reserves the right to terminate this RFP at any time, without assigning any reasons whatsoever. In this regard, in the event of such termination, CHiPS shall not be liable to return the Bid Processing Fees.

1.20.2. Further, in the event that the RFP has been terminated on account of any default of the Bidder/Successful Bidder, CHiPS reserves the right to encash the EMD and/or PBG to the extent required to make good the losses suffered by it on account of such default having been committed by the Bidder.

1.20.3. This RFP does not constitute an offer by CHiPS. The Bidder’s participation in the Bidding Process may result CHiPS selecting the Bidder to engage towards execution of the Scope of Work of the Project.

CLAUSE II EVALUATION OF BIDS

Evaluation of bids

2.1. Evaluation Committee

2.1.1. CHiPS shall constitute an evaluation committee for evaluation of the Bids of the Bidders, in addition to and including, all the documents submitted by the Bidders in support of/along with their Bids (“Evaluation Committee"). The Evaluation Committee shall evaluate the bids on the basis of the criteria provided under this RFP.

2.1.2. The decision of the Evaluation Committee shall be final and no correspondences shall be entertained from the Bidder in this regard, except as provided under this Clause.

2.1.3. The Evaluation Committee shall be entitled to call for meetings with the Bidders to seek any clarification required in order to examine and evaluate the Bids.

2.1.4. The Evaluation Committee reserves the right to reject any or all the Bids on the grounds for rejection as set out under this RFP, including on account of any deviations from the technical, commercial or financial specifications as set out herein.

2.2. Opening of Bids

2.2.1. The Bids received form the Bidders shall be opened online. The opening of the Bids shall be carried out online in the physical presence of the designated representatives of CHiPS and the Bidders. However, this RFP does not mandate the physical presence of

the Bidders. The absence of the physical presence of the Bidders shall in no way affect the outcome of the evaluation of the Bids.

2.2.2. CHiPS shall initiate opening of the Bids as specified in Annexure XI and in the presence of the Bidders who choose to attend.

2.2.3. CHiPS shall subsequently examine and evaluate the Bids in accordance with the provisions set out in this Clause 2.

2.2.4. To facilitate evaluation of Bids, CHiPS may, at its sole discretion, seek clarifications in writing from any Bidder regarding its Bid.

2.3. Tests of responsiveness

2.3.1. Prior to evaluation of Bids, CHiPS shall determine whether each Bid is responsive to the requirements of this RFP. A Bid shall be considered responsive if:

(a) it is received as per the relevant format set out under this RFP.;

(b) it is received by the Bid Due Date including any extension thereof pursuant to the terms of this RFP;

(c) it is accompanied by the EMD as specified in Clause 1.3.1;

(d) it is accompanied by the power(s) of attorney as relevant to a Single Bidder or a Consortium (as may the case be) as per the terms of this RFP;

(e) it contains all the information (complete in all respects) as requested in this RFP and/or Bidding Documents (in formats same as those specified);

(f) it does not contain any condition or qualification limiting or affecting the manner or substance of performance of obligations of the Bidder under this RFP, unless specifically required as per the terms of this RFP;

(g) Provided, if a Bidder imposes conditions, which is in addition to or in conflict with the conditions mentioned herein, its Bid shall be liable to be summarily rejected. In any case none of such conditions will be deemed to have been accepted unless specifically mentioned in the LOA of the Bid issued by CHiPS;

(h) It does not contain any suppression of information or facts as required to be furnished by the Bidder under this RFP or as may be relevant to be furnished by the Bidder in relation to the Project;

(i) It does not comprise any incomplete information, subjective / conditional / contingent / partial offers;

(j) is valid for a period of 180 (one hundred and eighty days); and

(k) it is not non-responsive as per any other terms of this RFP.

2.3.2. CHiPS reserves the right to reject any Bid which is non-responsive and no request for alteration, modification, substitution or withdrawal shall be entertained by CHiPS in respect of such Bid. Provided, however, that CHiPS may, in its discretion, allow the Bidder to rectify any infirmities or omissions if the same do not constitute a material modification of the Bid, subject to its written approval and confirmation in this regard.

2.4. Selection of Bidder

2.4.1. The Evaluation Committee shall prepare a list of responsive Bidders, in accordance with the compliance by such responsive Bidders of the terms and conditions set out under this RFP. All eligible Bids shall be considered for further evaluation by the Evaluation Committee, whose decision in this regard shall be final and binding.

2.4.2. Evaluation committee will examine the Bids to determine whether they are complete, whether any computational errors have been made, and whether the Bids are generally in order.

2.4.3. The Price Bids of only those Bidders whose technical bids have been accepted as responsive, shall be opened as per the terms of this Clause 2.

2.4.4. The Bids shall be opened in the presence of Bidders’ representatives who shall attend the Bid-opening meeting at their own cost. The Bidders’ representatives who are present shall sign a register giving evidence of their attendance.

2.4.5. After selection, a Letter of Award (the “LOA”) shall be issued, in duplicate, by CHiPS to the Successful Bidder and the Successful Bidder shall, within 3 (three) days of the receipt of the LOA, sign and return the duplicate copy of the LOA in acknowledgement thereof. If the duplicate copy of the LOA duly signed by the Successful Bidder is not received by the stipulated date, then CHiPS may, unless it consents to extension of time for submission thereof, appropriate the EMD of such Bidder as Damages on account of failure of the Successful Bidder to acknowledge the LOA, and the next eligible Bidder may be considered.

2.4.6. After acknowledgement of the LOA as aforesaid by the Successful Bidder, the Evaluation Committee shall cause the Contractor to execute the Agreement within 7 (seven) days

of such acknowledgement. The Successful Bidder shall not be entitled to seek any deviation, modification or amendment in the Agreement.

2.4.7. CHiPS reserves the right to accept any Bid for the purposes of evaluation and determination of the Successful Bidder, notwithstanding the fact that such Bid may not necessarily be the lowest; and further also reserves the right to reject any Bid without assigning any reasons.

2.5. Contacts during Bid Evaluation

Bids shall be deemed to be under consideration immediately after they are opened and until such time CHiPS makes official intimation of award/ rejection to the Bidders. While the Bids are under consideration, Bidders and/ or their representatives or other interested parties are advised to refrain, save and except as required under the Bidding Documents, from contacting by any means, CHiPS and/ or their employees/ representatives on matters related to the Bids under consideration.

CLAUSE III FRAUD AND CORRUPT PRACTICES

FRAUD AND CORRUPT PRACTICES

3.1. The Bidders and their respective officers, employees, agents and advisers shall observe the highest standard of ethics during the Bidding Process and subsequent to the issue of the LOA and during the subsistence of the Agreement.

3.2. Notwithstanding anything to the contrary contained herein, or in the LOA or the Agreement, CHiPS may reject a Bid, withdraw the LOA, or terminate the Agreement, as the case may be, without being liable in any manner whatsoever to the Successful Bidder/Contractor, as the case may be, if it determines that the Successful Bidder/Contractor, as the case may be, has, directly or indirectly or through an agent, engaged in corrupt practice, fraudulent practice, coercive practice, undesirable practice or restrictive practice in the Bidding Process. In such an event, CHiPS shall be entitled to forfeit and appropriate the EMD or PBG, as the case may be, as Damages, without prejudice to any other right or remedy that may be available to CHiPS under the Bidding Documents and/ or the Agreement, or otherwise.

3.3. Without prejudice to the rights of CHiPS under Clause 3 hereinabove and the rights and remedies which CHiPS may have under the LOA or the Agreement, or otherwise if a Bidder/Successful Bidder/Contractor, as the case may be, is found by CHiPS to have directly or indirectly or through an agent, engaged or indulged in any corrupt practice, fraudulent practice, coercive practice, undesirable practice or restrictive practice during the Bidding Process, or after the issue of the LOA or the execution of the Agreement, such Successful Bidder/Contractor shall not be eligible to participate in any tender or RFP issued by CHiPS during a period of 2 (two) years from the date such Bidder/ Contractor, as the case may be, is found by CHiPS to have directly or indirectly or through an agent, engaged or indulged in any corrupt practice, fraudulent practice, coercive practice, undesirable practice or restrictive practices, as the case may be.

3.4. For the purposes of this Clause 3, the following terms shall have the meaning hereinafter respectively assigned to them:

3.4.1. “corrupt practice” means (i) the offering, giving, receiving, or soliciting, directly or indirectly, of anything of value to influence the actions of any person connected with the Bidding Process (for avoidance of doubt, offering of employment to or employing

or engaging in any manner whatsoever, directly or indirectly, any official of CHiPS who is or has been associated in any manner, directly or indirectly, with the Bidding Process or the LOA or has dealt with matters concerning the Agreement or arising therefrom, before or after the execution thereof, at any time prior to the expiry of one year from the date such official resigns or retires from or otherwise ceases to be in the service of CHiPS, shall be deemed to constitute influencing the actions of a person connected with the Bidding Process); or (ii) save and except as permitted under this RFP, engaging in any manner whatsoever, whether during the Bidding Process or after the issue of the LOA or after the execution of the Agreement, as the case may be, any person in respect of any matter relating to the Project or the LOA or the Agreement, who at any time has been or is a legal, financial or technical adviser of CHiPS in relation to any matter concerning the Project;

3.4.2. “fraudulent practice” means a misrepresentation or omission of facts or suppression of facts or disclosure of incomplete facts, in order to influence the Bidding Process;

3.4.3. “coercive practice” means impairing or harming, or threatening to impair or harm, directly or indirectly, any person or property to influence any person’s participation or action in the Bidding Process;

3.4.4. “undesirable practice” means (i) establishing contact with any person connected with or employed or engaged by CHiPS with the objective of canvassing, lobbying or in any manner influencing or attempting to influence the Bidding Process; or (ii) having a Conflict of Interest; and

3.4.5. “restrictive practice” means forming a cartel or arriving at any understanding or arrangement among Bidders with the objective of restricting or manipulating a full and fair competition in the Bidding Process.

CLAUSE IV OTHER GENERAL TERMS & CONDITIONS

OTHER GENERAL TERMS AND CONDITIONS

4.1. Governing Law

The Bidding Process shall be governed by, and construed in accordance with, the laws of India and the Courts in the State of Chhattisgarh, in which CHiPS has its headquarters shall have exclusive jurisdiction over all disputes arising under, pursuant to and/ or in connection with the Bidding Process.

4.2. Powers of CHiPS

CHiPS, at its sole discretion and without incurring any obligation or liability, reserves the right, at any time, to;

4.2.1. suspend and/ or cancel the Bidding Process and/ or amend and/ or supplement the Bidding Process or modify the dates or other terms and conditions relating thereto;

4.2.2. consult with any Bidder in order to receive clarification or further information;

4.2.3. retain any information and/ or evidence submitted to CHiPS by, on behalf of, and/ or in relation to any Bidder; and/ or

4.2.4. independently verify, disqualify, reject and/ or accept any and all submissions or other information and/ or evidence submitted by or on behalf of any Bidder.

4.3. Bidder’s Undertaking

It shall be deemed that by submitting the Bid, the Bidder agrees and releases CHiPS, its employees, agents and advisers, irrevocably, unconditionally, fully and finally from any and all liability for claims, losses, damages, costs, expenses or liabilities in any way related to or arising from the exercise of any rights and/ or performance of any obligations hereunder, pursuant hereto and/ or in connection with the Bidding Process and waives, to the fullest extent

permitted by Applicable Laws, any and all rights and/ or claims it may have in this respect, whether actual or contingent, whether present or in future.

4.4. Overriding Effect

Notwithstanding anything to the contrary contained in this RFP (including the Annexures), and without prejudice to the obligations of the Bidder set out in detail herein (which shall apply in addition to the obligations set out under the Agreement), in the event of a conflict, the detailed terms specified in the Agreement shall have overriding effect over the terms provided hereunder.

4.5. Non-Responsiveness of the Bid

CHiPS shall be fully empowered, and reserves the right to decide in its sole discretion, to reject any bid on grounds of the same being non-responsive due to existence of any condition, qualification or any other stipulation contained therein.

4.6. Language of the Bid

The Bid and all communications in relation to or concerning the Bidding Documents and the Bid shall be in English language. If any supporting documents submitted are in any language other than English, translated copies of the same to English language, along with the certification of the translated as to the genuineness, accuracy and authenticity of the document, shall be attested along with such original documents by the Bidder (and such translated copy shall govern in the event of any conflict between the documents).

4.7. Full Documents

The Bidder shall ensure that all the documents as required under this RFP for evidencing inter- alia its technical capabilities, financial capabilities and eligibility requirements, are submitted by it in full and are not redacted or suppressed in any manner except as required pursuant to the Applicable Law (in which case the Bidder shall intimate CHiPS to this effect in writing before submission of the Bid).

4.8. RFP - CHiPS Property

This RFP and all other documents attached / annexed / appended / provided herewith, are provided by CHiPS and shall remain (or become upon their coming into existence) the property of CHiPS and are transmitted to the Bidders solely for preparation and the submission of a Bid in accordance herewith.

4.9. Cost of Bidding

The Bidders shall be responsible for all of the costs associated with the preparation of their Bids and their participation in the Bidding Process. CHiPS will not be responsible or in any way liable for such costs, regardless of the conduct or outcome of the Bidding Process.

4.10. Format and Signing of Bid

4.10.1. The Bidder shall provide all the information sought under this RFP. CHiPS will evaluate only those Bids that are received in the required formats and complete in all respects.

4.10.2. The Bidders shall submit their Bids on the e-Procurement Portal while ensuring compliance with the guidelines for the same accessible at https://eproc.cgstate.gov.in.

4.11. Submission of Responses:

4.11.1. Please refer to Annexure II for guidelines for the Bidders on using integrated e- Procurement system, Govt. of Chhattisgarh (https://eproc.cgstate.gov.in)

4.12. Rejection of Bids

4.12.1. Notwithstanding anything contained in this RFP, CHiPS reserves the right to reject any Bid and to annul the Bidding Process and reject all Bids at any time without any liability or any obligation for such acceptance, rejection or annulment, and without assigning any reasons therefor. In the event that CHiPS rejects or annuls all the Bids, it may, in its discretion, invite all eligible Bidders to submit fresh Bids hereunder.

4.12.2. CHiPS reserves the right not to proceed with the Bidding Process at any time, without notice or liability, and to reject any Bid without assigning any reasons.

4.12.3. Bids received by CHiPS after the specified time on the Bid Due Date shall not be eligible for consideration and shall be summarily rejected.

4.13. Confidentiality

Information relating to the examination, clarification, evaluation and recommendation for the Bidders shall not be disclosed to any person who is not officially concerned with the process or is not a retained professional advisor advising CHiPS in relation to, or matters arising out of, or concerning the Bidding Process or CHiPS will treat all information, submitted as part of the Bid, in confidence and will require all those who have access to such material to treat the same in confidence. CHiPS may not divulge any such information unless it is directed to do so by any statutory entity that has the power under Applicable Law to require its disclosure or is to enforce or assert any right or privilege of the statutory entity and/ or CHiPS or as may be required by Applicable Law or in connection with any legal process. Bidders are to treat all information as

strictly confidential and shall not use it for any purpose other than for preparation and submission of their Bid. The provisions of this Clause shall also apply mutatis mutandis to Bids and all other documents submitted by the Bidders, and CHiPS shall be under no obligation whatsoever to return to the Bidders any document or any information provided along therewith.

4.14. Correspondence with the Bidder

Save and except as provided in this RFP, CHiPS shall not entertain any correspondence with any Bidder in relation to acceptance or rejection of any Bid.

4.15. Change in Ownership

4.15.1. By submitting the Bid, the Bidder acknowledges that it its Bid shall be evaluated on the basis of its technical and financial capability in case of a Single Bidder, or of those of its members in case of a Consortium.

4.15.2. NOT USED

4.16. Bidder’s Due Diligence

The Bidders shall be expected to examine all instructions, forms, terms, and specifications in the Bidding Documents. Failure to furnish all information required in the Bidding Documents or submitting a Bid not substantially responsive to the Bidding Documents in any respect may result in the rejection of the Bid.

4.17. Professional Excellence and Ethics

CHiPS requires that all Bidders participating in this Bid adhere to the highest ethical standards, both during the Bidding Process and throughout the execution of the Agreement.

4.18. Annulment and Re-award

Failure of the Successful Bidder to comply with all the requirements shall constitute sufficient grounds for the annulment of the award of the Agreement, in which event CHiPS may make the award to the next lowest evaluated Bidder or call for new bids.

4.19. Notification of Award

Prior to the expiration of the period of the bid validity and in accordance with the timelines as set out under Annexure IX, CHiPS shall notify the Successful Bidder in writing that its Bid has been accepted and that CHiPS wishes to award the Agreement to such Bidder (“Successful Bidder”). After notification of award, the Successful Bidder shall enter into the Agreement with

CHiPS and thereafter submit the PBG in accordance with Clause 4.21 of this RFP against which CHiPS shall release the work order after execution of the Agreement with the Bidder who shall then be the Contractor.

4.20. Residuary Governing Rules

Any matter which has not been covered under these provisions shall be governed as per the provisions of Chhattisgarh State Government Rules and the Applicable Law.

4.21. Performance Bank Guarantee (PBG)

The Selected Bidder at his own expense shall deposit to CEO, CHiPS Raipur, within 7 (seven) working days of the date of notice of the LOA and in any event prior to the execution of the Agreement, an unconditional and irrevocable performance bank guarantee (“PBG”) for an amount of 10% (ten percent) of the value of the Agreement from a nationalized or scheduled bank payable on demand, which shall be for valid until June, 2019, after which a revised PBG with a reduced amount equivalent to 1% (one percent) of the value of the Agreement shall be provided, which shall be valid until June, 2020, in accordance with the terms of the Agreement. The PBG shall be submitted as per the format in Annexure XV. CHiPS shall have the right to invoke the PBG as per the terms and conditions set out in this RFP and the Agreement.

4.22. Notices

Any notice given by a Bidder to CHiPS, pursuant to this Agreement and subject to the permissibility of the same being allowed under the construct of this RFP, shall be sent in writing or by telegram or telefax or by email and confirmed in writing to CEO, CHiPS, SDC Building, Civil Lines, 02nd floor, Near Civil Lines Police Station, Raipur, Chhattisgarh–492001 Fax:- 0771- 4066205, Ph No. 0771-4014158. A notice shall be effective when delivered or on the notice's effective date whichever is later.

1. 2. This statement is made for the express purpose of our selection as Contractor for the performance of obligations pertaining to inter-alia (i) augmentation of the network in the target areas in order to provide/augment telecommunication coverage to such areas for the purposes of the Project; (ii) provision of voice/data-related services; (iii) development and management of the SKY portal, platform

3. I/ We shall make available to CHiPS any additional information it may find necessary or require to supplement or authenticate the Bid (which comprises our quote for the entire Scope of Work under the Bidding Documents); and the validity of the Bid shall be for a period of 180 (one hundred and eighty) days.

4. I/ We acknowledge the right of CHiPS to reject our Bid without assigning any reason or otherwise and hereby waive, to the fullest extent permitted by Applicable Law, our right to challenge the same on any account whatsoever.

5. I/ We certify that in the last three years, we/ any of the Consortium members or our/ their Associates have neither failed to perform on any contract, as evidenced by imposition of a penalty by an arbitral or judicial authority or a judicial pronouncement or arbitration award, nor been expelled from any project or contract by any Government instrumentality nor have had any contract terminated by any Government instrumentality for breach on our part.

6. I/ We declare that:

(a) I/ We have examined and have no reservations to the Bidding Documents, including any addendum issued by CHiPS;

(b) I/ We do not have any Conflict of Interest in accordance with Clause 1.13 of the RFP;

14. I/We further agree and acknowledge to abide by and comply with the requirements in respect of Change in ownership as provided under the RFP, as per the terms thereof.

I/ We acknowledge and agree that in the event of a change in control of an Associate whose technical capacity and/ or financial capability was taken into consideration for the purposes of short-listing and qualification under and in accordance with this RFP, I/We shall inform the CHiPS forthwith along with all relevant particulars and the CHiPS may, in its sole discretion, disqualify our Consortium or withdraw the Letter of Award, as the case may be. I/We further acknowledge and agree that in the event such change in control occurs after signing of the Agreement, it would, notwithstanding anything to the contrary contained in the Agreement, be deemed a breach thereof, and the Agreement shall be liable to be terminated without CHiPS being liable to us in any manner whatsoever.

16. I/ We understand that the Successful Bidder shall either be an existing Company incorporated under the Indian Companies Act, 1956/ 2013, or shall incorporate as such prior to execution of the Agreement.

17. I/ We hereby irrevocably waive any right or remedy which we may have at any stage at Applicable Law or howsoever otherwise arising to challenge or question any decision taken by CHiPS in connection with the selection of the Bidder, or in connection with the Bidding Process itself, in respect of the above mentioned Project and the terms and implementation thereof.

18. In the event of my/ our being declared as the Successful Bidder, I/we agree to enter into an Agreement in accordance with the draft that has been provided to me/us prior to the Bid Due Date. We agree not to seek any changes in the aforesaid draft and agree to abide by the same.

Annexure-II GUIDELINE FOR E-PROCUREMENT Guidelines for bidders on using integrated e-Procurement System Govt. of Chhattisgarh. https://eproc.cgstate.gov.in

Note: These conditions will over-rule the conditions stated in the tender document(s), wherever relevant and applicable.

1. Bidder Registration on the e-Procurement System: . All the Bidder (Manufacturers / Contractors / Suppliers / Vendors / Distributors etc.) registered with and intending to participate in the Tenders of various Govt. Departments / Agencies / Corporations / Boards / Undertakings under Govt. of Chhattisgarh processed using the Integrated e-Procurement System are required to get registered on the centralized portal https://eproc.cgstate.gov.in .

The non – registered users / bidders who are also eligible to participate in the tenders floated using the e-Procurement system are also required to be registered online on the e-Procurement system.

Vendors are advised to complete their online enrolment / registration process on the portal well in advance to avoid last minute hassle, it is suggested to complete enrolment at least four days before the last date of bid submission date, failing which may result in non-submission of bids on time for which vendor/end user shall be solely responsible.

2. Digital Certificates:

The bids submitted online must be signed digitally with a valid Class II / Class – III Digital Signature Certificate to establish the identity of the bidders submitting the bids online. The bidders may obtain a pair of Encryption & Signing Class – II / Class – III Digital Certificate issued by an approved Certifying Authority (CA) authorized by the Controller of Certifying Authorities (CCA), Government of India.

Note: It may take upto 7 to 10 working days for issuance of Class-II / Class-III Digital Certificate, Therefore the bidders are advised to obtain it at the earliest. It is compulsory to possess a valid Class-II / Class-III Digital Certificate while registering online on the above mentioned e-Procurement portal. A Digital Certificate once mapped to an account / registration cannot be remapped with any other account / registration however it may be inactivated / deactivated.

Important Note: Bid under preparation / creation for a particular tender may only be submitted using the same digital certificate that is used for encryption to encrypt the bid data during the bid preparation / creation / responding stage. However bidder may prepare / create and submit a fresh bid using his/her / reissued / renewed Digital Certificate only within the stipulated date and time as specified in the tender. In case, during the process of a particular bid preparation / responding for a tender, the bidder loses his/her Digital Certificate because of any reason they may not be able to submit the same bid under preparation online, Hence the bidders are advised to keep their

The digital certificate issued to the authorized user of an individual / partnership firm / private limited company / public limited company / joint venture and used for online bidding will be considered as equivalent to a no-objection certificate / power of attorney to the user.

Unless the certificate is revoked, it will be assumed to represent adequate authority of the specific individual to bid on behalf of the organization / firm for online tenders as per Information Technology Act 2000. This authorized user will be required to obtain a valid Class-II / Class-III Digital Certificate. The Digital Signature executed through the use of Digital Certificate of this authorized user will be binding on the organization / firm. It shall be the responsibility of management / partners of the concerned organization / firm to inform the Certifying Authority, if the authorized user changes, and apply for a fresh digital certificate for the new authorized user.

3. Online Payment: As the bid is to be submitted only online, bidders are required to make online payment(s) of the Registration fee / Transaction or Service fees / EMD using the online payments gateway services integrated into the e-Procurement system using various payment modes like Credit Card / Debit Card / Internet Banking / Cash Card / NEFT / RTGS etc.

4. Setup of User’s Computer System: In order to operate on the e-Procurement system for a bidder / user, the computer system / desktop / laptop of the bidder is required to have Java ver. 765 , Internet explorer 9 / 11, latest Mozila firefox with IE Tab V2 (Enhanced IE Tab) or any other latest browser. A detailed step by step document on the same is available on the home page. Also internet connectivity should be minimum one MBPS.

5. Publishing of N.I.T.: For the tenders processed using the e-Procurement system, only a brief advertisement notice related to the tender shall be published in the newspapers and the detailed notice shall be published only on the e-Procurement system. Bidders can view the detailed notice, tender document and the activity time schedule for all the tenders processed using the e-Procurement system on the portal https://eproc.cgstate.gov.in.

6. Tender Time Schedule: The bidders are strictly advised to follow the tender time for their side for tasks / activities and responsibilities to participate in the tender, as all the activities / tasks of each tender are locked before the start time & date and after the end time & date for the relevant activity of the tender as set by the concerned department official.

9. Submission of Earnest Money Deposit: The bidders shall submit their Earnest Money Deposit online using payment gateway as stated in the Notice Inviting Tender. Bidders also have to upload scanned copy of Earnest Money Deposit instrument.

10. Opening of Tenders: The concerned department official receiving the tenders or his duly authorized officer shall first open the online Earnest Money Deposit envelope of all the bidders and verify the same uploaded by the bidders. He / She shall check for the validity of Earnest Money Deposit as required. He / She shall also verify the scanned documents uploaded by the bidders, if any, as required. In case, the requirements are incomplete, the next i.e. technical and commercial envelopes of the concerned bidders received online shall not be opened.

The concerned official shall then open the other subsequent envelopes submitted online by the bidders in the presence of the bidders or their authorized representatives who choose to be present in the bid opening process or may view opened details online.

SCOPE OF WORK

Under this RFP, the Contractor will perform the following broad tasks, detailed out as under:

i. Ensure that the telecom network is extended to cover all target urban/ rural areas. Please refer to section 12.1 for broad scope of network augmentation and Annexure XVI A for list of villages/ urban wards/ colleges to be covered. ii. CHiPS reserves the right to increase the quantity by up to 25% for both the categories of smartphones or reduce it by up to 20% of the total order.

As per the above categorization, the Government of Chhattisgarh plans to initiate the Smartphone distribution by April 2018 and complete 100% Smartphone distribution by the end of March 2019. For ease of distribution and in order to ensure effective implementation, the distribution period has been divided into 02 stages with the first such stage witnessing distribution of approximately 48,20,000 (Forty eight lakh twenty thousand) Smartphones by end of August 2018 and the second stage witnessing distribution of the remaining approximately 2,80,000 (Two lakh eighty thousand) Smartphones by end of March 2019. These distribution stages and the related Smartphone quantities have been indicated below:

iii. In addition to providing the Smartphones, in lieu of the consideration paid by CHiPS to the Contractor under the Agreement, the Contractor shall provide the below-mentioned benefits to the end beneficiaries:

a. Minimum 01 GB unlimited9 data (3G or higher) free per month valid up to 12 months from the date of activation of each SIM and; b. Minimum 100 calling minutes per month applicable for both STD & Local, valid up to 12 months from the date of activation of each SIM. c. The successful bidder may provide payment bank service /mobile wallet through the smartphone.The Successful Bidder may provide payment bank service /mobile wallet through the Smartphone. The bidder may ensure SIM locking for a maximum period of 1 year from the date of activation of the SIM.

iv. Develop SKY Portal for scheme management. The portal will include functionalities related to planning, information sharing, approvals, reporting, progress tracking etc. Please refer section 12.3 for details. v. Develop a customized platform for custom e-Gov applications provided by CHiPS. Please refer section 12.4 for details. vi. Ensure all SIMs are activated after e-KYC/ KYC10 authentication of the identified beneficiary. Activation of SIM and e-KYC/ KYC must to be done at Distribution Centres at GP/ Ward/ College level. Please refer section 12.6 for details. vii. Establish Collection Centres at Block (Sub-District) Headquarters, one dedicated Service Centre for the Smartphones at Raipur for aftersales support as per details mentioned at section 12.7 for details. viii. Establish a centralized Call centre (may be outside Chhattisgarh) with local language support. Please refer section 12.7 for details.

The Scope of work necessarily, but not exclusively includes the following activities:

12.1. Network Augmentation

Network augmentation is the driving and crucial factor for the success of CG-SKY scheme. All target regions, proposed to be covered under the CG-SKY scheme need to have active telecom network, provided by the Successful Bidder. This would also be a compliance related pre-requisite for the Successful Bidder to align itself with the overall Smartphone distribution plan, which is proposed to start from April 2018 and is to be completed by August 2018 for Stage 1 and by March 2019 for Stage 2. The Bidder needs to ensure a functional network, at least 15 days prior to the scheduled date of Smartphone distribution camp for any particular village/ ward/ area.

In order to ensure the coverage of the required areas, the Successful Bidder has to submit a Network Augmentation Plan (NAP) to cover the target villages/ wards and urban areas as per format given in Annexure XXIX of this bid prior to signing of the agreement. The Successful Bidder would then synchronize the NAP with the Broad Distribution Plan (BDP) for Smartphones, as provided by CHiPS and mentioned in section 12.6 and detailed in Annexure XXVIII of this document. Additionally, the Successful Bidder will be required to submit a Detailed Distribution Plan (DDP) (Distribution Centre wise) for Smartphones within 30 days of signing of the Agreement. The Detailed Distribution Plan must match the Broad Distribution Plan given in this RFP document and Network Augmentation Plan.

The Successful Bidder after getting the LoA from CHiPS must start finalizing the potential locations for Cell Sites and identify at least 03 options (including Government site options, wherever available). Network Augmentation Plan including 03 potential locations for Cell Site will be termed as Final Network Augmentation Plan (F-NAP). The District Administration will facilitate the Successful Bidder for identification of potential Cell Sites. The F-NAP will be submitted by the Successful Bidder within 15 days of signing of contract with CHiPS.

9 Unlimited data signifies Monthly 1 GB data at High Speed, followed by unlimited at 64 Kbps 10 eKYC is the preferred choice (to the extent possible). However, Physical KYC should be ensured in case of areas facing network connectivity issues, Unavailability of power supply, etc.

CHiPS will evaluate the options proposed for each potential Cell Site and finalize wherever proposed Government sites may be offered to the Successful Bidder. The Successful Bidder will ensure that location for all the proposed Cell Sites is finalized within one month of signing of the Agreement. The Successful Bidder will make alternate arrangements for the places where Government site is not available or delay in availability of the Government is expected. Citing of any delay on account of non-availability of Cell Site or delay in allocation by the Government will not be acceptable as a reason for any delays in the overall project timelines.

The Successful Bidder will prepare the route plan for RoW approval once Cell Sites for each proposed location are finalized. The route plan must be submitted within 45 days of signing of the Agreement. CHiPS will ensure free RoW for laying optical fibre cables, other than where it involves national highways, railways property or passage through forests. Reinstatement expenses, wherever applicable are to be borne by the Successful Bidder only.

The Successful Bidder will submit list of all government sites proposed for Cell Site set up as approved by CHiPS within 45 days of signing of the Agreement. CHiPS will organise signing of lease deed for rent free government site after the receipt of such list. The duration for rent free Cell Site will be 02 years from the date of signing of the lease deed. Post the completion of lease duration of 02 years, the rent rates applicable will be as per prevailing rates of the concerned Government Departments.

The Detailed Distribution Plan submitted by the Successful Bidder must have a fair mix of newly covered areas and areas with existing coverage. The Detailed Distribution Plan is to be approved by CHiPS and is to be made available at the CG-SKY programme management portal for the perusal of respective District Collectors.

District Collectors may propose changes in the Detailed Distribution Plan through CG-SKY Portal as per local circumstances. The Successful Bidder will incorporate proposed changes and get the final approval from CHiPS through CG-SKY Portal. The revised plan would be known as Final Distribution Plan (FDP) and will be closed 01 month in advance of the actual distribution date. Any unforeseen circumstances leading to request for changes in the Final Distribution Plan by the Successful Bidder will be approved on case by case basis by CHiPS. The format for Detailed Distribution Plan is mentioned as Annexure XXX. The same format is to be used for Final Distribution Plan as well.

The Scope of work for Network Augmentation has been stated hereunder:

• The bidder will augment the network to ensure coverage in all locations listed in Annexure XVI by either erecting new Cell sites or through other commercial arrangements such as inter-circle roaming. • The bidder shall also upgrade existing infrastructure as necessary to meet the demands under CG SKY. • The bidder shall carry out survey to identify the exact sites for installation of tower/ BTS, and decide the exact number and type of towers to be installed at each location • The network technology and band through which the Successful Bidder will provide mobile voice and data services – must be 3G (UMTS 900, UMTS 2100). • The Successful Bidder shall be required to set up telecom infrastructure as per the approved final network augmentation plan. • The telecom Cell Site shall adhere to all statutory requirements and compliances set by Telecom Regulatory Authority of India (TRAI) and Department of Telecommunication (DoT). The Quality of Service Parameters for Mobile Telecommunications Services as prescribed by TRAI shall be complied. • The Successful Bidder shall update CHiPS about the development progress of each Cell Site on a periodic basis. The format for progress report would be hosted at CG-SKY Portal as well and is to be updated on the same on weekly basis. The status of each Cell Site must be updated in the SKY Portal upon: o Identification of site location o Preparation of Route map o ROW approval and Cell Site Finalization

o Signing of Lease deed o Initiation of construction work o Electrical, Generator, Shelter & wireless equipment installation o Activation of Cell site • The Successful Bidder shall provide access to CHiPS to all the relevant records, systems, relevant NOC (Network Operation Centre)/ Network Management System (NMS) data, logbooks, books of accounts of the USP for scrutiny and examination, when requested;

Government of Chhattisgarh and CHiPS shall provide the following support to the Successful Bidder:

• Free Right of Way (RoW) for laying optical fibre cables, other than where it involves national highways, railways property or passage through forests. Reinstatement expenses, however, will have to be borne by the Successful Bidder. • Government land and government building roofs on rent free lease, wherever possible for the tower erection in areas which are uncovered by that operator. The duration for rent free (rent waiver) Cell Site will be 02 years from the signing of the lease deed. Post the completion of lease duration of 02 years, the rent rates applicable will be as per prevailing rates of the concerned Government Departments.

12.2. Data Pack, Calling Minutes and Payment Bank

Keeping in view low mobile penetration in Chhattisgarh due to lack of mobile connectivity, a large number of beneficiaries under this scheme would have their first smartphone experience. In order to get them used to the Smartphones and help bridge the digital divide in the State, internet data availability would be a critical factor.In addition to providing the Smartphones, in lieu of the consideration paid by CHiPS to the Contractor under the Agreement, the Contractor shall provide the below-mentioned benefits to the end beneficiaries:

I. Minimum 01 GB unlimited11 data (3G or higher) free per month valid up to 12 months from the date of activation of each SIM and; II. Minimum 100 calling minutes per month applicable for both STD & Local, valid up to 12 months from the date of activation of each SIM. III. The successful bidder may provide payment bank service /mobile wallet through the smartphone.The Successful Bidder may provide payment bank service /mobile wallet through the Smartphone. The bidder may ensure SIM locking for a maximum period of 1 year from the date of activation of the SIM.

12.3. Develop and Manage SKY Portal

The Successful Bidder will design and develop the CG-SKY Portal for end to end program management. This online portal will integrate multiple user accesses, based on pre-defined roles and responsibilities, for tracking and managing the programme. The portal will be hosted at CHiPS server and will include all information related to the Project. Some indicative functionalities in the portal are mentioned below: • Project Information: All project related information like list of beneficiaries, project timelines, SOPs for different key activities etc. must be made available on the portal. Separate sections/tabs to be maintained to display & provide information pertaining to the following details: i. List and status of connectivity in every location. As Cell sites get activated the bidder will maintain progress status from site identification to activation. ii. List of identified beneficiaries of smartphone distribution: The Successful Bidder will maintain a dashboard based information of the identified beneficiaries of smartphone distribution at 2 levels. a. Summary dashboard at District level b. Detailed dashboard at Gram Panchayat & Village level iii. Project timelines: The Successful Bidder will maintain project timelines for the following activities a. Broad overall timelines of SKY along with monthly and weekly breakup b. Network Augmentation along with respective approvals at state and central government levels c. Procurement of smartphones from the initial sourcing to distribution centre d. KYC/e-KYC registration e. Distribution of smartphones iv. Project timelines pertaining to service centre and damaged smartphone collection centres SOPs: SOPs for tower approval & construction, sourcing, inventory management, distribution of handsets, KYC/e- KYC registration process, etc. to be created by the CHiPS for ensuring standard guidelines and procedures are followed by everyone • Project Plan: Project plans like Network Augmentation Plan, Plan for delivery of lots, Plan for e-KYC, Distribution Plan, Schedule of Events/ Distribution Camps, Plan for RoW and Cell Sites, etc. must be incorporated.

• Project Progress: Progress against each planned activity must be updated in the Portal. Timelines should be updated regularly on a daily and weekly basis to track all the action items and deliverables • Login and customization: There should be provision for login for all major stakeholders like CHiPS, Successful Bidder, district administration, Smartphone Supplier etc. Landing page after login must be customized as per the stakeholders and their requirement to access of relevant information • Change Request: Functionality for change request in any plan within permissible limits should be there • Reporting: Customized reporting should also be possible through the portal on a daily, weekly and monthly basis. Automated report/dashboard push to respective work groups to be configured for the respective stakeholders • Invoice Management: All invoices pertaining to the SKY project will be raised in the portal and approval along with processing will be done through the portal. Payment will be processed only after approval through portal and mode of payment will be through Cheque/NEFT/etc.

Timely development of the portal is important for tracking the entire project by the various stakeholders. The first payment of the Contractor will only be processed if the portal is functional within stipulated timelines.

The above requirements/ functionalities are indicative only. Detailed Functional Requirement Specification (FRS) will be given to the Contractor by CHiPS after 15 days of signing of the Agreement. The portal development is to be completed including UAT and demonstration within 50 days of Agreement signing.

Successful bidder must ensure the below mentioned technical specifications are adhered to while creating the SKY Portal:

12.4. Platform and Applications

A dedicated platform for hosting custom mobile applications is proposed to be incorporated in the Smartphone. The Successful Bidder is required to design and build a customized platform for managing and installation of the government applications. Through this platform the Government should be able to push applications for citizen service delivery which may include services like Aadhaar, PDS, scholarships, PAN card, Ration Card, land reports, tax fillings, etc. This platform will serve as an aggregator platform for all future government schemes envisioned for the larger social upliftment of the citizens of Chhattisgarh.

The Scope of Work for the Successful Bidder for designing and building this platform shall include: • The Bidder will provide a pre-installed custom platform similar to Apple App Store, Google Play Store, UMANG app platform by Ministry of IT and Electronics (MietY), etc. This Platform should be pre-installed on all Smartphones procured under the scheme and should be hardcoded (cannot be deleted from the Smartphone) • The Successful Bidder will design the UI (User Interface) of the Platform incorporating State Government logo and other details. The proposed UI, design and functionality of the portal will be approved by CHiPS. • The Platform should be compatible with various popular smartphone operating systems • 1 GB internal memory must be reserved in the Smartphone for the Platform to host various e-Governance related applications • CHiPS will provide e-Gov applications to the Successful Bidder which will be hosted on this dedicated platform. The applications provided by CHiPS should be pre-installed on this Platform in all Smartphones to be supplied by the Successful Bidder under the scheme.

• The Platform should be able to host and manage new applications even after distribution of the Smartphones in order to enable CHiPS to manage pre-installed applications and also push application related updates & security patches • Development and demonstration of the Platform should be conducted within 50 days from the date of agreement signing • Successful Bidder will maintain the Platform till July 31, 2019 post which the source code of the Platform should be handed over to CHiPS along with relevant documents and knowledge transfer.

The platform shall be used to host the applications. Some of which are indicated below: i. Mor-Sarkar – Lead generation Application for CSC’s ii. Mor-Jankari – Information Service app for the citizens. iii. eMunaadi and Hamar Rai – Feedback & Survey Application for the citizens

The source code and copyright of the Platform shall be transferred to CHiPS after July 31, 2019 along with necessary handovers and trainings with the identified project team. Successful Bidder must return the following details to CHiPS within 1 month from July 31, 2019: 1. Platform source code 2. Platform Design Document containing including the following: o Brief Description of Module/Screen/functionality o Description of important classes/ database objects tables, stored procedures, functions etc. 3. The Successful Bidder shall submit the Software Requirement Specification (SRS) document, UAT test cases and Test Results 4. The Successful Bidder shall submit the Safe to Host Certification for the platform from the Cert-In empanelled vendor 5. Others documents required from the Successful Bidder w.r.t platform: o User Manual, Admin Manual. 6. Intellectual Property Rights documents of the platform in the name of CHiPS 7. The Successful Bidder should ensure that the Platform and applications provided by CHiPS are available in the public domain/ app stores as well for other users outside the scheme purview

o Successful Bidder may not pre-install any third party applications without the consent of CHiPS. o There should not be any restriction on installation of 3rd party applications available in public domain into the Smartphone post distribution of the Smartphone to the citizens o The server for the Platform and applications should be hosted in the State Data Centre only. The hardware required for hosting, if any will be provided by CHiPS o The Successful Bidder will provide on-site support for maintenance of the platform at State Data Centre premises till July 31, 2019.

Government of Chhattisgarh and CHiPS will provide the following support to the Successful Bidder: (a) All branding content like logos, pictures, design theme etc. for designing the platform will be created by Successful Bidder and final approval will be provided by CHiPS (b) CHiPS shall satisfy minimum hardware requirements for hosting of Platform and Smartphone applications (c) CHiPS will provide all Smartphone applications to be preinstalled in the Smartphone platform.

12.5. Branding, Packaging, Inspection, and Shipment

12.5.1. Smartphone Branding

The Smartphones supplied under CG-SKY scheme would be distributed to the beneficiaries free of cost. In order to prevent the misuse of the Smartphones such as unauthorized sale by the beneficiaries or diversion to the open market, the Successful Bidder shall ensure: • Display of Government of Chhattisgarh branding, as approved by CHiPS, while switching-on the Smartphone (boot screen) • The initial logo(s) will be provided by CHiPS to the Successful Bidder • Printing/engraving of Government of Chhattisgarh logo(s) at suitable places on the body/cover of the Smartphone • Layout/ design/ logo(s) must be developed by the Successful Bidder within 15 days from the date signing of the Agreement and would be approved by CHiPS.

12.5.2. Packaging

Packaging is essential in ensuring safety of Smartphone during transit. It can be divided into two categories – Smartphone lot packaging and individual Smartphone unit packaging. Scope of work under each of the two categories is mentioned below:

• Smartphone Lot packaging All the Smartphones intended for a particular Distribution Centre (Gram Panchayat/ Ward/ College) should be packed in a bundle, which thereafter shall be termed as “Lot”. The packaging of the Lot of Smartphones shall adhere to: o Labelling for ease of identification of the Lot: ▪ Complete delivery address of the lot as mentioned in the Final Distribution Plan ▪ Model No./ Phone Category (I/II) of the smartphones inside the Lot ▪ No. of units of Smartphones inside the Lot ▪ “QC Passed” label

• Individual Smartphone unit packaging o Smartphones should be appropriately packed and sealed as per industry standards. o Month and year of manufacture, manufacturer’s serial number, IMEI number, barcode for manufacturing details, contents of the box and other necessary Smartphone specifications must be mentioned on the Smartphone carton boxes. o The Smartphone carton box should contain besides the standard accessories, a welcome note containing details of the scheme and message from the Government and a printed user manual in Hindi and English.

The design of the packaging shall include SKY branding as well logo(s) of the Government of Chhattisgarh and must be approved CHiPS.

12.5.3. Inspection

Inspection of the manufactured Smartphones at factory may be undertaken by CHiPS to ensure that there are no manufacturing defects in the device before it gets distributed to beneficiaries. Following activities needs to be adhered by the Successful Bidder: • Successful Bidder should conduct 100% pre-dispatch inspection on Smartphones as per tender specification. All inspected Smartphones must have “QC passed” label/ sticker/ seal. • CHiPS may nominate third party agency/ies or personnel to conduct independent inspection for specification conformity as per published Indian & International Standards on random sample basis maximum up to 2% of the lot at the manufacturer’s plant as well as at the state warehouse & distribution centre at Gram Panchayat(s). The defective pieces must be replaced within 07 days if not immediate • In case the samples of a particular Manufacturing Batch tested do not qualify the specifications proposed in the tender, that entire Manufacturing Batch will be rejected.

In case of complains pertaining to manufacturing defects within the guarantee period post Smartphone distribution, CHiPS may send the defected Smartphone to the third party inspection agency hired by CHiPS for inspection. In case, any manufacturing defect is identified within the guarantee period, the Successful Bidder would be liable to fix it up for the entire Manufacturing Batch or replace all Smartphones manufactured/ supplied under the Manufacturing Batch. Any malfunction/issue will be termed manufacturing defect if the said malfunction/issue is reported in more than 10% of the distributed Smartphones in a particular Manufacturing Batch. For defects during the warranty period, the terms should be covered under the general warranty terms for the Smartphones as provided under Annexure XXVI

• CHiPS may nominate its officers to be at the manufacturing plant to supervise the quality of manufacturing process. This would be in addition to the third party inspection.

12.5.4. Shipment of Smartphone

On signing of the Agreement, CHiPS will place a work-order to the Successful Bidder for supply of Smartphones. However, these Smartphones must be supplied in different shipments. No. of Smartphones to be supplied in a shipment will depend on the Final Monthly Distribution Plan and adjusted unclaimed inventory from previous month/s. The Successful Bidder will start the shipment only after receiving a supply order from CHiPS.

The following activities pertaining to shipment are to be carried out by Successful Bidder: • Shipment of the Smartphones should be planned as per Final Distribution Plan (FDP), however the Successful Bidder must check the readiness at individual distribution centre before sending shipment. • The Successful Bidder must ensure that the proposed Smartphone is commercially available in the market before the distribution starts • The Successful Bidder must ensure safe delivery of the Smartphones to the Distribution Centres. The date of dispatch, quantity and manufacturer serial numbers of every Smartphone should be listed on a sheet and signed off by the Nodal Officer as appointed by the District Collector at each Distribution Centre. • Smartphones at a Distribution Centre must be delivered at least 07 days before the scheduled date of the event/ distribution camp as per Final Distribution Plan. • Insurance of the goods in transit (till handing over to Nodal Officer at Distribution Centre) is the responsibility of the Successful Bidder. • The Successful Bidder shall update status report on delivery in the SKY Portal.

• CHiPS reserves the right to alter the number of units to be shipped in any lot/supply order

Government of Chhattisgarh and CHiPS will provide the following support to the Successful Bidder: (d) CHiPS will provide content on scheme details which must be inserted in the Welcome Note in the individual Smartphone unit. (e) CHiPS will provide third party inspection schedule, wherever applicable

12.6. Distribution of Smartphone and SIM Kit to the Beneficiaries

Distribution of Smartphones and SIM Kits along with SIM activation form a critical component of the scheme. With approximate 50.8 lakh Smartphones to be distributed, the distribution plan has to be meticulously drawn. The State Government plans to distribute 48 lakh Smartphones from April to August, 2018 and another 02.6 lakh (approx.) from January to March 2019. The Distribution would be as per Broad Distribution Plan (BDP) mentioned in Annexure XXVIII.

A three level planning has been proposed for distribution of Smartphones. Provided below is the brief distribution plan for all three levels:

a) Broad Distribution Plan (BDP): Broad Distribution Plan has been mentioned in the Annexure XXVIII of this RFP. The plan covers total number of Smartphones to be distributed at Block level on monthly basis. All target Villages, Wards and Colleges must be saturated in a block as per this approach. This approach will ensure ease of implementation for both the Successful Bidder and district administration. This will also ensure a fair mix of already covered and uncovered areas. b) Detailed Distribution Plan: A Detailed Distribution Plan must be submitted by the Successful Bidder within 30 days of signing of the Agreement as per Annexure XXX. The plan will be based on Network Augmentation Plan submitted by the Successful Bidder before signing of the Agreement and Broad Distribution Plan given in the RFP. c) Final Distribution Plan: This plan would be closed on a Monthly basis based on Successful Bidder’s preparedness. It would be inclusive of all change requests approved by CHiPS submitted after Detailed Distribution Plan submission. Final Distribution Plan for a month must be closed one month prior to the plan month. For instance, Final Distribution Plan for the Month of May, 2018 will be closed latest by March 31, 2018 and after that no change request will be accepted in normal circumstances. Based on Final Distribution Plan, District Administration will schedule events/ distribution camps and supply order for the month will be placed. The format of the Final Distribution Plan will remain the same as that of Detailed Distribution Plan as per the Annexure XXX.

It is expected that the Successful Bidder would ensure connectivity in all target regions (all unconnected villages having over 1,000 population, and all connected villages irrespective of population and urban wards) by December 2018.

An event/ distribution camp will be organized by Government of Chhattisgarh at Distribution Centre or cluster of Distribution Centres. The event/ distribution camp would be coordinated by the respective Nodal Officer appointed by the District Administration. The event/ distribution camp date for each Distribution Centre would be scheduled as per Monthly Final Distribution Plan and it will be available at the SKY portal for everyone to access.

Successful Bidder will be responsible for distribution of the Smartphone at distribution centre, e-KYC/KYC of each beneficiary and activation of the SIM. The Successful Bidder must deploy its own resources for this activity.

The Successful Bidder will undertake the following activities for distribution of the Smartphones:

• It is planned that one event/ distribution camp per Distribution Centre (GP/Ward) may be organized for distribution of the phones. • Scheduled date of event/ distribution camp would be finalized by the district administration as per Final Monthly Plan. Date of events will be finalized minimum 15 days in advance by the District Administration and the schedule will be available at the SKY portal • The Successful Bidder will ensure e-KYC of all the beneficiaries at a Distribution Centre is done on/ prior to the scheduled date of Smartphone distribution event/ distribution camp. The activity may be initiated 5-7 days in advance (depending on no. of target beneficiaries) from the date of event/ distribution camp for distribution. • The Successful Bidder will provide one SIM card to each beneficiary free of cost. • The Successful Bidder has to keep track of distribution and get the list of Smartphones distributed duly signed by the beneficiaries and verified by the Nodal Officer at Distribution Centre. The verified data should be uploaded in the SKY portal • During the event/ distribution camp, a public representative will ceremonially hand out the phones and the activated SIM to the beneficiaries. • The unclaimed Smartphones must be handed over to the Nodal Officer at the Distribution Centre. Nodal officer will organize distribution of these unclaimed phones within 15 days of the scheduled date of initial distribution. Successful Bidder will ensure e-KYC for the second attempt of distribution at the Distribution Centre. E-KYC for all unclaimed phones after the second attempt needs to be done at Collection Centre only at Block Headquarters. In such cases, the beneficiary may collect his phone from the Nodal Officer once the e-KYC is done at Block Headquarter. • Any phones remaining unclaimed after the second distribution attempt will be handed over to the nodal officer for further attempts of distribution. If the smartphone is still left unclaimed over the next 30 days the phone will be handed over to the collection centre by Nodal Officer for deposit. • For each event/ distribution camp, the Bidder must ensure that the number of units available for distribution exceed the number required to account for any damaged or defective units

12.7. Aftersales Service

As part of after sales services, the Successful Bidder is required to setup one Service Centre at Raipur and collection centres (for repair) at each Block Headquarters. The Call Centre shall offer support in local language. Service centre will coordinate with all collection centres and keep a track of pickup and dispatch of the phones.

All Smartphones supplied under the project will be under one year standard warranty as per conditions mentioned at Annexure XXVI.

The detailed Scope of Work for the Successful Bidder for aftersales support is mentioned as follows:

Setting up of Collection Centres • The Successful Bidder shall set-up one Collection Centre at each of the 146 Block Headquarters in the State. The list of 146 blocks is given at Annexure XXV. • Collection Centres will be the point of contact for the beneficiary for aftersales service. These centers will undertake minor repairs and will coordinate with the service centre in case of some major repair/ hardware replacement/ device replacement is required under standard and extended guarantee. • Collection Centres will track the faulty Smartphones from collection of the phone from the beneficiary to the delivery of repaired/ replaced phone. • SMS based mechanism must be provided at collection centers, wherein status update message at each stage is sent to the alternate phone number provided by the beneficiary. • Collection Centres at Block Headquarters must be operational at least one week before starting first distribution in the block under the scheme. The Collection Centre may be setup through own/third party arrangement of the Successful Bidder. • Updated list of all Collection Centres and Repair Centre must be sent to CHiPS on a monthly basis. CHiPS will upload the list at SKY portal as well • All Collection Centres and the Service Centre should be clearly identifiable and at a prominent location at Block Headquarter and State Capital respectively. All these centres must have a large scheme board carrying the branding theme finalized for phone. The Successful Bidder will get the Collection Centre board design approved by CHiPS. • Collection Centres will undertake minor repairs and maintenance like software update etc. and will fix the problem within a maximum one week. All major repairs which involve replacement of Smartphone or change of hardware should be fixed within 02 weeks. Successful Bidder should maintain adequate resource count and provide sufficient trainings to meet the repair & replacement timelines

Service centre • The Service center must be operational within 50 (fifty) days of signing of the Agreement and shall be functional at least till July 31, 2019. Service centre will coordinate with all collection centres and keep a track of all faulty Smartphones picked up from the beneficiaries and repaired Smartphones delivered to the beneficiaries. • Service centre will maintain required inventory of Smartphone spare parts in order to make sure that the Smartphones are repaired within the timelines defined in service level agreement. • IVR based toll free call centre should be set up to provide support in local language, Hindi and English languages. The call centre will resolve Smartphone functionality related and general queries/ issues. All network related issues must be supported through the existing call centre of the network provider.

Other support services • The Call centre will coordinate with Service Centre and all Collection Centres in the State and ensure standard warranty of one year as per standard warranty terms mentioned at Annexure XXVI. • CHiPS may engage a third party to assess post sales service quality of the Successful Bidder and the Successful Bidder will implement recommendations (if any) suggested in the study to improve service quality, if required.

PRE-CONTRACT INTEGRITY PACT (To be provided in original as part of Technical Proposal (Envelope – B))

1. GENERAL

1.1. This pre-bid contract Agreement (hereinafter called the Integrity Pact) is made on ...... day of the m o n t h ...... 20...... between, the Government of Chhattisgarh acting through Shri...... (Designation of the officer, Department) Government of Chhattisgarh (hereinafter called the "Tendering Authority", which expression shall mean and include, unless the context otherwise requires, his successors in the office and assigns) and the First Party, proposes to procure (name of the Stores/Equipment/Work/Service) and M/s...... represented by S h r i ...... (hereinafter called the "Bidder/Seller", which expression shall mean and include, unless the context otherwise requires, his successors and permitted assigns) as the Second Party, is willing to offer/ has offered.

1.2. WHEREAS the BIDDER is a Private Company/Public Company/ Government Undertaking/ Partnership firm, constituted in accordance with the Applicable Laws in the matter and the TENDERING AUTHORITY is a Ministry/Department of the Government, performing its function on behalf of the Government of Chhattisgarh.

2. OBJECTIVES

NOW, THEREFORE, the TENDERING AUTHORITY and the BIDDER agree to enter into this pre-bid contract agreement, hereinafter referred to as “Integrity Pact”, to avoid all forms of corruption by following a system that is fair, transparent and free from any influence/prejudiced dealings prior to, during and subsequent to the Agreement to be entered into with a view to:-

2.1. Enabling the TENDERING AUTHORITY to obtain the desired Stores/Equipment/Work/Service at a competitive price in conformity with the defined specifications by avoiding the high cost and the distortionary impact of corruption on public procurement, and

2.2. Enabling BIDDERs to abstain from bribing or indulging in any corrupt practices in order to secure the contract by providing assurance to them that their competitors will also abstain from bribing any corrupt practices and the TENDERING AUTHORITY will commit to prevent corruption, in any form, by its official by following transparent procedures.

3. COMMITMENTS OF THE TENDERING AUTHORITY

The TENDERING AUTHORITY commits itself to the following:-

3.1. The TENDERING AUTHORITY undertakes that no official of the TENDERING AUTHORITY, connected directly or indirectly with the contract, will demand, take promise for or accept, directly or through

Selection of Implementation Partner for Chhattisgarh Sanchar Kranti Yojana (SKY) 2017 intermediaries, any bribe, consideration, gift, reward, favour or any material or immaterial benefit or any other advantage from the BIDDER, either for themselves or for any person, organization or third party related to the contract in exchange for an advantage in the Bidding Process, bid evaluation, contracting or implementation process related to the contract.

3.2. The TENDERING AUTHORITY will, during the pre-contract stage, treat BIDDERs alike, and will provide to all BIDDERs the same information and will not provide any such information to any particular BIDDER which could afford an advantage to that particular BIDDER in comparison to the other BIDDERs.

3.3. All the officials of the TENDERING AUTHORITY will report the appropriate Government office any attempted or completed breaches of the above commitments as well as any substantial suspicion of such a breach. In case any such preceding misconduct on the part of such official(s) is reported by the BIDDER to the TENDERING AUTHORITY with the full and verifiable facts and the same prima fade found to be correct by the TENDERING AUTHORITY, necessary disciplinary proceedings, or any other action as deemed, fit, including criminal proceedings may be initiated by the TENDERING AUTHORITY and such a person shall be debarred from further dealings related to the contract process. In such a case while an enquiry is being conducted by the TENDERING AUTHORITY the proceedings under the contract would not be stalled.

4. COMMITMENTS OF BIDDERS

The BIDDER commits itself to take all measures necessary to prevent corrupt practices, unfair means an illegal activities during any stage of its bid or during any pre-contract or post-contract stage in order to secure the contract or in furtherance to secure it and in particular commit itself to the following:-

4.1. The BIDDER will not offer, directly or through intermediaries, any bribe, gift, consideration, reward, favour, any material or immaterial benefit or other advantage, commission, fees, brokerage or inducement to any official of the TENDERING AUTHORITY, connected directly or indirectly with the biding process, or to any person, organization or third party related to the contract in exchange for any advantage in the bidding, evaluation, contracting and implementation of the contract.

4.2. The BIDDER further undertakes that it has not given, offered or promised to give, directly or indirectly any bribe, gift, consideration, reward, favour, any material or immaterial benefit or other advantage, commission, fees, brokerage, or inducement to any official of the TENDERING AUTHORITY or otherwise in procuring the Agreement or forbearing to do or having done any act in relation to the obtaining or execution of the contract or any other contract with the Government for showing or forbearing to show favour or dis-favour to any person in relation to the contract or any other contract with the Government.

4.3. The BIDDER further confirms and declares to the TENDERING AUTHORITY that the BIDDER in the original Manufacture/Integrator/Authorized government sponsored export entity of the stores and has not engaged any individual or firm or company whether Indian or foreign to intercede, facilitate or in any way to recommend to the TENDERING AUTHORITY or any of its functionaries, whether officially or unofficially to the award of the contract to the BIDDER, nor has any amount been paid, promised or intended to be paid to any such individual, firm or company in respect of any such intercession, facilitation or recommendation. 4.4. The BIDDER, either while presenting the bid or during pre-contract negotiations or before signing the Agreement, shall disclose any payment he has made, is committed to or intends to make to officials of the TENDERING AUTHORITY or their family members, agents, brokers or any other intermediaries in connection with the contract and the details of services agreed upon for such payments.

4.5. The BIDDER will not collude with other parties interested in the contract to impair the transparency, fairness and progress of the Bidding Process, bid evaluation, contracting and implementation of the contract.

4.6. The BIDDER will not accept any advantage in exchange for any corrupt practice, unfair means and illegal activities.

4.7. The BIDDER shall not use improperly, for purpose of competition or personal gain, or pass on to others, any information provided by the TENDERING AUTHORITY as part of the business relationship, regarding plans, technical proposal and business details, including information contained in any electronic data carrier. The BIDDER also undertakes to exercise due and adequate care lest any such information is divulged.

4.8. The BIDDER commits to refrain from giving any complaint directly or through any other manner without supporting it with full and verifiable facts.

4.9. The BIDDER shall not instigate or cause to instigate any third person to commit any of the acts mentioned above.

5. PREVIOUS TRANSGRESSION 5.1. The BIDDER declares that no previous transgression occurred in the last three years immediately before signing of this Integrity Pact with any other company in any country in respect of any corrupt practices envisaged hereunder or with any Public Sector Enterprise in India or any Government Department in India that could justify BIDDER's exclusion from the tender process.

5.2. If the BIDDER makes incorrect statement on this subject, BIDDER can be disqualified from the tender process or the contract, if already awarded, can be terminated for such reason.

6.EARNEST MONEY (SECURITY DEPOSIT)

Every BIDDER while submitting commercial bid, shall deposit an amount as specified in RFP as Earnest Money/Security Deposit online through e-procurement portal

6.1. No interest shall be payable by the TENDERING AUTHORITY to the BIDDER on Earnest Money/Security Deposit for the period of its currency.

7. SANCTIONS FOR VIOLATIONS 7.1. Any breach of the aforesaid provisions by the BIDDER or any one employed by it or acting on its

Selection of Implementation Partner for Chhattisgarh Sanchar Kranti Yojana (SKY) 2017 behalf (whether with or without the knowledge of the BIDDER) shall entitle the TENDERING AUTHORITY to take all or any one of the following actions, wherever required:-

(i) To immediately call off the pre contract negotiations without assigning any reason or giving any compensation to the BIDDER. However, the proceedings with the other BIDDER(s) would continue.

(ii) To forfeit fully or partially the Earnest Money Deposit (in pre-contract stage) and/or Security Deposit/Performance Bond (after the contract is signed), as decided by the TENDERING AUTHORITY and the TENDERING AUTHORITY shall not be required to assign any reason therefore.

(iii)To immediately cancel the contract, if already signed, without giving any compensation to the BIDDER.

(iv) To recover all sums already paid by the TENDERING AUTHORITY, and in case of the Indian BIDDER with interest thereon at 2% higher than the prevailing Prime Lending Rate while in case of a BIDDER from a country other than India with interest thereon at 2% higher than the LIBOR. If any outstanding payment is due to the BIDDER from the TENDERING AUTHORITY in connection with any other contract such outstanding payment could also be utilized to recover the aforesaid sum and interest.

(v) To encash the advance bank guarantee and performance bond/warranty bond, if furnished by the BIDDER, in order to recover the payments, already made by the TENDERING AUTHORITY, along with interest.

(vi) To cancel all or any other contracts with the BIDDER and the BIDDER shall be liable to pay compensation for any loss or damage to the TENDERING AUTHORITY resulting from such cancellation/rescission and the TENDERING AUTHORITY shall be entitled to deduct the amount so payable from the money(s) due to the BIDDER.

(vii) To debar the BIDDER from participating in future Bidding Processes of the Government of Chhattisgarh for a minimum period of five years, which may be further extended at the discretion of the TENDERING AUTHORITY.

(viii) To recover all sums paid in violation of this Pact by BIDDER(s) to any middlemen or agent or broken with a view to securing the contract.

(ix) In cases where irrevocable Letters of Credit have been received in respect of any contract signed by the TENDERING AUTHORITY with the BIDDER, the same shall not be opened.

(x) If the BIDDER or any employee of the BIDDER or any person acting on behalf of the BIDDER, either directly or indirectly, is closely related to any of the officers of the TENDERING AUTHORITY, or alternatively, if any close relative of an officer of the TENDERING AUTHORITY has financial interest/stake in the BIDDER's firm, the same shall be disclosed by the BIDDER at the time of filling of tender. Any failure to disclose the interest involved shall entitle the TENDERING AUTHORITY to rescind the contract without payment of any compensation to the BIDDER.

The term 'close relative' for this purpose would mean spouse whether residing with the Government servant or not, but not include a spouse separated from the Government servant by a decree or order of a competent court; son or daughter or step son or step daughter and wholly dependent upon Government servant, but does not include a child or step child who is no longer in any way dependent upon the Government servant or of whose custody the Government servant has been deprived of by or under any Applicable Law; any other person related, whether by blood or marriage, to the Government servant or to the Government servant's wife or husband and wholly dependent upon Government servant.

(xi) )The BIDDER shall not lend to or borrow any money from or enter into any monetary dealings or transactions, directly or indirectly, with any employee of the TENDERING AUTHORITY, and if he does so, the TENDERING AUTHORITY shall be entitled forthwith to rescind the contract and all other contracts with the BIDDER. The BIDDER shall be liable to pay compensation for any loss or damage to the TENDERING AUTHORITY resulting from such rescission and the TENDERING AUTHORITY shall be entitled to deduct the amount so payable from the money(s) due to the BIDDER.

7.2. The decision of the TENDERING AUTHORITY to the effect that a breach of the provisions of this pact has been committed by the BIDDER shall be final and conclusive on the BIDDER. However, the BIDDER can approach the Monitor(s) appointed for the purposes of this Pact.

8. FALL CLAUSE 8.1. The BIDDER undertakes that he has not supplied/is not supplying similar product/systems or subsystems at a price lower than that offered in the present bid in respect of any other Department of the Government of Chhattisgarh or PSU and if it is found at any stage that similar product/systems or sub systems was supplied by the BIDDER to any other Department of the Government of Chhattisgarh or a PSU at a lower price, then that very price, with due allowance for elapsed time, will be applicable to the present case and the difference in the cost would be refunded by the BIDDER to the TENDERING AUTHORITY, if the contract has already been concluded.

9. INDEPENDENT MONITORS

9.1. The TENDERING AUTHORITY will appoint Independent Monitors (hereinafter referred to as Monitors) for this Pact.

9.2. The task of the Monitors shall be to review independently and objectively, whether and to what extent the parties comply with the obligations under this Pact.

9.3. The Monitors shall not be subject to instructions by the representatives of the parties and perform their functions neutrally and independently.

9.4. Both the parties accept that the Monitors have the right to access all the documents relating to the project/procurement, including minutes of meetings. The Monitor shall be under contractual obligation to treat the information and documents of the BIDDER/Sub-Selected Bidder(s) with confidentiality.

9.5. As soon as the Monitor notices, or has reason to believe, a violation of this Pact, he will so inform the Authority designated by the TENDERING AUTHORITY.

9.6. The Monitor will submit a written report to the designated Authority of TENDERING AUTHORITY/Secretary in the Department/within 8 to 10 weeks from the date of reference or intimation to him by the TENDERING AUTHORITY/BIDDER and, should the occasion arise, submit proposals for correcting problematic situations

10. FACILITATION OF INVESTIGATION

In case of any allegation of violation of any provisions of this Pact or payment of commission, the TENDERING AUTHORITY or its agencies shall be entitled to examine all the documents including the Books of Accounts of the BIDDER and the BIDDER shall provide necessary information of the relevant documents and shall extend all possible help for the purpose of such examination.

11. LAW AND PLACE OF JURISDICTION

This Pact is subject to Indian Law, the place of performance and jurisdiction shall be the seat of the TENDERING AUTHORITY.

12. OTHER LEGAL ACTIONS

The actions stipulated in this Integrity Pact are without prejudice to any other legal action that may follow in accordance with the provisions of the any other Applcaible Law in force relating to any civil or criminal proceedings.

13. VALIDITY

13.1. The validity of this Integrity Pact shall be from the date of its signing and extend up to 3 years or the complete execution of the contract to the satisfaction of both the TENDERING AUTHORITY and the BIDDER/Seller whichever is later. In case BIDDER is unsuccessful, this Integrity Pact shall expire after six months from the date of the signing of the contract.

13.2. If one or several provisions of this Pact turn out to be invalid; the remainder of this Pact shall remain valid. In such case, the parties will strive to come to an agreement to their original intentions.

2. We, the Guarantor, shall, without demur, pay to CEO, CHiPS Raipur an amount not exceeding Rs. (Rupees only) within 7 (seven) days of receipt of a written demand therefore from CEO, CHiPS Raipur stating that the Bidder has failed to fulfil its obligations as stated in Clause 1 above.

3. The above payment shall be made by us without any reference to the Bidder or any other person and irrespective of whether the claim of the CEO, CHiPS Raipur is disputed by the Bidder or not.

4. The Guarantee shall come into effect from [Start Date] and shall continue to be in full force and effect till June 30, 2019 at 1700 hours Indian Standard Time on or till the receipt of a claim, from the Chhattisgarh Infotech Promotion Society, Raipur, Government of Chhattisgarh under this Guarantee, which is 3 (three) months after the expiry of the Guarantee, whichever is earlier. Any demand received by the Guarantor from CEO, CHiPS Raipur prior to the expiry date as aforesaid shall survive the expiry of this Guarantee till such time that all the moneys payable under this Guarantee by the Guarantor to CEO, CHiPS Raipur.

5. In order to give effect to this Guarantee, CEO, CHiPS Raipur shall be entitled to treat the Guarantor as the principal debtor and the obligations of the Guarantor shall not be affected by any variations in the terms and conditions of the Agreement or other documents by CEO, CHiPS Raipur or by the extension of time of performance granted to the Bidder or any postponement for any time of the power exercisable by CEO, CHiPS Raipur against the Bidder or forebear or enforce any of the terms and conditions of the Agreement and we shall not be relieved from our obligations under this Guarantee on account of any such variation, extension, forbearance or omission on the part of CEO, CHiPS Raipur or any indulgence by CEO, CHiPS Raipur to the Bidder to give such matter or thing whatsoever which under the Applicable Law relating to sureties would but for this provision have effect of so relieving us.

6. This Guarantee shall be irrevocable and shall remain in full force and effect until all our obligations under this guarantee are duly discharged.

Annexure-XVIII GENERAL TERMS & CONDITIONS OF THE BID

Note: Bidders must read these conditions carefully and comply strictly while submitting their bids.

In addition, and without prejudice to the terms and conditions set out under the Agreement, the following terms and conditions shall be complied with by the Parties in exercise of their performance hereunder and under the Agreement, as the context may permit. In the event of any conflict between the terms of this Annexure XVIII and the terms of the Agreement, the terms of the Agreement shall prevail.

1. THE BIDDER IS EXPECTED TO EXAMINE ALL INSTRUCTIONS, forms, terms, and specifications in the bidding documents. Failure to furnish all information required in the bidding documents or submitting a Bid not substantially responsive to the bidding documents in any respect may result in the rejection of the Bid. 2. THE BIDDER SHALL BEAR ALL THE COSTS associated with the preparation and submission of its bid, and CHiPS in no case will be responsible or liable for these costs, regardless of conduct or outcome of Bidding Process. 3. PROFESSIONAL EXCELLENCE AND ETHICS. CHiPS requires that all Bidders participating in this Bid adhere to the highest ethical standards, both during the selection process and throughout the execution of the contract. 4. FAILURE OF THE SUCCESSFUL BIDDER to comply with all the requirements shall constitute sufficient grounds for the annulment of the award, in which event CHiPS may make the award to the next lowest evaluated Bidder or call for new bids. 5. AMENDMENT/CANCELLATION: The CHiPS reserves the right to cancel this Tender at any time without any obligation to the Bidders. The CHiPS at any time, prior to the deadline for submission of Proposals, may amend the Tender by issuing an addendum in writing or by standard electronic means. The addendum will be binding on all the Bidders. Bidders shall acknowledge receipt of all amendments. To give Bidders reasonable time to take an amendment into account in their Proposals, the CHiPS may, if the amendment is substantial, extend the deadline for the submission of Proposals. 6. RIGHT TO ACCEPT ANY BID AND TO REJECT ANY OR ALL BIDS: The CHiPS reserves the right to accept any bid, and to annul the bid process and reject all bids at any time prior to award of contract, without assigning any reason & without thereby incurring any liability to the affected Bidder or Bidders or any obligation to inform the affected Bidder or Bidders of the grounds for the action. 7. THE CHiPS RESERVES THE RIGHT TO ACCEPT ANY BID not necessarily the lowest, reject any bid without assigning any reasons. 8. CONDITIONAL BIDS: If a Bidder imposes conditions, which is in addition to or in conflict with the conditions mentioned herein, his bid is liable to be summarily rejected. In any case none of such conditions will be deemed to have been accepted unless specifically mentioned in the letter of acceptance of bid issued by the CHiPS. 9. PERIOD OF VALIDITY. Bids shall remain valid for 180 (hundred and eighty) days after last date for bid submission prescribed by CHiPS which may be extended with mutual consent. A bid valid for a shorter period may be rejected by CHiPS as non-responsive. 10. LATE BIDS: Any bid received by CHiPS after the deadline for submission of bids will be rejected and will not to be considered. 11. NOTIFICATION OF AWARD/ LOA: Prior to the expiration of the period of the bid validity, CHiPS will notify the Successful Bidder in writing that its bid has been accepted. After notification of award

Bidder will submit security deposit in the form of Performance Bank Guarantee and CHiPS will release the work order for the same. 12. ANY MATTER WHICH HAS NOT BEEN COVERED UNDER THESE PROVISIONS shall be governed as per the provisions of Chhattisgarh State Government Rules. 13. ACCEPTANCE TESTING: The equipment will be tested by CHiPS or CHiPS nominated agency. 14. PROPRIETARY RIGHTS: The Bidder shall indemnify CHiPS against all third party claims of infringement of patent, copy right, trademark, license or industrial design rights, software piracy arising from use of goods or any part thereof within India. 15. DELAYS IN THE PERFORMANCE OF SUPPLIER’S OBLIGATION: Any delay by the Successful Bidder in the performance of its delivery obligations (as set out under Annexure XX hereto) shall render the Successful Bidder liable to any or all of the following sanctions – forfeiture of its performance security, imposition of Damages and / or termination of the work order for default. 16. Damages: The Damages would be imposed on the value of the delayed lot at Distribution Centre as defined in Annexure XXI. Maximum penalty for delay in distribution will not exceed 10% of the Project value. CHiPS reserves the right to terminate the contract if total Damage in this regard exceeds 10% of the Project value. The provisions pertaining to Damages under the RFP shall be in addition, and without prejudice, to the provisions pertaining to the same under the Agreement. 17. PROFORMA OF BANK GUARANTEE (PBG): The Selected Bidder at his own expense shall deposit to CEO, CHiPS Raipur, within 15 (fifteen) working days of the date of notice of the LOA and in any event prior to the execution of the Agreement, an unconditional and irrevocable performance bank guarantee (“PBG”) for an amount of 10% (ten percent) of the value of the Agreement from a nationalized or scheduled bank payable on demand, which shall be for valid until June, 2019, after which a revised PBG with a reduced amount equivalent to 1% (one percent) of the value of the Agreement shall be provided, which shall be valid until June, 2020, in accordance with the terms of the Agreement. The PBG shall be submitted as per the format in Annexure XV. CHiPS shall have the right to invoke the PBG as per the terms and conditions set out in this RFP and the Agreement.

18. TERMINATION: CHiPS may, without prejudice to any other remedy for breach of Agreement, by written notice of default sent to the Supplier, terminate the Agreement in whole or in part, in the event that the Supplier does not rectify / remedy its failure/Event of Default within a period of 30 days (or such longer period as the CHiPS may authorize in writing) after receipt of the default notice from CHiPS. Termination may lead to blacklisting of the Successful Bidder for the purposes of participation for public private partnership (PPP) projects the state of Chhattisgarh for a period of 5 years from the date of termination.

19. FORCE MAJEURE 19.1 Notwithstanding the provisions of clauses 18, 19 and 20 the Bidder shall not be liable for forfeiture of its PBG, Damages or termination for default, if and to the extent that, its delay in performance or other failure to perform its obligation under the contract is the result of an event of force majeure. 19.2 For purposes of this clause, “Force Majeure” means an event beyond the control of the supplier and are not foreseeable. These events may include, but are not restricted to, acts of CHiPS in its sovereign capacity, wars or revolutions, fires, floods, epidemics, quarantine restrictions and freight embargoes and other acts of God. 19.3 In the event the performance by the Contractor of the Scope of Work or any part thereof under the Agreement is affected due to any instruction(s) or direction(s) from the Central/State Election Commission during the period of state elections or due to a limitation/restriction provided under Applicable Law which may come into force during Central/State elections, the same shall be an exception to the Force Majeure event and the PAGE 100

Contractor shall be required to continue performance of such obligations which is/are not affected by any such instructions or directions or Applicable Law. The Contractor shall resume performance of its obligations soon after the period during which such restrictions or limitation were applicable gets over, in accordance with the aforesaid notice or direction or the Applicable Law; and hereby confirms that no change in value of the Agreement or extension of time shall be claimed by it due to such delay in performance of obligations. 19.4 If a force majeure situation arises, the supplier shall promptly notify to CHiPS in writing of such condition and the cause thereof. Unless otherwise directed by CHiPS in writing, the supplier shall continue to perform its obligation under the contract as far as is reasonably practical, and shall seek all reasonable alternative means for performance not prevented by the force majeure event. 19.5 If the force majeure condition(s) mentioned above be in force for a period of 30 (thirty) days or more at any times, CHiPS shall have the option to terminate the Agreement on expiry of 30 (thirty) days of commencement of such force majeure by giving 15 (fifteen) days’ notice to the supplier in writing. In case of such termination, no Damages shall be claimed by either party against the other, save and except those which had occurred under any other clause of this contract prior to such termination.

20. TERMINATION FOR INSOLVENCY: CHiPS may at any time cancel the Agreement by giving written notice to the supplier, if the supplier becomes bankrupt or otherwise insolvent, provided that such termination will not prejudice or affect any right of action or remedy which has accrued or will accrue thereafter to CHiPS.

21. TERMINATION FOR CONVENIENCE: CHiPS, may by 30 (thirty) days’ time period written notice sent to the supplier, terminate the Agreement, in whole or in part, at any time for its convenience. The notice of termination shall specify that termination is for CHiPS's convenience and the extent to which performance of work under the Agreement is terminated and the date upon which such termination becomes effective. Further, the Contractor shall be entitled to the payments for the works done till the date of such termination. 22. RESOLUTION OF DISPUTES: CHiPS and the supplier shall make every effort to resolve amicably by direct informal negotiation any disagreement or dispute arising between them under or in connection with the contract. If, after thirty days from the commencement of such informal negotiations CHiPS and the supplier have been unable to resolve amicably a contract dispute, either party may require that the dispute be referred for resolution as per Arbitration and Conciliation Act, 1996. 23. APPLICABLE LAW: The work order issued under the Agreement shall be interpreted in accordance with the laws of India, irrespective of the place of delivery, the place of performance or place of payment under the Agreement. The Agreement shall deem to have made at the place in India from where the contract has been issued. 24. NOTICES: Any notice given by one party to the other pursuant to this contract shall be sent in writing or by telegram or Telefax and confirmed in writing to CEO, CHiPS, SDC Building, Civil Lines, 02nd floor, Near Civil Lines Police Station, Raipur, Chhattisgarh–492001Fax:- 0771-4066205, Ph No. 0771- 4014158 A notice shall be effective when delivered or on the notice's effective date whichever is later. 25. TAXES & DUTIES: The Bidder shall be entirely responsible for all taxes, duties, license fee etc. All custom duties and levies, duties, Indian Foreign Exchange Law, RBI Guidelines, sales tax payable on components, raw materials and any other items used for their consumption or dispatched directly to respective locations.

Any upward/downward revision of taxes shall be applicable at the time of invoicing. However, to arrive at the bid value of the respective Bidder, Bidder has to quote the charges inclusive of all taxes mentioning the prevailing tax rates. 26. DEFENCE OF SUITS: If any action in court is brought against the CHiPS/ Consignee for failure or neglect on the part of the Bidder to perform any acts, matters, covenants or things under the contract or for the damage or injury caused by the alleged omission of neglect on the part of the contractor, his agents, representatives or sub-contractors, workmen supplier or employees, the contractor in all such cases shall indemnify and keep CHiPS harmless from all costs, Damages, expenses or decrees arising out of such action. 27. WARRANTY: The Product quoted should be covered for One year standard warranty from date of final delivery/services and acceptance by CHiPS / CHiPS nominated Testing Agency

Annexure-XIX

OTHER INSTRUCTIONS PERTAINING TO BID i. All pages of the bid being submitted must be sequentially numbered by the Bidder. ii. CHiPS will not be responsible for any delay on the part of the Bidder in obtaining the terms and conditions of the tender notice or submission of the online bids. iii. The rates are to be quoted in strict compliance to the financial bid template as per Annexure XVII otherwise the bid is liable to be rejected. iv. Percentage (%) of taxes etc. if any, to be claimed shall be indicated in the Price bid, otherwise it will be presumed that rates are inclusive of all taxes and no plea would be accepted in this regard after opening of the tenders and during the validity of the Agreement. v. The rates are to be quoted by the Bidders in Indian Currency and payment shall be made to Successful Bidders in Indian currency only. vi. The limitation of liability on any default of Bidders will be 150% of the contract value of this tender. vii. Online bids will be opened as per instructions in Annexure II, in presence of all participating Bidders, if available. Bid received without tender fee and EMD will be rejected. At the most 02 persons from any firm / company would be allowed in bid opening.

MILESTONES & PAYMENT SCHEDULE

The milestones for Smartphone distribution shall be established by CHiPS. Distribution plan is to be submitted by the Successful Bidder as per timelines defined in Annexure IX. This distribution plan (DDP) would be in accordance with the Final network augmentation plan submitted by the Bidder. Final distribution plan (FDP) may be revised through a revised monthly plan at least one month in advance. All changes need to be approved by CHiPS only. For instance, Distribution plan for the month of May 2018 is to be finalized latest by March 2018 only without changing number of Smartphones to be distributed in a month. Based on the finalized monthly plan, events/ distribution camp at District level would be scheduled.

The Successful Bidder needs to fulfil the following conditions for raising invoice: (a) Invoice may be raised on monthly basis or upon clocking distribution of minimum 5,00,000 (5 lakh) Smartphones. (b) Smartphones distributed to the end beneficiary as per finalized monthly Final Distribution Plan would be considered for invoicing. (c) Payment will be made only if the successful bidder achieves cumulative Network connectivity target upto the month of invoicing as per Final Network Augmentation Plan (F-NAP) along with distribution of Smartphones for that month as per Final Distribution Plan (FDP). For instance, the successful bidder successfully completes the Smartphone distribution in a particular month as per FDP but is not able to complete the network installation as per the F-NAP, a part of the payment will be withheld till such time that the successful bidder completes the cumulative F-NAP for that particular month. CHiPS reserves the right to distribute the smartphones in eligible SKY areas - Villages, Towns, Colleges before completion of network coverage as in F-NAP. In such cases, CHiPS will ask the Successful Bidder to distribute smartphones in these regions through a written order. (d) Invoice shall be processed by CHiPS on uploading of Delivery Centre wise receipt duly countersigned by Nodal Officer at the SKY Portal, however the original copy need to be submitted by the Successful Bidder within 15 (fifteen) days as per monthly FDP. (e) Any unclaimed inventory at a distribution centre may be to be handed over to the Nodal Officer of the Distribution Centre. The Successful Bidder may raise the invoice for these unclaimed phones only 15 (fifteen) days after the scheduled date of the event/ distribution camp or after a second attempt for distribution has been made by the Bidder at the Distribution Centre, whichever is earlier. The unclaimed inventory may be used for distribution at other locations or adjusted against next orders. (f) CHiPS may make payment to any of the Consortium Partners if it is authorized by the Prime Bidder. (g) Payment of any invoice will be based on % cumulative towers erected against target Final Network Augmentation Plan (F-NAP) at the end of a particular month. The % invoice withheld be equal to % cumulative towers not erected till the end of month. For instance, if by the month of May 2018, the total number of new Cell sites to be activated was 300 and only 225 sites were cumulatively activated (25% not activated), then 25% of the total value of the invoice raised for the month of May 2018 will be withheld. The withheld amount shall be paid once the Cell-site target for that particular month is achieved. (h) If the cumulative F-NAP remains unfulfilled for 3 (three) months beyond the F-NAP, penalty for delay in commitments will apply as detailed in Annexure XXI.

SERVICE LEVEL AGREEMENT

Network Augmentation as per agreed plan is the most critical activity. On-time distribution will ensures that all pre-distribution activities are completed successfully & as per schedule. Distribution of Smartphones in a particular block/village/ward/collages will only happen post availability of mobile network for at least 15 (fifteen) days prior to schedule date of event camp/ distribution camp. Payment is linked to both distribution of Smartphones and activation of cell sites. Any delay in distribution can cause failure of the scheme. Delays in distribution will attract Damages per week of delay as defined in the below criteria or INR 50 thousand per week per distribution centre whichever is higher. Maximum cumulative Damages for delay in distribution under the scheme would be 10% (ten percent) of the project value. The following terms and conditions are to be considered for calculation of Damages for delay in distribution:

Network Augmentation • For any delay in erection of a Cell site of more than 90 (ninety) days from the date finalized in the agreed F-NAP, every 1 week delay shall incur a penalty amount of 0.5% of the cost of 1000 Smartphones

Penalty amount = (0.5%) * (Unit price of Smartphone [Category 1] * 1000) * (No. of weeks delayed after 90 (ninety) days of scheduled date as per F-NAP) * (No. of towers delayed)

Smartphone distribution • Damages shall be imposed for delay in distribution of smart phones. The amount of fine that shall be levied per week will be higher of o INR 50,000 or o 0.5% (half of one percent) of the value of the delayed Lot • Delay in distribution would be measured from the Final Monthly Distribution Plan closed 1 (one) month prior to the plan month. • Scheduled date of event/ distribution camp would be finalized by the district administration as per Final Monthly Plan. The District Administration would finalize distribution centre/ cluster wise event/ distribution camp details 15 days in advance from the start of the plan month. The event/ distribution camp plan will be closed at SKY portal only. Date of event/ distribution camp as per the plan would be considered as the base date for calculating Damages. • Maximum damages for delay in distribution will not exceed 10% of the project value and CHiPS reserves the right to terminate the Agreement if total Damages exceeds 10% of the project value. • Distribution at a Distribution Centre/ cluster will not happen unless pre conditions for distribution are met by the successful bidder • Partial distribution at a distribution centre will not be allowed • No Damages would be imposed for any delays which are attributable to CHiPS

Other Critical activities (may be considered as reason/s for default and may lead to termination of the Agreement)

• Final Network Augmentation Plan (F-NAP) and Detailed Distribution Plan (DDP) must be submitted by the successful bidder as per the defined timelines. • All requests pertaining to RoW and rent free sites must be submitted within 45 days of signing of the Agreement. • Repair/Collection centre at each Block Headquarters must be operational at least 07 days before starting first Smartphones distribution in that block. • Demonstration of the custom Application Platform within 50 days of the Agreement signing. • The SKY portal must be functional within 50 days of the Agreement signing. • Mobile Network in all target locations as per broad distribution plan mentioned in Annexure XXVIII must be ensured latest by December 31, 2018. • Smartphones and SIMs must be delivered at the distribution centres on time as per the DDP. • e-KYC/KYC process must be conducted before each distribution event. • The Service Centre in Raipur and the call centre must be operational before the first Smartphones are distributed • The Smartphone must be commercially available before starting the distribution of smartphones under the scheme and must remain commercially available throughout the project period

Unclaimed smartphones at a distribution centre would be treated as distributed 15 days after the distribution event/ distribution camp or after the second attempt at distribution, whichever is earlier.

Incentives

On time completion of network obligation as per approved F-NAP will earn monetary incentives for the Contractor.

For every month in which cell sites activated meets or exceeds the cumulative target up to that month, an incentive amount equal to 0.5% of the value of the invoice raised at the end of that month will be paid over and above the invoice amount.

1. Successful bidder warrants the Smartphone to be free from defects in design, material and workmanship at the time of its delivery to the beneficiary, and for a subsequent period of one (1) year for the Smartphone and six (6) months for battery and charger

2. The smartphones delivered under the SKY scheme should have comprehensive warranty valid for 1 year from the date of receiving of Smartphone by beneficiary

3. The beneficiary must receive a receipt when the product is given for repair(s) at successful bidder’s collection / service centre .
