INTRODUCTION

The MPAA appears as an "agent" in these proceedings, not as an underlying copyright owner. Sections 1 l l(d)(4)(B) and 119(b)(5)(B) of the Copyright Act authorize distributions to a copyright owner or their "designated agent", however the Judges have stated that "the parties must manifest in some unambiguous manner that they intended for a principal/agent relationship to exist between them." Docket No. 2008-2 CRB CD

2000-2003 (Phase II), Final Distribution Order, 78 Fed. Reg. 64984, at 64988 (Oct. 30,

2013) citing Memorandum Opinion and Order Following Preliminary Hearing On

Validity ofClaims (March 21, 2013 ).

At issue herein is the evidence required to sufficiently establish that a party has been designated as an agent by an underlying copyright owner. Following discovery in these proceedings, insufficient evidence has been produced by the MP AA in order to establish the existence of a principal/agent relationship between itself and hundreds of copyright owners. In fact, for the vast majority of copyright owners purportedly represented by the MPAA, absolutely no evidence has been produced in order to establish that the purported copyright owner granted any authority to the MPAA. 1 On such basis, the MP AA' s unsubstantiated claims on behalf of such copyright owners, and the derivative program claims, must be dismissed.

As regards specific program claims made by the MPAA on behalf of the

{purported) copyright owners with whom the MPAA has contracted directly, other

infirmities exist. After producing its electronic database divulging which programs were

being attributed by the MPAA to which MPAA-represented claimants Multigroup

Claimants has discovered many circumstances in which entities that are known not to be copyright owners (i.e., not a producer, distributor or owner) have falsely been attributed as the copyright owner.

Consequently, scores of program claims made by the MPAA are invalid, as the

MPAA-attributed copyright owners are simply incorrect. Multigroup Claimants has identified a wide swathe of falsely attributed programs, but absent unlimited resources it would be impossible to identify each of the numerous circumstances in which false attribution of copyright ownership has occurred by the MPAA. Suffice it to say, however, that the breadth of inaccurate claims asserted by the MPAA is staggering and, by Multigroup Claimants' assessment, is due to the MP AA' s counterintuitive method for program attribution, and its lack of due diligence upon the purported claims of its represented claimants.

Within its electronic files the MPAA has identified 6,871 unique programs for which it is making claim in the cable proceedings, and 5,408 unique programs for which it is making claim in the satellite proceedings. Notwithstanding, 4, 146 cable­ retransmitted programs, and 3,129 satellite-retransmitted programs, are attributed to

claimants for which the MP AA has not provided a shred of evidence relating to a grant of

authority from the underlying copyright owner.

In fact, no fewer than 175 ofMultigroup Claimaints' cable program claims, and

82 of Multigroup Claimants' satellite program claims, conflict with the MP AA' s

attribution of ownership. The difference between Multigroup Claimants and MP AA

attribution of copyright ownership is the vetting process that Multigroup Claimants has

Additionally, while the MP AA has submitted copies of correspondence from contracting parties (not necessarily the underlying copyright owners) confirming the

MPAA's attribution of entitlement for 2010-2012 royalties, absolutely no evidence has been presented regarding 2013 royalties. That is, no correspondence from any party on whose behalf the MP AA purports to act as an agent has communicated to the MPAA

programs to which they are entitled 2013 cable and satellite royalties.

Finally, the MPAA has asserted claims on behalf of multiple claimants that

executed agreements with the MP AA only after the MPAA filed its petitions to

participate in these proceedings and/or are not identified in such filings. Consequently,

either the MP AA did not have the authority to list such entities on the MP AA petitions at

the time of their filing, or such entities were never ultimately identified in such filings

and their claims have been forfeited.

ARGUMENT

A. THE MPAA HAS FAILED TO SUBSTANTIATE ITS AUTHORITY TO REPRESENT 539 PURPORTED CABLE COPYRIGHT CLAIMANTS AND 412 SATELLITE COPYRIGHT CLAIMANTS.

Pursuant to the Judges' order of March 14, 2016, the Judges required all

participants to produce the electronic files identifying the programs they are claiming,

coupled with the claimants on whose behalf the claim was being made.

The electronic files produced by the MPAA reveals 600 unique MPAA-

represented cable claimants making program claims for the years 2010 through 2013, and

464 unique satellite claimants. However, for 539 of those cable claimants (with 4,146 of

5 Redacted: Public Version the 6,871 MP AA-claimed programs), and 412 of those satellite claimants (with 3,129 of the 5,408 MPAA-claimed programs), for one or more years the MPAA has either asserted claims vis-a-vis an "agent" that has contracted with the MP AA, as opposed to contracting directly with the purported copyright owner, or simply failed to produce any agreement even vis-a-vis an agent. See Exh. l, Deel. ofR. Galaz; Exh. 2 (summary of

MP AA claimants, contracts, and programs); Exh. 3 (list of unsubstantiated cable claimants); Exh. 4 (list of unsubstantiated satellite claimants). 2

Notably, no evidence has been produced reflecting that any MPAA-represented agent (i) actually represents the underlying copyright owner, or (ii) that the underlying copyright owner has affirmed ownership of the programs being attributed to them, or (iii) that the underlying copyright owner has any knowledge that the MP AA is making claim in their name. Not one agreement or item of correspondence exists, despite Multigroup

Claimants' request for such documents in discovery. In several circumstances, parties who are known to be exclusively agents have not even identified the underlying copyright owner on whose behalf the program claim is ostensibly being made, yet are themselves attributed as the copyright owner by the MP AA. See Exh. l, Deel. of R.

Galaz.

2 Multigroup Claimants has used its best efforts to identify the programs attributed to copyright owners for whom the MP AA has failed to substantiate representation, however, such exercise is necessarily encumbered by the fact that the MP AA program claims are often attributed to entities with slightly different names than the names appearing in the MP AA produced contracts. Multigroup Claimants nevertheless endeavored to perfectly associate the entities attributed program ownership with the entities contracting with the MPAA.

To be clear, each and every one of these agents, in the context of these proceedings, performs the identical function as Multigroup Claimants.3 None of these entities is either a copyright owner or licensee, i.e., a producer or distributor of programming. Notwithstanding while Multigroup Claimants' is required to produce contracts and correspondence validating its authority, and have that documentation scrutinized, none of these entities has produced a single item of documentation validating their authority to represent the programming for which they make claim.

Irrespective of whether an agreement between an agent and a copyright owner is in writing, an agreement must exist that authorizes the agent to collect retransmission royalties.4 Such agreement may be established vis-a-vis anecdotal evidence, such as correspondence, etc., however the Judges have previously ruled that "the parties must manifest in some unambiguous manner that they intended for a principal/agent

(March 21, 2013). The MPAA and its represented agents have produced no evidence, at all, demonstrating a grant of authority by the 539 purported copyright owners of cable- retransmitted programming, and 412 purported copyright owners of satellite- retransmitted programming.

The foregoing is demonstrated by the fact that the MP AA only produced copies of the agreements between the MP AA and its represented agents, without production of agreements or correspondence between such agents and the purported copyright owner.

Such failure by the MPAA not only precludes any ability of Multigroup Claimants (or the MP AA) to substantiate the grant of authority by the underlying copyright owner, but to establish the scope and timing of the agent's authority, i.e., whether the agent's authority was granted prior to the agent's "July claim" filings, whether the scope of any grant encompassed claims for retransmission royalties

(versus other rights), and whether the scope of any grant included royalties for broadcasts in the U.S. territory. Such issues of contract and correspondence review have been the basis of the Judges' dismissal of numerous claims in prior distribution proceedings, but the MP AA seeks to avoid subjecting any of its represented claims from review by simply refusing to produce documents that, in any court of law, would be required in order to establish the requisite chain-of-title and MPAA standing. 5 See Fleischer Studios, Inc. v.

A. V.E.L.A., Inc., et al., 654 F.3d 958 (9th Cir., 201 l)(plaintiffs claim for copyright infringement of "Betty Boop" character dismissed for failure to establish chain-of-title).

In its Final Distribution Order in the 2000-2003 cable proceedings (Phase II), the

Judges addressed a comparable argument by IPG, after IPG established that the MPAA was claiming authority to represent 615 claimants and 4,415 programs for which it could produce no authority from the underlying copyright owner. The Judges denied IPG's argument on various grounds, including timeliness, however stated that it was "no impediment" to the MP AA' s indirect representation of the underlying copyright owners that no agreement or correspondence with the underlying copyright owner had been produced. According to the Judges:

Each [MPAA] Representation Agreement includes a provision stating that ifthe "Claimant" (MPAA's counterparty) has filed a joint claim, MPAA is authorized to represent all joint claimants to that joint claim. [citations omitted]. Each Representation Agreement also includes a provision stating that the Claimant is the duly authorized representative of all joint claims submitted by the Claimant, and that the Claimant is authorized by all joint claimants to execute the Representation Agreement on their behalf. * * *

year immediately preceding the Extension Agreement, the Judges dismissed any claims for years preceding the Extension Agreement. Therein, the Judges stated:

"Extension agreements alone, without the underlying agreement, cannot establish the validity of the original representation or provide a basis to ascertain all of the essential terms of the alleged original agreement, such as temporal or geographical limitations, affiliated claimants, the authority ofthe signer, etc."

March 21, 2013 Order at 5 (emphasis added). Identically, in the instant circumstance the MP AA has provided no evidence that the MP AA-represented agent was granted any authority by the purported copyright owner, and it is therefore impossible to "ascertain all of the essential terms of the alleged original agreement", if any such agreement even existed.

The Judges find this evidence sufficient to establish that MPAA is duly authorized to represent the joint claimants covered by these Representation Agreements. Further evidence of representation, such as the contracts between the MPAA-represented program suppliers and the underlying claimants, is unnecessary in the absence of any evidence calling into question the authority of MPAA or the joint claimants that it represents-e.g., a disavowal of representation by an underlying claimant or evidence that the claimant is represented by another party. IPG has offered no such evidence with respect to the 615 claims that it seeks to challenge. Therefore, the challenge, even if IPG had raised it properly, would have been rejected.

An identical result was forthcoming in the consolidated 1999-2009 satellite, 2004-

2009 cable proceedings, wherein the Judges allowed the MPAA to maintain the program claims of 562 copyright owners despite the production of not a single item of substantiating evidence. Therein, the Judges stated:

"While it is fair and reasonable to require a participant to document its own contractual relations with third parties, the Judges will not require evidence of contractual relations between third party nonparticipants in the absence of evidence that calls the participant's authority into question. That is, the "presumption of validity" described supra applies in such a factual context."

Docket no. 2012-6 CRB CD 2004-2009 (Phase II), Docket no. 2012-7 CRB SD 1999-

2009 (Phase II), Memorandum Opinion and Ruling on Validity and Categorization of

Claims at 12 (March 13, 2015).

The determination that all MPAA claims would stand unabated in the absence of evidence calling into question the authority of the agent, is diametrically opposed to the

March 21, 2013 Order issued by the Judges in the same proceeding only three months prior, and those decisions cannot be reconciled. Therein, scores of IPG claims were

10 Redacted: Public Version dismissed in the absence of any affirmative evidence "calling into question the authority" of IPG. With few exceptions in which the "termination" of contract term were being interpreted by the Judges, the Judges dismissed IPG's claims for an ostensible lack of substantiating documentation, not affirmative evidence "calling into question the authority" of IPG, and no different than the situation presented to the Judges herein.6

Moreover, and as demonstrated by the 1998-1999 cable proceedings (Phase II), the

Judges have considered agent-represented claimants to be sufficiently involved as

"participants" in order to request their presence at Washington, D.C. hearings. See

Docket No. 2008-1 CRB CD 1998-99 (Phase II), Order Granting In Part SDC Motion for

Request for Additional Evidence and Rescheduling Preliminary Hearing (April 25,

2014).

Regardless, the appropriate resolution should be one that is consistent with the standards invoked in any court of law, by which a party seeking to make claim as an agent on behalf of another must produce sufficient evidence of the agency and chain-of- title, rather than a rule that insulates a party from scrutiny merely by adding another layer of agency. 7 See Fleischer, supra.

To be clear, Multigroup Claimaints does not challenge that for feasibility of the proceedings a "presumption of validity" should logically attach to whether a claimant owns the copyright to the program to which they are making claim. However, to suggest that such "presumption of validity" should apply to agents at only certain levels in the chain-of-title, and that only certain agents must produce evidence of their representation of the underlying copyright owner, defies rationality. To demonstrate the disparate result, Multigroup Claimants directs the Judges to the fact that Multigroup Claimants represents the interests of Magus Entertainment in this proceeding, while MPAA- represented agent "Conexion Media Group" has also made claim for the programming of

Magus Entertainment. See Exh. 1, Deel. ofR. Galaz. While Multigroup Claimants has produced evidence of the chain-of-title leading back to Magus Entertainment, and in prior proceedings Multigroup's predecessor IPG had such evidence scrutinized and successfully defended the existence of such agency, the Judges' discovery rulings have not even required the MPAA to produce evidence of a Magus/Conexion agreement.

Coupled with the Judges' current application of its "presumption of validity", the

MPAA's claim to Magus programming (via Conexion) is insulated from scrutiny, while

Multigroup' s claim is not.

In the Judges' most recent ruling on this matter, the Judges addressed this issue:

"It is not "insulation" but an allocation of the burdens of proof and persuasion, consistent with the presumption of validity that the Judges apply to claims, absent extenuating circumstances."

Docket no. 2012-6 CRB CD 2004-2009 (Phase II), Docket no. 2012-7 CRB SD 1999-

2009 (Phase II), Memorandum Opinion and Ruling on Validity and Categorization of

Claims at 12 (March 13, 2015). As such, the Judges' position, apparently, is that the

12 Redacted: Public Version burdens of proof and persuasion, a party's discovery obligations, and even a participant's obligation to affirmatively establish the existence of their agency, are affected by which level in the chain-of-title an agent falls. Multigroup Claimants are aware of no comparable rulings in any field relating to the establishment of a chain of title for purposes of standing.

For the foregoing reasons, the MP AA's claims on behalf of 539 copyright owners of cable-retransmitted programming, and 412 copyright owners of satellite-retransmitted

8 programming, and their derivative program claims -- all without substantiation by the underlying owner of copyright -- must be dismissed.

B. MANY MPAA-REPRESENTED CLAIMANTS ARE FALSELY ATTRIBUTED AS THE OWNERS OF COPYRIGHT TO MPAA­ CLAIMED PROGRAMMING.

1. THE MPAA'S "CERTIFICATION" PROCESS LENDS ITSELF TO THE MAKING OF FALSE CLAIMS BY MPAA-REPRESENTED AGENTS.

IPG has identified multiple circumstances in which the MPAA has incorrectly attributed a program claim to an MPAA-represented claimant. Multigroup Claimants contends that the heart of the issue is the MP AA' s backward process for "certifying" program claims, which does not ask the purported copyright owner (or even their agent)

8 Review of the MPAA's program claims reveals the existence of 6,871 unique cable retransmitted programs (4,146 unsubstantiated), and 5,408 unique satellite retransmitted programs (3,129 unsubstantiated). Multigroup Claimants has made claim for 2,627 unique programs, irrespective of whether they were cable retransmitted or satellite retransmitted. Of the programs claimed by Multigroup Claimants, no fewer than 175 cable retransmitted programs are in conflict with MP AA unsubstantiated programs, and no fewer than 82 satellite retransmitted programs are in conflict with MPAA unsubstantiated programs. Id. Such conflicting claim figures are a minimum as they are based on exact program title matches between the Multigroup Claimants' database and MPAA database.

13 Redacted: Public Version to initiate identification of their claimed programs, but rather asks the claimant to respond to the MP AA' s unilateral identification of attributed programs. Upon notification by the

MP AA of which programs the MPAA intends to ascribe to the claimant, the claimant already knows that no other party is being ascribed as the rightful claimant, and that the claimant need only affirm the MP AA' s determination in order to receive royalties therefor. Between this process and the MPAA's failure to conduct any due diligence to confirm the claimant's entitlement to program claims, the MPAA has attributed multiple program claims to the wrong claimant.

In the most recent 2000-2003 cable proceedings (Phase II), MPAA witness

Marsha Kessler testified that the MP AA' s identification of the appropriate claimant was based solely on her own "industry knowledge and experience", and that no database exists or was relied upon. Docket no. 2000-8 CRB CD 2000-2003 (Phase II), Dkt. #345 at 47; #344, Tr. at 167, 171 (Kessler). By all indications, the identical process was followed by the MPAA in connection with all 2010-2013 cable and satellite claims.

Irrespective of the implausibility that Ms. Kessler could possibly know the appropriate claimant to tens of thousands of programs, and for which years the claimant is entitled to make claim, such testimony only highlights the lack of due diligence conducted by the

MPAA. That is, according to the MPAA, the MPAA' s determination of the appropriate claimant for tens ofthousands of program/claimant/years combinations rested on the determinations made by a single individual. As demonstrated by the multiple examples in which Multigroup Claimants has identified the MP AA' s inaccurate attribution of ownership, the MP AA process is rife with "moral hazard" that brings each and every program claimed under the MP AA umbrella into issue.

IPG made a similar argument in the consolidated 1999-2009 satellite and 2004-

2009 cable proceedings. Therein, the Judges rejected IPG's argument, stating that they saw no superiority to the IPG process in which a party must affirmatively identify their programming from an extensive list ofretransmitted programming (50,000+ titles), from the MPAA process by which the recipient is asked to passively confirm a list of programming with which they are presented. Memorandum Opinion and Ruling on

Validity and Categorization ofClaims at 14 (March 13, 2015). On such grounds, the

Judges saw no reason to impose a "wholesale rejection" of the MPAA process, or even subject the MPAA process to a higher level of scrutiny. IPG had not argued for

"wholesale rejection" which, obviously, would have prejudiced even those claimants that had responded accurately and comprehensively. However, IPG had argued for the Judges to recognize such process as an explanation for evident errors of claimant attribution, and acknowledge that if IPG could identify such misattribution merely from its "eyeball review", other undiscovered errors likely exist as well.

2. FOREIGN COLLECTION SOCIETIES ARE FALSELY ATTRIBUTED COPYRIGHT OWNERSHIP.

As noted, Multigroup Claimants has identified circumstances in which MP AA- represented entities that are known not to be copyright owners (i.e., not a producer, distributor, or owner) have been falsely attributed ownership to MP AA-claimed programming. Two prominent examples immediately came to IPG's attention.

First, the Australian entity known as Audio-Visual Collection Society aka

"Screenrights" is best known as the entity responsible for collecting and distributing retransmission royalties and educational institution royalties for the territories of

Australia and New Zealand. 9 Screenrights is not a producer or distributor, simply a non- profit collection organization. As part of the MP AA' s claim, Screenrights has been identified as the underlying copyright owner to 164 cable-retransmitted programs, and 39 satellite-retransmitted programs. See Exh. 1, Deel. ofR. Galaz; Exh. 5 (list of

Screenrights-claimed cable programs); Exh. 6 (list of Screenrights-claimed satellite

10 programs).

Even more significant is the Spanish collection society EGEDA. "EGEDA" is the

Entidad de Gestion de Derechos de los Productores Audiovisuales. In 2007 it opened a

U.S. office and, as demonstrated by its website, it is also "a non-profit association and collection society."11 Notwithstanding, EGEDA has been identified as the underlying copyright owner to 340 cable-retransmitted programs, and 182 satellite-retransmitted programs·. See Exh. l, Deel. ofR. Galaz; Exh. 7 (list ofEGEDA-claimed cable programs); Exh. 8 (list of EGEDA-claimed satellite).

Multigroup Claimants is thoroughly familiar with both Screenrights and EGEDA.

Neither organization retains copyright ownership to programming, and typically only collect and distribute royalties derived from their own territories. Screenrights and

EGEDA cannot logically be attributed as copyright owners and, as noted, the very fact that there has been no production of any agreements between such entities and the copyright owners they purportedly represent makes it impossible for Multigroup

Claimants (or the MPAA) to substantiate their agency authority. See Exh. 1, Deel. of R.

Galaz.

IPG made a similar challenge in the consolidated 1999-2009 satellite and 2004-

2009 cable proceedings. Therein, the Judges rejected IPG's challenge, stating the following:

"The Screenrights and EGEDA claims are presumed valid unless IPG presents evidence that questions their validity. At most, IPG's evidence questions MPAA' s authority to represent certain specific program titles; it does not cast doubt on MP AA' s authority to represent copyright owners who are members of Screenrights and EGEDA."

Memorandum Opinion and Ruling on Validity and Categorization ofClaims at 14 (March

13, 2015).

With due respect to the Judges, the statement above misses the point. It can be established, and is not even challenged, that Screenrights and EGEDA are not copyright owners and, therefore, must be "agents". Nonetheless, not only has the MPAA failed to produce the agency agreements between such entities and the underlying copyright owners (see Section A, supra), the MPAA has failed to even identify the underlying copyright owners, but again insulating such program claims from any scrutiny. Notably,

Screenrights (an Australian entity) has made claim for such titles as "A League of Their

Own", "Against All Odds", "Dancing with the Stars", "Gladiator", and "Home Alone".

See attached Exhibit 5 at pp. 1-2. Absent the MPAA even identifying the purported

17 Redacted: Public Version underlying copyright owner, Multigroup Claimants is foreclosed from even investigating the validity of the MPAA' s attribution of agency.

On such basis, the MPAA's program claims on behalf ofScreenrights and

EGEDA must be dismissed, as such entities are the non-owner of copyright, such program claims are made on behalf of an unidentified owner of copyright, and no documentation substantiating the copyright owner's authorization of Screenrights and

EGEDA has been provided.

3. AGENTS WITH ABSOLUTELY NO CONNECTION TO A PROGRAM'S PRODUCTION, DISTRIBUTION, OR OWNERSIDP, ARE FALSELY ATTRIBUTED COPYRIGHT OWNERSHIP.

In at least one significant circumstance, Multigroup Claimants has discovered an agent being attributed copyright ownership by the MP AA even though such entity has had absolutely no involvement with the program in question (i.e., not as a producer, distributor, or owner). In fact, because the MPAA has failed to produce contracts between the MPAA-represented agents and underlying copyright owners, Multigroup

Claimants cannot discern whether such agent has even been engaged as an agent by the owners of such programming.

Specifically, Fintage Publishing and Collections, B.V., has been identified as the underlying copyright owner to 132 cable-retransmitted programs, and 4 satellite- retransmitted programs. See Exh. 1, Deel. of R. Galaz; Exh. 9 (list ofFintage-claimed cable programs); Exh. 10 (list of Fintage-claimed satellite programs). Comparable to the situations set forth above, not only has the MPAA failed to produce the agency agreements between Fintage and the underlying copyright owners (see Section A, supra), the MPAA has failed to even identify the underlying copyright owners, but again

18 Redacted: Public Version insulating such program claims from any scrutiny. Absent the MPAA even identifying the purported underlying copyright owner, Multigroup Claimants is foreclosed from even investigating the validity of the MPAA' s attribution of agency.

On such basis, the MP AA' s program claims on behalf of Fintage Publishing must be dismissed, as such entity is the non-owner of copyright, such program claims are made on behalf of an unidentified owner of copyright, and no documentation substantiating the copyright owner's authorization of Fintage Publishing has been provided.

4. THE CONTEXT OF THE MPAA'S CONTINUED ATTRIBUTION OF OWNERSHIP TO PARTIES THE MPAA IS AWARE HAVE NO OWNERSHIP, AND THE APPARENT ATTEMPT TO CONCEAL THE ACTUAL OWNER.

In the consolidated 1999-2009 satellite and 2004-2009 cable proceedings, IPG made several arguments, inclusive of many arguments set forth by Multigroup Claimants herein. Apparently intent on avoiding closer scrutiny of its program attribution process, the MP AA actually withdrew its claim to several programs represented by IPG- represented claimants. Consequently, the percentage of claims in conflict with the

MPAA have fallen dramatically. This is not to suggest that the MPAA's program- attribution process has been remedied, as Multigroup Claimants continues to witness the

MPAA' s attribution of ownership of the same program to multiple different parties over the various years. By all accounts, such varied attribution appears to be the product of

which party happened to file a "July claim" for a given year and, as but one example

demonstrated in the prior consolidated proceedings, the MP AA had attributed ownership

of the "Emmy Awards" to no fewer than four different entities, including the foreign

distributor of such programming -- even though none of the entities had any entitlement

to that program.

As a result of the prior proceedings, the MP AA was aptly aware that foreign collection societies such as Screenrights and EGEDA, and agents such as Fintage

Publishing, do not have ownership in and to programs. Despite such knowledge, the

MPAA persists in its false attribution of ownership to these entities, all the while knowing that they do not, nor ever have, had a copyright ownership interest therein.

An obvious question therefore arises as to why the MP AA persists, and why the

MPAA has not remedied these maladies. No reasonable response can be provided to these rather obvious questions other than a conscious desire to conceal the actual owner of copyright exists, and to such "strategy" the MP AA should not be rewarded.

C. THE MPAA HAS FAILED TO PRODUCE ANY EVIDENCE CORROBORATING ITS 2013 CABLE OR SATELLITE PROGRAM CLAIMS.

As noted previously, Multigroup Claimants has been critical of the MPAA's process for attributing entitlement to a purported claimant, whether that claimant is an underlying copyright owner of the attributed program, or an agent thereof. Such process involves the MP AA informing the entity of which programs the MPAA intends to

attribute entitlement, rather than such entity affirmatively informing the MP AA of the

programs to which it is entitled to make claim.

The process that the MPAA has followed in prior proceedings, and to some extent

in this proceeding, has involved the MP AA forwarding for execution a "Certificate of

Entitlement" that asks the recipient to review an MPAA-prepared list of programs, and

certifying the recipient's entitlement to make claim to retransmission royalties therefor.

See generally, Memorandum Opinion and Ruling on Validity and Categorization of

Claims at 13 (March 13, 2015). Notwithstanding, while the MPAA followed this process

20 Redacted: Public Version for the identification of 2010, 2011, and 2012 cable and satellite program claims, it followed no such process for 2013.

In response to Multigroup Claimants' request for documents substantiating the

MPAA's program claims, the MPAA produced its prototypical "Certificate of

Entitlement" for 2010, 2011, and 2012. Such forms contain the form certificate, along with an attached "Certification Report" that identifies the programs to which the MP AA intends to attribute entitlement. See, e.g., Exh. 11 (completed form for 2010). By contrast, no documents were produced for 2013 other than 3,884 pages of printouts of a

"Claimed Works Request" that the MPAA apparently intends to send to its represented claimants, each of which is dated January 28, 2016. See, e.g., Exh. 12 ("Claimed Works

Request" for claimant "IA Productions Limited"). As such, the MPAA has produced literally no correspondence from any claimant verifying their entitlement to 2013 cable or satellite retransmission royalties.

Multigroup Claimants appreciates that the revised process in these proceedings has affected the timeframe by which parties were otherwise scheduled to conduct certain acts. The Judges' decision to combine Phase I and Phase II proceedings could perhaps be attributable to the MPAA's failure to timely start (or conclude) its typical process for program attribution, however certain disquieting facts exist.

As set forth on Exhibit 2 hereto, for calendar year 2013 the MPAA asserted a dramatic upturn in the number of claimants it purported to represent that had cable or satellite claims. For cable claims, the MP AA doubled its number of cable claimants from its already all-time high of 257 claimants to 519 claimants. See Exh. 1, Deel. ofR.

Galaz; Exh. 2 (summary ofMPAA claimants, contracts, and programs). For satellite

21 Redacted: Public Version claims, the MPAA went from its already all-time high of 258 claimants to 329 claimants.

Id. In fact, of the 600 unique cable claimants to which the MP AA attributed programs from 2010-2012, 314 of those cable claimants are attributed 1,519 programs by the

MPAA for the first time during 2013. See Exh. l, Deel. ofR. Galaz; Exh. 13 at p. 8.

Similarly, of the 464 unique satellite claimants to which the MPAA attributed programs from 2010-2012, 260 of those satellite claimants are attributed 1,083 programs by the

MPAA for the first time during 2013. See Exh. 1, Deel. ofR. Galaz; Exh.14 at p. 7.

As such, there is a complete dearth of documentation to demonstrate on what basis the MPAA attributed program claims during 2013. Even presuming that the MP AA relied on its attributed claims for 2010-2012, this still does not explain the attribution of

1,519 programs to 314 cable claimants for 2013, or the attribution of 1,083 programs to

260 satellite claimants for 2013.

For the foregoing reasons, the MPAA's 2013 program claims, if not altogether invalidated by the lack of information provided from MP AA-represented claimants, must be significantly reduced to at minimum invalidate the 1,519 programs attributed to 314 cable claimants for 2013, and 1,083 programs attributed to 260 satellite claimants for

2013 for whom no information has been garnered by the MP AA even for prior royalty pools.

D. THE MPAA ASSERTS CLAIMS ON BEHALF OF MULTIPLE CLAIMANTS THAT EXECUTED AGREEMENTS WITH THE MPAA AFTER THE MPAA FILED ITS PETITIONS TO PARTICIPATE AND/OR ARE NOT IDENTIFIED IN THE MPAA PETITIONS TO PARTICIPATE.

Review of agreements produced between the MP AA and MPAA-represented claimants reveals several entities that only first executed agreements engaging the MPAA

22 Redacted: Public Version as their agent long after the dates by which petitions to participate were filed. 12 See Exh.

1, Deel. ofR. Galaz; Exh. 15. 13 Consistent with such fact, the vast majority of those parties were not identified by the MPAA within the MPAA petitions to participate. Id.

The untimely engagement of the MPAA, and/or the MPAA's failure to include such claimants in the MPAA' s petition to participate results in the forfeiture of claims thereto. As set forth in the CRB notices:

"In order to share in the royalties at issue, any claimant, whether or not affiliated with one of the groups identified in footnote 1 above, must file a Petition to Participate in each proceeding in which it seeks royalties, individually or jointly with other claimants. If, at a later point in the proceedings, a claimant chooses to join a group participating through joint counsel, that claimant may withdraw its individual Petition to Participate by giving written notice in the proceeding identifying the group with which it wishes to affiliate. "

As the Federal Register notices provide, the failure of the parties appearing on

Exhibit 15 to file a petition to participate results in the forfeiture of such claimants' claims. The only claimant appearing on Exhibit 15 that filed petitions to participate was

Major League Soccer. However, Multigroup Claimants has confirmed that its petitions were limited to participation in the sports programming category, not the program suppliers category. See MLS petitions, at para. C. Consequently, Major League Soccer

For the reasons set forth above, the cable and satellite claims of parties appearing on Exhibit 15 must be dismissed.

E. THE MPAA ASSERTS PROGRAM CLAIMS ON BEHALF OF MULTIPLE CLAIMANTS THAT ARE NOT SIMILARLY IDENTIFIED IN EITHER THEIR "JULY CLAIM", THE MPAA PETITIONS TO PARTICIPATE, OR THE MPAA'S LIST OF REPRESENTED CLAIMANTS AND PROGRAMS.

The MPAA has produced extensive lists of claimed programs attributed to claimants whose names vary from the name appearing on any "July claim", or vary from the names appearing in the contracts executed with the MPAA, or vary (or do not appear) in the MPAA's petitions to participate. While certain of these names are similar in nature, suggesting that they might be the same entity, there is no way to know whether the actual claimant's claim has been preserved by the MPAA in the entity's name. See

Exh. 1, Deel. of R. Galaz.

Effectively, the MPAA dumped a variety of documents and electronic files onto

Multigroup Claimants' lap that are hopelessly irreconcilable with each other, making it impossible to determine if a particular claimant (i) filed a timely "July claim", (ii) was included in the MPAA's timely-filed petitions to participate, and (iii) was identified in the MP AA' s list of represented claimants and programs. All three are required in order for a claimant to maintain a program claim through the MPAA as its designated agent but, as the following will reveal, the documents and electronic files produced by the

MPAA do not achieve this.

The examples are endless, but as only one example of several, July claims were filed by "Jaffe/Braunstein Films Ltd.". Nevertheless, the MPAA was engaged by and executed a contract with "Jaffe Braunstein Entertainment". However, listed on the

MPAA petitions to participate is "Jaffe Braunstein Films Ltd.". Further still, the MPAA makes claim for programs that it attributes to "Jaffe/Braunstein Entertainment LLC". See

Exh. l, Deel. ofR. Galaz

As is well known and reflected on the face of the July claim, identification of a company's parent, subsidiary, or sister company will not suffice to satisfy the requisites for a July claim for such company. See, e.g., Cable and Satellite Statutory Licenses, 66

Fed. Reg. 29700, 29703 (June 1, 2001)(Rulemaking). Consequently, Multigroup

Claimants was faced with the impossible task of trying to sort through this labyrinth in order to determine whether the MPAA and a particular claimant are even in contractual privity with each other.

A comparison between the companies to which the MP AA has attributed its program claims and the companies appearing on the MP AA' s petitions to participate demonstrate multiple name inconsistencies, if not a total absence of a claimant name.

Although even greater discrepancies would be revealed if Multigroup Claimants additionally compared such names with (i) the names appearing on the "July claims", or

(ii) the names appearing on the MPAA contracts, suffice it to state that a significant number of programs claimed by the MP AA are attributed to parties to whom a varied name exists on the MPAA petitions to participate, or do not appear at all.

Multigroup Claimants hereby submits Exhibits 16 and 17, which reflect the names of entities to whom the MP AA attribute entitlement of a claimed program,

25 Redacted: Public Version compared with the names appearing on the MPAA's petitions to participate. 14 In sum, the exhibits reflect numerous entities that the MPAA has asserted in its electronic files list to be claimants with program claims, that do not have a matching name in the MP AA petitions to participate for the year in question. Exhibit 16 reflects the names of non- matching cable claimants for each of the years 2010-2013, while Exhibit 17 reflects the names of non-matching satellite claimants for each of the years 2010-2013. See Exh. l,

Deel. of R. Galaz; Exhibits 16, 17.

Multigroup Claimants acknowledges that in certain circumstances the error may be the addition or omission of a comma, or the listing of a company suffix as "Ltd."

Instead of ''Limited". Nonetheless, the burden is on the MP AA to establish the validity of its program claims and to submit consistent documentation, not for Multigroup

Claimants to have to unravel, investigate, and speculate about the identity of the MPAA- represented claimant, or the validity of the MP AA program claims.

Faced with a comparable situation in the consolidated 2004-2009 cable and 1999-

2009 satellite proceedings, the Judges held the following:

"IPG has, metaphorically, tossed a hopelessly tangled skein of yarn in the midst of the Judges and participants and told them to make a sweater. In essence, as the SDC clearly assert, "[i]t is unreasonable for IPG to impose fundamental fact-checking responsibility on the other parties."

[T]he Judges GRANT the SDC's request to disqualify all IPG claims asserted for program titles that are ascribed to more than one copyright owner or claimant and for which the year of retransmission is unclear.... "

For the years 2010-2013, respectively, the MPAA has identified 116, 92, 140, and

281 entities with program claims that have no corresponding listing in the MPAA' s cable petitions to participate. Exh. 16. For the years 2010-2013, respectively, the MPAA has identified 114, 128, 154, and 183 entities with program claims that have no corresponding listing in the MPAA 's satellite petitions to participate. Exh. 17. Absent the MP AA having submitted documentation affirmatively establishing that the claimants attributed these program claims are the same as the entities identified in the MPAA' s petitions to participate - which did not occur -- all program claims by the claimants identified in Exhibits 16 and 17 must be dismissed.

CONCLUSION

For the reasons set forth above, Multigroup Claimants moves for the dismissal of claims as more specifically set forth above.

contracting directly with the purported copyri ght owner, or simply failed to produce any

agreement even vis-a-vis an agent. See Exh. 2 (summary of MPAA claimants, contracts, and programs); Exh. 3 (list of unsubstantiated cable claimants); Exh. 4 (list of unsubstantiated satellite claimants).

3. Notably, no evidence has been produced reflecting that any MPAA- represented agent (i) actually represents the underlying copyright owner, or (ii) that the underlying copyright owner has affirmed ownership of the programs being attributed to them, or (iii) that the underlying copyright owner has any knowledge that the MP AA is making claim in their name. Not one agreement or item of correspondence exists, despite

Multigroup Claimants' request for such documents in discovery. In several circumstances, parties who are known to be exclusively agents have not even identified the underlying copyright owner on whose behalf the program claim is ostensibly being made, yet are themselves attributed as the copyright owner by the MP AA.

4. The MP AA and its represented agents have produced no evidence, at all, demonstrating a grant of authority by the 539 purported copyright owners of cable­ retransmitted programming, and 412 purported copyright owners of satellite­ retransmitted programming. The foregoing is demonstrated by the fact that the MP AA only produced copies of the agreements between the MP AA and its represented agents, without production of agreements or correspondence between such agents and the purported copyright owner.

5. Multigroup Claimants represents the interests of Magus Entertainment in this proceeding, while MP AA-represented agent "Conexion Media Group" has also made claim for the programming of Magus Entertainment. While Multigroup Claimants has produced evidence of the chain-of-title leading back to Magus Entertainment, and in prior proceedings Multigroup' s predecessor IPG had such evidence scrutinized and

2 successfully defended the existence of such agency, the Judges' discovery rulings have

not even required the MP AA to produce evidence of a Magus/Conexion agreement.

6. The Australian entity known as Audio-Visual Collection Society aka

"Screenrights" is best known as the entity responsible for collecting and distributing

retransmission royalties and educational institution royalties for the territories of

Australia and New Zealand. Screenrights is not a producer or distributor, simply a non­

profit collection organization. As part of the MPAA's claim, Screenrights has been

identified as the underlying copyright owner to 164 cable-retransmitted programs, and 39 satellite-retransmitted programs. As part of the MP AA' s claim, Screenrights has been identified as the underlying copyright owner to 164 cable-retransmitted programs, and 39 satellite-retransmitted programs. See Exh. 5 (list of Screenrights-claimed cable programs); Exh. 6 (list of Screenrights-claimed satellite programs).

7. Even more significant is the Spanish collection society EGEDA.

"EGEDA" is the Entidad de Gestion de Derechos de los Productores Audiovisuales. In

2007 it opened a U.S. office and, as demonstrated by its website, it is also "a non-profit association and collection society." Notwithstanding, EGEDA has been identified as the underlying copyright owner to 340 cable-retransmitted programs, and 182 satellite­ retransmitted programs. See Exh. 7 (list of EGEDA-claimed cable programs); Exh. 8

(list of EGEDA-claimed satellite).

8. Multigroup Claimants is thoroughly familiar with both Screenrights and

EGEDA. Neither organization retains copyright ownership to programming, and typically only collect and distribute royalties derived from their own territories.

Screenrights and EGEDA cannot logically be attributed as copyright owners and, as

3 noted, the very fact that there has been no production of any agreements between such entities and the copyright owners they purportedly represent makes it impossible for

Multigroup Claimants (or the MP AA) to substantiate their agency authority.

9. Fintage Publishing and Collections, B.V., has been identified as the underlying copyright owner to 132 cable-retransmitted programs, and 4 satellite­ retransmitted programs. See Exh. 9 (list of Fintage-claimed cable programs); Exh. 10

(list of Fintage-claimed satellite programs). Comparable to the situations set forth above, not only has the MP AA failed to produce the agency agreements between Fintage and the underlying copyright owners (see Section A, supra), the MPAA has failed to even identify the underlying copyright owners.

10. In response to Multigroup Claimants' request for documents substantiating the MPAA's program claims, the MPAA produced its prototypical "Certificate of

Entitlement" for 2010, 2011, and 2012. Such forms contain the form certificate, along with an attached "Certification Report" that identifies the programs to which the MP AA intends to attribute entitlement. See, e.g., Exh. 11 (completed form for 2010). By contrast, no documents were produced for 2013 other than 3,884 pages of printouts of a

"Claimed Works Request" that the MP AA apparently intends to send to its represented claimants, each of which is dated January 28, 2016. See, e.g., Exh. 12 ("Claimed Works

Request" for claimant "IA Productions Limited").

11. As set forth on Exhibit 2 hereto, for calendar year 2013 the MP AA asserted a dramatic upturn in the number of claimants it purported to represent that had cable or satellite claims. For cable claims, the MPAA doubled its number of cable claimants from its already all-time high of 257 claimants to 519 claimants. See Exh. 2

4 (summary of MPAA claimants, contracts, and programs). For satellite claims, the MPAA went from its already all-time high of 258 claimants to 329 claimants. Id. In fact, of the

600 unique cable claimants to which the MPAA attributed programs from 2010-2012,

314 of those cable claimants are attributed 1,519 programs by the MP AA for the first time during 2013. See Exh. 13 at p. 8. Similarly, of the 464 unique satellite claimants to which the MPAA attributed programs from 2010-2012, 260 of those satellite claimants are attributed 1,083 programs by the MPAA for the first time during 2013. See Exh. 14 atp. 7.

12. Review of agreements produced between the MP AA and MP AA- represented claimants reveals several entities that only first executed agreements engaging the MP AA as their agent long after the dates by which petitions to participate were filed. See Exh. 15. Consistent with such fact, the vast majority of those parties were not identified by the MP AA within the MP AA petitions to participate. Id.

13. The MPAA has produced extensive lists of claimed programs attributed to claimants whose names vary from the name appearing on any "July claim", or vary from the names appearing in the contracts executed with the MPAA, or vary (or do not appear) in the MPAA's petitions to paiticipate. While certain of these names are similar in nature, suggesting that they might be the same entity, there is no way to know whether the actual claimant's claim has been preserved by the MPAA in the entity's name.

14. The examples are endless, but as only one example of several, July claims were filed by "Jaffe/Braunstein Films Ltd.". Nevertheless, the MPAA was engaged by and executed a contract with "Jaffe Braunstein Entertainment". However, listed on the

5 MPAA petitions to participate is "Jaffe Braunstein Films Ltd.". Further still, the MPAA

makes claim for programs that it attributes to "Jaffe/Braunstein Entertainment LLC".

15. Exhibits 16 and 17 reflect the names of entities to whom the MPAA

attribute entitlement of a claimed program, compared with the names appearing on the

MPAA's petitions to participate. In sum, the exhibits reflect numerous entities that the

MP AA has asserted in its electronic files list to be claimants with program claims, that do not have a matching name in the MP AA petitions to participate for the year in question.

Exhibit 16 reflects the names of non-matching cable claimants for each of the years

2010-2013, while Exhibit 17 reflects the names of non-matching satellite claimants for each of the years 201 0-2013. See Exhibits 16, 17.
