4 TERMS AND CONDITIONS

Tender for contract for fishing at Reservoir I and second part of 30 acres area in MVSC, Valinokkam, Ramanathapuram District for the period from 03.12.2020 to 02.12.2021. —————————————————————————————————— Sealed Tenders are invited by Tamil Nadu Salt Corporation Limited, Chennai for contract for fishing at Reservoir I and second part of 30 acres area in MVSC, Valinokkam, Ramanathapuram District for the period from 03.12.2020 to 02.12.2021. The tenderer should submit Part A- Technical Bid and Part B- Commercial Bid separately in sealed cover and the same should be enclosed in another cover superscribing the name of the tender, tender reference number and due date of opening of the tender.

1. The tender should be addressed to The Managing Director, Tamil Nadu Salt Corporation Limited, LLA Building, IV floor, 735, Anna Salai, Chennai 600 002.

2. a) Tender documents should be submitted through reliable Courier/Speed Post/RPAD at our Corporate Office in Chennai. In case, the tender document should be submitted in person, the tender document should be put into the tender box, which will be kept at our Corporate Office in Chennai.

b) The tender should reach the Managing Director, Tamil Nadu Salt Corporation Limited, Chennai-2 by 3.00 PM on 10.11.2020 at the latest. Tender received after that time and date will not be accepted.

c) The tender document can be had in person at the Corporate Office, Chennai or Project Office in Ramnad District by paying Rs.600/- by way of DD. However, the tender document can be downloaded at free of cost from our website on www.tnsalt.com

3. The tender should accompany by an Earnest Money Deposit of Rs.1,70,000/- by means of DD drawn on any Nationalised Bank in favour of Tamil Nadu Salt Corporation Limited payable at Chennai or by cash receipts. Tender received without EMD it will be summarily rejected

4. At any time after the issue of the tender documents and before the opening of the tender, the Corporation may make any changes, modifications or amendments to the tender documents and shall send intimation of such change to all those who have purchased the original tender documents.

5. The Technical Bid will be opened by the Managing Director, Tamilnadu Salt Corporation Limited, Chennai in the presence of tenderers at 3.30 PM on 10.11.2020.

6. After opening the Technical Bid, only the eligible tenderer's Commercial Bid will be opened by the Managing Director, Tamilnadu Salt Corporation Limited Chennai 2 in the presence of qualified tenderers.

7. The Corporation reserves the right to conduct or not to conduct negotiations. Therefore, the rates quoted should be firm. In case negotiations are held, the tenderers or their authorized representative should be present at the time of opening of the tender for participating in the subsequent negotiations. It shall be noted that if the tenderers or their authorized representatives do not choose to be present at the time of opening the tenders and in case negotiations are held, the rates quoted in the tender by them would be taken as final.

8. The tenderers should quote firm rates both in figures and words separately in the price bid. In case if there is any difference between the figures and words, the highest quoted figure will be taken as the offer.

10. If the tender is not accepted, the EMD will be refunded within two months to the unsuccessful tenderer on getting requisition for refund of EMD in writing.

11. The EMD of Rs.1,70,000/- of the successful tenderer will be retained as the Security Deposit. The SD amount will be refunded to the contractor after smooth completion of the contract period, on request of the contractor in writing to the MD, TNSC. The EMD and the S.D. will not carry any interest.

12. The tenderer should take all the insurance including third party towards the above contract and no liability whatsoever is to be claimed from the Corporation.

13. Corporation reserves the right to reject the tenders without assigning any reason or to award the contract to one or more persons on the same terms and conditions.

14. The successful tenderer should pay the entire contract amount agreed within 7 days from the date of receipt of work order. Failure to do so shall entail forfeiture of EMD and cancellation of contract. Further, the chance will be given to other tender participants who are willing to pay the H1 rate.

15. Immediately after payment of the entire contract amount, the successful tenderer shall execute the agreement in the prescribed form and fulfill the terms and conditions thereof.

16. Tenderers participating in the above said contract are bound by the all terms and conditions.

17. On any circumstance or any reasons, the extension of contract period will not be considered and given to the contractor.

INSTRUCTIONS TO THE TENDERER

1. It shall be the sole and absolute responsibility of the tenderer to obtain and gather all information, at his own expense, which may be necessary for the purpose of making the tender and for entering into the contract. The Corporation does not undertake any responsibility for the lack or insufficiency of any information herein. When a tenderer submits his tender in response to the tender documents, he will be deemed to have understood fully about the requirements, terms and conditions of the contract and to have satisfied himself fully of the sufficiency of information as may affect the tender or the contract. No extra payment or compensation will be made by the Corporation on the pretext that the tenderer did not have a clear idea or information of any particular matter relating to the tender or the contract and this shall be a condition of the tender and the contract. Every tenderer is expected before quoting his rates to inspect site of work so that the rate for various items can be assessed to his satisfaction.

2. The tenderer should quote specific rates in Part B – Commercial Bid in a separate sealed cover for the contract and the rate should be in Rupees and Paise. The quote should be written legibly and free of corrections. The corrections, wherever unavoidable should be made by crossing out, initialing and rewriting. The rates should be written both in words and figures.

3. The tenderer should affix his signature at the end of each page of his tender and attach other documents thereto. The accepting authority will also similarly affix his signature to the accepted tender.

4. Tender shall remain open for acceptance for 90 days from the date of opening. No revision or modification in the tendered rate will be allowed during the period of validity of tender or the extended period.

SPECIAL TERMS AND CONDITIONS

1. The contract is liable for cancellation if it found that it was grossly inequitable or was made under mistake of fact or owing to misrepresentation of facts or that there was irregularity in the procedure.

2. The Contractor shall not use the Reservoir I & II part of 30 acre condenser except for the purpose of fishing and purposes connected therewith.

3. The Contractor should not erect any buildings, fences or structures or permanent or temporary character in the Reservoir or in the Salt Complex.

4. The Contractor shall not place any vehicle to conduct selling operations in the new Main Pump House area, old Main Pump House and also in the salt complex area.

5. The Contractor shall conduct fishing operations, other operations incidental thereto without damage to the Reservoir bunds, cisterns of any other property owned and possessed by the lesser, if so, the contractor is liable to pay the damages.

6. The Contractor shall not obstruct or interfere with the flow of brine from the Reservoir I to Reservoir II and to Reservoir III and shall not hurdle with the pipeline connections – using earth filled bags as ring bund between the Reservoirs. If the contractor holder blocks the flow, the contract will be cancelled without prior notice besides collecting the penal amount for such blocking the flow of brine.

7. The Contractor or his agents or his workers engaged on fishing operations should follow the instructions of the Project Manager, Mariyur Valinokkam Salt Complex from time to time.

8. The Contractor shall engage only limited number of workers not exceeding twenty five persons per day in connection with the fishing operations. Depending upon the necessity, the number of workers may be increased with the prior permission of the Project Manager, Mariyur Valinokkam Salt Complex. The tenderer should furnish the list of workers in the format prescribed engaged by him during the week with all details properly filled up and also furnish a monthly summary for preparation of EPF etc. acquaintances.

9. The contractors shall also, wherever relevant, furnish the details of remittance of EPF to the workers before 20th of every month to this office to enable payments for part bills. He should follow the EPF rules and regulations and all the labour laws including the Minimum Wages Act. In respect of labour laws and liabilities/facilities to be provided to the workers, the Corporation is not responsible for the employees of the tenderer. In case of failure to produce the details of remittance of EPF to the workers before 20th of every month, we reserve the right to retain relevant amount in addition to prescribed penalties. 10. The Contractor shall not do anything which will hamper the Salt Corporation’s production or any other day to day activities.

11. The Contractor shall have no right to sub-contract fishing granted under this agreement.

12. The Contractor is solely liable for any loss that may arise to him out of this contract in any manner. He is advised to take necessary insurance at his cost.

13. Any maintenance work in the contract area should be carried out only by the Contractor with the concurrence of the Project Manager.

14. The pumping of sea brine will not be done during the off season period and in rainy season/days.

15. Disputes a. If during the continuance of contract agreement or during any extended period of contract agreement or at any time afterwards, any dispute arise between the parties hereto in regard to the construction of any of the articles therein contained or relating to any other matter of thing to be made or done in pursuance thereof or to any other matter or a thing relating to performance of said contract agreement or extension thereof, such disputes shall be forthwith referred to arbitration. The Managing Director of the Salt Corporation will be the arbitrator. The said arbitration shall be proceeded in Chennai, Tamilnadu only. b. The Court in the city of Chennai shall be deemed to be the court of jurisdiction in respect of any claim dispute etc. arising out of this agreement.
