We have audited the accompanying financial statements of CHIMP: Charitable lmpact Foundation (Canada), which comprise the Statement of Financial Position as at July 31,2013 and the Statements of Operations and Changes in Net Assets and Cash Ftows for the year then ended, and a summary of significant accounting poticies and other exptanatory information.
Management's Responsibility for the Financial Statements Management is responsibte for the preparation and fair presentation of these financial statements in accordance with Canadian accounting standards for not-for-profit organizations, and for such internat control as management determines is necessary to enable the preparation of financial statements that are free from materiat misstatement, whether due to fraud or error.
Auditor's Responsibility Our responsibitity ís to express an opinion on these financial statements based on our audit. We conducted our audit in accordance with Canadian generalty accepted auditing standards. Those standards require that we comply with ethicat requirements and plan and perform the audit to obtain reasonabte assurance about whether the financiat statements are free from material misstatement.
An audit invotves performing procedures to obtain audit evidence about the amounts and dísctosures in the financiat statements. The procedures setected depend on the auditor's judgement, inctuding the assessment of the risks of materiat misstatement of the financial statements, whether due to fraud or error. ln making those risk assessments, the auditor considers internal control relevant to the entity's preparatíon and fair presentation of the financial statements in order to design audit procedures that are appropriate in the circumstances, but not for the purpose of expressing an opinion on the effectiveness of the entity's internal controt. An audit also includes evatuating the appropriateness of accounting policies used and the reasonabteness of accounting estirnates made by management, as well as evatuating the overatl presentation of the financiat statements.

1. SignificantAccounting Policies
(a) Nature of Operations
The CHIMP: Charitabte lmpact Foundation (Canada) was incorporated under the Canada Corporations Act on August 6, 2008, continued under the Canada Not-for-profit Corporations Act on November 9,2A12 and commenced operations on August 1,2010. The Foundation is an independent, not-for-profit charitabl,e corporation registered as a pubtic foundation with the Canada Revenue Agency. The Foundation is a web-based donor advised fund through which an individual, company or group can set up their own ontine charitabte giving account. At any time, account holders can send the money in their accounts to any quatified donee (including att registered charities, registered Canadian amateur athtetic associations, municipalities, etc.). Account holders can atso send money to another person or to a giving group on CHIMP's web-based ptatform for them to give away charitabty. Disbursements to quatified donees made by CHIMP account hotders are reviewed, approved and distributed by the Foundation at teast once a month.
(b) Basis of Accounting
The financiat statements have been prepared using Canadian accounting standards for not-for-profit organizations ('ASNPO").
(c) Cash and Cash Equivatents
Cash and cash equivatents include cash deposited in operating bank accounts and money market mutual funds that are easity converted into cash.
(d) Equipment
Equipment is recorded at cost [ess accumulated amortization. Amortization is provided on a dectining batance basis at the fotlowing rates per annum:
Computer hardware - 55To ln the year of acquisition, one hatf of the amortization otherwise calculated, is recorded.
(e) Long-Lived Assets
Long-Lived assets consist of equipment. Long-tived assets hetd for use are measured and amortized as described in the appticabte accounting poLicy.
The Foundation performs impairment testing on tong-lived assets hetd for use whenever events or changes in cÍrcumstances indicate that the carrying vatue of an asset, or group of assets, may not be recoverabte. lmpairment is measured as the amount by which the asset's carrying vatue exceeds its fair vatue. Any impairment is inctuded in earnings for the year.

(f) Revenue Recognition
The Foundation fottows the deferral method of accounting for contributions, which primarity inctudes donations.
(g) Donated Securities
Donated securities are classified as hetd for trading. They are measured at fair vatue at the statement of financiat position date. Changes in fair value for the year are reflected in the statement of operations and changes in net assets.
The Foundation is subject to equity risks pending the sate of donated securities; these risks however, are contained to the individuat donor advised fund. As donated securities are received, they wítt either be tiquidated immediatety, or hetd under the Foundation's management with the written consent of the donor. Upon disposition, the donor may advise disbursement to respective quatified donees based on the net proceeds. Ptease see note 5(e) for further information.
(h) lncome Taxes
The Foundation is a registered charity under the Canadian lncome Tax Act.
(i) Financiat lnstruments
Financial assets are ctassified as hetd for trading for cash and cash equivatents and as toans and receivabtes for Accounts Receivabte. They are measured at fair vatue at the statement of financial position date. Accrued tiabitities and due to retated party are classified as other tiabitities.
Any gain or loss arising from a change in fair vatue of financial asset classified as hetd for trading is reported on the statement of operations in the period in which it arises.
(j) Use of Estímates
The financial statements of the Foundation have been prepared by management in accordance with Canadian accounting standards for not-for-profit organizations. ln preparing the financial statements, management is required to make estimates and assumptions that affect the reported amounts of assets and tiabitities, the disctosure of contingent assets and tiabitities at the date of the financial statements, and reported amounts of revenue and expenses during the reporting period. Actual results coutd differ from these estimates.

lnvestment Poticy: ln accordance with the Foundation's mission to support and increase charitable giving in Canada, the Board of Directors has an investment poticy in ptace. ln summary, it endeavours to protect capitat of the donor advised funds entrusted to the Foundation and to achieving maximum returns consistent with prudent investment management on the operating cash in order to recover the cost of managing and administrating the funds.
The Foundation reties on the Board of Directors to manage the risks that arise from its use of financial instruments, inctuding tiquidity, credit and market risk. Management regutarty reviews the Foundation's investments to ensure att activities adhere to the investment poticy.
3. Donated SecurÍties
Donated securities is comprised of pubtic company securities received from one donor on Aprit 17, 2013. At the date of receipt, the securities had had a fair value of 51,02ó,000. At the recommendation of the donor, these securities were not disposed of. During the period from receipt to Juty 31,2013, there was a decrease in the fair vatue of the securities of 5516,000, bringing the fair value to 5510,000. This change in fair vatue has been recorded in the statement of operations and changes in net assets. See note 5(e) for further exptanation.

5. Financial lnstrument Risk
(a) Liquidity Risk
Liquidity risk is the risk that the Foundation cannot meet a demand for cash or fund its obtigations as they come due. A key tiquidity requirement for the Foundation is donation commitments. Liquidity risk is managed by depositing the majority of the Foundation's assets in the CIBC and Btueshore Financial business chequing accounts which can be easily tiquidated. The Foundation aims to retain sufficient cash position to maintain tiquidity. The Foundation's investments are considered readily reatizabte and liquid, therefore the Foundation's liquidity risk is considered minimat.
(b) Credit Risk
Credit risk is the potential for financial loss should a counterparty in a transaction fait to meet its obligations. The Foundation's cash and cash equivatents and accounts receivable are subject to credit risk. The maximum exposure to credit risk on these financial instruments is their carrying value.
The Foundation timits its exposure to credit toss by maintaining its cash and cash equivatents with high quatity institutions in Canada. The Foundation minimizes its credit risk associated with its accounts receivabte by routinely reviewing the status of individuat accounts receivable batances and fottowing up on overdue amounts. The Foundation monitors its credit risk management poticies regutarly to evatuate their effectiveness.
(c) Market Risk
Market risk is the potential for financial loss to the Foundation from changes in the values of its financial instruments due to changes in interest rates or equity prices. The investments of the Foundation are subject to normal market ftuctuation and to the risk inherent in investment in capital markets.
(d) lnterest Rate Risk
lnterest rate risk is the risk that changes in interest rates witl affect future cash ftows or fair vatues of financial investments. lnterest rate risk arises when the Foundation invests in interest bearing financial instruments. The objective of the Foundation's investment poticy is to control interest rate risk by managing its interest rate exposure.
(e) Equity Price Risk
Equity price risk is the risk that the value of financial instruments witl fluctuate due to changes in market prices. The Foundation is exposed to equity price risk through its security hotdings. To mitígate the Foundation's equity price risk, disbursements from donor advised funds pertaining to donated securities are [imited to the net proceeds on their disposition. This way, the price risk is contained to the donor's advised fund.

6. Capítal
The Foundation's main objective when managing donor advised funds is to safeguard and preserve capitat and generate maximum return consistent with prudent investment. The Foundation is not subject to any externatty imposed capitat requirements.
As at Juty 31, 2013, CHIMP account hotders have 52,003,144 (2012 - 52,025,939) of donations, net of credit card processing charges, which they can recommend for disbursement to quatified donees. ln addition, one donor has equity securities with a fair vatue of 5510,000 at July 31,2013 which they can recommend for disbursement to quatified donees. The arnount which can be donated wilt be based upon the proceeds received on disposition.
The Foundation maintains its operating cash of 5324,688 (2012 - 547,831) separate from donor advised funds. The Foundation utilizes its operating cash to fund the management and administration of the funds.
During the year, the Foundation received operating fund donations in the amount of 5527,841 and proceeds on disposition of donated securities in the amount of 5143,670.
7. Related Party Balances
During the year, the Foundation paid the fottowing amounts to related parties:
(a) Technotogy services of 5158,540 (2012 - 581,4291to CHIMP Technologies lnc., a company in which a director of the Foundation has an equíty interest.
(b) Fees of 58,567 (2012 - 54,115) were paid to Benefic Comptiance and Administrative Services lnc., the President of which is a director of the Foundation. Of this amount, fees of 52,A67 Q012 - 5785) were paid for office suppties and fees of 5ó,500 (2012 - 53,:lO¡ were paid for bookkeeping services.
These transactions are in the normal course of operations and are measured at the exchange amount, which is the amount of consideration established and agreed upon by the related parties.
8. Subsequent Event
Subsequent to its fiscal, year-end, the Foundation received three gifts of private company shares totatting 511,524,433. The Foundation has decided to hotd and manage these securities in specie.

Our responsibility is to express an opinion on these financial statelnents based on our audit. We conducted our audit in accordance with Canadian generally accepted auditing standards. 1 Nature of organization The CHIMP: Charitable lmpact Foundation (Canada) was incorporated under the Canada Corporations Act on August 6, 2008, continued under the Canada Not-for-profit Corporations Act on November 9, 2012 and commenced operalions on August 1 ,2UA. The Foundation is an independent, not-for-profit charitable corporation registered as a public foundation with the Canada Revenue Agency and is a registered charity under the Canadian lncome Tax Act. The Foundation is a web-based donor advised fund through which an individual, company or group can set up their own online charitable giving account. At any time, account holders can request the money in their accounts be allocated to any qualified donee (including all registered charities, registered Canadian amateur athletic associations, municipalities, etc.). 2. Significant accounting policies These financial statements have been prepared in accordance with Canadian accounting standards for not-for-profit organizations and reflect the following significant accounting policies. (a) Equipment Equipment is recorded at cost less accumulated amortization. Amortization is provided on a declining balance basis at the following annual rates: Computer hardware 55% ln the year of acquisition, amortization is provided for half the year. The Foundation reviews equipment for impairment whenever changes in circumstances indícate that the carrying amount of an asset may not be recoverable from expected undiscounted future cash flows and eventual disposition. No impairment losses were ident¡fied by the Foundation for the year ended July 31, 2014. (b) Revenue recognition The Foundation follows the deferral method of accounting for contributions, which primarily includes donations, which are recognized upon receipt of funds from donors. Disbursements to qualified donees (including all registered charities, registered Canadian athletic associations, municipalities, etc.), as requested by CHIMP account holders at the time of donation, are ultimately at the discretion of the Foundation. (c) Donated secunfres Donated securities are comprised of unlisted shares and publicly traded securities. (i) lnvestments in unlisted shares, are measured at fair value on the date of donation, and are thereafter carried at this amount until such time as they are sold or become impaired (i¡) lnvestments in publicly traded securities are measured at fair value initially and thereafter at the statement of fìnancial position date. The fair value of publicly traded securities is based on the latest closing price. The Foundation is subject to equity price risk pending the sale of donated securities. As donated securities are received, they will either be liquidated immediately, or held under the Foundation's management with the written consent of the donor. Upon disposition, the donor may request disbursement to respective qualified donees based on the net proceeds. Please see Note 6(c) for further information.

Financial instrument risk (a) Credit rísk Credit risk is the risk that a counterparty will fail to perform its obligations, The Foundation's exposure to credit risk is indicated by the carrying amounts of its accounts receivable and cash. The Foundalion assesses, on a continuous basis, its accounts receivable and follows up on overdue amounts. The Foundation's cash is kept with reputable Canadian chartered banks. (b) lnterest rate risk
lnlerest rate risk arises when the Foundation invests in fixed-rate interest bearing financial instruments. Fixed-rate instruments subject the Foundation to risk of changes in fair value. The objective of the Foundation's investment policy is to conlrol interest rate risk by managing its interest rate exposure. (c) Equity price risk Equity price risk is the risk fhat the value of financial instruments will fluctuate due to changes in market prices. The Foundation is exposed to equity price risk through its security holdings. To mitigate the Foundation's equity price risk, disbursements from donor advised funds pertaining to donated securities are limited to the nel proceeds on their dispositíon, This way, the price risk is contained to the donor's advised fund. 7. Related party balances During the year, the Foundation paid for technology services of $681,701 (2013 - $158,540) to CHIMP Technologies lnc., a company in which an executive of the Foundation has an equity interest. Investment policy ln accordance with the Foundation's mission to support and increase charitable giving in Canada, the Board of Directors has an investment policy in place to protect the cash in the donor advised funds entrusted to the Foundation. Some donor advised funds hold securities with the purpose of achieving maximum returns for their fund consistent with prudent investment management. The Foundation relies on the Board of Directors to manage the risks that arise from its use of financial instruments, including liquidity, credit and market risk. Management regularly reviews the Foundation's investments to ensure all activities adhere to the investment policy. 4. The Foundation monitors its cash balances and cash flows generated from operations to meet its requirements, As at July 31, 2015, the most significant financial liabilities are the accrued liabilities. 7. Related party balances
During the year, the Foundation paid for technology services of $1 ,544,91 4 (2014 - $681,701) and human resource services of $1,028,255 (2014 - $Nil) to CHIMP Technologies lnc., a company in which an executive of the Foundation has an equity interest. This transaction was in the normal course of operations and is measured at the exchange amount, which is the amount of consideration established and agreed upon by the related parties. 8. Subsequentevent Subsequent to July 31,2015, in November 2015, the Foundation sold unlisted securities with a cumulative cost of $7,800,000 for a gain of $Nil.

1. Nature of organization The CHIMP: Charitable Impact Foundation (Canada) was incorporated under the Canada Corporations Act on August 6, 2008, continued under the Canada Not-for-profit Corporations Act on November 9, 2012 and commenced operations on August 1, 2010. The Foundation is an independent, not-for-profit charitable corporation registered as a public foundation with the Canada Revenue Agency and is a registered charity under the Canadian Income Tax Act. The Foundation operates a donor advised fund through which an individual, company or group can set up their own online charitable giving account. At any time, account holders can request the funds in their accounts be allocated to any qualified donee (including all registered charities, registered Canadian amateur athletic associations, municipalities, etc.). Disbursements to qualified donees as requested by donors are ultimately at the discretion of the Foundation.
2. Significant accounting policies These financial statements have been prepared in accordance with Canadian accounting standards for not-for-profit organizations and reflect the following significant accounting policies.
(a) Land Land is valued at the lower of cost and current replacement cost. Cost is determined based on fair value at the time of contribution.
(b) Life insurance policies The cash surrender value of life insurance policies is accounted for based on the amount that could be realized under the policies if the policies were surrendered at the reporting date. Changes in cash surrender value during the period are recognized as an expense or recovery of insurance premiums paid.
(c) Revenue recognition The Foundation follows the deferral method of accounting for contributions, which primarily includes donations, which are recognized upon receipt of funds from donors. Interest income is recognized in the period in which it is earned. Dividends are recognized when declared by the issuer of the related shares.
(d) Securities Securities are comprised of unlisted shares and publicly traded securities.
i) Investments in unlisted shares are measured at fair value on the date of donation, and are thereafter carried at this amount for equity instruments and at amortized cost for debt instruments until such time as they are sold or become impaired. ii) Investments in publicly-traded securities are measured at fair value initially and thereafter at the statement of financial position date. The fair value of publicly-traded securities is based on the latest closing price.
