RECOMMENDATION: Approval of a Resolution authorizing the General Manager/CEO or his delegate to enter into a Single Source Contract with Global Plasma Solutions for the Procurement of Needlepoint Bipolar Ionization (NPBI) GPS Devices. FINANCIAL CONSIDERATIONS

• The Contract term is one (1) base year.

• This procurement in being funded with 100% Local Operating Funds.

• Total Procurement Cost: Purchase, installation and one (1) year warranty: $850,000.00

BUSINESS PURPOSE

• As part of the COVID-19 response program at MARTA, installation of Global Plasma Solutions ozone-free Needlepoint Bipolar Ionization (NPBI) devices is recommended in AC units at MART A facilities system-wide.

• Benefits of using Global Plasma Solutions NPBI to MARTA's air quality program include:

o The NPBI devices can be quickly and easily installed into all types of AC units currently operated by MARTA with limited maintenance required by MARTA once operational.

o The NPBI technology allows for production of ion clusters that purify the air and remove objectionable contaminates, it inactivates pathogens and offers OZONE free technology that is safe to use across commercial, industrial and residential buildings. • This is a firm fixed price contract.

• This Single Source Procurement will provide GPS Needlepoint Bipolar Ionization devices to be installed across eighteen (18) facilities systemwide that currently have AC units in operation.

• The Department of Audit is conducting a price analysis.

The Office of Diversity & Inclusion did not assign a Disadvantaged Business Enterprise (DBE) goal to this single source procurement.

This b~oran~u \of Understanding (this "Agreement"), made and entered into as of this day of , 2020, by and between the Metropolitan Atlanta Rapid Transit Authority (" T "), a public body corporate under the laws of the State of Georgia, and the City of Forest Park ("City"), a body corporate and politic under the laws of the State of Georgia. Whereas, pursuant to the MARTA Act of 1965, as amended ("MARTA Act"), MARTA exists for purposes of planning, designing, leasing (as lessee), purchasing, acquiring, holding, owning, constructing, improving, equipping, financing, maintaining and administering a rapid transit system within the metropolitan area, and operating same;

Whereas, Section 12 of the MARTA Act provides that "[MARTA] shall have no power of eminent domain, but the broadest power of eminent domain shall be available to any city or county government within the territorial jurisdiction" of MARTA "under any statute to convey to [MARTA] any property upon payment or credit for the total cost of any acquisition hereunder. For purposes of this section, the power of eminent domain shall lie in a city governing body of the property is located within that city's territorial limits ... ";

Whereas, MARTA has determined a public need to acquire property within the City to develop, maintain, operate and/ or expand its rapid transit system services and facilities; Whereas, the City is within the territorial jurisdiction of MARTA; Whereas, the City agrees to work with MARTA and, upon the request of MARTA, to exercise its eminent domain power to acquire any property rights and interests necessary for MARTA to carry out its purpose as stated in the MARTA Act; and Whereas, MARTA and the City agree to coordinate on efforts regarding the acquisition of property, including but not limited to entering into intergovernmental contracts as authorized under Section 8 of the MARTA Act and O.C.G.A. § 36-34-2. Now, therefore, in consideration of these promises and of the mutual promises and undertakings hereinafter set forth, and for other valuable consideration, the receipt and sufficiency of which the parties hereby acknowledge, MARTA and the City have agreed and do hereby agree as follows:

1. MARTA intends to pursue a public project for the development, maintenance, operation and/or expansion of its rapid transit system (the "Project") within the jurisdiction of the City.

1 2. MARTA, in its sole discretion, will identify and determine any property rights and interests within the jurisdiction of the City that are necessary and suitable to meet MARTA's needs for the Project.

3. MARTA will determine the cost of acquiring any property rights and interests for the Project and for construction of the Project within the jurisdiction of the City. Both MARTA and the City understand and agree that an accurate estimate of the cost of the Project of such scope cannot be undertaken without significant preliminary design and other types of study. Prior to the approval and execution of other agreements between the City and MARTA as needed for the Project, and not withstanding any other language contained elsewhere in this Agreement, MARTA may elect to withdraw from this Agreement should the Project cost exceed MARTA's reasonable estimates.

4. Regardless of whether the property rights and interests needed for the Project are obtained through the filing of condemnation proceedings under the City's power of eminent domain or by negotiated purchase and sale transaction in lieu of the exercise of the City's power of eminent domain, the City and MARTA agree to work in good faith to:

a. Inspect, survey, determine and appraise all property rights and interests needed for the Project;

b. Acquire any and all property rights and interests needed for the Project, which may require the City to exercise its eminent domain power to acquire such property rights and interests on behalf of MARTA;

c. Apply for and obtain any and all licenses and permits required for the Project and the City will provide all necessary licenses and permits under its jurisdiction;

d. Ensure the Project receives adequate and appropriate police and security protection as determined by MARTA and the City and allocating the responsibility for police services for the Project, as necessary; and

e. Secure all utilities and utility connections, such as electricity, gas, and water, as needed for developing and operating the Project, and the City will provide any utilities and utility connections within its jurisdiction.

f. Ensure compliance with all federal regulations including, without limitation, 49 CFR Part 24 and FfA Circular 5010.1E, the Georgia Constitution and any applicable laws of the State of Georgia governing the

2 acquisition of property rights and interests by the power of eminent domain including, without limitation, O.C.G.A. §§ 22-1-9 and 32-3-1, et. seq.

g. The City and MARTA shall enter into all contracts as needed to effectuate the purposes of this paragraph.

5. Upon the written request of MARTA, the City agrees to exercise its eminent domain power under Title 22 or 32 of the Georgia Code to acquire any property rights and interests needed for the Project and to transfer title to MARTA upon payment of all costs. If the City exercises its eminent domain power, MARTA and the City agree as follows:

a. The City and MARTA will work together to formally notify any affected owners with property rights or interests regarding the acquisition of the property rights and interests needed for the Project, and shall notify such affected owners that the acquisition is for the public purpose of MARTA's rapid transit system and that MARTA shall be the owner of any property rights and interests acquired for the Project;

b. The City and MARTA will work together to formally notify any affected owners of the Project for purposes of inspection, surveying and appraisal of the property rights and interests needed for the Project;

c. MARTA shall, at its sole cost and expense, obtain real estate appraisal and any specialty appraisal reports and any engineering reports, and the City and MARTA will work together to issue written offers to affected owners based on such appraisals for the property rights and interests needed for the Project;

d. MARTA shall be responsible for all negotiations for acquisition of any required property rights and interests needed for the Project;

e. MARTA shall approve the final amount of just and adequate compensation to be paid for the acquisition of any required property rights and interests needed for the Project, whether acquired by formal condemnation or by negotiated purchase and sale transaction in lieu of condemnation;

f. MARTA shall pay any amount(s) of just and adequate compensation to any affected owners as a result of the Project or reimburse the City for the payment of such amounts;

g. MARTA shall have sole responsibility for obtaining all necessary approvals from any and all federal government agencies, if any, that are needed for the

3 eminent domain process, including for any federal funding that will be used to purchase the subject properties;

h. In the event the property rights and interests needed for the Project are to be acquired by negotiated purchase and sale transaction, MARTA shall be responsible for all aspects related to the consummation of such transaction and shall be the grantee in such transaction. MARTA shall pay all costs and expenses associated with consummating any such purchase and sale transaction.

1. In the event that any required property rights or interests needed for the Project cannot be acquired by negotiated purchase and sale transaction, the City upon request from MARTA shall file condemnation proceedings on behalf of MARTA in the Superior Court of Clayton County. MARTA shall pay all legal costs for its legal counsel, who shall be selected and engaged by MARTA in its sole discretion, and any litigation fees and expenses in connection with the filing of such condemnation proceedings. MARTA and its legal counsel shall be responsible for preparing all condemnation pleadings, orders, resolutions and related filings that are necessary to institute any such condemnation proceedings including, without limitation, the petition for condemnation, declaration of taking, order and judgment, certificate of the clerk, certificate of posing, citation and the resolution of the City authorizing the filing of condemnation proceedings ( collectively the "Condemnation Documents"), which shall be subject to the approval of the City, which approval shall not be unreasonably withheld, conditioned or delayed. The City shall file such Condemnation Documents with the assistance and instruction of MARTA and its legal counsel. Upon the filing of any such condemnation proceedings and obtaining title to the property rights and interests in question, the City shall consent to the substitution of MARTA as the condemnor/party in interest, and MARTA and its legal counsel shall be solely responsible for prosecuting or defending any such condemnation proceedings. The City also shall convey free and clear title to all property rights and interests acquired in any such condemnation proceedings to MARTA.

j. The City and MARTA shall enter into all contracts as needed to effectuate the purposes of this paragraph.

6. MARTA and the City hereby designate a representative with whom the other party shall deal with regarding all matters concerning the Project or this Agreement. MARTA and the City agree that these representatives shall be available to the other party at all reasonable times. These representatives may be changed from time to time by written notice to the other party.

RECOMMENDATION: Approval of the resolution authorizing execution of the Fifth Amendment to Lease Agreement between MARTA and King Memorial TOD, LLC.

BUSINESS PURPOSE

• MARTA initially entered into a Lease Agreement with Walton Communities in 2015 for the TOD at King Memorial Station. On May 27, 2016, MARTA received notification from Walton Communities that they could not move forward with the proposed TOD project.

• Walton Communities agreed to assign all definitive agreements to HJ Russell and Place Properties, the second ranked respondent to the Request for Proposals. On March 3, 2017 the Assignment, Assumption and Lease Amendment Agreement was executed.

• On August 13, 2018, October 24, 2018 and July 19, 2019 respectively, a Second, Third and Fourth Amendment to the Assumption and Lease Amendment Agreement were executed, respectively.

• Site conditions (increased environmentally unstable impacted soil, heavily debris• laden unsuitable soil, increase in water removal and import of soil due to increased soil removal) discovered by developer during construction that exceeded the estimated site conditions, require modifications to the Ground Lease, Assumption and Lease Amendment Agreement.

• Staff recommends the approval of the Fifth Amendment to the Assumption and Lease Amendment Agreement which includes the following changes:

o 24-month ground lease rent deferral for the period April 2020 through April 2022 in an amount not to exceed $375,000;

BUSINESS PURPOSE

• Consistent with MART A's adopted Transit Oriented Development (TOD) Guidelines, MARTA seeks to obtain operating income and increased ridership through the development of MARTA owned facilities.

• One proposal was received in response to the Request for Proposals for North Avenue Station TOD on January 28, 2020.

• After reviewing the proposal, clarification response to the Source Evaluation Committee (SEC) questions and interviewing the Proponent, the SEC recommends that approval be sought from the Board of Directors to enter into negotiations with Portman Holdings, LLC for the development of Parcel 03044 at the North Avenue Station.

• Portman Holdings, LLC was founded in 1957 in Atlanta, Georgia; developed over 65 million total square footage; developed over 15 million square feet of office; and raised and deployed over $10 billion worldwide.

PROCUREMENT CONSIDERATIONS:

• On the Proposal Deadline date and time of January 28, 2020 at 2:00 p.m., one (1) proposal was received from the following firm:

• The aforementioned Proponent was responsive.

• The Authority's Source Evaluation Committee (SEC) reviewed and evaluated the Proposal based on the established criteria.

• After evaluation, and interview, the Source Evaluation Committee, Portman Holdings, LLC was recommended to be the preferred development partner.

• Consistent with the MARTA Act, and Sound procurement practices, it is in the best interest of the Authority to enter into negotiations with Portman Holdings, LLC for development of D3044 at North Avenue Station, consistent with MARTA's adopted TOD Guidelines.

Legal Considerations:

Section 14(m) of the MARTA Act provides that competitive bidding shall not be required for the Authority acquisition of property or services for which it is impracticable to prepare adequate specification or any other adequate description on the basis of which to solicit competitive bids.
