ISSN 2042-2695 CEP Discussion Paper No 1498 September 2017 Equity Crowdfunding and Early Stage Entrepreneurial Finance: Damaging or Disruptive? Saul Estrin Daniel Gozman Susanna Khavul Abstract Equity crowdfunding (ECF) offers founders of new ventures an online social media marketplace where they can access a large number of investors who, in exchange for an ownership stake, provide finance for business opportunities that they find attractive. In this paper, we first quantify the evolution of the ECF market in the UK, the world leader, as well as the benign regulatory environment. ECF already represents more than 15% of British early stage entrepreneurial finance. We then use qualitative methods to explore three research questions. First, do these large financial flows via ECF platforms supplement or merely divert more traditional forms of funding for entrepreneurs? Second, do investors understand and appropriately evaluate the risks that they are bearing by investing in this new asset class? Finally, does ECF finance bring with it the spillovers, e.g. advice and guidance critical to entrepreneurial success, associated with other sources of funding such as Venture Capital? Our study is based on extensive interviews with investors, entrepreneurs (including some who chose not to use ECF in favour of traditional funding sources) and regulators. We conclude that ECF provides real additionality to the sources of entrepreneurial finance while not bringing major new risks for investors. This suggests other jurisdictions might consider implementing the British “principles based” regulatory framework. April 2020 Next-gen Technology transformation in Financial Services Introduction Financial Services technology is currently in the midst of a profound transformation, as CIOs and their teams prepare to embrace the next major phase of digital transformation. The challenge they face is significant: in a competitive environment of rising cost pressures, where rapid action and response is imperative, financial institutions must modernize their technology function to support expanded digitization of both the front and back ends of their businesses. Furthermore, the current COVID-19 situation is putting immense pressure on technology capabilities (e.g., remote working, new cyber-security threats) and requires CIOs to anticipate and prepare for the “next normal” (e.g., accelerated shift to digital channels). Most major financial institutions are well aware of the imperative for action and have embarked on the necessary transformation. However, it is early days—based on our experience, most are only at the beginning of their journey. And in addition to the pressures mentioned above, many are facing challenges in terms of funding, complexity, and talent availability. This collection of articles—gathered from our recent publishing on the theme of financial services technology—is intended to serve as a roadmap for executives tasked with ramping up technology innovation, increasing tech productivity, and modernizing their platforms. The articles are organized into three major themes: 1. Reimagine the role of technology to be a business and innovation partner 2. Reinvent technology delivery to drive a step change in productivity and speed 3. In this thesis I resolve this difficulty in two settings: position auctions and software economies. The first part of the thesis studies value externalities in position auctions. I develop a constraint-based model that allows an advertiser to submit, along with its bid, additional constraints to state how its value for clicks depends on the positions of the other ads with which it is allocated. I establish complexity results for winner determination and prove the existence of Nash and envy-free equilibria under certain conditions. -

Its founders, an Subscribe unusual combination of dealmakers, were focused in 2000 on the bright prospects of the Internet, just as many other investors and entrepreneurs were. But that vista quickly turned as dark as night when the dot-com bubble burst, and Accel-KKR suddenly needed to make a rapid course correction. It did. Today the Menlo Park, Calif.-based firm has made a name for itself acquiring small but fast-growing technology companies. Even as top-tier buyout groups lick their chops over the possibility of doing deals involving big software corporations, Accel- KKR keeps its attention on midmarket and small tech outfits with $15 million to $150 million in annual revenue: software developers, hardware makers, Internet firm and information technology services businesses. To be sure, it's hardly the only middle-market private equity group interested in technology businesses - a number of buyout groups, large and small, have made technology their core investment focus. But Accel-KKR's board and the background it represents set it apart. It focuses on countries or regulatory authorities that either expressed their awareness of the phenomenon but decided to adopt a holding pattern (monitoring and investigating) or new laws and regulations. Countries like Australia have opted to reaffirm how their current set of regulations applies to crowdfunding whereas others like the United States, Italy, the United Kingdom, and France have elected to create new exemptions in an effort to facilitate equity crowdfunding. This Article compares how each country decided to regulate the different participantsin the crowdfunding process. While the results of these various efforts are still mostly unseen, this Article takes an early look at the regulatory impact using one U.K. based platform as an example of how regulations can boost investment.
